DEED OF SALE OF CONDOMINIUM UNIT

KNOW ALL MEN BY THESE PRESENTS:

This DEED, made and executed this 10 February 2016 at Quezon City,

Robert Cruz, Filipino, of legal age, married with Marian


Cruz with residence and postal address at 174 Maginhawa St.,
Teachers Village, Diliman, Quezon City represented herein by
his Attorney-in-Fact, Nicole R. Saracho by virtue of the Special
Power of Attorney hereto attached as Annex A, hereinafter
referred to as the VENDOR,
IN FAVOR OF:
Ludwig Weiss, single, German, of legal age, married with
Gertrude Weiss with residence and postal address at 23 Gilmore
Street, New Manila Quezon City, hereinafter referred to as the
VENDEE,
W I T N E S S E T H : THAT.
WHEREAS, VENDOR is the legal and registered owner of Tuscan Tower
Condominium Unit No 3120 ocated at Fourth Street, Bonifacio Global City,
Taguig City, containing a floor area of, more or less, THREE THOUSAND
EIGHTY ONE SQUARE METERS (3,081 sq.m.) covered by Condominium
Certificate of Title No. 181-2013-0201504 and one assigned parking slot in
Basement 1-B covered by Condominium Certificate of Title No. 181-20130201505 of the Registry of Deeds for Makati City, photocopy of which is
hereto attached and made an integral part hereof as Annex B;
WHEREAS, the Tuscan Tower was duly organized in accordance with
law for purpose of holding title to all common areas of the Tuscan Tower,
including the land, and is in charge of managing and administering the
Tuscan Tower;
WHEREAS, VENDEE offered to buy and the VENDOR agreed to sell
the said condominium unit as well as any and all rights and interest
appertaining thereto under the Master Deed with Declaration of Restriction

(the Master Deed), as amended, the Articles of Incorporation and the ByLaws of the Condominium Corporation;
NOW, THEREFORE, for and in consideration of the foregoing premises
and subject to the terms and conditions herein set forth, the VENDEE buys
and the VENDOR sells, transfers and conveys, by way of absolute sale, unto
the VENDEE, her successors and assigns, the said condominium unit as
well as any all rights and interest appertaining thereto under the Master
Deed, as amended, the Articles of Incorporation and By-Laws of the
Condominium Corporation.

The purchase price for the said condominium unit and one (1)
assigned parking slot shall be TWELVE MILLION (12,000,000) in
PHILIPPUNE PESO receipt of which in full is hereby acknowledged by the
VENDOR. The purchase price shall be paid via Managers Check, drawn
against the depsit account of the sellers, with Banco De Oro Unibank, Inc at
Juila Vargas Avenue branch.

VENDOR warrants that the title to the said condominium unit is
free and clear of any and all liens and encumbrances, except the restrictions
contained in the Master Deed, as amended, as annotated and inscribed at
the back of Condominium Certificate of Title No. 181-2013-0201504.

VENDEE accepts and binds herself to all conditions and
restrictions embodied in the Mater Deed, as amended, the Articles of
Incorporation and By-Laws of the Condominium Corporation, and agrees to
faithfully observe and comply with the House Rules and Regulations of the
Condominium Corporation and any amendment or supplement thereto.

ADDITIONAL OBLIGATIONS OF THE VENDOR:


a. The VENDOR shall pay the capital gains tax of SIX (6)
PERCENT of the selling price.
b. The VENDOR shall pay the brokers fee of FIVE (5)
PERCENT.
c. The VENDOR shall pay the legal and notarial fee of ONE (1)
PERCENT.
d. The VENDOR shall pay the association dues, utilities,
internet connectivity, etc. until execution of the deed of
absolute sale

ADDITIONAL OBLIGATIONS OF THE VENDEE: Documentary
stamps tax, , transfer fee, registration fee, and other incidental expenses in
the registration of the sale and title transfer shall be for the account of the
VENDEE.

Other Provisions:

a. The VENDORS shall not sell or lease the property to any


third party upon the signing of the contract.
b. Each party acknowledges and warrants that this Contract is
its valid and binding obligation, enforceable in accordance with its terms,
and that it shall be binding upon and shall inure to the benefit of the parties
hereto and their respective successors and permitted assigns.
c. This Contract may only be modified with the express prior
written consent of both parties.
d. If any provision or part of any provision of this Contract is
held for any reason to be unenforceable or invalid, the remainder of this
Contract shall nevertheless remain in full force and effect.

hands on the date and at the place herein first above-written.
