and existing under and by the virtue if Philippine laws, do hereby certify

I am familiar with the facts herein certified and duly authorized to
certify the same; at the meeting of Board of Directors of the Corporation
duly held and convened on February 6, 2015 at which meeting a quorum
was presented and acted throughout, the following resolution (Board
Resolution No. 1 Series of 2015) was approved, and the same has not been
annulled, revoke and amended in any way whatsoever and the same is in full
force and effect on the date hereof:
NOW THEREFORE, BE IT RESOLVED that the Board
of
Directors

POLYCENTRIK
LENDING
CORPORATION authorize Mr. EDGAR EROSARIO
and/or Mr. ROGER ACIDRE to FILE, EXTRAJUDICIAL
FORECLOSURE
PROCEEDINGS,
COMPLAINT FOR SUM OF MONEY and other CIVIL
OR CRIMINAL SUITS for purposes of protecting the
interest of this corporation on the overdue and unpaid
accounts as may be necessary and/or desirable against the
persons holding such due and unpaid accounts.
FURTHER, the named persons to represent this
corporation are likewise authorized to sign for and in behalf
of the corporation in the complaint, petition and/or sworn
statement
including
the
VERIFICATION
and
CERTIFICATION AGAINST FORUM SHOPPING.
FURTHERMORE, the representatives are also authorized
to appear in any and all proceedings pursuant to the legal
remedy and/or remedies availed of including the
PRELIMINARY
CONFERENCE/
PRE-TRIAL
/
MEDIATION PROCEEDINGS. In such proceedings,
specifically, the pre-trial and the preliminary conference,
they are empowered to enter into to enter into compromise,
to make stipulations of facts, to admit facts relevant to the
case and in all cases for the protection of the interests of
the corporation; make, sign, execute, and deliver contracts,
documents, agreements, and other writings of whatever
nature or kind, with any and all third persons, concerns, or
entities, upon terms and conditions relayed and acceptable
to the representative; and compromise said claim for such
amount as they may deem best, or to litigate, institute
action or defend action thereon in court if they deem
necessary in all cases for the protection of the interest of
the corporation.
