EVENT PRODUCTION AGREEMENT

THIS CONTRACT SHOULD BE USED FOR COMPANIES PROVIDING SERVICES OTHER THAN
ENTERTAINERS. Examples:

SOUND
LIGHTING
NON-UNIVERSITY SECURITY
EQUIPMENT RENTALS

Contract Processing Checklist (Revised 07-12-12)


1.Use correct University contract template (see above for lists of examples)
Complete all yellow highlighted fields within the contract pages (delete highlights when complete)
W9 form remains blank, to be completed by Artist/Agency. If W9 form is missing, obtain from
SORC Business Office
NOTE: Use of a University contract template is expected. If Artist/Agency wishes to use own
contract instead, please see note* below and consult with SORC Business Office.
2.Obtain signature of Artist/Agency as follows
Read (and remove) blue highlighted text on signature blocks.
All pages of contract must be sent to and returned from the Artist/Agency (do not separate
signature page from contract)
Artist/Agency will complete appropriate signature block. DO NOT USE the University signature
block.
W9 form to be completed by Artist/Agency (required for payment)
3.Attach Contract Cover Sheet
Complete all fields of the Contract Cover Sheet
4.Submit all completed and signed pages (contract + W9 + Cover Sheet) to the SORC Business Office at least
2 weeks prior to event date.*
*Notes on Contract Processing Timeline
Contracts with a value >$5000 will require the signature of the Vice Provost and Dean of Students and must
be submitted at least 3 weeks in advance of event date.
Off-campus Facility and Service Contracts will require processing via the Purchasing department and must be
submitted at least 3 weeks in advance of event date.
Always use a University contract template; do not use a contract supplied by Artist/Agency. Use of a nonUniversity contract requires review by the Office of General Counsel and must be submitted at least 3
weeks in advance of event date.

EVENT PRODUCTION AGREEMENT


Made [DATE] by and between
UNIVERSITY OF PITTSBURGH OF THE COMMONWEALTH SYSTEM OF HIGHER EDUCATION,
acting by and through its (STUDENT ORGANIZATION NAME)
(STUDENT ORGANIZATION ADDRESS), Pittsburgh, PA 15260
(Hereinafter referred to as the University.)
And
CONTRACTORS NAME
hereinafter referred to as "Contractor".
1.

In consideration of the foregoing, the parties, intending to be legally bound, hereby agree to the following:
The Contractor is hereby retained by the University and agrees to provide all necessary services described as follows (Services), as
specified by the University.
a.

DESCRIPTION OF SERVICES/WHAT THE CONTRACTOR WILL PROVIDE INCLUDING DATE, TIME,


PLACE AND NAME OF EVENT. DESCRIBE IN DETAIL WHAT THE COMPANY/PERSON WILL BE
DOING FOR YOU (E.G. PROVIDE 3 MICROPHONES AND ALL NECESSARY AMPLIFIERS AND
SPEAKERS TO COVER A 250 PERSON ROOM)

2.

The Contractor agrees to perform the Services to the satisfaction of the University during the term of this Agreement. The
Contractor warrants to the University that all materials and equipment furnished under this Agreement will be in good working
order unless otherwise specified, and that all Services will be of good quality, free from faults and defects and in conformance with
any Agreement exhibits attached hereto. All Services not conforming to these requirements, including substitutions and alterations
not properly approved and authorized, may be considered unacceptable and the Contractor may be considered in breach of this
contract. If required by the University, the Contractor shall furnish satisfactory evidence as to the kind and quality of materials and
equipment.

3.

The University agrees to pay the Contractor the fixed fee of ________________ dollars ($_______) for the total production,
payable by University check within thirty (30) days after the receipt of the Contractor's invoice and/or upon performance
completion. Performance beyond the limitations within this Agreement (either financial or time period) shall be at the sole risk
and responsibility of the Contractor, and the University shall not be obligated to pay for services exceeding the contract period of
this Agreement.

4.

The Contractor understands that the Contractor's status hereunder is that of independent contractor. The Contractor is not
considered an employee of the University in the performance of Services and is not entitled to any employee benefits, statutory or
otherwise, including, but not limited to, workers' compensation or unemployment compensation.

5.

The Contractor agrees that the University will not deduct income, Social Security or other taxes on any payments to the Contractor
for services described in this contract. The Contractor further agrees that the Contractor is solely responsible for payment of any
such taxes due to the proper taxing authorities. The Contractor shall indemnify and hold the University harmless from any
assessments of such taxes and any interest and penalties imposed upon the University by reasons of the Contractor's failure to pay
such taxes.

6.

The Contractor shall provide the services hereunder in full compliance with all applicable federal, state and local laws and
University rules and regulations.

7.

The Contractor agrees that any personal injury to the Contractor, its employees or third parties or any property damage resulting
solely from performances of Services hereunder by Contractor shall be the responsibility of the Contractor. The Contractor agrees
to indemnify, defend and hold harmless the University from and against any claims, damages, liabilities, injuries, expenses or
losses, including, but not limited to, reasonable attorneys fees and costs, by reason of any suit, claim, demand, judgment or cause
of action initiated by any person, or award of damages arising out of or in connection with this Agreement, except if the same
results from the negligence or willful misconduct of the University or the Universitys employees, it being the intent of this
provision to absolve and protect the University from any and all loss except loss due to its negligence or willful misconduct.
Contractor specifically agrees to assume the risk of the above stated losses, and this provision is specifically desired by the parties
and has been bargained for. University shall retain the right to be represented by counsel of its own choosing at Contractors
reasonable expense as set forth above.

8.

The Contractor shall not make use of University trademarks, trade names and service marks nor shall it publicize the Contractor's
performance of Services without the University's prior written consent.

9.

The Contractor agrees that the obligations of Sections 7 and 8 hereof will survive the termination of this Agreement.

10.

In the performance of Services, the Contractor agrees that the Contractor shall not have the authority to enter into any contract or
agreement to bind the University and shall not represent to anyone that the Contractor has such authority.

11.

The Contractor represents and warrants to the University that in performing Services, the Contractor will not be in breach of any
agreement with a third party relating to the services to be provided.

12.

The Contractor may not assign the rights or obligations under this Agreement without the University's prior written consent.

13.

This Agreement contains the entire understanding with respect to the subject matter hereof and may not be amended except by a
written agreement executed by the Contractor and the [STUDENT ORGANIZATION NAME] of the University of Pittsburgh

14.

If the Contractor becomes insolvent or files a petition in bankruptcy, and if the University determines that it is not in its best interest
to continue this Agreement, or if the Contractor breaches any provision of this Agreement and has not cured such breach within
fifteen (15) days after notice from the University to do so, the University may terminate this Agreement without any financial
liability to the University.

15.

Any controversy, claim or dispute arising out of or relating to this Agreement or the breach thereof, shall be adjudicated in the
Court of Common Pleas of Allegheny County or the United States District Court for the Western District of Pennsylvania.

16.

Any notices to be given shall be sent first class mail to the University at:

17.

This Agreement shall be governed by the laws of the Commonwealth of Pennsylvania.

18.

At its sole expense, the Contractor shall procure and keep in force full and adequate insurance coverage of all of its operations
pursuant to this Agreement, as follows:

The University of Pittsburgh of the Commonwealth System of Higher Education is to be named as an Additional Insured with
respect to insurance policies identified in c and d above. Certificate of insurance evidencing coverage required above shall be filed
with the Universitys Office of Risk Management, 1817 Cathedral of Learning, Pittsburgh, PA 15260, and the STUDENT
ORGANIZATION NAME, at least fifteen (15) days before the furnishing of any services required by this Agreement. Such
certificates shall provide that the insurer will give the University not less than thirty (30) days advance notice of any material
changes in or cancellation of coverage.
Subject to this paragraph, the Contractor shall be responsible for the acts of its employees and agents while on University property
and, accordingly, shall take all necessary measures to prevent injury and loss to persons or property located thereon. All
subcontractors used by Contractor must also maintain and provide, at their own expense, evidence of insurance coverages requested
in a through d above.
19.

The University of Pittsburgh, as an educational institution, as an employer, and as an issuer of contracts, values equality of

herein by this reference and shall be accepted by the Contractor in their entirety.
