ANNEXURE II
GENERAL TERMS AND CONDITIONS
1.TAXES AND DUTIES:
The quoted prices for machines and ancillaries are inclusive of excise duty and exclusive of sales
tax/service tax as applicable at present.
Any Change in Govt. Levis at the time of delivery of the material or during the project work shall be
to your account.
2. TERMS OF PAYMENT:
PART A :- MACHINES
The terms of payment for the high side will be 100% advance along with the order and

3. COMPLETION/DELIVERY OF THE WORK/EQUIPMENT:

The entire contract works/delivery of equipment are due to be completed within 2-3 weeks from
the date of confirmed order along with advances and also receipt of all technical information and
data from you, your architect/consultant, necessary to enable us to proceed with the job. However,
the execution of the works, and also the completion date are subject to delays, if any, on your part
in providing us with any materials and services not included in the contract or any default by subcontractors, or reasons beyond the control of ourselves including strike, lockout, fire, accident at
the work site or during transit of materials to site, war and warlike operations, hostilities, civil
commotion capture, seizure, detention, blockade, labor disturbances, go-slow tactics, work to rule,
lay-off or closure of factory or portion on account of political, labor or other disturbances or any
such similar causes whether of same nature or otherwise and the consequences thereof and also any
reason amounting to force majeure. In any event, consequential damages for non-completion or
delay in completion of works are excluded.

4. .MATERIAL AND WORKMANSHIP GUARANTEE:

Subject to the terms of payments being punctually complied with and the equipment being
operated properly, the equipment covered by the contract work is guaranteed by us against
faulty materials and workmanship for a period of twelve months from the date of installation or
for a period of fifteen months from the date of delivery of machinery involved in the execution of
contract works, whichever ends earlier, by repairing or at our option replacing free of charge, the
faulty parts that may be found during such periods.
THIS GUARANTEE
a. Does not extend to consequential damage or losses.
b. Is null and void if repairs and modifications are carried out without our approval in
writing.
c. Does not cover deterioration or rusting due to atmospheric conditions.

5.STORAGE AND SAFE CUSTODY:

It will be your responsibility to arrange for clearance storage and safe custody of stores brought to
site/railed by us from time to time during the execution of contract works.

6.CHANGES AND DELETIONS:

We reserve the right to make changes at any time in material or design, which in our judgement are
necessary for improvement of the specified equipment, with our/architects concurrence.

7. ARBITRATION:
In the event of any dispute or difference between the parties arising however from this contract, the
same shall unless amicably settled, be referred to two arbitrators, one to be appointed by each
party. The two arbitrators shall before entering upon the reference, appoint an umpire.
The decision of the two arbitrators or the umpire, as the case may be shall be final and binding
between the parties. The arbitration proceedings shall take place in Gurgaon. This is an agreement
for arbitration within the meaning of Indian Arbitration Act 1940, including any statutory
reenactment or modification thereof.
8.VALIDITY:
This offer is valid for 20 days from the date of this letter.
9.RIGHT AND LIEN OF PROPERTY:
We shall retain the right on equipment, materials or parts, supplied by us under this quotation until
full value thereof as per our invoice have be fully paid to us.
10.SUSPENSION/CANCELLATION:
In the event of cancellation for any reason, cancellation charges amounting to full payment will be
made to us.
11.LIMITATION TO LIABILITY:
In no event shall we be liable for any consequential/liquidated damages and/or losses arising out
and connected with this work in any manner whatsoever.

12. EH&S Clause:

The parties are aware that Carrier has an Environment Health & Safety (EH&S) management program
to ensure safety of Carriers personnel/s or of its service providers. The program lays emphasis on
Safety First! initiative which mandates Carrier employees or its representatives to work only in Safe
conditions at all times. This includes but not necessarily limited to the following program:

Fatality and Serious Injury Prevention Working at Heights

Fatality and Serious Injury Prevention Working with Electricity
In order to enable Carrier or its service providers provide services in safe working environment, the
Client must ensure the following:

Safe Service Access

Fall protection handrails at elevated locations
Provision of safe access to the elevated locations complete with safety ladders.
Provisions related to Electrical works.
o

Local electrical isolators to enable Lockout & Tagout procedure.

Provision of electrical-safe-ladders (Fiberglass ladders for use while attending to

electrical complaints)

13.FORCE MAJEURE:
We shall not be responsible for liability in any manner for failure or delay in performing our
obligations made in this quotation, when such failure or delay is directly or indirectly due to an act
of God or during restrictions, war, threat of war, war like conditions, hostilities, sanction,
mobilisation, blockades, embargo, detension, revolution, riot, strike or other labour dispute,
accident, fire, flood or inability to obtain fuel, power, raw materials, labour, container or
transportation facilities or any other cause or circumstances beyond the reasonable control of
CARL.

14.SPECIFICATIONS
It is our endeavor to continuously improve product design and specification of any material. If, such
modifications constitutes improvement in accordance with

the

latest

standards

and

manufacturing methods governing product / materials. Therefore, we reserve the right to change
the specifications, illustration, dimensions, weights or any other item governing the design of
the product without any notice.

ANNEXURE III
EXCLUSIONS
The contract value indicated above includes only the items of work specifically mentioned. All other
ancillary works explained in brief hereunder will have to be arranged for by you.
1.All masonry work such as supports for the condensing unit, housing for the equipment, cutting
away and making good of walls, floor, slabs, etc.
2.Supply and installation of main power supply along with earthing near each condensing
unit/evaporative unit (exact location to be indicated with drawings to be submitted as along with the
order.)
3. All false ceiling, enclosures or plenums around ducts, insulated enclosures for indoor units,
insulation work of any kind (other than that specifically included under DESCRIPTION OF WORK),
acoustic treatment to the plant-room wooden framework for fixing the grilles and diffusers.
4. Protected storage space at site.
5. Power and water erection, testing and commissioning of the plant.
6. Voltage stabilizers/Servo Stabilizers, if required to obtain voltages as under:
(I) 230 V + 10%, single phase, 50 cycles.
(ii) 400 V + 10% three phase, 50 cycles.
7.Winter heating package.
8. All other items not specified in the B.O.Q.
