worktoensurethefunctionalityofourclientswebproperties.Theproductsandservicesofferedinthisdepartmentareasfollows:

Theextent of
WebsiteReworkwillbedeterminedbythestrategicplan, and islimitedtothe hours allottedin theselectedpackage.If
you also purchase either of Marketeering Groups Website Packages, any completed Website Rework hours listed in the setup
section of their package will be applied as a credit toward the website rebuild, and shall be used either for creative direction or
researchanddevelopmentatnoadditionalexpenseuptothehoursallottedinthepackagessetup.
Theclientwillprovideallhostingandcontentmanagementsystemlogins.
Website Rework willbe subject to the hours allotted intheirpackage setupsection.Thespecificchangeswillbeoutlinedin

Standard security and SEO updates will included but are not limited to malware security, site uptime monitoring,backups,

ThescopeoftheWebsiteRedesignPackageisasfollows:
The client must have an existing website with suitable content, which shall be determined and confirmed by the
MarketeeringGroupteampriortothepurchaseofthisservice.
WebsiteredesignswillbelimitedtoonlyWordpresssites.
Special functionality including but not limited to ecommerce, forums,socialnetworking,clientportalsorremarketingwillbe
billedasaddonservices.
Websiteswillonlybebuilton,andremainonMarketeeringGroupsserversfortheextentoftherelationshipwiththeclient.
Contentmigrationincludingpages,posts,imagesandanyotherfeatureswillbelimitedto4hours,priortostyling.
Themes (if applicable): The website will be developed from a theme purchased for no more than $80,which isincludedin
thewebsitefee.MarketeeringGroupwillsuggestthemesoptionstotheclient.
Should the cost of a theme exceed $80, the client agrees to be billed the difference in cost (plus credit card
processing fees, if applicable). If the client wishes to change the theme after the original theme is chosen and
purchased,theclientagreetopaythetotalcostofthenewtheme.
The client consents to relinquish discretionary design decisions to the developer in order to maintain the core
functionalityoftheplatformaswellasresponsivenessforalldevices.
Deadlines of Completion: The goal for completion of the website will be mutually determinedat(or shortlyafter)signingby
the development team and client. The completion of the website is not directly dependent on the beginningdate of the
contract.

envisions. It should be focused on general layout, colors, background, and fonts. This draft will be consideredcomplete
upon initial client review(inpersonORremotely),wherebytheclientprovides designfeedback to enable a2nddraft.During
thisfirst draft meeting, live changes may bemadetothesite.TheclientandMarketeeringGroupsdeveloper must createa
documented list of change requests within one business day theendofthatmeeting.Agreementonthatlistconstitutesthe
completionofthe1stdraft.
Thesecond draft of the website will include reviewoftherequesteddesign changesfromthe 1st draft.It shallalsobeused
to produce a complete set of additional design changes, should any exist at the time of the 2nd meeting. The second

Limitations:
Copying a perfect replica of your current website may require additional fees for plugins and/or labor, depending onthe

UpdatestoContentManagementSystemsotherthanWordpressaresubjecttotheResearch&Developmentlimitations.
Marketeering Group is not liable for any delay inwebsitelaunchduetolack of accesstowebsite,hosting,registrarorother
necessarylogins,whetherbyfaultoftheclientortheirexistingorpreviousprovidersand/orcontractors.
The delivery times on the website by Marketeering Group are an estimate. Any reasonable or unforeseen delay in the
completion of the development of the website will not be penalized or deducted from the amount owed to Marketeering
Groupuponfinalcompletion,aslongasWebsiteDevelopmenttermsaremet.

Marketeering Group offers free entry level hosting to its active clients, as well astech support for anyclienthostedonMarketeering

Functioning within the parameters of the website when it was launched and/or when Marketeering Group took over the
account,OR
Functioningaccordingtothemostrecentrequestedupdateorchange.

RegistrationandDNSmanagement:
Marketeering Group can register domains on your behalf. Client domainsregisteredtoMarketeeringGroupsRegistraraccountsare
not owned by Marketeering Group, and domain registration renewals will be added to your monthly bill as they becomedueeach
year.IntheeventthatyoudiscontinueserviceswithMarketeeringGroup intotal,the domainwill betransferredtoaregistrarselected
bytheclientandDNSwillbepointedtoanewlocation,ifrequired.

HostingStandardSecurityProtocol:
Marketeering Groups standards shall be fluid and dynamic based on the demands of ourclientsandtheindustry.Thesestandards
willbeupdatedontheWebsiteDevelopmentpageoftheMarketeeringGroupwebsite.

Malware removal is provided to client sites, and in the event a site is compromised, Marketeering Group will provide immediate
attention to the sites health, as soon as the compromise isbroughttoourattentionwhetherviaour monitoringsystems,orcontact
from theclient, whichever comes first. Security breaches include and are not limited to: SQL, file injection, corrupted filesanddata

You will have access to our digital design services for the purpose of website updatesor thedesign of fliers,advertisements,social
mediaads, and other materials for printing. Availability of this service is determined by your service package. Design work beyond
yourincludedmonthlyretainerhoursisbilledatthehourlyratelistedonMarketeeringGroupswebsite.

Use: The printing and distribution of the digital design pieces is up to your discretion, unless it is for use on socialmedia or your
website (distributed upon client request). Marketeering Group retains the right to apply these hours on a discretionary basis to
accomplishmiscellaneouscampaignsasneededtosupporttheoverallmarketingstrategy.

GraphicDesign:
The client may request any product that can be designed in Adobe Photoshop, InDesign, or Illustrator, if providingclearcreative
direction.

ResearchandDevelopment:

ContentMarketingPieces:
Content Marketing Pieces include any combination of Internal (onsite) Blog Posts, External (offsite) Blog Posts, OnSite Static
Content, and General Offsite Content. Marketeering Group will produce the Content Marketing Pieces in the frequencyallotted in
your selected package. The particular type of Content Marketing Pieces will be determined by the Strategic Plan and may be
overridden at the discretion of the analyst performing the SEO WARS, or by a mutual decision with the client in a Marketing
Consultation.Each
ContentMarketingPiece
willbebetween300and600words,dependingonthegoalofthepiece.
Internal Blog Posts:
These
Content Marketing Pieces will be posted on the clients blog and be comprised of topics
approved in the strategic plan, on a casebycase basis as requested by the client, or under advisement from the analyst
performingyour
SEOWARS
External Blog Posts:
These
Content Marketing Pieces
will be posted on other websites for the purpose of link building,
and/or awareness. Pieces written for this purpose are determined by the strategy for
OffSite SEO WARS

transfer your existing list to Mailchimp, if necessary. Only after client approval will the campaign be sent. All drafted emails count
againsttheamountincludedintheclientspackage,whetherornottheyaresent.

Product/Reporting:
On request, Marketeering Group will supply a report on the open rate, click throughs, unsubscribes and other dataofthe
emailssent,and provide you with recommended actions to improve the effectiveness of future emailcampaignsbasedon
suchdata.

Limitations:
Clientmustrequesteachemailscreation,andmustsupplytopics/informationtobeincludedforeachcampaign.
Clientapprovalisrequiredbeforeanyemailissent.
Special request is necessary for third party orotheremailmarketingproviders (notMailchimp), and theclientisresponsible
forallassociatedfees.
Marketeering Group is not required to build lists of any particular size on behalfofthe client.Mailchimpfees applytoclient

You will receive monthly checkins with a social mediaspecialisttodiscussideas,campaigns, specializedposts,andanyquestions.
MarketeeringGroupwillproduceanddistributeregularpostsoforiginalcontentinoneofthefollowingways:
MonthlyschedulingofpoststobedistributedtoFacebook,Twitter,Google+andLinkedin(ifselected).
PostingandorganicbuildoutofPinterestProfiles.

ConversionCampaigns:
Marketeering Group will work with you to plan posts on Facebook that are specifically designed to accomplish aconversionorgoal
for thegiven period. These posts willbeboostedwithadiscretionarybudget (includedin theregular retainer).Theclientmaypayfor
anadditionalconversionbudgettoextendtheeffectofthecampaign.
Note:Wemayapplythesecampaignstodifferentnetworksbyrequestoftheclientorchangesinthestrategy.

SocialOutreach&Engagement:
Marketeering Group will utilize the socialpropertiesdictatedbythe
StrategicPlan, MarketingConsultation,orOffSite SEOWARS
to
network with a clients peers, influencers, community, clientsorpotentialclientsforthe promotionofcontent, to buildawarenessand
followers,ortosolicitdirectconnections.

Product/Reporting:

We are not liable to post on profiles where logins or access has not been provided or is revoked. Posting on everysocial
network may vary depending on technical issues or clients ability to provide logins to existing sites. Failure to post on a
network due to one of these issues does not constitute failure to produce the required content. Thepostsoutlinedineach
packageareaminimum.
Marketeering Group may postthesamecontentondifferentsocial networks,andreservesthe righttograntadditionalposts
atitsowndiscretion.
Clients may request up to 1 month of posts in advance for approval at the beginning of the contract, toensure posting
quality.
Should a client dislike a post, theyreservetherighttotakedownthepost,andrequestanin
personreviewoftheir
socialmediamessaging.
Shouldtheclientdiscontinueoneormoresocialnetworksforposting,packagepricingwillnotbeaffected.
Should a client requestadditionalsocialnetworksforposting(outside of Marketeering Groups listforthatpackage),it/these

Thepurpose of your SEO campaignistoincreasethetotalvisibility of yourbrand online to prospectiveclientsor customers.Specific
goals are subject to your
Strategic Plan. All packages contain a regular schedule of site check
ins called
Work and Review
Sets(WARS)
, which are designed to analyze problems and opportunities and assign a work set to address issues and take
advantageofopportunities.Thedetailsofeachreviewandworksetvary,dependingontheclientsindustry,goals,andcompetition.

WorkAndReviewSets(WARS):
Each regularly scheduled Work And Review Set will address and/or implement the necessary combination of the following
techniques, practices, technologies, or coding to accomplish your individual goals. These includebutarenotlimitedtothepractices
listed below. Marketeering Group will, by default,alternatethe workandreview set typeson anequalbasis, solongastheindividual

either discovered during the WARS analysis or strategies previously outlined in your

Marketeering Group will manage a budget of up to $1,000 per month on your behalf foranyadvertisingrequested.Beyond$1,000,
we charge a 15% management fee.TheseservicescanbeusedforGoogle AdWordsandotheronlineadvertising,orforprintmedia
advertising.

Reporting:
MarketeeringGroupoffersitsclientsaccesstorealtimereportingviaaprivateloginthroughthirdpartysystems.

MarketingConsultation
Marketeering Group offers a budget of consulting hours in each package to discuss (in person or over the phone)strategy,ideas,
new technologies, and possibilities for furthergrowingyourvisibility usingyour existingservices, orbytakingadvantageofaddonor
thirdpartyservices.

Special Reporting: Requests for special reporting outside of verbal explanationsofthe realtimereporting systems willcountagainst
yourmonthly
MarketingConsultation
allotment.

Limitations:
Consultationhoursincludedinyourselectedpackagedonotrollovereachmonth.
Parties available for consultation include the Marketeering Group team members assigned to youraccount,andtheirdirect
supervisors.

TermsandConditions
BeginningofServices:
TheClient and Marketeering Group shall mutually agree on a start date for monthly services and payments, provided thatthestart
dateisnolaterthan6weeksaftersigningofthecontract. Services rendered and payments required arenotdependentonthelaunch
dateofthewebsiteifthatserviceisutilized.

Length:
Theclientagrees to six consecutivemonthsofuninterrupted services to commenceon thechosenstartdate asindicatedonpage1.
A holdperiod of no more than three months can be requested and granted pending negotiation with Marketeering Group.Afterthe
initial six months, services will continue on a monthly basis wherecancellationofservicesaresubjecttoour cancellationpolicy(see
below).

Payment:
The client agrees to pay Marketeering Group for the package of services as they are explained in this agreement. The service
retainerwill be billed monthly and will be paid in advance. All packagessoldatavalue lessthan$500permonth,mustbesettobill
viacreditcard.Allsetupandwebsitefeesaredueonsigning.
Non Payment: Paymentmorethan30dayslatewillresultinsuspensionofallservicesuntilpaymentis made,anda 2%late
fee for every 30 days payment is late. Invoices in excess of 60 days past due will be sent to collections, and the entire
account (including website hosting) will be suspended until payment is made in full.Aclientmaynot takeadvantageofour
hiatusoptionslistedinthecancellationpolicyifpaymentsaremorethan30daysoverdue.
Reimbursements: For additional fees, Marketeering Group will bill flat cost, plus credit card processingiftheclientpaysby
creditcard.

Onboarding:
TheonboardingprocesswillbecompletedonceMarketeeringGroup hasreceivedallpasswords,logins, andcredentialsrequestedin
the onboarding email. It is the clients responsibility to provide Marketeering Group with all requested information. Any work not
accomplished due to client delays in delivering requested information will not result in a refund, nor will such delays lead to
postponement of the agreedupon service charges beginning and recurring on the agreed upon date. Likewise, there will not be a
refund, or postponement of said service charges due to a delay to launch the website(Exception:Websitelaunchdelayswhichare
solelywithinthecontrolofMarketeeringGroup).

Amendments:
Anyamendments or adjustments to the services as outlined on the service page must be mutually agreed uponinwritingbetween
client and Marketeering Group. Marketeering Group retains the right to make adjustments to theimplementationandmicrofocusof
all services for the purposes of maintaining the clients market competitiveness. These changes will not revoke any services or
necessaryreportingassociatedwithit.MarketeeringGroupwillnotifytheclientofthechangesinadvancebyemail.

Reporting:
Marketeering Group allows real time access to its work completed, and analytics across several platforms. Those logins will be
providedtotheclientuponsetup.

Liability:
GeneralLiability: The Client agrees not to hold Marketeering Groupliableforanylegal orfinancialresponsibility orloss of
business that may occur in the event of illegal hacking, software or hardwaremalfunctions,or othercircumstances beyond
the control of the Marketeering Group. Marketeering Group shall indemnify and hold the client harmless from any actual
damages resulting from Marketeering Groups negligence or wrongful act or omission. MarketeeringGroup representsthat
theservicesshallbeperformedinaccordancewithgenerallyacceptedindustrystandardsforsimilarservices.
Hosting Liability
: Should the client choose to host with Marketeering Group, they agree to release Marketeering Group
from liability of financial loss caused by server malfunctions, malware, hacking, or any other possible loss or corruption of
datacausedbyanythingotherthanillegalactionsbyMarketeeringGrouporitsemployees.
Privacy
: Marketeering Group will notshareorsellanyproprietaryinformation about theclienttoany personorcompanyfor
any reason. Marketeering Group is authorized, however, to use examples and images of the work completed onbehalfof
theclientinitsportfolioandmarketingmaterials.

OwnershipofDigitalContentandIntellectualProperty:
Theclientwill retain ownership of all digital content and intellectual property created orstored byMarketeeringGroupontheclients
behalf. Upon any termination of services, the client shall have returned or, at clients request, destroyed any client materials in
MarketeeringGroupspossession.EquipmentandsoftwareisthesolepropertyofMarketeeringGroup,unlessotherwisenoted.

Limitations:
Marketeering Group agrees only to provide the services as outlined in this contract. Any requests for work above andbeyond this
agreement will be billed at current rates, and may be refused.All services and publishedadd
onservicesare for currentclientswho
arecontractedonaMarketingPackageonly,andcannotbeusedforthirdparties,resellersorclientsofclients.

EarlyCancellation&Discontinuation:
Early Cancellation has an associated fee of 50% of the value remaining in the contract. The client waives allrights todemandany
refundsinthecaseofcancellationordiscontinuation,unlesssuchcancellationisforCause(asdefinedbelow).

CancellationPolicy:

Noaddonserviceswillbemadeavailabletotheclient.
Ifclientwishestorestartservice,currentsetupfeesapplyandpackageswillbeavailableatourcurrentratesonly.

BreachofContract:
Notwithstanding any of the foregoing, the client shall have the right to terminate this Agreement for Cause, which is defined as
Marketeering Groups breach of anyofitsobligationsofthisAgreementafterwrittennoticebyclientdescribing thepurportedbreach,
AND Marketeering Groups failure to cure such breach to clients reasonable satisfaction within five business days of such notice.
Furthermore, (i)theclientshallhavenofurtherobligationforanyfurtherpaymentsunder thisAgreementand(ii) MarketeeringGroup
shall provide reasonable assistance to help migrate clients website and services to minimize potential disruptions to clients
business.
