for, purchase, and obtain Courses.
2.8. Learning Partners meanscollectivelyCompany, and Locations
associated with Company under its MPN agreement that currently hold and
maintain an active Learning Competency status under the MPN program.
2.9.
Microsoft Branded Courseware means the Microsoft-branded,
instructor-led courseware licensed from Microsoft that educates individuals on
Microsoft services, software, and technologies.
2.10.
Microsoft Certified Trainer or MCT means an individual who is
currently certified as a Microsoft Certified Trainer under the Microsoft
Certification Program, who holds the competency to teach a particular
Microsoft technology, and who has the instructional skills and technical
qualifications to deliver instructor-led training using MOC courses and other
training to information workers, IT professionals, and developers.
2.11.
Microsoft Labs Online or MLO means the Microsoft online virtual
lab environment associated with a particular MOC title.
2.12.
Microsoft Official Course or MOC means the student-kit version
of the Official Microsoft Learning Product instructor-led courseware known as
Microsoft Official Course. To clarify, MOC does not include Hands-on Labs,
MLOs, First Look Clinics, MS Press books, Trainer Kits, or Virtual Environment
components.
2.13.
MLO Voucher means the unique code purchased from Courseware
Marketplace that Learning Partners can redeem at the Microsoft website
specified on the voucher to obtain one (1) Access Code. Each MLO Voucher is
specific to a particular MLO.
2.14.
Private Training Session means an instructor-led training class for
organizations, wherein participants are taught a predefined learning objective.
These classes are not advertised or promoted to the general public, and class
attendance is restricted to individuals employed by or contracted by the
organization.
2.15.
Public Training Session means an instructor-led open enrollment
training class offered and delivered to the general public. These classes may
be advertised though marketing materials or the Internet, and can include
Students from one (1) to many organizations and/or individuals not affiliated
with a particular Company or organization.
2.16. Self-Directed Learning Video Training Session means a training
class that uses Training Session Videos to teach Students in a physical
classroom setting located at your training facilities. An MCT that holds a
Microsoft Certification credential to teach the Microsoft technology taught in
each Training Session Video must be present in the classroom the entire time

2.18.
Trainer means an individual who has the instructional skills and
technical qualifications to deliver instructor-led training on Microsoft
technologies.
2.19.
Training Sessions meanscollectivelyany Authorized Training
Session, Public Training Session, Private Training Session, Self-Directed
Learning Video Training Session, Virtual Instructor-Led Training Session, or
customized Training Session.
2.20.
Training Session Video means a professionally-produced video
recording of an MCT teaching MOC.
2.21.
Virtual Environment means the virtualized environment that
consists of one or more virtual hard disk images of Microsoft software titles,
supporting and configuration files, content, sample applications, and other
components for use solely when providing an Authorized Training Session or a
Self-Directed Learning Video Training Session teaching a MOC title or Microsoft
Branded Courseware title.
2.22.
Virtual Instructor-Led Training Session means an online, live,
instructor-led Training Session using Microsoft Branded Courseware, with
Students participating in real-time via the Internet. Training Session Videos
may not be used for Virtual Instructor-led Training Sessions.
3. ENROLLMENT IN LEARNING COMPETENCY. Enrollment in the Learning
Competency is open to all silver or gold level MPN members and their Locations
in good standing that (a) specialize in delivering quality training on Microsoft
services, software, and technologies, and (b) meet all Learning Competency
requirements at the Company level. Company must enroll at the Silver Learning
level initially, or if rejoining after being removed from the Learning Competency.
Once Company has been accepted into the Learning Competency, Company may
upgrade to the Gold Learning level if it meets all Gold Learning requirements.
3.1 Initial Enrollment in the Silver Learning Competency. The following
requirements must be met to enroll in the Learning Competency:
a. Company must be an active MPN member in good standing at the Silver or
Gold Certified Partner level.
b. Review and comply with the terms and conditions in the MPN agreement,
the Microsoft Partner Network Membership Guide, these Guidelines, and
any obligations listed on the Learning Competency website.
c. Use the online Partner Membership Center to enroll as a Microsoft Silver
Learning Partner. Complete enrollment details can be found here.
d. If Company has multiple Locations, determine how to structure your
organization. All Locations in a country must align to the same Company.

information, and factors to consider when structuring your Locations.

Company must associate at least two (2) MCTs at the Silver and four (4)
MCTs at the Gold Learning Competency level. These MCTs may be full or
part-time trainers employed by or under contract with Company.
At least one (1) of the MCTs associated with Company must currently hold
the Private Cloud Microsoft Certified Solutions Expert (MCSE) certification
if Company is re-enrolling at the Gold Learning level.
Company must have a Gold Learning Partner business plan on file and
approved by Microsoft if re-enrolling at the Gold Learning level.
Purchase all Courses solely from Courseware Marketplace.
Meet all customer satisfaction and training evaluation requirements.
Meet the Gold or Silver KPI targets for your level.
Microsoft may choose not to renew Company or one or more of its Locations
participation in the Learning Competency.
Training Delivery.
a. Only use qualified MCTs who hold a Microsoft Certification credential in the
technology that is the subject of the MOC title being taught to deliver all
Training Sessions using MOC. To clarify, only MCTs can provide training
using MOC.
b. Only use qualified MCTs or qualified Trainers who have in-depth knowledge
of and experience with the Microsoft technology that is the subject of the
Training Session to deliver all other Training Sessions.

Training Sessions.
b. All Courses are licensed on a one (1) user per Course basis, and Learning
Partners must purchase and provide each Student attending a Training
Session one (1) validly-licensed Course on the subject of the Training
Session.
c. Only use Courses purchased from Courseware Marketplace for all Training
Sessions.
d. If you purchased a Course for a Student or a Training Session, you must
distribute the Course directly to the Student. You are responsible for the
distribution of all Courses you purchase.
e. Prior to providing any Student with a Course, you will ensure that each
Student first acknowledges and agrees that:
i. Each Course may be used only by one Student.
ii. Their use of said Course will be subject to the terms and conditions
of the end user license agreement that is applicable to,
accompanies, or is included with the Course.
f. All Locations must use their Location MPN program ID number for the
country where the Training Session will be held for all Course purchases.
g. You will strictly abide by all Courses usage requirements, the end user
license agreement, and all additional terms and conditions that are
applicable to, accompany, or are included with the Courses prior to
accessing the Courses.
h. You will ensure your MCTs and Trainers strictly abide by the licenses and
other terms and conditions that are applicable to, accompany, or are
included with the Courses.
i. You may not:
i. Distribute or use Courses for self-paced training purposes.
ii. Provide access to MOC to any individual who is not a Student
attending one of your Training Sessions.
iii. Distribute or resell used Courses.
iv. Remove any copyright, trademark, or proprietary notices contained
in or on the Courses.

Customizing Training Sessions. You may choose not to deliver all modules
included in a MOC title in order to provide a customized Training Session,
provided you comply with the following requirements:
a. You must use a minimum of three (3) MOC modules from each MOC title
being taught in the customized Training Session.
b. You must provide full disclosure of how the Training Session has been
customized, which includes:
i.
For all Public Training Sessions, you will provide clear and prominent
written notice that the Training Session is customized, including a list
of all MOC modules that will be covered and not covered in the
Training Session:
in all your advertising and marketing materials for the Training
Session and in the Class Uploader/Locator tool, and
to each Student prior to the Training Session.
ii.
For all Private Training Sessions, you will provide clear and prominent
written notice that the Training Session is customized, including a list
of all MOC modules that will be covered and not covered in the
Training Session to the organization prior to the start of the Training
Session.
c. Your Training Session may use the same course names and numbers as
the MOC title that is being customized.
d. You may only use MOC courseware that has been specifically customized
by and purchased from Courseware Marketplace for all your customized
Training Sessions.
e. You may satisfy the MOC requirement by using at least three (3) MOC
modules in a customized Training Session.
f. Community Courseware may not be customized.
g. For clarity, any use of customize refers only to changing the order in
which the MOC modules are presented, and/or removing a module from
the MOC. It does not mean changing or modifying any MOC content, or
adding any of your or third-party content to the MOC course.
h. When regional or business requirements indicate a change in the duration
of a Training Session teaching MOC, Microsoft considers said MOC to be
modified and requires that you provide full disclosure of such to Students
prior to the Training Session, as specified above.

d. You will not state or imply that Microsoft endorses or recommends the
supplemental materials.
e. You must warrant and represent that any supplemental materials used in
the customized Training Session do not and will not infringe upon or
misappropriate any copyright, patent, trade secret, trademark, trade
name, or other proprietary right held by any third party.
f. Learning Partners hereby agree to defend, indemnify, and hold Microsoft
harmless from and against any damages, liability, costs, or expenses,
including attorneys fees and costs, arising out of third-party claims in
connection with such supplemental materials.

MLOs. MLOs are available for use for Authorized Training Sessions teaching
certain MOC titles. Learning Partners acknowledges and agrees that
purchasing a MLO Voucher does not guarantee that the MLO will be
available on any given date or time. You may use MLOs in conjunction
with your Training Sessions teaching MOC, provided you comply with the
following requirements:
MLOs may be used solely for your Authorized Training Sessions teaching
the MOC title associated with the MLO.
Each valid MLO Voucher may be redeemed once to receive one (1) Access
Code. A MLO Voucher may be redeemed only for an Access Code for the
associated MLO and only at the specific website referenced on the MLO
Voucher.
You must register each Authorized Training Session using a MLO at the
website specified on the MLO Voucher prior to the start date of the
Authorized Training Session by entering the following information:
o The Authorized Training Sessions start and end date and time,
o The course number for the MOC title being taught in the Authorized
Training Session,
o The number of MCTs teaching the Authorized Training Session,
o The number of Students attending the Authorized Training Session, and
o The valid, unused MLO Voucher code for each Student attending the
Authorized Training Session

You must have an active account at the website specified on the MLO
Voucher to register your Authorized Training Session and redeem the MLO
Vouchers. It is recommended that you register your Authorized
Training Sessions at the MLO website at least two (2) weeks prior
to the start date of the Authorized Training Session.
MLO Vouchers purchased by you may only be used for your Authorized
Training Sessions. You may not purchase or redeem MLOs Vouchers for
another partys training sessions (including other Learning Partners).
All MLO Vouchers automatically expire six (6) months from the date of
purchase. MLO Voucher expiration dates will not be extended under any
circumstances.
You are responsible for keeping the MLO Vouchers and Access Codes in a
secure place to ensure they are not copied or misappropriated.
MLO Vouchers and Access Codes can be redeemed only for the associated
MLO and only at the website referenced on the MLO Voucher.
Any resale or distribution of MLO Vouchers is expressly prohibited.
Each valid Access Code may be redeemed once for limited-time online
access to the specified MLO. An individual must have an active account at
the website specified on the MLO Voucher and are required to enter their
email address and password to sign into the MLO website and enter the
unique Access Code to redeem their Access Code to activate the MLO.
Individuals are also required to sign into the MLO website to access an
activated MLO.
You will provide Access Codes obtained by redeeming a MLO Voucher only
to Students attending your Authorized Training Session associated with
the MLO solely for Students personal training use. Access Codes will be
provided to Students on the first day of the Authorized Training Session.
Students access to the MLO will automatically expire twenty-one (21)
days after the first day of the Authorized Training Session.
You will only provide Access Codes designated for MCTs only to the MCT
who is teaching the Authorized Training Session associated with the
Access Code solely so the MCT can prepare for and teach the Authorized
Training Session. You may provide the MCT with the Access Code up to
seven (7) days prior to the start date of the Authorized Training Session.
MCTs access to the MLO will automatically terminate on the last day of
the Authorized Training Session.
All Access Codes will automatically expire the first day of the Authorized
Training Session associated with the Access Code, regardless of whether
the Access Code is redeemed.
You will provide the Access Codes expiration date, the URL for the specific
MLO website, instructions on how to redeem the Access Code, the title and
start date of the Authorized Training Session associated with the Access
Code and all terms and conditions applicable to the Access Codes with
each Access Code you distribute.
You will track its distribution of Access Codes to ensure that each Access
Code is only distributed once.
Any standalone sale or distribution of Access Codes is expressly
prohibited.

Microsoft, its resellers and suppliers are not responsible for lost or stolen
MLO Vouchers or Access Codes.
MLO Vouchers and Access Codes are not transferable between MLOs or
websites.
Expired, stolen or lost MLO Vouchers and Access Codes will not be
replaced.
MLO Vouchers and Access Codes may not be redeemed for cash, credit, or
refunds and are void if altered in any way.
You will strictly abide by any additional licenses, terms and conditions that
are applicable to the MLO Vouchers, Access Codes, MLO websites and
MLOs. You may not use MLOs or distribute Access Codes if you do not
agree to these terms.

Facilities Requirements. You are required to use facilities that meet the
following minimum requirements for all Public Training Sessions:
a.
An adjustable ventilation system must be installed on the premises
(cooling and/or heating according to regional needs).
b.
Projection equipment such as an overhead projector and LCD panel,
high-definition television or equivalent display device with a diagonal
display area of at least 40 inches (one meter) must be available.
c.
A projection screen with a diagonal measurement of at least six feet
(or two meters) must be available.
d.
Trainer must be able to darken the classroom for display purposes.
e.
A blackboard or whiteboard must be available.
f. The facilities must comply with all laws and regulations relating to the
accommodation of persons with disabilities in their respective countries. In
the United States, the facilities must be in compliance with the Americans
with Disabilities Act, as required by law.

per-country basis. You must send Microsoft written notice prior to Companys
re-enrollment in the Learning Competency if you believe Companys Learning
KPIs are inaccurate. Microsoft will not make any changes to Companys
Learning KPIs if Company has re-enrolled in the Learning Competency.
4.18
Class Locator Tool. You may use the Microsoft Class Locator Tool (Locator
Tool), provided:
a. You only use the Locator Tool to post scheduled Training Sessions that are
also posted on your website.
b. You grant Microsoft the right to display your uploaded Training Sessions to
the public.
c. You do not use the Locator Tool to gauge general demand for particular
Courses or specific demand in a given region or preferred learning mode.
d. You do not use the Locator Tool as the primary mechanism for operating
your Training Sessions or providing core information about your Training
Sessions.
e. Microsoft may delete your Training Sessions from the Locator Tool and/or
suspend or terminate your access to the Locator Tool at any time, without
notice.
f. Your use of the Locator Tool is at your own risk and without warranty.
Microsoft has no liability related to your use of the Locator Tool.

to promote its Training Sessions offered under the Learning Competency that
are tied to the Microsoft Certification represented in the Microsoft Certification
Logo, provided:
a. You are an active member of the Learning Competency in good standing.
b. Your use of the Microsoft Certification logos is compliant with the terms and
conditions in these Guidelines, the MPN program agreement and the
Microsoft Certification Logo Specifications in the Partner Logo Builder Tool.
c. You will only use the Certification Logos in a manner that does not
derogate from the rights of Microsoft in the Certification Logos, and will
take no action that may interfere with or diminish the rights of Microsoft in
the Certification Logos.
d. Microsoft reserves the right to review any materials using the Certification
Logos, and you agree to correct any improper use of the Certification
Logos and deficiencies in the quality of its services within a reasonable
time upon receipt of notice from Microsoft.

Reservation of Rights. Microsoft owns and retains all right, title and
interest in and to MOC, Microsoft Branded Courseware, the Virtual
Environment and its components, Certification Logos, software, and other
content. Microsoft reserves all rights not expressly granted.
4.26
Records. You are required to keep and maintain all usual and proper
documentation records, books of accounts and entries relating to the
Courses, Virtual Environment, all your Training Sessions (including Private
Training Sessions, customized Training Sessions, etc.), Students, MCTs,
Trainers and Training Evaluation Tool, and registrations for a period of
eighteen (18) months after completion of the applicable Training Session, and
to provide Microsoft with these records when requested by Microsoft. Such
records will include information regarding the number of Courses you
purchased and distributed. The records must be sufficient to allow Microsoft
to verify your compliance with these Guidelines. You will secure all adequate
rights required to perform an audit under this Agreement, including rights to
share MCTs, Trainers, Students, and other individuals Personal Information
with Microsoft and its auditors.
4.27
Audits and Inspections. Microsoft and its auditors reserve the right to audit
all aspects of Company and each of its Locations participation in the
Learning Competency in accordance with the audit provisions of the MPN
Program agreement and these Guidelines to verify statements issued by you
and your compliance with these Guidelines.
a. You will secure all adequate rights required to perform an audit under this
Agreement, including rights to share MCTs, Trainers, Students, and other
individuals Personal Information with Microsoft and its auditors.
b. Microsoft may also require you to accurately complete a self-audit
questionnaire relating to your use and distribution of Courses, its Training
Sessions, and the Virtual Environment.
c. By invoking the rights and procedures described above, Microsoft does not
waive its right to enforce the Agreement or to protect its intellectual
property by any other means permitted by law.
d. The Learning Competency audit may include:
i. Review of the processes you used to track, acquire, purchase, and
distribute Courses.

c. Cease all use of the Certification Logos and remove all Certification
Logos from your website and marketing materials.
d. Stop identifying yourself as a participant in the Learning Competency.
e. Cease all use of MOC except as allowed under the MPN program.
f. Cease all use of the Virtual Environment and its components and
permanently delete all Virtual Environments (including all its
components).
g. Discontinue all uses of any Learning Competency benefit.
h. Cease marketing, advertising, or delivering open-enrollment classes
using MOC to individuals or the general public, and cease posting
public training schedules on websites or in collateral materials for any
public classes using MOC.
i. Cease all SATV activity (if applicable).
In addition, within ten (10) days of expiration, suspension, or termination
from the Learning Competency and at Microsofts sole discretion, you will
permanently delete and destroy all Microsoft Certification Logos, MOC, all
software licensed under a lab license from its Classroom Devices and labs,
and all other content received as a result of the Learning Competency.
Upon Microsofts request, one of Companys executive-level officers will
certify Learning Partners compliance with this section (4.29, Effects of
Expiration or Suspension or Termination from the Learning Competency) by
providing Microsoft with a certificate of destruction signed by a Company
officer.
Microsoft will not be liable to you or any third party for damages or third-party
costs of any sort resulting from (a) your suspension or termination from the
Learning Competency, and/or (b) cancellation of or changes to the Learning
Competency or any of its benefits.
