COOPERATION AGREEMENT

This Cooperation Agreement made and entered into by and between:


Trainings institute, xxxx, Dhaka xxxx, Bangladesh
-andDeutsche Gesellschaft fr Internationale Zusammenarbeit (GIZ) GmbH, an international
cooperation enterprise for sustainable development existing under the laws of Germany with
operations in Bangladesh as well as worldwide, with address at Road 90, House 10/A, Gulshan 2,
Dhaka 1212, Bangladesh, and represented herein by Program Coordinator, Magnus Schmid.
Under this Cooperation Agreement, both, -trainings institute- and GIZ, hereafter referred to as
partner or parties, hereto agree as follows:

1.0 Name and Objectives of the Project initiative:


Training programme for strengthening qualification and competence of Waste Water
Treatment Managers and Operators
The specific results of the project initiative are:
Development and adaptation of two modular training programmes for the qualification of
certified ETP managers and operators in Bangladesh, including development and adaptation
course syllabi, training and session plans, course materials (ETP operator materials
translated into Bengali), examination rules, based on the German DWA model and approach
Strengthening of selected effluent treatment plants as training sites for practical training
components (e.g. on-site demonstrations, exercises, internships)
Familiarization of trainers and local training counterparts with content and mode of
implementation training programmes
Registration and accreditation of the training programmes with either German and/or
Bangladesh authorities
Implementation of two training cycles for ETP managers and two training cycles for ETP
operators
Evaluation of the training programmes and materials after the initial training cycles
Documentation of the training impact on treatment performance and treatment cost.
Integration and launching of the training programmes by training institute
The objectives are based on the common interest of all parties involved, i.e trainings institute,
industry, the suppliers and GIZ as development partners. The common interest is addressed in a
balanced manner. Thereby, the project achieves a win-win situation that leaves all parties
involved in a better position.

2.0 Duration
This Cooperation Agreement shall be valid for a period of one and a half years commencing on

the date hereof January 1 , 2012 until 31 July, 2013. This period can be extended by mutual
consent of both parties in writing before the expiration of the period.

3.0 Project Impacts


This project primarily aims at improving the competence levels of ETP managers and operators
in managing, operating and maintaining effluent treatment plants as well as at increasing the
pool of qualified ETP managers and operators available in Bangladesh. This in turn contributes
to more cost-effective treatment performance in line with environmental standards and
international customer expectations, e.g.

Characteristics of waste water discharged from to the environment from


washing/dyeing/finishing and other industrial processes are in compliance with
the environmental laws of Bangladesh.
Treatment performance and costs are improved against baseline after
engagement of qualified ETP personnel
4.0 Roles and Responsibilities
4.1 Both parties shall conduct the management of the project jointly. The specific roles and
responsibilities of each party are:
GIZ will
take the lead in the implementation of the project, establish a joint working group
comprising of 3 educational institutes, coordinate and monitor progress and
implementation, i.e. enter into agreement with the international training partner DWA,
facilitate the cooperation between the members of the joint working group, support the
selection of ETP training sites, propagation and implementation the pilot trainings, liaise
with government counterparts such as DOE and industry associations.
Training institute will
actively participate with a team of 2 staff members in the joint working group and
contribute to the working meetings
support the activity by deploying its 2 designated staff members/faculty as and when
necessary
assist in the adaptation, translation and peer-review of training syllabi, lesson plans,
materials, examination rules
establish agreements with selected effluent treatment plants for on-site training
components
select and establish a pool of qualified trainers to conduct the training programmes along
the established syllabi, lesson plans and mode of deliveries as well as
contribute to familiarization of trainer pool
conduct pilot courses for ETP managers and operators, in close cooperation with DWA
and GIZ PSES
integrate and offer the training programme(s) as part its own training portfolio
5.0 Project Funding
5.1. Each of the partners agrees to bear their own expenses, costs, risks, and any liabilities incurred
in connection with the project for activities not set out within the current budget and project
description, including but not limited to travel, communications, meetings, planning and
preparation in the course of carrying out the project.
5.2

GIZ will contribute to the cost of the international training partner DWA and will make inputs in
kind to selected ETP training sites along the recommendations by DWA. Furthermore, GIZ will
provide the platform (i.e. virtual internet platform, meeting room) for the interaction of the joint
working group.

6.0
6.1

Reporting
The parties hereto shall keep each other regularly informed about the progress of the project.
On important occasions they shall notify each other promptly and without being asked.
Important occasions include essential changes in time-frame, financial, technical or
development-policy aspects.

6.2

Both GIZ and training institute will nominate one coordinator for the project from each side.

7.0

Transmission of Knowledge, Rights of Use, Confidentiality

7.1

The parties hereto are entitled use for their own purposes their knowledge, results and reports
acquired in the course of the project. The training institute is permitted and encouraged to use
the training programmes in due course.

7.2

The parties hereto shall not issue any publications relating to the project without the prior
consent of the other party. A brief description of the project and the scope of activities
(including the names of the participants and the contents of the project) for the public relations
work of one of the parties shall not require consent of the other party. However, any brief
descriptions that refer to actual status of major project milestones require consent of all parties
signatory to the project. Each party hereto agrees to ensure that its subcontractors and project
beneficiaries observe this rule also.
The names of the other parties hereto shall be mentioned in all publications relating to the joint
project.

7.3

The parties hereto agree to treat all business and operating secrets of the other party (in as far
as they gain knowledge of these within the scope of the implementation of the joint project) in
confidence. Each party hereto agrees to impose this secrecy obligation on all individuals or
firms who assist in the implementation of the joint project.

7.4

Information provided by the factories in the course of this project shall be confidential and shall
not be shared with the other factories unless with express approval, verbally or in writing, from
the factory providing the information.

7.5

The obligations in accordance with this Section shall remain in force even after termination of
this Cooperation Agreement.

8.0

Termination
The parties hereto can terminate the Cooperation Agreement for an important reason at
any time. An important reason shall be deemed to exist in particular if:
One of the parties hereto does not furnish its contributions, or does not furnish its
contributions correctly or in due time, and does not eliminate this situation within a period to
be stipulated by the other party hereto, which shall, however, be not less than 30 days.
One of the parties cannot perform any of its obligations under this Agreement due to any
cause constituting force majeure.
The objective of this project cannot be achieved due to a change in the conditions or
circumstances prevailing at the commencement of the project

9.0

Representation
The cooperation between the parties shall affect only the internal relationship formed by this
Cooperation Agreement. In relations with third parties, each party hereto shall act solely on own
name and for itself alone. Neither party hereto is entitled to represent the other unless
expressly authorized to do so.

10.0 Force Majeure


Notwithstanding any other provision set forth in this Cooperation Agreement, both parties shall
not be liable for any failure or delay in the Project Activity/Timeline due to any cause beyond
the reasonable control of both parties including, but not limited to, any act of war or civil
insurrection, state of war or belligerency or danger incident thereto, national emergencies, fire,
explosion, vandalism, storm, earthquake, flood, embargo, riot, sabotage, industry-wide strikes,
lockouts, work stoppages or other labour difficulties not occurring within the control of the Direct
Beneficiaries, unavailability of materials, rights of way or government acts; provided however
that both parties shall use reasonable efforts to promptly correct such failure or delay in
performance to the extent consistent with applicable law and regulatory requirements
appropriate to the existing circumstances.
11.0 Partial Invalidity
The contestability of one or several provisions of this Agreement shall not affect the validity of
the rest of this Agreement. If required, the other terms of this Agreement are to be interpreted
and construed in such a way that the purpose of the contestable provision is attained in legally

permissible manner and the same shall apply if there is a gap in the terms and conditions of
this Cooperation Agreement.

12.0 Governing Law / Jurisdiction


This Agreement shall be governed by and construed and interpreted in accordance with the
laws of the Peoples Republic of Bangladesh.
13.0

This Agreement has been executed by the parties upon individual discussion and agreement
on all its terms and conditions.
