TERMS & CONDITIONS

1 DEFENATIONS:-
1.1 “Buyer” means the person (individual or organization) who buys or agrees to buy the Goods from the Seller and whose Order for Goods is
accepted by the Seller.
1.2 “Buyer” means the Buyer between the Seller and the Buyer for the sale and purchase of Goods incorporating these Terms and Conditions.
1.3 “Electronic Order” refers to Orders transmitted electronically to the Seller via webmail account provide by the Seller for such purposes.
1.4 “Good” means the articles the Buyer agrees to buy from the Seller under these ‘Terms and Conditions’.
1.5 “Seller” means Made2Print, The Innovative People or Innovative Corporation India, #211, Near the Moira Church, Moira Bardez Goa.
1.6 “Terms and Conditions’ means the Terms and Conditions of sale set out in this document and any special Terms and Conditions agreed to in
writing by the Seller.
1.7 “Order Confirmation” means the acknowledgement of the Order placed by the Buyer whether written, oral or electronically.
2 CONDITIONS:-
2.1 These Terms and Conditions shall apply to all Buyers for the sale of Goods by the Seller to the Buyer and shall prevail over any other
documentation or communication from the Buyer.
2.2 The headings in these Conditions are for convenience only and shall not affect their interpretation.
3 BUYER’S RESPONCIBLITY
3.1 All samples, drawings, descriptions, specification, illustrations and advertising issued by the Seller or contained in any of the Seller’s
catalogues or brochures or any website connected with the Seller (together “Samples”) are issued or published for the sole purpose of giving
an approximate idea of the Goods represented by or described in them. Samples do not form part of the Contract; this is not a sale by
sample.
3.2 All intellectual rights (including but not limited to copyrights) arising from the creation of Goods by the Seller shall remain the property of the
Seller and the Buyer shall not copy or reproduce the Goods without the prior written consent of the Seller.
3.3 The use of any logo, trademark or any design in relation to or in connection with the Goods (included but not limited to the right to use the
copyright and any other intellectual property rights in such logo, trademark or design) requires specific written approval of the Seller.
3.4 Buyer assures that he/it is the sole owner or otherwise entitled to the entire content/image files loaded and that third party rights, in
particular of the persons or objects portrayed on the images, are not breached.
3.5 To the extent that third parties make a claim against the Seller from a breach of their rights to content, images, files or a breach of
personality rights, the Buyer shall hold the Seller harmless against all claims made against the Seller by any third parties and to indemnify
Seller for all damage resulting from breach of rights.
3.6 Buyer shall not place Orders with content or image files which manifest punishable, illicit or immoral, in particular pornographic, inciting or
extremist contents.
4 ORDERING
4.1 Orders shall be made on the Buyer by way of ‘Electronic Order’ only.
4.2 All Orders for Goods shall be deemed to be an offer by the Buyer to purchase Goods pursuant to these Terms & Conditions and are subject to
acceptance by the Seller. The Seller may choose not to accept an Order for any reason.
4.3 When the Goods Ordered by the Seller are not available from stock the Buyer shall be notified and given the option to either wait until the
Goods are available from stock or cancel the Order and receive a full refund within 30 days.
5 PRICE AND PAYMENT
5.1 The price of Goods shall be stipulated in the latest ‘Price List’ circulated either electronically or in print. The price does not include delivery
charges.
5.2 After an Order is received the Seller shall confirm acceptance of the Order for the Goods which shall be referred as ‘Order Confirmation’ with
specific number for identification and future reference.
5.3 No Order which has been accepted by the Seller may be cancelled by the Buyer except with the written agreement in writing of the Seller
and on Terms that the Buyer shall indemnify the Seller in full against all loss (including loss of profit), cost (including cost of all labour and
materials used), damage charges and expenses incurred by the Seller as a result of Cancellation.
5.4 Payment of the Price plus delivery charges (if any) must be made in full before dispatch of Goods.
5.5 Buyer shall achieve the minimum buying in Terms of value as may be fixed from time to time and communicated and agreed with mutual
consultations, by placing the Orders during the financial year or part thereof. If the Buyer fails to achieve the target so fixed during the
stipulated, Seller may in its absolute discretion ‘terminate’ this arrangement without any liability.
6 RIGHT OF THE SELLER
6.1 Seller may decline to accept any Order without giving any reasons.
6.2 Seller may vary the price of Goods as it may at its own discretion.
6.3 Seller may vary the Goods either by making such changes in the design, production or packaging at its discretion think fit.
6.4 Seller may withdraw specific Goods or vary the range of Goods as it may in its discretion think fit.
6.5 The Seller shall not be liable to anyone for withdrawing any Goods or for refusing to process an Order
6.6 If the Seller discovers that the Buyer is not legally entitled to Order certain Goods, the Seller shall be entitled to cancel the Order
immediately, without notice.
7 DELIVERY
7.1 Unless otherwise specifically agreed to, delivery of the Goods shall be made through Courier/Post to the Buyer’s address specified in the
Order.
7.2 The date of handing over to the Courier Company / Postal Authorities shall be taken to be the date of delivery of Goods. The Buyer shall
make all arrangements necessary to take the delivery of Goods whenever they are tendered for delivery. Title and risk in the Goods shall
pass to the Buyer upon delivery of the Goods through Courier/Post
7.3 Where specific delivery date has been agreed, and where the delivery date cannot be met, the Buyer will be notified and given the
opportunity to agree a new delivery date or cancellation of Order. Buyer will be eligible to receive a full refund if and only if no work was
commenced for such Order.
7.4 The Seller shall use its reasonable endeavours to meet any date agreed for delivery. In any event time of delivery will not be the essence
and the Seller shall not be liable for any losses, costs, damages, or expenses incurred by the Buyer or any third party arising directly or
indirectly out of any failure to meet any estimated delivery date.
7.5 Buyer shall have full rights claim from Courier/Postal Authorities or any other agency opted by him for delivery, in cases where there are loss
or damages in transit.
8 LIMITATION OF LIABLITY
8.1 It is explicitly understood and agreed that the Buyer is dealing as a Consumer (unless otherwise specified as ReSeller or Associate), in the
event of any breach of these Terms and Conditions by the Seller the remedies of the Buyer shall be limited to damages which shall in no
circumstances exceed the price of the Goods and the Seller shall under no circumstances be liable for any indirect, incidental or
consequential loss or damage whatsoever.
9 WAIVER
9.1 No Waiver by the Seller (whether expressed or implied) in enforcing any of its rights under its Buyer shall prejudice its rights to do so in the
future.
10 FORCE MAJEURE
10.1 The Seller shall not be liable for any delay or failure to perform any of its obligations if the delay of failure results from events or
circumstances outside its reasonable control, including but not limited to acts of God, strikes, lock outs, accidents, war, fire, breakdown of
plant or machinery or shortage or unavailability of raw materials from usual source of supply, and the Seller shall be entitled to a reasonable
extension of its obligations.
11 SEVERANCE
11.1 If any term or provision of these Terms and Conditions is held invalid, illegal or unenforceable for any reason by any court of competent
jurisdiction such provision shall be served and the remainder of the provisions hereof shall continue in full force and effect as if these Terms
& Conditions had been agreed with the invalid illegal or unenforceable provision eliminated.
12 CHANGES TO TERMS AND CONDITIONS
12.1 The Seller shall be entitled to alter these Terms and Conditions at any time, but this right shall not affect the existing Terms and Conditions
accepted by the Buyer upon making purchase.
13 GOVERNING LAW AND JURIDICTION
13.1 The Courts in the State of Goa shall have the exclusive jurisdiction to entertain and decide any dispute arising out of this ‘Terms and
Conditions’.
