On behalf of Edaptive Systems ("Edaptive" or "the Company"), I am pleased to extend to you an


offer of employment as a SAS BI Administrator
for the Company in our.
office, contingent on the successful completion of
Owings Mills, Maryland
your background screening. This offer is subject to the terms and conditions set forth below.
Please be aware that your job duties may be modified from time to time by Edaptive depending
upon the needs of the Company.
As a SAS BI Administrator
, you are subject to an initial probation
period of 90 days, commencing on your first day of employment. If either you or the company
decides at any time during the probationary period that employment is not suitable, either party
may terminate the employment relationship at any time either during or at the end of the
probationary period. Neither the existence nor the successful completion of the probationary
period will change your at-will employment status should you remain employed following the
probationary period.
As a SAS BI Administrator
you will be paid on an exempt basis in
semi-monthly installments of $4,458.34
which is equivalent to $107,000.00 on an
annual basis, and subject to deductions for taxes and other withholdings as required by law or the
policies of the company. This salary amount will be subject to adjustment pursuant to the
Company's employee compensation policies in effect from time to time. In addition to your
salary, you will be entitled to participate in any Edaptive benefits plans that may be in effect
from time to time according to the eligibility rules and other terms and conditions of such plans.
Currently, Edaptive offers the following benefits to its exempt/salaried employees:
Health, dental, and vision coverage offered the 1st day of the month
following your full-time employment date (cost shared by employee);

Long/Short Term Disability and Life Insurance offered 1st of the month
following 90 days of employment (totally employer paid);

401(K) Plan company matches $1-for-$1 of your contributions up to 3%


of your semi-monthly base salary and 50% of your contributions from 4% to 5%

of your semi-monthly base salary calculated on a per payroll basis while


participating through payroll deductions; vested 100% immediately in all
matching contributions;

days of paid time off (covers sick and vacation); issued upon beginning
employment (no accrual per pay period and accessible the first day of
employment pro-rated for start date).

10 paid holidays;

FSA (Flexible Spending Account); pre-tax;

Flexible work schedule; and

Casual dress
Please note that Edaptive reserves the right to change the terms of its employee benefits and
benefits plans, or to eliminate the benefits or benefits plans altogether at any time.
As an employee of Edaptive, you will be subject to all Company policies and procedures that
may be in effect from time to time. Regardless of any such policies and procedures, please be
aware that your employment with the Company will at all times be "at will," meaning that it is
subject to termination by either you or the Company at any time, for any or no reason, and with
or without prior notice. Your at-will employment status is not subject to change by any oral or
written statement the Company or any of its managers or employees may make to you. Only a
written document designated as a formal employment contract and signed by both you and
Edaptive's President can serve as a contractual guarantee of your employment terms.
Pursuant to federal requirements, you will be required to complete an I-9 Form and present
required documentation of your identity and work eligibility. This offer of employment is
contingent upon your successful compliance with these requirements. Additionally, your
employment is contingent upon your execution of certain Edaptive agreements and
acknowledgments, including but not limited to agreements relating to intellectual property,
confidentiality, non-solicitation, and non-competition. Also, please be aware that during your
employment with Edaptive, you will be prohibited from using any and all personal electronic
devices for Edaptive business purposes, including but not limited to storing any of Edaptive
business related information on your personal laptop or desktop.
By signing below, you affirm that you have advised Edaptive of any confidentiality, nonsolicitation, non-competition, or other similar obligations you may have to past employers or
other persons, and you assure us that you will be able to perform your duties without violating
any such obligations. Further, Edaptive requests that you refrain, during your employment with
us, from any unauthorized use of confidential or proprietary information belonging to any thirdparties. By signing below, you also affirm your understanding that you are not permitted to
engage in any other gainful employment, business or activity without the written consent of the
Company.
