TERMS & CONDITIONS OF SALE

The auction is conducted subject to the under mentioned stated terms and conditions as well as any further
or other conditions and stipulations made anywhere in the catalogue and/or announced by the Auctioneer,
either at the announcement of or during the auction, whether or not the Buyer is present at the time any
such announcement is made or not and the Buyer, by virtue of his registration as Buyer on the preferred
form, hereby binds himself/herself to the terms and conditions hereof.
General Conditions of Sale (Catalogue)

Only a registered Buyer may bid. Animals are offered on a per head basis, to take the auction-lot.
All bids and purchases at the auction will be in N$ (Namibian Dollar), the ofcial currency of the Republic
of Namibia.
All bids and purchases will EXCLUDE VALUE ADDED TAX (VAT). Value Added Tax at the rate applicable from
time to time will be due and must be paid simultaneously with the purchase price. The Auctioneer will
issue a Tax invoice to the Buyer on the date of the auction.
Payment of the full purchase price, plus value added tax thereon shall be affected by the Buyer to
Namagri on the day of the auction immediately thereafter and shall be made in cash or by means of a
bank guaranteed cheque acceptable by the said Auctioneers. Any amount towards the purchase price not
paid on the due date thereof shall attract interest at a rate equal to the prime lending rate charge by First
National Bank from time to time plus 5% (ve percent).
Whenever a Buyer acts in a representative capacity on behalf of another individual or legal entity, such
Buyer shall furnish the Auctioneers, prior to or at the time of registration, with a valid Power of Attorney
or Resolution authorizing him to attend and to act and to buy on behalf of his principal and such Power
of Attorney or Resolution shall contain full particulars and personal details of the Agent and the Principal.
The invoice issued in respect of any sale shall be signed by the Agent who by his signature thereof will
accept full liability, in his personal capacity, for payment thereof in the event such payment is not
received, for whatever reason from the Principal. Such liability shall include any interest and legal costs
incurred by the Auctioneers and/or the Seller.
In the event of extensions of payment being given by the seller to any buyer, such extension will be at
risk of the seller and will have no effect on the conditions of sale as set by the Auctioneer and its rights
and claims pursuant thereto.
The Buyer must satisfy himself/herself as to the type, number, sex, ratio and age of the animals that
he/she is bidding on as specied in the catalogue. The Auctioneer is selling on behalf of the Seller and
makes or gives no warranties in respect of any animals sold.

The Auctioneer is merely an agent and is not responsible for
any errors, the condition of the animals, mistakes or incorrect
descriptions or numbers given by any Seller. In the event of any
such dispute, the Buyer will have a claim against the Seller only
and not against the Auctioneer who does not accept any such liability.
The Buyer, against the registration as a Buyer, irrevocably waives and
renounces any such claim or action against the Auctioneers.
The highest bidder (subject to the Sellers reserve price) will normally be
declared the Buyer. However, the Auctioneer will be entitled to freely exercise
his discretion regarding the manner in which the auction is conducted, an, inter
alia, will not be obligated to accept the highest bid or any bid in respect of the
animals.
The Auctioneer reserves the right to regulate the bidding and be entitled to, either prior to
or during the auction withdraw any lots or to vary their order without providing any reason.
If any dispute whatsoever arises from any bid, the animals involved may in the sole discretion of
the Auctioneer be auctioned again in which event the original bidder will have no claim or action
pursuant to the original bid against the Auctioneer and/or the new Purchaser.
If the Auctioneer makes any bona de mistake in selling, such mistake will not be binding on any of the
parties involved but may be rectied by agreement between the parties, or the animals or lot may be reauctioned at the sole discretion of the Auctioneer.
If the Auctioneer is under the impression that a Buyer is unable to pay the purchase price, he may refuse
to accept the bid of such Buyer or accept it provisionally until the Buyer has satised the Auctioneer that
he/she is able to pay such amount. If a bid is declined under these circumstances, the animals involved
may again be auctioned.
The Auctioneers decision is nal. All entries noted in the Auctioneers book at the fall of the hammer will
be sufcient proof of transaction, and will be binding on both the Buyer and the Seller.
The Buyer will be responsible for complying with all laws, permit regulations and obtaining, at his/her
own expense, the necessary permits, licenses and/or authorizations of whatsoever nature when
purchasing animals and to import the purchased animals into any country other than Namibia, where
applicable.
TERMS & CONDITIONS OF SALE

Special conditions set by the Ministry of Environment and Tourism must be met before black-faced or
common impala, hippopotami and/or elephant may be purchased. In the case of blue- and black
wildebeest, the double fencing requirements as stipulated by the Director of Veterinary Services from
time to time shall apply.
The Seller bears all risks in respect of the animals until the animals are loaded on the truck for transport
to the buyer from which date and moment in time all risk in and to the animals will pass to the Buyer.
The Seller will however assist in facilitating delivery thereof by the approved game dealers.
The buyer will be responsible for all the transport expenses incurred by the game dealer in delivering
the animals. Transport routes will be determined by the Seller and/or game dealer at their own discretion
and in the interest of effective and speedy delivery. The Buyer must against registration, specify a
suitable delivery site within Namibia, or elsewhere and hand detailed written delivery instructions,
which must include a precise map, to the Auctioneer or his/her representative on the day of the auction.
Off-loading facilities of acceptable standards must be available and easily accessible by normal trucks
and game-trailers. Should the Buyer off-load game in an area not accessible by normal trucks, the Buyer
shall be obliged to receive the animals at the nearest accessible site and will be responsible for
transferring the animals from such site at own risk and using own transport and/or equipment. Animals
for export from Namibia, other than to Botswana and to South Africa, must be received at an accessible
and suitable site within Namibia.
Ownership of animals will not pass to the Buyer until the full purchase price plus any applicable interest,
calculated at the prime lending rate charged by First National Bank from time to time plus 5% (ve
percent), has been paid to Namagri and the game dealer has received payment in full for transport of the
animals.
The buyer, or his appointed representative, shall sign the delivery note at the loading point of the
animals onto the truck, and in doing so accepts that the animals loaded are received in good condition
and that he/she approves and accepts the delivery of the animals. If the buyer opts to waive this right to
do so i.e. to attend at the loading point, the buyer herewith irrevocably consents and accepts that the
animals are delivered in good condition regardless sex / ratio / condition or any whatsoever other reason.
The Buyer shall have no claim to the Seller and/or courier for any damage to or loss of any tusk, rhino- or
antelope horn and/or supercial injury that may occur during transportation or off-loading of animals.
The Buyer shall be entitled to receive interest on the purchase price or any balance thereof calculated at
the prime rate of First National Bank paid from time to time if delivery of the purchased animals to the
Buyer does not take place within 90 days from the date of
the auction, unless other conditions to the contrary are
specied for certain lots or animals. The interest shall be
calculated from the day immediately following the expiry of the
aforesaid 90 days period.
If not all the animals as purchased are delivered to the Buyer within
90 days, then the proportionate purchase price in respect of such
undelivered animals will be refunded to the Buyer together with interest
thereon, unless the parties have agreed otherwise in writing.
Should it become impossible for the Seller to meet any prescribed permit
conditions due to a regulatory or other change in such conditions at any time
after the auction and not due to any act or omission of the Seller, then and in that
event the Buyer shall be entitled to a refund of the full purchase price, upon written
request thereto.
The Buyer chooses his/her domicillium citandi et executandi at the address provided on the
signed Registration Form which form is herewith regarded as being incorporated herein.
The Buyer and the Seller consent to the jurisdiction of the Magistrates court in any action pursuant
hereto.
Any legal fees arising from breach or non-compliance of the Conditions of Sale by the Buyer will be
borne by the Buyer and will be paid on an attorney/ own client basis.
Notwithstanding any conditions herein to the contrary, it is specically a condition of sale that the
Auctioneers will be entitled to the agreed commission in respect of each lot or animal sold regardless of
a breach or non-compliance of any of the aforesaid conditions by either the Seller or the Buyer and the
Auctioneers shall be entitled to claim such commission from the purchase price paid to institute
immediate action at the choice of the Auctioneers, for the payment thereof against either the Seller or
the Buyer.
Breeding groups will consist roughly out of an adult bull, more females than males, and up to 40%
young animals.
Zebras will be sold in family groups as captured. Numbers could thus differ from the catalogue. Refunds
or additional payments will be calculated accordingly.
