DEALERSHIP AGREEMENT

THIS DEALERSHIP AGREEMENT IS MADE AT MUMBAI ON THIS


DAY OF

Between:

M/s. ANIL ENGINEERING PVT LTD.


The company duly established and incorporated under the Companies Act, 1956 and
has its Corporate Office at New No.26/1, Old No. 73/1 Five Furlong road, Guindy,
and Factory at W-138C, TTC Industrial Estate, Thane- Belapur road, MIDC Pawane,
Navi Mumbai.
Hereinafter referred to as the AEPL,Which expression shall always mean and
include, its Managing Directors Board of Directors, Lear Representatives Office
Bearers, Successor in title and the assigns (THE PARTY OF THE OTHER PART)
AND
M/s G.E. PROJECTS PVT LTD.,
Hereinafter referred to as the Dealer (Which expression shall always mean and
include, unless repugnant to the context or meaning thereof his Legal Representatives,
Heirs Successors, Administrators, Executors, and Assigns), THE PARTY OF THE
OTHER PART.
WHEREAS AEPL is manufacturing and marketing ELECTRICAL VAPOURISERS
AND HEATERLESS VAPOURISER. AND WHEREAS in order to expand its selling
activities AEPL is looking for good and reliable dealer. AND WHEREAS the dealer
has offered to sell and deal Vapourisers of AEPL and WHEREAS AEPL has
accepted the said offer of the dealer on the following mutually agreed terms and
conditions.
NOW THEREFORE THE PARTIES HERETO AND HEREUNDER MUTUALL
AGREE AND DECLARE AS BELOW:1.

AEPL has appointed the Dealer for --------------------------_________________ for sell promotion, marketing and servicing in
Vaporisers.

2.

This Dealer shall sell, market all the Vapouriser Products manufactured by
AEPL & do all such acts ,deeds, things which will generate sales , keep proper
follow up of retail sale & render after sale service to the product sold by him
or by the previous retailer during the warranty period & also later on.

SECRECY:
The Dealer shall keep all the communication made with the AEPL, any
information, technical data, know-how supplied / disclosed by the AEPL as a
trade secret and shall not divulge the same to any third party, without prior
written permission obtained from the AEPL, in any manner, whatsoever and
either directly or indirectly.

RESPONSIBILITY OF THE DEALER:


i)
To achieve minimum of 10 vaporizer per month sales target fixed by
the AEPL. For every vaporizer sold over and above 15 by the dealer
GEPPL the company AEPL will give 5% ad-valorem.
ii)

Keep adequate stock of spares for regular supply to Customers.

iii)

Do all such acts, deeds & things, which will generate customer sales,
supply, install and commission at the site, provide after sales service
during the warranty period and after wards also.

iv)

GEPPL shall sell good at price within the range fixed by the company
with the dealer.

v)

If any enquiry is received by AEPL from parties in the territories


mentioned above, AEPL will forward enquiry to KES. If for any
circumstance AEPL secures the order directly from the party in the
above mentioned territory AEPL shall reimburse GEPPL the
differential pricing after reducing the expenditure.

vi)

A sum of 10 lakhs has to be deposited with AEPL as part of business


investment.

vii)

Employ required manpower in this business.

viii)

AEPL will be selling all Vapouriser products to dealer at Dealer rate.

ix)

All manufacturing defects in the product (supplied by AEPL)if any will


be rectified by dealer ,in warranty period ,and cost of rectification will
be reimbursed to dealer by AEPL.

x)

AEPL shall have right to appoint any other dealer in addition to dealer
appointed under this agreement.

xi)

The agreement is terminable prematurely by issuing one month prior


written notice by either party, without assigning any reason.

xii)

Consideration for dealer will be as per AEPL current price list only.

PAYMENT TERMS:
i) Company assigns dealer a set of fixed and favorable purchasing prices.
Prices are subject to change at Companys sole discretion. Dealer
understands that price changes are normal due to lots of factors including
but not limited to inflation, exchange rate fluctuation, raw material market
status, etc. Company, though not mandatory, shall notify Dealer of such
changes at least 15 days in advance.
ii) The Dealer shall pay AEPL for each order of AEPL products strictly
against Performa invoice, taxes and duties as applicable or upon such other
terms as may be agreed in writing by AEPL.
iii) All duties, excise duties and taxes payable on or in connection with the
AEPL product into the distribution area shall be paid by promptly by the
dealer.

EXCLUSION:
AEPL will exclusion for the following companies.
i) M/s V.S.PRESSURE VESSELS AND GAS PROJECTS PVT LTD.,
ii) M/s GLOBE GAS EQUIPMENTS PVT LTD
iii) M/s TOTAL OIL INDIA PVT LTD.,
iv) M/s SHV ENERGY PVT LTD.,
v) M/s GAS PROJECTS AND CONSTRUCTION PVT LTD.,

PRINITNG ON STATIONERY:
The Dealer shall ensure that all the letter heads, bills, invoices, advertisement
material, leaflets, brochures and any other correspondence relating to our
product shall contain Authorized Dealer of Anil Engineering Pvt Ltd.,
Mumbai and brand logo of the Company.

RELIEVE FROM THIS AGREEMENT


Unless the Dealer settles all his accounts with AEPL and obtains written no
dues/no objection certificate from AEPL on that behalf, the Dealer will not
be treated as relieved from this agreement and the terms of this agreement will
be binding of the Dealer till then.

JURISDICTION
Any dispute pertaining to interpretation, application, fulfillment / breach of
any condition of this agreement shall be subject to exclusive CHENNAI
jurisdiction only and AEPL shall have right to withhold all money till the final
decision of the dispute by the Competent Court.

IN WITNESS WHEREOF SIGNED, SEALED AND DELIVERED ON DAY AND


PLACE MENTIONED HEREINABOVE.
