STATEMENT OF WORK
This Statement of Work ("SOW") is made and entered this ____ day of
February, 2004 ("Effective Date") by and between The Reynolds and
Reynolds Company ("Reynolds") and American Honda Motors, Inc
(AHM). The parties agree that the SOW defines the Services to be
provided by Reynolds to Honda pursuant to the Services Agreement
("Agreement") previously executed between the parties.
Reynolds Consulting Services (RCS), a division of Reynolds is
pleased to present this SOW to provide consulting support for AHM
parts and service management programs. RCS is offering these
products in order to assist AHM in its efforts to provide a first class
parts and service management program to its regional personnel and
dealer body.

1.0 SCOPE OF PROJECT


Reynolds and AHM desire to create programs to drive performance in
Parts Inventory Management and Service Department Performance
utilizing a series of field Workshops and Presentations (the "Services")
to deliver ERA based Parts and Service training. All authorized ERA
based AHM and Acura dealers and company employees may be eligible
to participate.
1.1 PARTS INVENTORY SEMINAR SUPPORT
Reynolds will provide the following seminars in support of Parts
Inventory Management.
1. N.E. Region: Reynolds will provide 1 (one) Subject Matter
Expert (SME) to deliver a 90 minute overview of the AHM ERA
Parts Management seminar to Honda dealers and field personnel
in the Honda Connecticut Zone office in April of 2004. The
presentation will focus on highlights and benefits of attending
the AHM ERA Parts Management Seminar.
a. Increased understanding of the critical aspects of the ERA
system
b. Effective maintenance of the 4 key Specification Programs
c. Review of the Special Order Parts system
d. Inventory Management best practices and processes

The goal of this presentation is to drive demand for additional


Honda seminars to be delivered by Reynolds. As such, this
service is being offered with out fee and for reimbursement of
travel and expenses only. This is a one time offer and applies to
this seminar only.
2. Zone Personnel Presentation: Reynolds will supply 1 (one)
SME to deliver a series of 2 (two) hour workshops to Honda field
personnel in Anaheim, CA on March 23rd & March 24th, 2004. The
workshop will review the content of the Reynolds AHM Parts
Management Workshop and focus on the following:
a. Overview of the AHM Level Two Parts Workshops delivered
in 2003
b. Review of workshop agenda
c. Benefits to dealers
d. High level demonstration of Special Orders process in ERA
Deliverables will be a power point presentation and handout
derived from the materials used in the 2003 seminar series.
1.2 SERVICE MANAGEMENT WORKSHOP
Reynolds will provide the following Services related to the
development of a workshop designed to improve service department
performance.
Development Process and Deliverables
1) Reynolds will provide the following personnel:
a) One (1) Subject Matter Experts ("SME") educated specifically on
AHMs service performance guidelines who is an expert on the
service applications in ERA, service process and how to
effectively increase performance metrics. The SME will partner
with Hondas service management team to:
i) Develop ERA based service workshop agenda, presentation,
exercises and materials. Workshop content will be determined
in partnership with Honda and Reynoldss SME. Source
materials will be the following ERA Service Management
Seminars:

(b) Dealership Personal (i.e. Dealer
Principals/Managers/Miscellaneous employees)
iii) Reynolds SME and AHM materials development will focus on
the following ERA Service Management Materials:

3) Reynolds will complete the following deliverables regarding the


supporting materials. Reynolds will be responsible for the creation
of the electronic version and the printed version of the materials,
manuals and demos:
i) Seminar presentation materials for seminars
ii) Manual creation and production for each of the targeted
curriculum

2.0 INVESTMENT
The fees for the Services described in this SOW are outlined in the
Investment Summary, which is attached hereto and incorporated
herein as Exhibit A.

3.0 TERMS AND CONDITIONS


This SOW shall be governed by the terms and conditions of the
Agreement previously executed between the parties. In the event of a
conflict between the terms of the Agreement and this SOW, the
Agreement shall control.
Signature below indicates acceptance of
the content of this SOW as the terms for which specific services will be
provided to AHM.
