Extensive private equity accounting and management experience (20 years
with 10 years as CFO) with hands on expertise in structuring Real Estate (with
domestic and foreign investments) and other Private Equity/LBO funds,
fundraising, GAAP accounting, waterfall provisions, LP reporting, portfolio
valuation, US International Tax Treaties, Partnership/Corporate Tax return

• Architecting a tax efficient, sponsor governance Real Estate
Private Equity Fund investment and management structure (US and
Italy/China specific);
• PPM, investors’ due-diligence package, and fundraising process,
working with the legal counsel (Ropes & Gray LLP and O’Melveny &
Myers LLP);
• Structuring the Funds, GP, and Management entities, their legal
documentation, domestic and offshore investor structures (Atlantic
Equity Partners I through IV);
• LP Reporting – Quarterly and Annual Financials and Capital
Accounts (developed In-House Web based LP Reporting System
(“Trackport”);
• Application of Complex Partnership Allocations and Distributions
(Waterfall Provisions) and other key provisions of the Agreements;
• Year End Audit – In-House preparation of complete Work
Papers; (Auditors: Ernst & Young, LLP.);
• In-House preparation of complete tax returns of the Funds,
General Partners and Investment Manager, Personal, Gift/Trust tax returns
of HNW principals (Ernst & Young, LLP. and GGK/American
Express/RSM McGladrey);
• “Consolidate and Save”, a comprehensive cost cutting plan
for the entire portfolio group - centralized vendor negotiation and
monitoring provisions and policies.

Other Professional Functions:

• Complete Accounting Functions of Partnerships (GAAP and tax
basis), GP, Investment Manager, GP related entities and co-investors;
• Valuation of Portfolio Investments (SFAS 157 rules);
• Liaison with Limited Partners, Domestic and Foreign Investors -
tax compliance of PFIC, CFC, 1042 and other IRS filings; manage Off Shore
Partnerships;
• The monitoring of fund’s compliance with the partnership
agreement terms and investor side letters;
• Investment plans and IRR analyses and NAV forecasts of the
Funds; Calculate Gross and Net IRRs and other performance metrics (Cash
on Cash Multiples, DPI, RVPI, TVPI); management fee and carried interest
calculations;
