BYLAWS TUCSON REPUBLICAN WOMEN

(As revised January 14, 2013)

ARTICLE I: NAME
Section 1. The name of this organization shall be Tucson Republican Women (referred
to hereinafter by the acronym TRW).
Section 2. It shall be affiliated with the Arizona Federation of
Republican Women (referred to hereinafter by the ,
acronym AzFRW), and the National Federation of
Republican Women (referred to hereinafter by the
acronym NFRW), and shall conform to the provisions of
the bylaws of these organizations.

ARTICLE II: OBJECTIVES


Section 1. The purpose of this organization shall be to:
A. Support the objectives of the NFRW and the AzFRW.
B. Promote an informed electorate through political education.
C. Foster loyalty to the Republican Party and promote its ideals.
D. Increase the effectiveness of women in the cause of good government
through political participation.
E. Support the objectives and policies of the Republican nominees, provided
that where there are two or more candidates for the same office, no
endorsement shall be made prior to the primary election. This stipulation
applies only to the organization as a whole and not to individual members.
ARTICLE III: MEMBERSHIP
Section 1. Active membership shall be open to any woman who is currently registered as a
Republican in Arizona, and who upholds the objectives of the AzFRW and pays
the required dues. Active membership shall not be held in more than one
Republican Womens Club that is affiliated with and recognized by the AzFRW
and the NFRW.

Section 2. Any registered Republican woman may become an


Associate member upon payment of dues required by TRW. Associate
members must be a member of another Republican Womens Club that is
affiliated with and recognized by the AzFRW and the NFRW, or be
registered to vote outside of the State of Arizona. Associate members shall
not hold office or vote.
Section 3. Any registered Republican man may become an Auxiliary member upon
payment of dues required by TRW. Auxiliary members shall not hold office
or vote.
Section 4. TRW cannot be an advocate of a split party ticket, or support a candidate
running on an opposition ticket and remain as a member of the AzFRW or the
NFRW.
ARTICLE IV: DUES, MEETINGS AND FISCAL YEAR
Section 1. Dues.
Annual dues for Regular, Associate, and Auxiliary members shall be established
by the TRW Board and any changes must be ratified by a vote of the Regular
members at a general meeting.
A. Shall be adequate to maintain the fiscal soundness of the organization.
B. Must include the prescribed annual per capita (per Regular member) dues set
by and for the AzFRW and NFRW.
C. Must also include the annual NFRW service charge.
D. Dues for each active Regular member, including the NFRW service charge,
shall be sent to the AzFRW Treasurer.
E. Members must be advised of the national, state and local composition of
the dues.
F. Dues are payable January 1st and delinquent after April1st of each year.
Membership shall be terminated thirty (30) days after a written or electronic
notice of delinquency.
Section 2. Meetings.
TRW shall hold meetings no less than six times during each year.
Section 3. Fiscal Year.
The fiscal year shall be January 1st through December 31 st of each year. A
new member who joins TRW and pays their dues in the month of October or
later will have their dues counted as membership for the following year.
Section 4. Elections.
The election of officers shall be held in November. The officers-elect take
possession of their offices as of January 1. The holding or non-holding of a
formal installation ceremony does not affect the time at which the new
officers assume office.

ARTICLE V: OFFICERS
Section 1. The elected officers of this organization shall be
President, First Vice-President, Second Vice-President, Third Vice-President,
Fourth Vice-President, Secretary and Treasurer. These shall comprise the
Executive Committee. Non-voting advisors may be appointed to the Executive
Committee by the elected officers.
Section 2. The appointed officers of this organization shall include, but not necessarily
be limited to the following: Parliamentarian, Chaplain, Historian, Chairman of all
Standing Committees and the immediate Past President. If the immediate Past
President cannot serve, any Past President may be appointed by the President.
These appointments are subject to the approval of the Executive Committee.
Section 3. The Board of Directors shall include the Executive
Committee and Chairmen of all Standing Committees.
The Board of Directors shall vote on all matters brought before them.
Section 4. The term of elected office shall be for one year or until a
successor is elected. No elected officer is eligible to serve in the same
capacity for more than two consecutive terms.
Section 5. DUTIES OF OFFICERS:
A. The President shall:
Preside at all meetings of the TRW organization, Board of Directors, and
the Executive Committee.
Represent TRW at all times, or designate someone as representative in
her absence or inability to do so.
Appoint a Parliamentarian, Chaplain, Historian and
Chairmen of all Standing Committees, subject to ratification by the
Executive Committee.
Serve as ex-officio member of all committees, except the Nominating
Committee.
Provide each committee chairman with a written
summary of duties and responsibilities.
Fill vacancies in appointive offices and committees, subject to the approval
of the Executive Committee.
Appoint a Financial Review Committee to Perform and Review
whenever this function is deemed necessary.
Be a signatory on all TRW financial accounts.
B. Each Vice-President shall:
1. As designated by the President, perform the duties
of the President in her absence or inability to serve.

2. Serve as Chairman of a major standing committee: Arrangements,


Membership, Programs, Ways &Means
C. The Secretary shall:
1. Take and record the minutes of the Executive Committee, Board of
Directors and all regular meetings. A corresponding written report shall
be presented at each meeting. Keep a complete file of all records.
2. Conduct such correspondence as may be requested by the President,
Executive Committee or Board.
D. The Treasurer shall:
1. Act as custodian of all funds of TRW.
2. Upon receipt of monies, issue a receipt.
3. Forward the prescribed annual per capita (Regular
member) dues, and the NFRW service charge to the AzFRW Treasurer,
with the prescribed list of data (per AzFRW Article IV, Section 1, b, c, d).
4. Pay all bills for expenses authorized by the Executive Committee or Board
of Directors, and all interim expenditures which have been approved in the
Budget.
5. Keep an accurate account of all receipts and disbursements.
6. Give a written report at meetings of the Board of Directors and at all
regular meetings.
7. Be a member of the Finance-Budget Committee.
E. An Financial Review Committee may be called at any time by order of the
President, or Executive Committee, or Treasurer, or Board, whenever this
function is deemed necessary.
F. The Parliamentarian shall:
1. Attend all General meetings, Executive Committee
Meetings and Board of Directors Meetings.
2. Give advice on parliamentary procedures when called upon.
3. Perform such other duties as may be assigned to her
by the President or the Board of Directors.
G. The Historian shall prepare a history of all activities of TRW during her term
of office.
H. All officers and all committee chairmen shall deliver all records, files and
properties of TRW to their successor upon installation unless otherwise
directed by the President or the Board.

ARTICLE VI: COMMITTEES


Section 1. A Nominating Committee of three (3) to five (5) active members in good
standing shall:
A. Be appointed by the Parliamentarian at the direction of the President.
B. Have the following duties:
1. Select the chairman of the nominating committee.
2. Submit the names of at least one candidate for each elected office.
3. Must secure a consent to run from all nominees.
4. Nominations may also be made from the floor.
5. Submit its report to the President, with a copy to the Secretary, in time to
be read at the October meeting.
Section 2. Standing Committees shall be:
Americanism, Arrangements, Awards, Budget/Financial Review, Bylaws, Calling
Tree, Campaign, Caring for America, Chaplain, Events, Historian, Hospitality/
Remembrance, Literacy, Membership, Newsletter, PAC, Parliamentarian, Political
Education/Legislative, Programs, Public Relations/Publicity, Reservations, Ways &
Means and Website.
ARTICLE VII: QUORUM
Twelve (12) voting members, including two (2) officers, shall constitute a quorum
at a general meeting.
ARTICLE VIII: PARLIAMENTARY AUTHORITY
The current issue of Roberts Rules of Order Newly Revised shall govern this
organization in all matters of procedure not covered by these bylaws.
ARTICLE IX: AMENDMENTS
Section 1. These bylaws may be amended at any general meeting of TRW by a two-thirds
(2/3) vote, provided that a written or electronic copy of any proposed
amendments is mailed to the members.
Section 2. These bylaws may be amended at any meeting of TRW without previous
notice by a unanimous vote.
Section 3. When a mandatory amendment is adopted to the NFRW or AFRW, the TRW
bylaws shall automatically be amended to conform.
ARTICLE X: DISSOLUTION
In the event of dissolution of this organization, all of its assets remaining after payment
of all liabilities and expenses of such dissolution shall be distributed to the AzFRW. None
of the assets shall be distributed to any member or officer of the TRW
