Background
TheDeschutesWatershedCenterisaprojectthattheCityhasbeenworking
withtheWashingtonFishandWildlifeDepartmentonforoveradecade
Theprojecthasreceivedinitialfundingfromthestateandfinaldesignand
permittinghasbegun
ThisleaseprovidesWDFWwiththepropertytheyrequiretoconstructand
operatethehatcheryfacilityatPioneerPark TheIntergovernmental
AgreementisanoperatingagreementbetweentheCityandWDFW It
outlineshowthetwoagencieswillworktogether responsibilitiesofthetwo
partiesandhowdisagreementswillbemanaged Thetwodocumentsare

totheenjoymentofthepatronsoftheparkandthisrecreationalfacility
WDFWshalloperatethehatcheryfacilityinabusiness likemanner andwillnotpermitany
actsorconductonthepartofWDFWemployeesorcontractorsthatwouldbedetrimentaltothe

AllWDFWpersonnelshallbedressedinneatappearingattirewhichshallinclude

chargesofanykindattributablesolelytotheimprovementsontheLeasedPremises
SECTION5
INSURANCEANDLIABILITY
NoWarranty WDFWexpresslyrecognizesthattheLeasedPremises arelocatedwithinthe
PioneerParksite thepurposeofwhichistoprovidepublicrecreationalopportunities ThisLease
isgrantedbyLandownerwithoutwarranty eitherexpressorimplied regardingtheconditionofthe
LeasedPremisesoritssuitabilityforWDFWspurposes WDFWrepresentsthatithasinvestigated
theLeasedPremisesandacceptstheLeasedPremises asis inthecurrentcondition
Indemnification HoldHarmless WDFW shalldefend indemnify andholdharmlesstheCity
itsofficers officials employeesandvolunteersfromandagainstanyandallclaims suits actions
orliabilitiesforinjuryordeathofanyperson orforlossordamagetoproperty whicharisesoutof
WDFW suseof Premises orfromtheconductofWDFWsbusiness orfrom anyactivity work
orthingdone permitted orsufferedbyWDFWinoraboutthePremises exceptonlysuchinjuryor
damageasshallhavebeenoccasionedbythesolenegligenceoftheCity
Insurance TheWDFWshallprocureandmaintainforthedurationoftheAgreement insurance

abouttheCENTERandexecutionofthisAgreement

ThecompletionoftheCenterprojectincludesallthecomponents
describedinSection3 andthePartieswillworktogethertoadvocateforthe
fundingofallcomponentstoachievethecompleteproject

BothPartieshavelimitedresourcesandlimitedfundingforthe
maintenance operation andprogrammingofanEducationBuilding whichwill
requirecooperationandcollaborationin recruitingadditionalpartnersand
developingadditionalfundingsources
C
TheHatcheryandsurroundingsareauniqueopportunityto
educate thepublicatthelocationofanoperatinghatcheryandalongtheriver
corridor andthePartieswillusetheirbest effortstoutilizethesenewassetsfor
educationalpurposes and

CollaborationinachievingtheCenterobjectiveswillservethe
goalsofbothPartiesandthePartieswillusetheirresourcesinafairandequitable
waytomutuallyachievetheCenter objectiveswhilebeinginformedbythese
principles

CoordinatingCommittee

ACoordinatingCommittee Committee shallreviewandmonitoroperations

andmanagementoftheProjectComponentsforconsistencywiththeGuiding
Principles TheCommitteeshallconsistoffivepersons theTumwaterMayor one
CITYcouncilmember tworepresentativesofWDFW andamemberoftheSquaxin
Tribe appointedbytheTribe TheCommitteeshallserveasaforumdedicatedto
cooperationandcollaborationbetweentheParties TheCommitteeshallmeet
quarterly ormorefrequentlyuponrequestof eitherParty atalocation tobe
decidedbytheCommittee fromthetimeofitscreationuntiltheCenteris
completed AftertheCenteriscompleted theCommitteeshallmeetatleast
annuallyanduponrequestsoftheParties Thecommitteemaydevelopbylawsto
guideitsadministrationiftheCommitteedeemssuchbylawsappropriate
EachmemberoftheCommitteeshallservewithoutcompensation otherthan
theirnormalcompensationasamemberofstate local ortribalgovernment The
CommitteemayusestateorlocalresourcesasapprovedbythePartiestotheextent
suchuserelatestotheiradvisoryroleunderthisAgreement ThePartiesagreeto
facilitatetheresourceneedsoftheCommitteetotheextentsuchresourceneedsare
deemedreasonable TheCommitteeshalldevelopabudgetforitsoperationswhich

TheroleoftheCommitteeisadvisoryonly Recommendationsofthe
Committeemustbeapprovedjointlybythepartiestotheextentsuch
recommendationsaffectthemutualobligationsoftheParties Committee
recommendationstoonePartythataffectonlythatPartysobligationsmustbe
approvedonlybythatParty
TheCommitteeshallhavethefollowingresponsibilitiesandpowers
A TheCommitteeshall withtheassistanceoftheParties developa
planfortheownership design operation andmaintenanceoftheEducation
Building Theplanshallbedevelopedwithinone 1 yearoftheexecutionofthis
Agreement ThePartiesshall withinninety 90 daysofsubmittal reviewandact
ontheplanbyeitheradoptingit amendingit orreferringitbacktotheCommittee
forfurtherwork
B TheCommitteemayalsobeaskedbythePartiestodeveloppolicies
toguidetheoperations oftheCenter Thepoliciesmaycovertopicssuchas
recommendationsforfurthercapitalimprovements scopeofuses andmaintenance
ofcommonareas generalupkeepofthefacilities andothermattersrequestedby
theParties ThePartiesshallreviewandactonpolicyrecommendationsbyeither
adoptingthem amendingthem orreferringthembacktotheCommitteefor
furtherwork
C TheCommitteeshallhavetheauthoritytocreateadditional
advisorycommitteesasneededandtoprescribetheduties ofsuchcommittees
includinganOperationsCommitteecomposedofrepresentativestafffromeach
agencyalongwithrepresentativesofotheragenciesforthepurposeof
recommendingpoliciesregardingcoordinationandoperationoftheCenter Another
suchcommitteecouldbethePartnersCommitteecomposedofrepresentativesofthe
CITY WDFW theSquaxinTribe andmembersofthecommunityasappropriate
forthepurposeofprovidingfeedbackfromusersandthecommunityregarding
Centeroperations
TheCommittee shallestablishthetimespanand
responsibilitiesofsuchcommittees

floodstoragecapacity Theevaluationshallbepreparedbyadesignconsultantof
WDFWschoice andtheevaluationshallbecompletedpriortoanyconstructionin
PioneerPark withtheexceptionoftheParkinglotaddition Thecostofthisreport

historicandcultural andwaterqualitypurposes TheCITYmayceaseusingthe
EducationBuildingatanytime inwhichcasethebuildingoperationand
maintenanceresponsibilityshallrevertbacktoWDFW IfthePartiesfailtoagree
onthetermsofthelease neitherPartyshallbedeemedinbreach andthis

maintenanceandoperationoftheParkingLot exceptthatthePartieswill
coordinateshareduseoftheentireparkingareasattheHatcheryandPioneerPark
WDFWshallatalltimesbeallowedtotheexclusiveuseoften 10 parkingspaces
nearesttheHatcheryforstaffandvisitorstotheHatchery whichshallbesolelyfor
Hatcheryuse Theseten 10 spacesshallbemarkedforWDFWstaff Ifanatural
disaster constructionoroperationofthefishhatcherysignificantlydamagethe
accessroadorparkingforthehatchery WDFWagreestonegotiateingoodfaithfor
equitablesharingofrepaircosts

Trails TheCITYshallbesolelyresponsibleformaintaining
theexistingTrailidentifiedonExhibitA andtheCITYshallhavetherightto
constructnewtrailssolongassuchtrailsdonotinterferewiththeoperationsofthe
otherfacilitiesintheCenter WDFWagreesthattheCitysplannedconstructionof
amultiusetrailbetweenPioneerParkandTumwaterFallsParkwillsupport
WDFWshatcheryeducationaleffortsand totheextentfeasible WDFWwill
expediteprocessingofanypermitsneededfromWDFWrelatedtotheconstruction
ofthetrail WDFWwillsupporttheCityseffortstoobtaingrantfundingand
permitsfortrailandbridgeconstruction Theconstructioncost interpretive
signage andmaintenancecostsforsuchtrailsfromPioneerParktoTumwater
FallsParkshallbethesoleresponsibilityoftheCITY

Failuretocomplywithanyoftheprovisionshereinshallconstituteabreach
ofcontractandwillbecausefortermination Onlyadefaultdeemedmaterialtothe
termsoftheAgreementshallbegroundsforterminationforcause APartyshall
notbeindefault ifafterreceiptofthenoticeofdefault thePartyshallpromptly
commencetocurethedefaultandshallcurethedefaultwithinthirty 30 days
however ifsuchdefaultisnonmonetaryinnatureandisnotreasonably
susceptibleofbeingcuredinsaidthirty 30 days thePartyindefaultshall
commencetocuresuchdefaultwithinsaidperiodanddiligentlypursuesuchaction
withcontinuitytocompletion IfthedefaultingPartyfailstocurethedefaultas
providedherein thenondefaultingPartymayinitiatethedisputeresolution
process Ifsuchdisputeresolutionprocessisnotsuccessful thenondefaulting
Partymayseekrecourseinasuperiorcourtandmay ifthedefaultismaterial
terminatetheAgreement
EitherPartymayterminatethisAgreement withoutcause uponone 1 year
writtennoticetotheotherParty Intheeventofsuchtermination thePartiesshall
meettodiscussafairandsmoothtransitionofresponsibilitiesallocatedherein

DisputeResolution

ThisAgreementrequiresthemutualcooperationofthePartiestooperate
theirfacilities tomaintaincommonareas andtoapproverecommendationsfrom
theCommittee AstoanydisputearisingunderthisAgreement eachPartyshall
negotiateingoodfaithanduseitsbesteffortstoresolvethedispute Ifadispute
cannotberesolvedinitiallythroughaninformalmeetingbetweenthedesignated
representatives thenthedesignatedrepresentativesshallprepareajointstatement
describingthenatureofthedispute anddesiredoutcome Thewrittennoticeof
disputeshallbesenttoeachPartysmanagerordirector Themanagersshallmeet
withinten 10 businessdaysofreceiptofthenoticeofdisputetoseeifthedispute
canbeamicablyresolved If resolved amemorandumofunderstandingwith
regardstheretoshallbefiled Ifthedisputecannotberesolved thePartieswill
endeavortosettlethedisputebynonbindingmediation Mediationshallcommence
withinthirty 30 daysofaPartyswrittenrequestformediation Uponcompletion
ofthemediationprocess themediatorshallmakeitsrecommendationinwriting If
thePartiesaccepttherecommendation thePartiesshallmemorializetheir

SupersedesPriorAgreements

ThisAgreementprovidesaframeworkforthecooperativemanagementofthe
Center ThePartiescontemplatethatotheragreementsmaybenecessarytocarry
outtheoverallproject suchasagroundleasefortheunderlyingpropertytoWDFW
andthepotentialleaseoftheEducationBuildingstructurefromWDFWtotheCity
Oncetheimprovementshavebeenconstructed thetermsofthegroundleaseshall
governtherightsofthePartiestothatgroundlease ThisAgreementis
supplementaltothatgroundlease andanydefaultofthisAgreementordecisionto
terminatethisAgreementshallbeabasistoterminatethegroundlease Astoany
otherdiscussionaffectingthecooperativemanagementoftheCenterdiscussedby
theParties thisAgreementisdeemedtosupersedeallsuchdiscussionsor
