sanitary andattractivecondition Inaddition WDFWshallkeepthepremisesfreeofdebris
graffitiandanythingofadangerous noxiousoroffensivenatureorwhichwouldcreateahazardor
unduenoiseoranyinterferencewith parkusageor Cityservices WDFWshallhavesole
responsibilityforthemaintenance repair andsecurityofitsequipmentandfacilityimprovements
andshallkeepthesameingoodrepairandconditionduringtheleaseterm Hatcheryoperationand

maintainingparkandrecreationfacilitiesfortheuseandenjoymentofthegeneralpublic
WDFW itsemployeesandcontractorswilldevotetheirbesteffortstowardrenderingcourteous
servicetothepublicasthoughthesepersonnelwereemployeesoftheCity withaviewofadding
totheenjoymentofthepatronsoftheparkandthisrecreationalfacility
WDFWshalloperatethehatcheryfacilityinabusiness likemanner andwillnotpermitany
actsorconductonthepartofWDFWemployeesorcontractorsthatwouldbedetrimentaltothe
CitysimageandoperationofPioneerPark
AllWDFWpersonnelshallbedressedinneatappearingattirewhichshallinclude
designationasaWDFWemployeethroughlogoorstandarduniform
CityShallMaintainthePublicEnvironmentalEducationCenter TheCityshall atitssolecost
andexpense operateandmaintaintheenvironmentaleducationcenteringoodorderandrepairand

TaxesandAssessments WDFWshallpayalltaxesandothergovernmentalassessmentsor
chargesofanykindattributablesolelytotheimprovementsontheLeasedPremises
SECTION5
INSURANCEANDLIABILITY
NoWarranty WDFWexpresslyrecognizesthattheLeasedPremises arelocatedwithinthe
PioneerParksite thepurposeofwhichistoprovidepublicrecreationalopportunities ThisLease
isgrantedbyLandownerwithoutwarranty eitherexpressorimplied regardingtheconditionofthe
LeasedPremisesoritssuitabilityforWDFWspurposes WDFWrepresentsthatithasinvestigated
theLeasedPremisesandacceptstheLeasedPremises asis inthecurrentcondition
Indemnification HoldHarmless WDFW shalldefend indemnify andholdharmlesstheCity
itsofficers officials employeesandvolunteersfromandagainstanyandallclaims suits actions
orliabilitiesforinjuryordeathofanyperson orforlossordamagetoproperty whicharisesoutof
WDFW suseof Premises orfromtheconductofWDFWsbusiness orfrom anyactivity work
orthingdone permitted orsufferedbyWDFWinoraboutthePremises exceptonlysuchinjuryor
damageasshallhavebeenoccasionedbythesolenegligenceoftheCity
Insurance TheWDFWshallprocureandmaintainforthedurationoftheAgreement insurance

DisputeResolution
ThisAgreementrequiresthemutualcooperationofthePartiestooperate
theirfacilities tomaintaincommonareas andtoapproverecommendationsfrom
theCommittee AstoanydisputearisingunderthisAgreement eachPartyshall
negotiateingoodfaithanduseitsbesteffortstoresolvethedispute Ifadispute
cannotberesolvedinitiallythroughaninformalmeetingbetweenthedesignated
representatives thenthedesignatedrepresentativesshallprepareajointstatement
describingthenatureofthedispute anddesiredoutcome Thewrittennoticeof
disputeshallbesenttoeachPartysmanagerordirector Themanagersshallmeet
withinten 10 businessdaysofreceiptofthenoticeofdisputetoseeifthedispute
canbeamicablyresolved If resolved amemorandumofunderstandingwith
regardstheretoshallbefiled Ifthedisputecannotberesolved thePartieswill
endeavortosettlethedisputebynonbindingmediation Mediationshallcommence
withinthirty 30 daysofaPartyswrittenrequestformediation Uponcompletion
ofthemediationprocess themediatorshallmakeitsrecommendationinwriting If
thePartiesaccepttherecommendation thePartiesshallmemorializetheir
agreementinanappropriatemanner IfthePartiesdonotacceptthemediator

SuperiorCourtforThurstonCounty Washington

SupersedesPriorAgreements
ThisAgreementprovidesaframeworkforthecooperativemanagementofthe
Center ThePartiescontemplatethatotheragreementsmaybenecessarytocarry
outtheoverallproject suchasagroundleasefortheunderlyingpropertytoWDFW
andthepotentialleaseoftheEducationBuildingstructurefromWDFWtotheCity
Oncetheimprovementshavebeenconstructed thetermsofthegroundleaseshall
governtherightsofthePartiestothatgroundlease ThisAgreementis
supplementaltothatgroundlease andanydefaultofthisAgreementordecisionto
terminatethisAgreementshallbeabasistoterminatethegroundlease Astoany
