Background
TheDeschutesWatershedCenterisaprojectthattheCityhasbeenworking
withtheWashingtonFishandWildlifeDepartmentonforoveradecade
Theprojecthasreceivedinitialfundingfromthestateandfinaldesignand
permittinghasbegun
ThisleaseprovidesWDFWwiththepropertytheyrequiretoconstructand
operatethehatcheryfacilityatPioneerPark TheIntergovernmental
AgreementisanoperatingagreementbetweentheCityandWDFW It
outlineshowthetwoagencieswillworktogether responsibilitiesofthetwo
partiesandhowdisagreementswillbemanaged Thetwodocumentsare
tiedtogetherandonewillnotexistwithouttheother

OPERATIONANDMAINTENANCE
WDFWShallMaintaintheFishHatcheryFacilities WDFWshall atitssolecostandexpense
operate andmaintainthefishhatcheryfacilities ingoodorderandrepairandinaclean safe
sanitary andattractivecondition Inaddition WDFWshallkeepthepremisesfreeofdebris
graffitiandanythingofadangerous noxiousoroffensivenatureorwhichwouldcreateahazardor
unduenoiseoranyinterferencewith parkusageor Cityservices WDFWshallhavesole
responsibilityforthemaintenance repair andsecurityofitsequipmentandfacilityimprovements
andshallkeepthesameingoodrepairandconditionduringtheleaseterm Hatcheryoperationand
maintenanceshallnotinterferewithpublicuseofparkfacilities riveraccessorathleticevents
WDFWshallhavereasonableaccesstothepremises24hoursaday 7daysaweek City
retainsandreservestherighttoaccessthepremisesatalltimes WDFWshallgivetheCity24
hourspriornoticeofitsintenttoaccessthepremisestomakeanyimprovements installation
repair maintenanceorremodel exceptincaseofemergencyrepair
WDFWrecognizesthat althoughitisoperatingthehatcheryfacilityasaStateagency the
CitysDepartmentofParksandRecreationisorganizedandexistsforthepurposeof
maintainingparkandrecreationfacilitiesfortheuseandenjoymentofthegeneralpublic
WDFW itsemployeesandcontractorswilldevotetheirbesteffortstowardrenderingcourteous
servicetothepublicasthoughthesepersonnelwereemployeesoftheCity withaviewofadding
totheenjoymentofthepatronsoftheparkandthisrecreationalfacility
WDFWshalloperatethehatcheryfacilityinabusiness likemanner andwillnotpermitany
actsorconductonthepartofWDFWemployeesorcontractorsthatwouldbedetrimentaltothe
CitysimageandoperationofPioneerPark
AllWDFWpersonnelshallbedressedinneatappearingattirewhichshallinclude
designationasaWDFWemployeethroughlogoorstandarduniform
CityShallMaintainthePublicEnvironmentalEducationCenter TheCityshall atitssolecost
andexpense operateandmaintaintheenvironmentaleducationcenteringoodorderandrepairand
inaclean safe sanitary andattractivecondition Landownersoperationoftheenvironmental
educationcentershallnotinterferewithWDFWsoperationsattheLeasedPremises

TaxesandAssessments WDFWshallpayalltaxesandothergovernmentalassessmentsor
chargesofanykindattributablesolelytotheimprovementsontheLeasedPremises
SECTION5
INSURANCEANDLIABILITY
NoWarranty WDFWexpresslyrecognizesthattheLeasedPremises arelocatedwithinthe
PioneerParksite thepurposeofwhichistoprovidepublicrecreationalopportunities ThisLease
isgrantedbyLandownerwithoutwarranty eitherexpressorimplied regardingtheconditionofthe
LeasedPremisesoritssuitabilityforWDFWspurposes WDFWrepresentsthatithasinvestigated
theLeasedPremisesandacceptstheLeasedPremises asis inthecurrentcondition
Indemnification HoldHarmless WDFW shalldefend indemnify andholdharmlesstheCity
itsofficers officials employeesandvolunteersfromandagainstanyandallclaims suits actions
orliabilitiesforinjuryordeathofanyperson orforlossordamagetoproperty whicharisesoutof
WDFW suseof Premises orfromtheconductofWDFWsbusiness orfrom anyactivity work
orthingdone permitted orsufferedbyWDFWinoraboutthePremises exceptonlysuchinjuryor
damageasshallhavebeenoccasionedbythesolenegligenceoftheCity
Insurance TheWDFWshallprocureandmaintainforthedurationoftheAgreement insurance
againstclaimsforinjuriestopersonsordamagetopropertywhichmayarisefromorinconnection
withtheWDFW soperationanduseoftheleasedPremises
NoLimitation WDFWsmaintenanceofinsuranceasrequiredbytheagreementshallnotbe
construedtolimittheliabilityoftheWDFW tothecoverageprovidedbysuchinsurance or
otherwiselimittheCitysrecoursetoanyremedyavailableatlaworinequity
MinimumScopeofInsurance WDFWshallobtaininsuranceofthetypesdescribedbelow

TheHatcheryandsurroundingsareauniqueopportunityto

corridor andthePartieswillusetheirbest effortstoutilizethesenewassetsfor

CollaborationinachievingtheCenterobjectiveswillservethe

CoordinatingCommittee

ACoordinatingCommittee Committee shallreviewandmonitoroperations


andmanagementoftheProjectComponentsforconsistencywiththeGuiding
Principles TheCommitteeshallconsistoffivepersons theTumwaterMayor one
CITYcouncilmember tworepresentativesofWDFW andamemberoftheSquaxin
Tribe appointedbytheTribe TheCommitteeshallserveasaforumdedicatedto
cooperationandcollaborationbetweentheParties TheCommitteeshallmeet
quarterly ormorefrequentlyuponrequestof eitherParty atalocation tobe
decidedbytheCommittee fromthetimeofitscreationuntiltheCenteris
completed AftertheCenteriscompleted theCommitteeshallmeetatleast
annuallyanduponrequestsoftheParties Thecommitteemaydevelopbylawsto
guideitsadministrationiftheCommitteedeemssuchbylawsappropriate
EachmemberoftheCommitteeshallservewithoutcompensation otherthan

ofcommonareas generalupkeepofthefacilities andothermattersrequestedby
theParties ThePartiesshallreviewandactonpolicyrecommendationsbyeither
adoptingthem amendingthem orreferringthembacktotheCommitteefor
furtherwork
C TheCommitteeshallhavetheauthoritytocreateadditional
advisorycommitteesasneededandtoprescribetheduties ofsuchcommittees
includinganOperationsCommitteecomposedofrepresentativestafffromeach
agencyalongwithrepresentativesofotheragenciesforthepurposeof
recommendingpoliciesregardingcoordinationandoperationoftheCenter Another
suchcommitteecouldbethePartnersCommitteecomposedofrepresentativesofthe
CITY WDFW theSquaxinTribe andmembersofthecommunityasappropriate
forthepurposeofprovidingfeedbackfromusersandthecommunityregarding
Centeroperations

Hatcheryuse Theseten 10 spacesshallbemarkedforWDFWstaff Ifanatural
disaster constructionoroperationofthefishhatcherysignificantlydamagethe
accessroadorparkingforthehatchery WDFWagreestonegotiateingoodfaithfor
equitablesharingofrepaircosts

Trails TheCITYshallbesolelyresponsibleformaintaining
theexistingTrailidentifiedonExhibitA andtheCITYshallhavetherightto
constructnewtrailssolongassuchtrailsdonotinterferewiththeoperationsofthe
otherfacilitiesintheCenter WDFWagreesthattheCitysplannedconstructionof
amultiusetrailbetweenPioneerParkandTumwaterFallsParkwillsupport
WDFWshatcheryeducationaleffortsand totheextentfeasible WDFWwill
expediteprocessingofanypermitsneededfromWDFWrelatedtotheconstruction
ofthetrail WDFWwillsupporttheCityseffortstoobtaingrantfundingand
permitsfortrailandbridgeconstruction Theconstructioncost interpretive
signage andmaintenancecostsforsuchtrailsfromPioneerParktoTumwater
FallsParkshallbethesoleresponsibilityoftheCITY

Failuretocomplywithanyoftheprovisionshereinshallconstituteabreach
ofcontractandwillbecausefortermination Onlyadefaultdeemedmaterialtothe
termsoftheAgreementshallbegroundsforterminationforcause APartyshall
notbeindefault ifafterreceiptofthenoticeofdefault thePartyshallpromptly
commencetocurethedefaultandshallcurethedefaultwithinthirty 30 days
however ifsuchdefaultisnonmonetaryinnatureandisnotreasonably
susceptibleofbeingcuredinsaidthirty 30 days thePartyindefaultshall
commencetocuresuchdefaultwithinsaidperiodanddiligentlypursuesuchaction
withcontinuitytocompletion IfthedefaultingPartyfailstocurethedefaultas
providedherein thenondefaultingPartymayinitiatethedisputeresolution
process Ifsuchdisputeresolutionprocessisnotsuccessful thenondefaulting
Partymayseekrecourseinasuperiorcourtandmay ifthedefaultismaterial

DisputeResolution

ThisAgreementrequiresthemutualcooperationofthePartiestooperate
theirfacilities tomaintaincommonareas andtoapproverecommendationsfrom
theCommittee AstoanydisputearisingunderthisAgreement eachPartyshall
negotiateingoodfaithanduseitsbesteffortstoresolvethedispute Ifadispute
cannotberesolvedinitiallythroughaninformalmeetingbetweenthedesignated
representatives thenthedesignatedrepresentativesshallprepareajointstatement
describingthenatureofthedispute anddesiredoutcome Thewrittennoticeof
disputeshallbesenttoeachPartysmanagerordirector Themanagersshallmeet
withinten 10 businessdaysofreceiptofthenoticeofdisputetoseeifthedispute
canbeamicablyresolved If resolved amemorandumofunderstandingwith
regardstheretoshallbefiled Ifthedisputecannotberesolved thePartieswill
endeavortosettlethedisputebynonbindingmediation Mediationshallcommence
withinthirty 30 daysofaPartyswrittenrequestformediation Uponcompletion
