in the solicitation.
Scope of Work: : To engage a qualified firm to provide is to solicit sealed proposals from a qualified source(s) a
firm or an individual to provide construction project management (CPM) services for City of Alexandria (City)
and Alexandria City Public Schools (ACPS) system for an effective date of April 2012 .

I.

GENERAL TERMS/ CONDITIONS AND INSTRUCTIONS:

1.

All proposals must be submitted on and in accordance with this form. If more space is required to furnish a
description of the commodities and/or services offered or delivery terms, the offeror may attach a letter
hereto, which will be made a part of the proposal. All proposals must be submitted in a sealed package,
plainly marked using RFP number, date and time.

2.

All invitations to bid and requests for proposals (RFP) issued by Alexandria City Public Schools (ACPS)
and the City of Alexandria will bind proposers to the conditions and requirements set forth in the general
terms and conditions, and shall form an integral part of each purchase contract awarded by the School
Division.

3.

The information contained herein shall be used for the sole purpose of responding to this RFP. Neither the
Alexandria City Public Schools nor the City wi be under any obligation to, pay the costs, in whole or in
part, incurred by the firm during the preparation of the proposal. Alexandria City Public Schools and the
City disclaim responsibility and liability for any costs related to the firms participation in the RFP.

4.

It will be the responsibility of the offeror to see that his proposal is in this office by the specified time and
date. Date of postmark will not be considered. Telephone, fax, electronic and verbal offers will not be
accepted.

5.

Prices shall include all delivery, set-up fees, and federal, state, and local taxes.

6.

The offeror certifies that by signing this proposal that this proposal is made without prior understanding,
agreement or accord with any other person submitting a proposal for the same product or service and that
this proposal is in all respects bona fide, fair and not the result of any act of fraud or collusion with another
person engaged in the same line of business or commerce. Any false statement hereunder constitutes a
felony and can result in a fine and imprisonment as well as civil damages.

7.

In event of default by the offeror, the Alexandria City Public Schools and the City reserves the right to
procure the services from other sources, and hold the offeror liable for any excess cost occasioned thereby.
If, however, public necessity requires use of materials or supplies not conforming to the specifications, they
may be accepted and payment therefore shall be made at a proper reduction in price.

8.

Availability of Funds: A contract shall be deemed executory only to the extent of appropriations available
to each Department for the purchase of such articles or services. The Alexandria City Public Schools and
the Citys extended obligations on those contracts that envision extended funding through successive fiscal
periods shall be contingent upon actual appropriations for the following years.

9.

The offeror guarantees to save the Alexandria City Public Schools and the City, their agents or employees,
harmless from liability of any nature or kind, for use of any copyright, composition, secret process, patented or unpatented invention, articles or appliances furnished or used in the performance of the contract, or
which the offeror is not the patentee, assignee, or licensee.

10.

All proposals must be signed with the firm name and by a responsible officer or employee. Obligations

assumed by such signature must be fulfilled.

11.

By signing this proposal, the offeror assigns to the Alexandria City Public Schools and the City, any and all
rights that he may have under the antitrust laws of the United States and the Commonwealth of Virginia in
any way arising from or pertaining to this offer. This provision is remedial in nature and is to be liberally
construed by any court in favor of the Alexandria City Public Schools and the City.

12.

Appeals Procedure: Upon request, administrative appeals information will be provided which shall be used
for hearing protests of a decision to award or an award, appeals from refusals to allow withdrawal of
proposals, appeals from disqualifications and determinations of non-responsibility and appeals from
decisions or disputes arising during the performance of a contract.
13.
Non-Discrimination: During the performance of this contract, the successful offeror agrees as
follows:
a.

He will not discriminate against any employees or applicants for employment because of race,
religion, color, sex, national origin, age, disability, or any other basis prohibited by state law
relating to discrimination in employment, except where one or more of these are a bona fide
occupational qualification reasonable necessary to the normal operations of the contractor. The
contractor agrees to post in conspicuous places available to employees and applicants for
employment, notices setting forth the provisions of this non-discrimination clause.

b.

The contractor will be and state that he is an equal opportunity employer in all solicitations or
advertisements for employees.

c.

Notices, advertisements and solicitations placed in accordance with federal law, rule or regulation
shall be deemed sufficient for the purpose of meeting the requirements of this section.

The contractor will include the provisions of the foregoing paragraphs (a), (b) and (c) in every subcontract or
purchase order so that the provisions will be binding upon each subcontractor or vendor.
During the performance of this contract, the contractor agrees to (i) provide a drug-free workplace for the
contractors employees; (ii) post in conspicuous places, available to employees and applicants for
employment, a statement notifying employees that the unlawful manufacture, sale, distribution, dispensation,
possession, or use of a controlled substance or marijuana is prohibited in the contractors workplace and
specifying the actions that will be taken against employees for violations of prohibition; (iii) state in all
solicitations or advertisements for employees placed by or on behalf of the contractor that the contractor
maintains a drug-free workplace; and (iv) include the provisions of the foregoing clauses in every subcontract
or purchase order of over $10,000, so that the provisions will be binding upon each subcontractor or vendor.
For the purposes of this subsection, drug-free workplace means a site for the performance of work done in
connection with a specific contract awarded to a contractor in accordance with this subsection, the employees
of whom are prohibited from engaging in the unlawful manufacture, sale, distribution, dispensation,
possession or use of any controlled substance or marijuana during the performance of the contract.
14.

Direct contact with any Alexandria City Public Schools Department or departments within the City
Alexandria, other that of Alexandria City Public Schools Procurement Office or the Procurement Office
within the Cit of Alexandria, on the subject of this proposal is expressly forbidden except with the
foreknowledge and permission of the Procurement Officer or their representative.

15.

Assignment of Contract: A contract shall not be assignable by the Offeror in whole or in part without the
written consent of the Alexandria City Public Schools.

16.

Applicable Law and Courts: Any purchase order/contract resulting from this solicitation shall be governed
in all respects by the laws of the Commonwealth of Virginia and any litigation with respect thereto shall be
brought in the courts of the City of Alexandria. The Offeror shall comply with applicable federal, state and
local laws and regulations. These Conditions and Instructions shall be applicable to the extent that they are
non-contradictory to the proposal terms and/or instructions on the following pages. The Contractor
certifies that he does not and will not during the performance of the Contract violate the provisions of the
Federal Immigration Reform and Control Act of 1986, which prohibits employment of illegal aliens.

17.

If Alexandria City Public Schools is closed for business at the time scheduled for the proposal opening,
sealed proposal will be accepted and opened on the next business day of the Alexandria City Public
Schools, at the originally scheduled hour.

18.

The original copy maintained at our offices, in the proposal file folder, shall be considered the official
copy. In the case of any inconsistency between proposal documents submitted to Alexandria City Public
Schools and the City, but not clearly listed on the exception page of the document as an exception by the
offeror, the language of the official copy shall prevail. Furthermore, any exception or changes to the
specifications made by the offeror may be cause to disqualify your proposal.

19.

The offeror acknowledges that their offer does not commit the Alexandria City Public Schools or the City
to pay any costs incurred in the preparation and submission of proposals or in making any necessary studies
or designs for the preparation thereof, not to enter into a contact.

20.

In accordance with Virginia State law, ACPS policy DJF requires any contractor or his employees that will
be in the presence of students during regular school hours or during school sponsored activities certify that
he/she has not been convicted of any felony or any offense involving the sexual molestation or physical or
sexual abuse or rape of a child.

21.

By submitting a proposal, offerors certify that the Commonwealth of Virginia does not currently debar
them from submitting proposals for the type of goods or services covered by this solicitation, nor are they
an agent of any person or entity that is currently debarred.

22.

The Code of Virginia section 2.2-4311.2.B requires a bidder or offeror organized or authorized to
transact business in the Commonwealth pursuant to Title 13.1 or Title 50 to include in its bid or proposal
the identification number issued to it by the State Corporation Commission. Any bidder or offeror that is
not required to be authorized to transact business in the Commonwealth as a foreign business entity under
Title 13.1 or Title 50 or as otherwise required by law shall include in its bid or proposal a statement
describing why the bidder or offeror is not required to be so authorized.

II. BACKGROUND
Currently the Alexandria City Public School administrative offices reside at 2000 N. Beauregard Street, in
Alexandria Virginia. The school district comprises Thirteen (13) Elementary, Five (5) Middle and Two (2) High
Schools, an alternative school and a Detention Center Facility. Alexandria City Public Schools is one of the most
diverse school systems in the country and we celebrate that diversity. Our students come from more than 80
different countries, speak more than 60 languages, and represent a rainbow of ethnic and cultural groups. They are
economically diverse, but all are rich in that the residents of Alexandria are dedicated to ensuring that each and
every one of them achieves success. The rapid growth of this diverse student population has directly impacted the
schools built environment and results in an increased number of construction projects. The Educational Facilities
office projects range from capacity expansions to existing facilities renovation and system replacements projects.
The purpose of this document is to provide interested parties with information to enable them to prepare and submit
a proposal to guide Alexandria City Public Schools in the formation of a not for profit educational foundation
(501(c)3)to serve as a fund raising vehicle for the district.
The City of Alexandria, Virginia, established in 1749, is a municipal corporation, and an urban community
of 15.75 square miles and 139,966 people. The City of Alexandria is one of the most densely populated cities in the
country, and is the most densely populated jurisdiction in Virginia with its stable residential neighborhoods, its
historic districts, and its proximity to Washington, D.C., the City continues to attract new residents, tourists, and
businesses. As a result, there is a variety of construction/renovation projects to be performed in the City which
include, but may not be limited to: Fire Stations, Police Department, and Recreations Centers, Libraries, Historic
Buildings and office space.

III. SCOPE OF SERVICES


Scope of Work:
It is expected that the selected Construction Management Firm will provide complete construction management
services including: construction management, budget controls, scheduling, administration, construction engineering
and inspection, quality assurance, drawing submittal review and approval coordination, project records and close-out
documents for selected City of Alexandria and Alexandria City Public Schools (ACPS) facilities projects. The
Construction Management Firm shall provide technical and administrative services and coordination oversight for
all activities taken by outside entities in connection with those projects. The Construction Manager shall maintain a
close liaison with the City/Schools Project Manager. Throughout the duration of the projects, the Construction
Manager might perform (but not limited to) the following services:

A. Project Scheduling: develop project schedules for Design and Construction Phases, Monitor
Architectural teams to ensure that Construction Documents meet a projects timeframe. Develop and
maintain the overall project milestone schedule, and review and verify the integration of the Design
Teams services & deliverables, Owner's responsibilities, permitting requirements, and anticipated
construction schedules (including long-lead-time items);
B.

Constructability/Technical Review of Design Documents;

C. Cost Estimation (Total project and Change orders);


D. Monitoring/Oversight & Miscellaneous Task: Construction quality control monitoring, permitting
and inspection; oversee construction progress and issuance of punch lists, overseeing commissioning
and issuance of commissioning reports, assisting with the City of Alexandria approval process,
overseeing and monitoring routine City of Alexandria inspections and providing support to ensure
that the project is in compliance with all City and Virginia State regulations;
E. Administrative Support: Partnering facilitation; providing support in collaboration meetings
between the City of Alexandria regulatory departments and Alexandria City Public Schools; and
F. Commissioning Services: Provide voice and data; as well as Heating, Ventilation and Air
Conditioning (HVAC) commissioning services as requested and needed by ACPS and the City.
G. .Project close out.

Please include a one to two page statement in your proposal confirming your understanding and
agreement with the following provisions.
IV. GENERAL REQUIREMENTS:
RFP Response: In order to be considered for selection, Offerors must submit a complete response to this RFP. AN
ORIGINAL AND FOUR (4) PAPER COPIES, and (2) ELECTRONIC FORMAT (CD/DVD) COPIES OF
YOUR SUBMITTAL IS REQUIRED of each proposal must be submitted. No other distribution of the proposal
shall be made by the Offeror.
1.
Proposal Preparation: Proposals shall be signed by an authorized representative of the Offeror. All
information requested should be submitted. Failure to submit all information requested may result in the purchasing
agency requiring prompt submission of missing information and/or giving a lowered evaluation of the proposal.
Proposals which are substantially incomplete or lack key information may be rejected by the purchasing agency.
Mandatory requirements are those required by law or regulation or are such that they cannot be waived and are not
subject to negotiation.
a. Proposals should be prepared simply and economically, providing a straightforward, concise description of
capabilities to satisfy the requirements of the RFP. Emphasis should be placed on completeness and clarity of
content.
b. Each copy of the proposal should be bound or contained in a single volume where practical. All documentation
submitted with the proposal should be contained in that single volume.

c. Ownership of all data, materials and documentation originated and prepared for the RFP shall belong exclusively
to the Alexandria City Public Schools and shall be subject to public inspection in accordance with the Virginia
Freedom of Information Act. Trade secrets or proprietary information submitted by an Offeror shall not be subject
to public disclosure under the Virginia Freedom of Information Act; however, the Offeror must invoke the
protections of Section 2.2-4342 (F) of the Code of Virginia, in writing, either before or at the time the data or other
material is submitted. The written notice must specifically identify the data or materials to be protected and state the
reasons why protection is necessary. The proprietary or trade secret material should be submitted in a separate
sealed envelope and marked proprietary. The classification of an entire proposal document, line item prices and/or
total proposal prices as proprietary or trade secrets is not acceptable and will result in rejection of the proposal.
d. Debriefing: The entire RFP file, including ratings and justifications of award, will become public information and
be available for review only after an award is made.

V. CONFLICT OF INTEREST
1.
Neither the Contractor nor any person or company affiliated with it shall have, during the term of this contract
and any extension thereof, any contractual or other financial relationship with ACPS or the City, any ACPS or City
Prime Contractor, or with any subcontractor or supplier to any ACPS or contractor other than the contractual
relationship established under this Contract, unless an exception is granted as described below.
2.
Upon request of the Contractor and upon full disclosure and for good cause the Procurement Officer may in
his/her sole discretion grant an exception to the requirement of 1., above, when in his judgment the exception will
not create a conflict between the Contractors duties and obligations under this contract and the duties and
obligations imposed on the Contractor under the contractual or other relationship for which an exception is
requested.
3.
If, during the performance of this contract and any extension thereof, the Contractor becomes aware of any
relationship, financial interest, or other activity in which it or an affiliated person or company is involved which is
not in compliance with the provisions of 1, above, it shall promptly notify the Procurement Officer in writing and
fully disclose all circumstances thereof. Should the Procurement Officer not grant an exception to the requirements
of this Article, the Contractor shall, within ten (10) days of written notice from the Purchasing Officer to do so, take
all action necessary to comply with the terms of 1, above.
4.
If the Contractor fails to comply with the terms of this Article, the Purchasing Officer, may withhold
payments due under this contract until such time as the Contractor is in compliance or, should the non-compliance
remain uncorrected at the expiration of ten (10) days from written notice from the Purchasing Officer as provided in
3., above, terminate the contract for default.
5.
The Contractor in performing this Contract shall avoid any conduct which might result in or give the
appearance of Creating for ACPS, The Alexandria City School Board or employees of ACPS or the City in their
relationship with the Contractor any conflicts of interest or favoritism and/or the appearance thereof and shall avoid
any conduct which might result in a Board Member, ACPS employee failing to adhere to the Standard of Conduct
adopted by ACPS.
6.
Any determination by the Procurement Officer under this Article shall be final and shall be considered a
question of fact within the meaning of Disputes of this Contract.

VI. EVALUATION CRITERIA


These criteria are to be utilized in the evaluation of qualifications for development of the shortlist of those offerors
to be considered for negotiations. Individual criteria may be assigned varying weights at the discretion of the City
Of Alexandria and Alexandria City Public Schools to reflect relative importance.
A. Experience in providing CPM similar services to project owners;
B. Identification of firms full service consultant team for support tasks listed above:
1. Experience, qualifications, licenses, and any certifications held for and/or by personnel
assigned for this service. Special mention shall be made of direct supervisors and key
technical personnel; their role to ensure the personnel under them have a full understanding of
the work to be performed, as well as their role to ensure a high level of quality performance
from their personnel. The key personnel named in this proposal shall remain responsible
throughout the period of this Contract. No replacement may be made without final approval
being granted by the Procurement Officer. Understanding of federal, state, and City of
Alexandria codes/ordinances.
C. Past performance/references. Please list project completed within the last 3 years:

1. Provide information that documents your organizations qualifications and if applicable, your
subcontractors qualifications, including licenses and/or certifications held, your ability,
capacity, skills and number of years of experience in providing these services.

VII. EVALUATION PROCESS


Proposals will be evaluated and interviews scheduled with selected firms. Selection shall be made of two or more
offerors deemed to be fully qualified and best suited among those submitting proposals, on the basis of the factors
involved in the Request for Proposals (RFP). Interviews shall then be conducted with selected offerors. After
interviews and negotiations have been completed, Alexandria City Public Schools shall select the offeror, which, in
its opinion, has made the best proposal, and shall award the contract to that offeror. Should Alexandria City Public
Schools determine that only one offeror is fully qualified or that one offeror is clearly more highly qualified than
others, a contract may be negotiated and subsequently awarded to that offeror.
VIII. AWARD
Award shall be made to the responsible offer whose proposal is determined in writing to be the more advantageous
to the city taking into consideration price and the evaluation factors set forth in the request for proposals. The
contract file shall contain the basis on which the award is made. The award of a contract shall be the sole discretion
of Alexandria City Public Schools. The award shall be based on the evaluation of all information as Alexandria City
Public Schools may request. Alexandria City Public Schools reserves the right to accept or reject any or all
proposals in whole or in part and to waive any and all informalities in the RFP. Further, Alexandria City Public
Schools reserves the right to enter into a contract deemed to be in its best interest.
The right is reserved to accept or reject any or all submittals in whole or in part and to waive any informalities in the

RFP, and to enter into any contract deemed to be in the best interest of the Alexandria City Public Schools.
IX. PROPOSAL SUBMISSION REQUIREMENTS
Offerors should include as part of their proposal, the following information:
A.

Introduction letter, signature page and addenda acknowledgement, if applicable.

B.
A detailed narrative demonstrating the offerors understanding of the significance of each task
listed herein as well as their detailed solution being offered. This should include the various methods and
approach utilized by the consultant to provide such services and what Alexandria City Public Schools
would stand to gain by entering into a contract with the firm.
C.
A detailed description of their experience for providing these services to other governmental
clients.
D.
Describe the qualifications and skills of the organization to provide the services. At a minimum,
this should include background information about the firm, management structure, related qualifications to
perform the services, and the organizational structure.
E.
Resumes of only those staff to be assigned to work on behalf of Alexandria City Public Schools
and geographical location of the service facility and office through which this contract shall be
administered.
F.
References for only contracts similar to those listed herein.
G.

Cost for Services. This should include specific costs for services to be provided by the
consultant. I.E.: maximum cost of the services, as well as specific charges, hourly rates,
retainers, and/or any other basis of billing proposed by the consultant.

X. ADDITIONAL SERVICES
Throughout the original contract term and any subsequent renewal periods, the Contractor may be utilized, at the
sole discretion of the Alexandria City Public Schools and the City of Alexandria, to provide additional enhanced
services within the scope of the original contract. Rates/cost for those additional services shall be negotiated
between the parties; however, they shall not be greater than those usual and customary rates charged for the same or
similar services.
XI. CONTRACT TERM
At a minimum, it is Alexandria City Public Schools desire to enter into an initial three (3) year contract with a
qualified offeror with the Citys sole option to renew the contract for three (3) additional, one (1) year terms.
XII. CONTRACT CANCELLATION
The Alexandria City Public Schools may cancel any resulting contract with the contractor at any time by giving
thirty (30) days written notice. The contract may be canceled without notice for vendor non-performance.
Cancellation shall not release the vendor from legal remedies available to the City.
The Contractor may cancel the contract upon ninety (90) days written notice to the City. The Contractor shall not be
entitled to lost profits or any further compensation not earned prior to the time of cancellation.

XIII. SUBCONTRACTS
No portion of the work shall be subcontracted without prior written consent of the Alexandria City Public Schools.
In the event that the Consultant desires to subcontract some part of the work specified herein, the Consultant shall
furnish the City with the names, qualifications and experience of their proposed subcontractors. The Consultant
shall, however, remain fully liable and responsible for the work to be done by its subcontractor(s) and shall assure
compliance with all requirements of the contract.
XIV. INSURANCE
By signing and submitting a bid or proposal under this solicitation, the proposer certifies that if awarded the
contract, it will have the following insurance coverage at the time the work commences. Additionally, that it will
maintain these during the entire term of the contract and that all insurance coverage will be provided by insurance
companies authorized to sell insurance in Virginia by the Virginia State Corporation Commission. During the period
of the contract Alexandria City Public Schools reserves the right to require the Proposer to furnish certificates of
insurance for the coverage required by Alexandria City Public Schools and the Commonwealth of Virginia as
indicated below:

Workers Compensation- Statutory requirements and benefits
2.
Employers Liability- $100,000.
3.
General Liability- $1,000,000 combined single limit. Alexandria City Public Schools is to be named as an
additional insured with respect to the services being provided. This coverage is to include Premises/Operations
Liability, Products and Completed Operation Coverage, Independent Contractors Liability, Owners and
Contractors Protective Liability and Personal Injury Liability.

Automobile Liability- $500,000
XV. OWNERSHIP OF MATERIAL
Ownership of all data, material and documentation originated and prepared by the proposer and successful
Contractor for Alexandria City Public Schools pursuant to this solicitation and any resulting contract shall belong
exclusively to Alexandria City Public Schools and be subject to public inspection in accordance with the Virginia
Freedom of Information Act.
XVI. METHOD OF PAYMENT
Unless otherwise negotiated, payment will be made upon completion/delivery of project, with Invoice Terms of Net
30.
XVII. PROPOSAL COST
Negotiated costs shall be firm and fixed throughout the contract period. State sales tax shall not be included in
prices. No extra charges shall be allowed.
XVIII. TRADE SECRETS AND PROPRIETARY INFORMATION
Trade Secrets or Proprietary information submitted by an offeror in connection with a procurement transaction shall
not be subject to public disclosure under the Virginia Freedom of Information Act; however, the offeror must invoke
the protections of this section prior to or upon submission of data or other materials to be protected and state the
reasons why protection is necessary. Information leading to the decision to award, including prices and other factors,
shall be made public (Section 2-557.2 of the Code of the City of Alexandria).

XIX. COOPERATIVE PROCUREMENT
The Alexandria City Public Schools and City of Alexandria issue this Request for Proposals (RFP) as a
cooperative effort for both entities to use and benefit from the resulting services. This joint procurement is done
pursuant to Code of Virginia, Virginia Public Procurement Act, 2.2-4304. Cooperative procurement.
