READ THIS CONSENT AND RELEASE CAREFULLY BEFORE SUBMITTING YOUR PHOTOGRAPH (THE IMAGE). PLEASE
NOTE THAT BY SUBMITTING THE IMAGE YOU MAY BE WAIVING YOUR VALUABLE LEGAL RIGHTS AND YOU SHOULD
CONSULT YOUR ATTORNEY BEFORE SUBMITTING THE IMAGE. By submitting the Image, you hereby agree to the following
terms and conditions:

You irrevocably grant to Zachry Brown, the Zac Brown Band, their respective affiliates and their respective
officers, employees, agents, licensees, representatives, successors, designees and assigns (individually or collectively,
ZBB), those on behalf of whom ZBB is acting, and those acting with ZBBs authority and permission, the unrestricted,
royalty-free, irrevocable, absolute and perpetual right and permission to use, re-use, publish, re-publish, edit, prepare
derivative works from, distribute, display, exhibit, transmit, broadcast, televise, digitize or otherwise exploit the Image
without restriction and for any purpose whatsoever (including, without limitation, commercial exploitation, advertising,
promotion, artwork and/or marketing and packaging for any product or service), perpetually in any and all media now
known or hereafter devised, including, without limitation, incorporation of the Image into a Black Out The Sun tour
slideshow by ZBB. ZBB shall have the right to edit, alter, retouch, add to, delete from, enhance and otherwise modify the
Image and to create derivative works based on the Image, including the right to use the Image alone or in conjunction
with any other print, sound, digital, and/or other matter. You hereby irrevocably waive any right that you may have to
inspect or approve the Image or any materials that may be used in conjunction therewith or the use to which it may be
applied. You shall not (and shall not authorize any other party to) publish, display, use or exploit the Image in any
manner whatsoever that states, suggests or implies an association with ZBB or any of them. You hereby irrevocably and
unconditionally waive, throughout the world, all moral rights in or relating to the Image, including, without limitation, any
and all rights of paternity, integrity, attribution, disclosure and withdrawal and any other rights that may be known as or
referred to as moral rights, artists rights, droit moral or the like. You acknowledge that any Image will not be held
in confidence and your submission of an Image does not create a confidential relationship or obligation of secrecy
between you and ZBB.

You hereby release, discharge and agree to save and hold harmless ZBB, all persons functioning under ZBBs
permission or authority or those for whom ZBB is acting from, and covenant not to sue the same for, any claims,
demands, losses or causes of action, known or unknown, that you (or any person or entity on my behalf) may have for
libel, defamation, slander, invasion of privacy, invasion of right of publicity, infringement of copyright or trademark or
violation of any other right arising out of, or relating to, any use of the Image and rights granted hereunder. You
represent and warrant that the Image will be wholly original and will not infringe or violate the rights of any third party
(including rights of privacy, copyright, trademark or other intellectual property right) nor be defamatory. You hereby
indemnify ZBB against all claims, actions, losses, damages, judgments and liabilities resulting from any breach by you
hereof including without limitation any representations or warranties. In no event shall you have any right to seek or
obtain injunctive or other equitable relief in connection with the Image, products derived therefrom or the advertising,
promotion, use or exploitation thereof.

3.
This consent and release shall be governed by and interpreted in accordance with the laws of the State of
Georgia applicable to agreements entered into and wholly performed in such state, without any regard to any conflict of
laws principles. You hereby agree that the exclusive jurisdiction and venue for any action, suit or proceeding based upon
any matter, claim or controversy arising out of this consent and release shall be in the state of federal courts located in
Fulton County, Georgia. This consent and release shall be binding upon you and your heirs, representatives and assigns.
You hereby affirm that you are at least eighteen (18) years of age, and have the right to contract in your own name.
You have read the above consent and release, prior to submission of the Image, and you fully understand the contents
hereof.
