Construction Joint Stock Company which was approved by Ha Tay Peoples Committee in investment in
Decison No.1133/QD-UBND dated 26 September 2006 (Decision No.1073);

Decision No.1385/UBND-XD dated 7 October 2005 of Ha Tay Peoples Committee on approving
master plan scale 1/500 of Van Phu new urban area, Ha Dong town, Ha Tay province (Decision No.1385);

the Branch of Quang Ninh Housing Business and Investment Construction Joint Stock Company and
INPYUNG Company Limited (Principle Agreement);

Investment Certificate No.031043000230 issued by Ha Tay Peoples Committee on 19 May 2008
permitting INPYUNG Company Limited in establishing INPYUNG Vietnam Company Limited to implement
the project of Business center and office for lease INPYUNG VINA at Van Phu new urban area, Ha Dong
town, Ha Tay province (Invesment Certificate).

Party A has completed the investment construction on compatible infrastructure of the Project and has
right to transfer the land use right in accompanying with project development right to the secondary investor in
investment, devlopment of the Project in accordance with Vietnamese laws.
THEREFORE, AFTER DICUSSION AND NEGOTIATION, the Parties hereto agree to enter into this
Agreement with the following terms and conditions:
Article 1.
Definition and explanation
1.1.
Definition:

In this Agreement, unless otherwise required, the capitalized words and phrase shall have following
meanings:
"The Parties" means Party A and Party B;
"Project" means the Project of business center and office for lease INPYUNG VINA at Van Phu new urban
area, Ha Dong town, Ha Tay province which shall be implemented by Party B in accordance with the
Investment Certificate.
Project Of New Urban Area means the project of Van Phu new urban area, Ha Dong town, Ha Tay that
Party A is investor in accordance with Decision No.1073;
Agreement means this Agreement on assignment of land use right accompanying with the right on project
development;
Transfer Value has meaning as regulated in Article 3.2 of this Agreement.
Land Plot means the land plot which is marked [--], with total area of 10,370m2 (ten thousand three
hundred and seventy square metres) with technical infrastructure in Van Phu new urban area, Ha Dong town,
Ha Tay district to implement the Project. Mark of the Land Plot is defined in accordance with Master Plan
Scale 1/500 and exact area of the Land Plot shall be defined in actual by the Parties in Minutes on transferring
landmark.

Working Day means any day exept for (i) Saturday, Sunday and holidays of Vietnam and (ii) any day that
the banks in Vietnam are permitted or forced to close door in accordance with regulations of the competent
authority.
Master Plan Scale 1/500 means the master plan with scale 1/500 of Van Phu new urban area, Ha Dong
town, Ha Tay province approved by Ha Tay Peoplec Committee in Decision No.1385, Decision No.1206 and
Decision No.927 and the amendments, supplementations approved by competent authority (if any).
"United States Dollar or "USD" means the legal currency unit of United States of America.
Dong or VND means the legal currency unit of Vietnam.
1.2
Explanation principle: Heading and name of the Articles of this Agreement are for reference
convenience only and shall not effect to contents of related articels. If there is conflict between contents of a
certain article with its heading, content of such article shall be used to solve problem in such article.

Article 2.
Object of the Agreement
Party A, as the investor of Project Of New Urban Area , agree to transfer land use right of the Land Plot with
the whole right of investment, construction, development, management and business of the Project in the Land
Plot to Party B in accordance with this Agreement. Party B, as the secondary level investor, agrees to receive
the land use right with the whole right of investment, construction, development, management and business of
the Project in the Land Plot, accordingly, Party B will pay to Party A transfer value of the land use right in the
land Plot in compliance with the Article 3 below.
Article 3.
Transfer value
3.1
The transfer value of of the land use right per square metter (m2) applicable to the Land Plot shall be
calculated on the basis of land use fee that Party A paid to Ha Tay province, compensation and site clearance
cost, construction cost for infrastructure and other cost. Accordingly, the Parties herein argee that transfer price
per m2 of the land use right of the Land Plot shall be three million Dong per m2 (3,000,000VND/m2).
3.2
Total value of the land use right of the Land Plot is Thirty one billion, one hundred and ten million
Dongs (3,000,000VND/m2 x 10,370m2 = 31,110,000,000VND) (Transfer Value).
The Transfer Value in this Article 3.2 is exclusive of value added tax 10% in accordance with
Vietnamese law.
3.3

Payment schedule:

Party B will pay Transfer Value to Party A according to following payment schedule:
3.3.1
The Parties herein confirm that INPYUNG Company Limited, the investor of the Project according
to Investment Certificate, transferred to Party A an amount of two hundred and fifty two billion, seven hundred
and sixty seven million, O hundred and seventy thousand, one hundred and fourty five Dongs
(252,767,070,145VND) (The Advance Amount) as the deposit and being on account for the receive of land
use right of 118,673m2 land (Total Area To Be Transferred) for implementing projects in the New Urban
Area, including the Project. Therfore, the Parties herein agree that part of the Advance Amount equivalent to
rate of the Land Plot area in comparison with Total Area To Be Transferred or twenty two billion, O hundres
and eighty seven five hundred and thirty nine, O hundred and thirteen Dong (22,087,539,013VND) ( the
Deduction) shall be deducted to Transfer Value as one of Party Bs payment to Party A according to this
Agreement.
3.3.2
The different money amount between Transfer Value and the Deduction is Nine billion, O hundred
and twenty two million, four hundred and sixty, nine hundred and eighty seven Dongs (9,022,460,987 VND)
shall be paid by Party B tp Party A within fifteen days (15) as from the signing date of this Agreement.
3.4
The payment of Transfer Value of Party B to Party A in accordance with this Agreement shall be done
to bank account of Party A as regulated below or any other account as notice of Party A from time to time:

3.5
In case Party B pay the Transfer Value in United States Dollar, the exchange rate shall be the selling
price in favor of United States Dollar fixed by Vietnam Commercial Bank at the payment time.
3.6
In case Party B delay the payment of Transfer Value as regulated in this Agreement, Party B must bear
a penalty for overdue payment beside the Trasnfer Value with the rate of two percent [2%] per month which is
accounted on the overdue payment amount of Transfer Value as from the date of expiring date to the date that
Party B fully pay to the Guarantor.
Article 4:
Hand over of the Land Plot
Within five (5) Working Days as from the date that Party B fulfilled its payment obligation according to Article
3 above (including the payment for penalty amount for overdue payment (if any)), Party A will hand over the
Land Plot to Party B in actual. The Parties will determine landmark of the Land Plot in actual and will make
the Minutes on hand over the landmark.
Article 5:
Rights and obligations of the Parties
5.1
Rights and obligations of Party A:
(a)
Party A, as the investor of the Project of New Urban Area, will have right to supervise the
investment, construction, development, management and doing business the Project on Land Plot in
compliance with regulations of laws and for ensuring that Party B implemented the Project as schedule and
technical standard raised on Investment Certificate, Master Plan Scale 1/500, preliminary design and execution
technical design approved by competent authority;
(b)
Party A, at any time, with a acceptable reason may require Party B in providing with necessary
information relating to the implementation of the Project for the purpose mentioned in Item (a) Articel 5.1.1
above.
(c)
Party A ensures and commits that Party A will have right to transfer land use right of the Land Plot
according to Vietnamese laws to Party B and Party A will continuosly maintain necessary licenses for ensuring
legality of this transfer.

(d)
Party A commits that all of infrastructure in compatible with the Project shall be completed by Party A
in accordance with approved standard of the state competent authorities.
(e)
Party A ensures that after the entire Land Plot is handed over to Party B, Party B can immediately
proceed with the construction works.
(f)

Party A has obligation in ensuring security order, environmental hygiene around the Land Plot.

(g)
Party A will make good condition to Party B in connecting infrastructure and works which is built on
the Land Plot into general infrastructure of the Project of New Urban Area;
(h)
After Party B completed its payment obligation according to this Agreement, Party A will issue value
addeed tax bill for the Transferred Value.
(i)
Party A, within its capacity, will assist and cooperate with Party A in proceeding related procedure to
complete the transfer of land use right of the Land Plot in accordance with Vietnamese law including the
conclusion of land leasing agreement with state competent authority and apply for land use right certificate
with the Land Plot.
5.2

Rights and obligations of Party B

(a)
After Party B received the Land Plot from Party A shall be response for implementing its right in
investment, construction, development, management and doing business of the Project on Land Plot in
compliance with the Invesment Project and Vietnamese law. Party B, by its expense, will apply for necessary
permits, approvals of competent authorities for implementing its right in investment, construction,
development, management and doing business of the Project on Land Plot.
(b)
Party B after receiving the Land Plot in actual, according to regulation of Article 4 above, by its
expense will carry out necessary procedures to complete procedure relating to the transfer of land use right of
the Land Plot in accordance with Vietnamese laws, including the conclusion of land leasing agreement with
state competent authority and apply for land use right certificate with the Land Plot.
(c)
Party B has obligation in making payment all taxes, fees, official fees and other fees relating to the
transfer of land use right of the Land Plot according to this Agreement;
(d)
Party B is used the Land Plot for sole purpose of implementing the Project in accordance with its
Investment Certificate, Master Plan Scale 1/500 and in compliance with laws and regulations of Vietnam,

(e)
Construction and completion of architectual works on the Land Plot im compliance with the Project
and as regulated in Investment Certificate, Master Plan Scale 1/500, the preliminary designs and technical
designs approved by state competent authorities;
(f)
Party B commits that Party B will ensure implementation schedule of the Project according to
regulated schedule in Investment Certificate. In case, Party B does not implement as regulated schedule, Party
B will have responsible in reimburse all expense, charge, damage caused by such delay of implementation of
the Project to Party A, beside the sanction forced by states competent authorities that Party B is borne;
(g)
Party B herein commits that, during implementation process of the Project, if it cause any damage to
any works in the Project of New Urban Area, Party B will have responsible in reimburse to Party A all
expense, charge for restoring, repairing such infrastructure works.
(h)
Party B herein commits and confirms that, Party B will pay maintenance fees, annual fee including but
not limited to service fee for infrastructure maintenance, electrical illuminate fee, external fence protection fee,
public hygiene fee, verdure care fee basing on the concusion of service provision agreement with Party A or
any third party.
(i)
Party B herein commit and confirm that, Party B will comply all regulations, charter of the new urban
area issued by Party A or any third party in condition that this regulations, charters of such new urban approved
by state competent authority.
Article 6:
Confidentiality
The Parties hereto shall keep strictly secret and confidential all of the contents of this Agreement and all other
terms and conditions agreed during the negotiations. Such contents shall not be disclosed to any third party
unless required by laws or competent authorities for the disclosure
Article 7:
Applicable laws and Dispute Settlement
This Agreement is stipulated and explained in accordance with laws of Socialist Republic of Vietnam. Any
disputes arising out and/or in relation to this Agreement, if it cannot be settled by amicable, negotiations
between the related Parties within three (03) month as from the date that arise such dispute, one of the related
Parties will have right to bring such dispute to Vietnam International Arbitration Center (VIAC) beside the
Vietnam Chamber of Commerce and Industry to solve under procedural principle of Vietnam International
Arbitration Center. Decision of the Arbitrator shall be valid and binding with the Parties.
Article 8:
Amendment and suplementation of the Agreement
Any amendment, suplementatuon of this Agreement shall be made in writing and be signed by competent
representative of the Parties.

Article 9:
General provision
9.1
This Agreement takes effect as from the signing date, all previous agreement between the Parties
relating to the Land Plot shall be void.
9.2
This Agreement is made into six (06) sets, each set includes one (01) copy in English, one (01) copy in
Vietnamese and one (01) copy in Korean with equal validity. Each Party shall keep one (01) set. One set shall
be submitted to competent authority for completing procedure of trnasferring land use right of the Land Plot.
IN WITNESS WHEREOF, HEREIN, competent representative of the Parties signed into the Agreement on
the date writing above of the Agreement.
