Toilet 4x4 By-Laws

Article 1.

The name of this club shall be Toilet 4x4.

Article 2.

Membership and Dues

Membership Qualifications:
o Membership is open to all forms of 4WD vehicles, not being limited to only a Jeep club.
o Members will uphold the clubs set by-laws, and abide by the Northeast Association of
4WD code of conduct.
o Members will also abide by Tread Lightly legislation, and all or any of Federal, State, or
Local Laws.
Disciplinary Action:
o Any member that fails to maintain compliance with the Membership Qualifications shall
be subject to disciplinary action by the Board of Directors.
o Disciplinary actions may be, but are not limited to, censure, suspension, or removal
from the association.
o Membership dues are non-refundable if a member is removed from the club.
Membership Withdrawal
o If a club member decides to withdraw from the club (which is his or her right) at any
time, the membership dues are non-refundable.

Article 4.

Mission Statement

This club is created for the purpose of promoting the principal of safety in off-road vehicles and
for the enjoyment of all members. The clear focus and commitment of each club member to
promote the safe and responsible use of off-road vehicles is a requirement. In addition to the
club by-laws, we abide by all Federal, State, and Local Laws in any relation to the four-wheeling
hobby. Safety is number one, so all safety restraints are needed, drugs or alcohol use are
prohibited, and it is unlawful to trespass on private property.

Article 3.

Name

Executive Officers

The Executive Officers will consist of President, Executive Vice President, Vice President of
Environmental Affairs, Treasurer, and Secretary.
President:
o Presides over Business Meetings and online votes.
o Enforces Association by-laws
Executive Vice President:
o Temporarily assumes the duties of the President when the President is not available.
o Assists President with any leading roles.
Vice President of Environmental Affairs:
o Provides leadership over the clubs land use activities.

Treasurer:
o Shall be responsible for the management of the clubs finances.
o Ensures compliance with legal and contractual requirements.
Secretary:
o Maintains club documents including meeting minutes, by-laws, membership lists, and
operating procedures.
o Ability to provide copies of club documents upon request from any member.
o Hold any meeting notes and decisions for further follow up if required.
Line of Succession:
o When both the President and Vice President are unavailable then the line of succession
will be Vice President of Environmental Affairs, Treasurer, and then Secretary.
Execution of Papers:
o In order to conduct daily business, the Executive Officers shall be authorized to sign all
legal forms and documents on behalf of the club.
o Any and all new business requires approval through club officers.

Voting

All official club members are entitled to one vote.


Acceptable votes shall be FOR or AGAINST.
A member may abstain from voting without affecting the quorum.
Except if otherwise stated, a motion passes with the majority of FOR votes cast.

Article 8.

Meetings

The clubs Executive Officers will hold a meeting at least once per quarter at a determined
location and time.
Any officer who is absent from more than one quarterly meeting shall be subject to disciplinary
action by the Executive Officers.
All members are to attend quarterly meetings, not limited to just officers.

Article 7.

The Fiscal Year for the club will extend from February 1st to January 31st of the following
year.
All funds will be deposited in such banks or depository as determined by the club.
All expenditures of the clubs funds must be approved by the Executive Officers.
Reporting:
The Treasurer must maintain accurate records of the clubs finances and be able
to present a report of financial activity at each business meeting.
The Treasurer must be able to produce bank statements for the past twelve
months upon request by Executive Officers.

Revision & Amendment

These by-laws may be revised or amended by two-thirds vote of the Executive Officers.
