CONTRACT TO SELL

KNOW ALL MEN BY THESE PRESENTS:


This Deed of Conditional Sale (the Deed), made and executed on this 31th day
of August, 2016, in Makati City, by and between:

NAME, of legal age, Filipino, married to. ___________________________; with


residence and postal address at 195 Doa Soledad Extension, Better Living
Subdivision, Paraaque City, hereinafter referred to as the SELLER;
- And
NAME, of legal age, Filipino, married to _____; with residence and postal
address at 10 Maranaw Street, La Vista Quezon City, hereinafter referred to as the
BUYER;

WITNESSETH:

WHEREAS, the SELLER is the registered owner of a Condominium Unit located


at <address>, with a floor area of _____ and Parking located at ____ , with a floor area
of ____ SQUARE METERS (collectively the Property), covered by Condominium
Certificate Title No. _____ of the Registry of Deeds, Tax Declaration No. ____ New, Deed
of Assignment and Transfer of Rights and Certificate of Full Payment. Copies of which
are attached as Attachments 1, 2, 3 and 4, respectively and made integral parts
of this Deed.

WHEREAS, the SELLER desires to sell, and the BUYER desires to buy the same.
NOW THEREFORE, for and in consideration of the aforementioned premises
and the conditions hereinafter written, the SELLER hereby sells to the BUYER and the
BUYER hereby purchases from the SELLER under terms and conditions as follows:

The total agreed purchase price is _____, Philippine Currency, payable as follows:
a.) Earnest Money of ____), Philippine currency, shall be paid
in cash or Managers Check payable to the SELLER upon
the execution of this Contract to Sell.
b.) All the transfer fees for the procurement of the new CTC
will be paid by the BUYER directly to _____ .

c.) Series of Managers checks and/or Cash shall be issued


payable to the following liabilities of the BUYER as follows:

d.) _____. will issue receipts and documents evidencing


payments of transfer fees with the commitment that the
new Condominium Certificate Title will be transferred to
the BUYERs name on or before ___________________.
e.) Receipts and documents of which is hereby acknowledged
by the SELLER.
f.) Upon the issuance by ______. of the official receipts for the
transfer fees and upon signing the Deed of Absolute Sale
with _____. and the execution of the Deed of Assignment,
the BUYER shall immediately and simultaneously pay the
remaining balance of _____, Philippine Currency, in cash or
Managers Check payable to the SELLER.
g.) Upon the execution of Deed of Absolute Sale, issuance of
Deed of Assignment, turnover of original documents from
the SELLER to the BUYER, issuance of Official Receipt by
____. for the transfer fees, and SELLERs receipt and
acknowledgement of payment of the balance evidencing
full satisfaction of the payment obligation, the SELLER
shall deliver all keys and possession of the subject property
to the BUYER.
As conditioned in the above stated process, a Deed of Absolute Sale in
substantially the same form as that attached hereto as Annex A, shall be executed

between the SELLER and the BUYER transferring ownership of the property to the
BUYER.

The SELLER shall execute, deliver and submit to the BUYER all such further
documents and instruments as maybe necessary in order that the title shall be
transferred to the name of the BUYER.

The SELLER shall pay the capital gains tax for the sale of the above property, real
estate taxes and association dues up to the end of ____, and the brokers commission.

The BUYER shall pay the documentary stamp tax, transfer tax, registration fees,
city tax, representation expenses with BIR, I.T. Fees and Miscellaneous fees for the
transfer of the title in the name of the BUYER.

Forfeiture Clause:
a) Should any of both parties fail to fulfil the agreed obligations under this
Contract to Sell or in the Deed of Absolute Sale, as may be executed, the
transaction shall stand cancelled, unless both parties deem otherwise.
b) In the event of the BUYERs failure to fulfil the above mentioned
obligations, representations, and warranties in this Contract or in the Deed
of Absolute Sale, it shall likewise cause the cancellation of this contract
and full forfeiture of the Earnest Money in favour of the SELLER.
c) Failure of the SELLER to fulfil their obligations, and warranties in this
Contract to Sell or in the Deed of Absolute Sale shall render this
transaction cancelled with the obligation to fully refund the Earnest
Money to the BUYER.

The SELLER hereby warrants valid Certificate of Full Payment, Deed of


Assignment and Transfer of Rights, Certificate of Condominium Title and Tax
Declaration to the Property to as well as peaceful possession of the Property of the free
from any liens and encumbrances and that there are no persons or entity claiming or
having any claim on title, rights and interests over the Property. The SELLER binds
himself to defend the rights of the BUYER against lawful claims of third parties
whatsoever;
