After mutual discussion, the two Parties hereto agree to sign the Contract with the
following terms and conditions:
1. Contract Scope: Party B is requested to calibrate the hydraulic jack for IC No.3
Project;
2. Contract Period: The contract is effective since the signing date and terminated
after both parties finished their obligations;

Investment Cooperation additionally

3.2. Payment item:

3.2.1. Payment method: one-time payment in Phnom Penh Cambodia after
the end of the calibration;
3.2.2. Payment model:thanh ton bng tin la m theo mc 3.1.

3.2.3. Transaction fee: the transaction fee will be paid by party A;

4. Work schedule: Commence the calibration jack work on September 08th , 2016
and complete the work within 04 days;
5. Rights &Obligations of Party A
5.1. Party A arrangements the place, stay, move to perform the calibration in Phnom
Penh, Cambodia;
5.2. Party A to prepare equipment and personnel for Calibration;
5.3. Party A have the right to witness the calibration process and inspect the result;
5.4. Party A should make the payment as stipulated in Clause 3.2.
6. Rights& Obligations of Party B
6.1. Party B secured and perform equipment calibration as schedule signed;
6.2. Ensuring the technical parameters, the results of the calibration device. Comply
with all the rules of the calibration process;
7. Contract Termination:
7.1. If one party terminates the contract unilaterally without informing or discussing
with the other party, causing damages to the economic interests of the other party,
they will be entirely responsible for compensating the other party for those
damages.
8. Arbitration: During the execution of this contract, if any disputes occur, the two
parties should attempt to negotiate and resolve all disputes in the spirit of
reconciliation, good will and co-operation. If there are any disputes which cannot
be resolved by the mutual agreement of both parties, it will then be judged by
Cambodia National Arbitration Center. The award of the Cambodia court shall be
final and compulsory to both parties. During the procedural period or during the
time when the Court is handling the case and has not reached decision, both parties
will continue performing their duties and responsibilities according to the contract
regulations.
9. Other Provisions: IN WITNESS THEREOF, this contract is signed by two parties
in four originals with each party holding two originals with same validity.
