Preamble

Architectureisasocialartthattouchesallhumanbeingsatalllevelsoftheirexistence

everywhereandeveryday.Thisistheonlydiscipline,whichencompassesthefourmajorfieldsof

humanendeavour:Humanities,Science,Art,andTechnology,actuallyputtingintopracticethe

professionalinputsdrawnfromthem.Insum,Architectureisthematrixofhumancivilization­an

authenticmeasureofthesocialstatus,andanevocativeexpressionoftheethosofanera.When

conserved,itisheritageandwheninruins,itbecomesarchaeology,reconstructingtell­tale

picturesofthepastcivilizations.

Thedemandsontheprofessionovertheyearshavebecomemuchmorecomplexinnatureand

muchwiderinscope.ArchitectureusesthephilosophicwholesomenessofHumanities,thelogical

rationalismofScience,thepassionateimaginationofArtandtheinexhaustibleresourcesof

Technology.Itcallsfororiginality,creativity,conceptualization,perception,aestheticvalues,and

aholisticjudgmentofpeople,places,objectsandevents.

Architectureisprimarilytheartandscienceofdesigningspacesforservingthemultifarious

activitiesofhumanbeingsandformeetingtheirspecificneedsinameaningfulbuiltenvironment.

WhenvariousengineeringservicesarerationallycombinedwithArchitecture'sbasicelementsof

Space,StructureandForm,theperformanceofhumanfunctionsandtheoperationofmechanical

utilitiesbecomeefficient,pleasantandfulfilling.However,initsbroadenedscopeandbaffling

complexity,ArchitecturehasgeneratedspecializationssuchasStructuralDesign,UrbanDesign,

CityPlanning,LandscapeArchitectureandInteriorArchitecture.RetrofittingofBuildings,

ArchitecturalConservation,ConstructionManagementhavealsolatelyemergedasspecializations.

Eachofthesecomplimentandsupporteachother.

TheprimaryobjectiveofStructuralDesignistoevolveastrong,durableandanefficientskeleton

sothatthespacewhicharchitectureencloses,andtheforminwhichitexpressesitselfasinterior

contentandanexteriorcontainer,becomesanorganicextensionofoneanother.Structureisso

fundamentaltoarchitecturethatitactuallydeterminesitstwo­prongedfunctions;theutilitarian

appropriatenessandtheexpressivepowerofaesthetics.Structuraldesignasacreativediscipline

assumesanindispensablepositionasanaturalextensionofArchitecturalDesign.Endowedwith

anextraordinarypowerofconceptualizationandcreativity,anarchitectcanconjureup

unprecedentedstructuralsystemsleadingtothegenesisofdesign­ideasintroducingnewconcepts

ofSpaceandForm.Inotherwords,thearchitect'scontributiontostructuraldesigncaneffectively

bringaboutqualitativechangeinthebuilt­environmenttostimulatetheadvancementofsociety

towardsahigherorderofcivilization.

UrbanDesignisarchitectureofthecities,highlycomplexandgargantuaninscale.Theprimary

aimofurbandesignistoimbibeandmaintainasenseofidentityandharmonyamongbuildings,

openspacesandotherstructuresbymeansofapleasantandmemorablevisualimagery

throughoutthelengthandbreadthofanurbansetting.Accessibilityatcity­levelandthe

movementatalllevelsmustbedesignedtooperatesmoothly.Volumetricrelationships,

harmoniousspatialsequences,transitionfrombuildingstoopenspaces,streetscapeandthe

servicesinfrastructuremusttogetherinvestatownscapewithanexclusiveimageability.

LandscapeArchitecturedealswiththeanalysis,planning,design,management,preservationand

rehabilitationoflandandalsodeterminestheenvironmentalimpact.Itisasciencecapableof

objectiveanalysisandsynthesisleadingtoanecologically­sensitivedesign,whichisself­

sustainable.Itintegratesfromtheveryconception,theelementsofarchitecture,urbandesign

andcivilengineeringformeaningfulandpracticalsolutions.Landscapearchitecturecoversawide

spectrumofprofessionalexpertise,rangingfromlandscapeplanningattheregionalandcityscale

ontheoneend,tothesmallandmediumscaleofpublicandprivatelandscapeattheother.It

involvesdealingwithsuchsitesasofficeplazas/publicsquares,highways,cityparks/national

parks,housingdevelopments,institutionalcampuses,zoologicalandbotanicalparks.

IncaseofInteriorArchitecture,theprimaryobjectiveistogenerateapurposefulambiencesuch

aswouldstimulatetheuser'screativepotentialthroughmultifariousactivities.Itmustfacilitate

theindividual'ssenseoforientation,identificationandeventualappropriationofarchitectural

spaces,thatmeldtheinteriorsandexteriorsintosymbioticrelationshipsthroughvaried

experiencesofscale,volume,lightandshade.Interiorsarenotonlytoprotecttheusersfromthe

extremesofweatherbutalsotonurturethememotionally.Sincetheinteriorspacesaretrulythe

life­forceofanybuilding,theymustbedesigned(andnotdecorated)asdetailedartistic

articulationofthebasicarchitecturalconceptwithdeepinsightandsensitivitytofulfillthe

fundamentalfunctionalandaestheticneedsthatareefficientandpleasanttoliveandworkin.The

developmentofdesignisaveryconsciousactanditinfuseslifeintointeriorssubconsciously.

Creativityistheessenceofarchitectureandharmonyanessentialaimofarchitects.Architecture

thathasbeenrecognizedasgreat,inthehistoricpastaswellasinourowntime,hasbeen

harmoniouswithnatureanditsimmediateenvironment.Thesearetheessentialtenetsofdesign

whicharchitectsaspiretofollow.

ArchitectureDesignessentiallyisaproductofanindividualmindbutrealizedthroughassociation

ofexpertsfromalliedfieldswhocontributeintheprocessofconstruction.Mutualrespectand

understandingworkwondersforensuringhighqualityoftheend­product.

Thearchitecturalprofessionfeelsdeeplyconcernedtowardsnationalprioritiesinthefieldsof

energyconservation,ecology,environmentalpollution,protectionandpreservationof

architecturalheritageandtheirprecincts,low­costhousing,urbanrenewals,ruralupliftment,

economicdevelopmentatlocalanddistrictlevels,etc.intheinterestofqualityoflifebothin

ruralandurbansettlements.

ThepracticeofthearchitecturalprofessionisregulatedbytheArchitectsAct,1972,andthe

regulationsframedthereunder.TheCouncilofArchitecturehasprescribedtheConditionsof

EngagementandScaleofChargesundertheArchitects(ProfessionalConduct)Regulations,1989.

ThedocumentsstipulatetheparameterswithinwhichtheArchitectisrequiredtofunction.These

definetheresponsibilities,thescopeofworkandservices,andprescribethemandatoryminimum

scaleofprofessionalchargeswithaviewtomakingtheClientfullyawareofthedutiesand

serviceswhichhemayexpectfromtheArchitect.TheprofessionalservicesrequiredbytheClient

maynotbecomprehensiveinscopeinallcasesandaccordinglyaclearunderstandingbetween

thetwomustbearrivedat.TheCouncilofArchitecturehasprescribedtheConditionsof

EngagementbasedongeneralpracticeoftheprofessioninIndia.Thesedocumentsareapplicable

toallregisteredarchitectsandsucharchitectswhohavespecializedinareassuchasStructural

Design,UrbanDesign,CityPlanning,LandscapeArchitecture,InteriorArchitectureand

ArchitecturalConservation.

TherevisedversionofthesedocumentsreflectstheCouncil'sresponsetothemanychallenges

whichtheprofessionofArchitectureisfacingatpresent,andisconstantlyendeavouringtomeet

themwithactiveconcernandunflinchingcommitment.

2.01AscertainClient'srequirements,examinesiteconstraints&potential;andprepareadesign

briefforClient'sapproval.

2.02Preparereportonsiteevaluation,stateofexistingbuildings,ifany;andanalysisand

impactofexistingand/orproposeddevelopmentonitsimmediateenvirons.

2.03PreparedrawingsanddocumentstoenabletheClienttogetdonethedetailedsurveyand

soilinvestigationatthesiteoftheproject.

2.04Furnishreportonmeasuresrequiredtobetakentomitigatetheadverseimpact,ifany,of

theexistingand/orproposeddevelopmentonitsimmediateenvirons.

2.05Prepareconceptualdesignswithreferencetorequirementsgivenandpreparerough

estimateofcostonareabasis.

PRELIMINARYDESIGNANDDRAWINGS[STAGE2]:

2.06Modifytheconceptualdesignsincorporatingrequiredchangesandpreparethepreliminary

drawings,sketches,studymodel,etc.,fortheClient'sapprovalalongwithpreliminaryestimateof

costonareabasis.

DRAWINGSFORCLIENT'S/STATUTORYAPPROVALS[STAGE3]:

2.07PreparedrawingsnecessaryforClient's/statutoryapprovalsandensurecompliancewith

codes,standardsandlegislation,asapplicableandassisttheClientinobtainingthestatutory

approvalsthereof,ifrequired.

WORKINGDRAWINGSANDTENDERDOCUMENTS[STAGE4]:

2.08Prepareworkingdrawings,specificationsandscheduleofquantitiessufficienttoprepare

estimateofcostandtenderdocumentsincludingcodeofpracticecoveringaspectslikemodeof

measurement,methodofpayments,qualitycontrolproceduresonmaterials&worksandother

conditionsofcontract.

APPOINTMENTOFCONTRACTORS[STAGE5]:

2.09Invite,receiveandanalysetenders;adviseClientonappointmentofcontractors.

CONSTRUCTION[STAGE6]:

2.10Prepareandissueworkingdrawingsanddetailsforproperexecutionofworksduring

construction.

2.11Approvesamplesofvariouselementsandcomponents.

2.12Checkandapproveshopdrawingssubmittedbythecontractor/vendors.

2.13Visitthesiteofwork,atintervalsmutuallyagreedupon,toinspectandevaluatethe

ConstructionWorksandwherenecessaryclarifyanydecision,offerinterpretationofthe

drawings/specifications,attendconferencesandmeetingstoensurethattheprojectproceeds

generallyinaccordancewiththeconditionsofcontractandkeeptheClientinformedandrender

adviceonactions,ifrequired.

2.14Inordertoensurethattheworkatsiteproceedsinaccordancewiththecontractdocuments/

drawingsandtoexercisetimeandqualitycontrols,theday­to­daysupervisionwillbecarriedout

byaConstructionManager(ClerkofWorks/SiteSupervisororConstructionManagementAgency

incaseofalargeandcomplexproject),whoshallworkundertheguidanceanddirectionofthe

ArchitectandshallbeappointedandpaidbytheClient.

2.15IssueCertificateofVirtualCompletionofworks.

COMPLETION[STAGE7]:

2.16Prepareandsubmitcompletionreportsanddrawingsfortheprojectasrequiredandassist

theClientinobtaining"Completion/OccupancyCertificate"fromstatutoryauthorities,wherever

required.

3.PROFESSIONALFEE:

3.01InconsiderationoftheprofessionalservicesrenderedbytheArchitect,heshallbepaid

professionalfeeandotherchargesinaccordancewiththeScaleofCharges.

3.02Anytaxleviedbylaw,suchasServicetax,etc.contingenttoprofessionalservicesrendered

bytheArchitect,shallbepayablebytheClient,overandabovethegrossfeeschargedbythe

Architectinrelationtotheservicesprovided.

4.SCHEDULEOFPAYMENT:

TheArchitectshallbepaidprofessionalfeeinthefollowingstagesconsistentwiththeworkdone

5.EFFECTINGPAYMENTTOTHEARCHITECT:

5.2Progressive,onaccount,paymentsshallbemadebytheClienttotheArchitectagainstanyof

agreedtobetweentheClientandtheArchitect.

5.3NodeductionsshallbemadefromthefeeoftheArchitectonaccountofpenalty,liquidated

damages,partratesorothersumswithheldfrompaymentorrecoveredfromcontractors/

suppliers.

5.4Whentheworkisexecutedwhollyorinpartwitholdmaterialsorlabourorcarriageis

providedbytheClient,thepercentagefeesshallbecalculatedasiftheworkhadbeenexecuted

whollybythecontractorsupplyingalllabourandnewmaterials.

5.5Theactualcostofthecompletedworksshallincludecostofexecutionofassignedworks,

referredtoinScopeofWorkandalsothecostofequipment&machinerysuchasTransformers,

DGSets,Sub­stations,Lifts,AirConditioningMachines,Pumps&Motors,WaterandSewage

TreatmentPlant,etc.,butexcludingthecostofland.

6.DOCUMENTATIONANDCOMMUNICATIONCHARGES:

Apartfromtheprofessionalfee,theClientshallpaytotheArchitectDocumentationand

Communicationcharges,@10%oftheprofessionalfeepayabletotheArchitectatallstages.

7.REIMBURSABLEEXPENSES:

InadditiontotheamountsreimbursableagainstsitevisitsbytheArchitect/Consultant,theClient

willreimbursetheArchitectthefollowingexpensesincurredbyhimfordischargeofhis

obligations:

7.01.Actualcostoftravel(to&fro),boarding&lodgingandlocaltransportforanyvisitmadeby

hisstafftothesiteorsuchotherplaceasmaybenecessaryinconnectionwiththeexecutionof

workandinconnectionwiththeperformanceofdutiesreferredtointhisagreement.

7.02.Costofpresentationmodels,computersimulation,presentationdrawings,etc.,preparedat

theinstanceoftheClientforpurposesotherthantheDesignandexecutionoftheproject.

8.CLIENT'SROLEANDRESPONSIBILITIES:

TheClientshalldischargeallhisobligationsconnectedwiththeprojectandengagementofthe

Architectasfollows:

8.01Toprovidedetailedrequirementsoftheproject.

8.02Toprovidepropertylease/ownershipdocuments.

8.03Toprovideasiteplan,toasuitablescale,showingboundaries,contoursatsuitableintervals,

existingphysicalfeaturesincludinganyexistingroads,paths,trees,existingstructures,existing

serviceandutilitylinesandsuchlinestowhichtheproposedservicecanbeconnected.Incase

suchinformationisnotreadilyavailable,theClientshallarrangeforthesurvey/collectionof

necessaryinformationandpayforthesame.

8.04TofurnishreportsonsoilconditionsandtestasrequiredbytheArchitectorpayforthe

preparationofthesame.

8.05Tofurnishspecificconditions/Statutorystipulations/CodesofPractice/Scheduleofrates,

etc.,desiredtobefollowed.

8.06Topayallthefees,levies,securitydepositsandexpensesinrespectofstatutorysanction.

8.07TogiveeffecttotheprofessionaladviceoftheArchitectandcausenochangesinthe

drawingsanddocumentswithouttheconsentoftheArchitect.

8.09ToappointaConstructionManager(ClerkofWorks/SiteSupervisororConstruction

ManagementAgencyincaseofalargeandcomplexproject)aspertheArchitect'sadvice.

9.EXECUTIONOFTHEASSIGNMENT:

9.01TheArchitectshallkeeptheClientinformedabouttheprogressofworkinhisoffice.

9.02TheArchitectshallappointspecialisedconsultantsinconsultationwiththeClient,if

necessary.

9.03TheArchitectshallberesponsibleforthedirectionandintegrationoftheconsultantswork.

Theconsultants,however,shallbefullyresponsibleforthecalculations,thedetaileddesignand

periodicinspectionandevaluationoftheworkentrustedtothem.TheArchitectshall,if

requested,makeavailablethedesigncalculations.

9.04TheArchitectwilladvisetheClientontheTimeSchedule(BarChart/PERT/CPMNetwork)

preparedbythecontractorsforthecompletionofwork,ifrequired.

9.05TheArchitectshallsupplytotheClient,freeofcost,uptosixsetsofdrawingsatdifferent

stages.

9.06TheArchitectshallnotmakeanydeviations,alterationsoromissionsfromtheapproved

drawings,involvingfinancialimplicationswithoutpriorconsentoftheClient.

9.07AnyprofessionalservicestoberenderedbytheArchitectattheinstanceoftheClientafter

theagreedprojectcompletionperiodshallbecompensatedforonmutuallyagreedterms.

9.08TheArchitectshallexerciseallreasonableskill,careanddiligenceinthedischargeofhis

dutiesandshallexercisesuchgeneralsuperintendenceandinspectionasmaybenecessaryto

ensurethatworksarebeingexecutedinaccordancewiththeConditionsofContract.

9.09Anyrevisioninthedrawings,tendersanddocuments,onceapproved,requiredtobemade

bytheClientshallbecompensatedasadditionalservicesrenderedbytheArchitectandpaidfor

@50%ofthefeeprescribedfortherelevantstage(s).

9.10Nochangeshallbemadeintheapproveddrawingsandspecificationsatsitewithoutthe

consentoftheArchitect.

9.11Anycurtailmentoftheprofessionalservices,beyondStage2,shallmakeitobligatoryforthe

clienttopayatleast20%ofthefeefortheremainingStage(s)ofthecurtailedwork/Services.

10.TIMESCHEDULE:

TheArchitectshall,inconsultationwiththeClient,prepareaTimeScheduleinrespectofvarious

servicestoberenderedanddischargeofClient'sobligations.

11.INDEMNIFICATION:

IntheeventthataclaimorsuitisbroughtagainsttheArchitectortheConsultantsbyanythird

partyfordamagesarisingfrompersonalinjuryorpropertydamagecausedwhollybytheClient,

oranyoneemployedbytheClient,oranyoneforwhoseactstheClientmaybeheldresponsible,

thentheClientshallindemnifytheArchitectandfullyreimburseanyloss,damageorexpenses,

includingtheattorney'sfees,whichtheArchitectmayincurinconnectiontherewith.

12.OWNERSHIPOFCOPYRIGHT:

ArchitecturaldesignisanintellectualpropertyoftheArchitect.Thedrawings,specifications,

documentsandmodelsasinstrumentsofservicearethepropertyoftheArchitectwhetherthe

project,forwhichtheyaremade,isexecutedornot.TheClientshallretaincopiesofthe

Architect'smodels,drawings,specificationsandotherdocumentsforhisinformationandusein

connectionwiththeproject.TheseshallnotbeusedforanyotherprojectbytheClientorthe

Architectoranyotherperson,exceptfortherepetitionasstipulatedintheScaleofCharges.

13.TERMINATIONOFAGREEMENT:

13.1AgreementbetweentheArchitectandtheClientmaybeterminatedbyeitheronegivingthe

otherawrittennoticeofnotlessthan30(thirty)days,shouldeitherfailsubstantiallytoperform

hispartofresponsibilities/duties,solongasthefailureisnotcausedbytheoneinitiatingthe

termination.

13.2WhenterminationofthisAgreementisnotrelatedorattributable,directlyorindirectlyto

anyact,omission,neglectordefaultonthepartoftheArchitect,theArchitectshallbeentitledto

professionalfeesasstipulatedunderClause4andsub­clauses9.09and9.11ofClause9.

13.3IntheeventofArchitect'sfirmclosingitsbusinessortheClienthavingterminatedthe

agreement,theClientshallhavetherighttoemployanotherArchitecttocompletethework,after

makingpaymenttothepreviousarchitect'sfirm.

14.INTERPRETATION:

IncaseofanyambiguityordifficultyintheinterpretationoftheConditionsofEngagementand

ScaleofCharges,theinterpretationoftheCouncilofArchitectureshallbefinalandbindingonthe

ArchitectandtheClient.

15.ARBITRATION:

6.DOCUMENTATIONANDCOMMUNICATIONCHARGES:

Apartfromtheprofessionalfee,theClientshallpaytotheArchitectDocumentationand

Communicationcharges,@10%oftheprofessionalfeepayabletotheArchitectatallstages.

InadditiontotheamountsreimbursableagainstsitevisitsbytheArchitect/Consultant,theClient

willreimbursetheArchitectthefollowingexpensesincurredbyhimfordischargeofhis

obligations:

7.01.Actualcostoftravel(to&fro),boarding&lodgingandlocaltransportforanyvisitmadeby

hisstafftothesiteorsuchotherplaceasmaybenecessaryinconnectionwiththeexecutionof

workandinconnectionwiththeperformanceofdutiesreferredtointhisagreement.

7.02.Costofpresentationmodels,computersimulation,presentationdrawings,etc.,preparedat

theinstanceoftheClientforpurposesotherthantheDesignandexecutionoftheproject.

8.CLIENT'SROLEANDRESPONSIBILITIES:

TheClientshalldischargeallhisobligationsconnectedwiththeprojectandengagementofthe

Architectasfollows:

8.01Toprovidedetailedrequirementsoftheproject.

8.02Toprovidepropertylease/ownershipdocuments.

8.03Toprovidelocationplan,measureddrawingsandphotographsofexistingspacewithfull

structuralandrelevantdetails,existingservicesandcommonoutletstowhichproposedservices

canbeconnected.Incasesuchinformationisnotreadilyavailable,theClientshallarrangefor

thecollectionofnecessaryinformationandpayforthesame.

8.04Tofurnishspecificconditions/statutorystipulations/codesofpractice/scheduleofrates,

etc.desiredtobefollowed.

8.05Topayallthefees,levies,securitydepositsandexpensesinrespectofstatutorysanction.

8.06TogiveeffecttotheprofessionaladviceoftheArchitectandcausenochangesinthe

drawingsanddocumentswithouttheconsentoftheArchitect.

8.07TohonourArchitect'sbillswithinonemonthofitssubmission.

8.08ToappointaConstructionManager(ClerkofWorks/SiteSupervisororConstruction

ManagementAgencyincaseofalargeandcomplexproject)aspertheArchitect'sadvice.

9.EXECUTIONOFTHEASSIGNMENT:

9.01TheArchitectshallkeeptheClientinformedabouttheprogressofworkinhisoffice.

9.02TheArchitectshallappointspecialisedconsultantsinconsultationwiththeClient,if

necessary.

9.03TheArchitectshallberesponsibleforthedirectionandintegrationoftheconsultantswork.

Theconsultants,however,shallbefullyresponsibleforthecalculations,thedetaileddesignand

periodicinspectionandevaluationoftheworkentrustedtothem.TheArchitectshall,if

requested,makeavailablethedesigncalculations.

9.04TheArchitectwilladvisetheClientontheTimeSchedule(BarChart/PERT/CPMNetwork)

preparedbythecontractorsforthecompletionofwork,ifrequired.

9.05TheArchitectshallsupplytotheClient,freeofcost,uptosixsetsofdrawingsatdifferent

stages.

9.06TheArchitectshallnotmakeanydeviations,alterationsoromissionsfromtheapproved

drawings,involvingfinancialimplicationswithoutpriorconsentoftheClient.

9.07AnyprofessionalservicestoberenderedbytheArchitectattheinstanceoftheClientafter

theagreedprojectcompletionperiodshallbecompensatedforonmutuallyagreedterms.

9.08TheArchitectshallexerciseallreasonableskill,careanddiligenceinthedischargeofhis

dutiesandshallexercisesuchgeneralsuperintendenceandinspectionasmaybenecessaryto

ensurethatworksarebeingexecutedinaccordancewiththeConditionsofContract.

9.09Anyrevisioninthedrawings,tendersanddocuments,onceapproved,requiredtobemade

bytheClientshallbecompensatedasadditionalservicesrenderedbytheArchitectandpaidfor

@50%ofthefeeprescribedfortherelevantstage(s).

9.10Nochangeshallbemadeintheapproveddrawingsandspecificationsatsitewithoutthe

consentoftheArchitect.

9.11Anycurtailmentoftheprofessionalservices,beyondStage2,shallmakeitobligatoryforthe

clienttopayatleast20%ofthefeefortheremainingstage(s)ofthecurtailmentwork/services.

10.TIMESCHEDULE:

TheArchitectshall,inconsultationwiththeClient,prepareaTimeScheduleinrespectofvarious

servicestoberenderedanddischargeofclient'sobligations.

11.INDEMNIFICATION:

IntheeventthataclaimorsuitisbroughtagainsttheArchitectortheConsultantsbyanythird

partyfordamagesarisingfrompersonalinjuryorpropertydamagecausedwhollybytheClient,

oranyoneemployedbytheClient,oranyoneforwhoseactstheClientmaybeheldresponsible,

thentheClientshallindemnifytheArchitectandfullyreimburseanyloss,damageorexpenses,

includingtheattorney'sfees,whichtheArchitectmayincurinconnectiontherewith.

12.OWNERSHIPOFCOPYRIGHT:

ArchitecturaldesignisanintellectualpropertyoftheArchitect.Thedrawings,specifications,

documentsandmodelsasinstrumentsofservicearethepropertyoftheArchitectwhetherthe

project,forwhichtheyaremade,isexecutedornot.TheClientshallretaincopiesofthe

Architect'smodels,drawings,specificationsandotherdocumentsforhisinformationandusein

connectionwiththeproject.TheseshallnotbeusedforanyotherprojectbytheClientorthe

Architectoranyotherperson,exceptfortherepetitionasstipulatedintheScaleofCharges.

13.TERMINATIONOFAGREEMENT:

13.1AgreementbetweentheArchitectandtheClientmaybeterminatedbyeitheronegivingthe

otherawrittennoticeofnotlessthan30(thirty)days,shouldeitherfailsubstantiallytoperform

hispartofresponsibilities/duties,solongasthefailureisnotcausedbytheoneinitiatingthe

termination.

13.2WhenterminationofthisAgreementisnotrelatedorattributable,directlyorindirectlyto

anyact,omission,neglectordefaultonthepartoftheArchitect,theArchitectshallbeentitledto

professionalfeesasstipulatedunderClause4andsub­clauses9.09&9.11ofClause9.

13.3IntheeventofArchitect'sfirmclosingitsbusinessortheClienthavingterminatedthe

agreement,theClientshallhavetherighttoemployanotherArchitecttocompletethework,after

makingpaymenttothepreviousarchitect'sfirm.

14.INTERPRETATION:

IncaseofanyambiguityordifficultyintheinterpretationoftheConditionsofEngagementand

ScaleofCharges,theinterpretationoftheCouncilofArchitectureshallbefinalandbindingonthe

ArchitectandtheClient.

15.ARBITRATION:

AlldisputesordifferenceswhichmayarisebetweentheClientandtheArchitectunder"Conditions ofEngagementandScaleofCharges"withregardtothemeaningorinterpretationormatteror thingsdoneortobedoneinpursuancehereof,suchdisputesanddifferencesshallbereferredfor arbitrationtotheCouncilofArchitecture.ThearbitratorshallbeappointedbythePresident, CouncilofArchitecture.ThearbitrationshallbeconductedaspertheprovisionsoftheArbitration

7.REIMBURSABLEEXPENSES:

InadditiontotheamountsreimbursableagainstsitevisitsbytheArchitect/Consultant,theClient

willreimbursetheArchitectthefollowingexpensesincurredbyhimfordischargeofhis

obligations:

7.01Actualcostoftravel(to&fro),boarding&lodgingandlocaltransportforanyvisitmadeby

hisstafftothesiteorsuchotherplaceasmaybenecessaryinconnectionwiththeexecutionof

workandinconnectionwiththeperformanceofdutiesreferredtointhisagreement.

7.02Costofpresentationmodels,computersimulation,presentationdrawings,etc.,preparedat

theinstanceoftheClientforpurposesotherthantheDesignandexecutionoftheproject.

8.CLIENT'SROLEANDRESPONSIBILITIES:

TheClientshalldischargeallhisobligationsconnectedwiththeprojectandengagementofthe

Architect,asfollows:

8.01Toprovidedetailedrequirementsoftheproject.

8.02Toprovidepropertylease/ownershipdocuments.

8.03Toprovideasiteplan,toasuitablescale,showingboundaries,contoursatsuitableintervals,

existingphysicalfeaturesincludinganyexistingroads,paths,trees,existingstructures,existing

serviceandutilitylinesandsuchlinestowhichtheproposedservicecanbeconnected.Incase

suchinformationisnotreadilyavailable,theClientshallarrangeforthesurveycollectionof

necessaryinformationandpayforthesame.

8.04TofurnishreportsonsoilconditionsandsoiltestasrequiredbytheArchitect.

8.05Tofurnishspecificconditions/Statutorystipulations/CodesofPractice/Scheduleofrates,

etc.,desiredtobefollowed.

8.06Topayallthefees,levies,securitydepositsandexpensesinrespectofstatutorysanction.

8.07TogiveeffecttotheprofessionaladviceoftheArchitectandcausenochangesinthe

drawingsanddocumentswithouttheconsentoftheArchitect.

8.08TohonourArchitect'sbillswithinonemonthofitssubmission.

8.09ToappointaConstructionManager(ClerkofWorks/SiteSupervisororConstruction

ManagementAgencyincaseofalargeandcomplexproject)aspertheArchitect'sadvice.

9.EXECUTIONOFTHEASSIGNMENT:

9.02TheArchitectshallappointspecialisedconsultantsinconsultationwiththeClient,if

necessary.

9.03TheArchitectshallberesponsibleforthedirectionandintegrationoftheconsultantswork.

Theconsultants,however,shallbefullyresponsibleforthecalculations,thedetaileddesignand

periodicinspectionandevaluationoftheworkentrustedtothem.TheArchitectshall,if

requested,makeavailablethedesigncalculations.

9.04TheArchitectwilladvisetheClientontheTimeSchedule(BarChart/PERT/CPMNetwork)

preparedbythecontractorsforthecompletionofwork,ifrequired.

9.05TheArchitectshallsupplytotheClient,freeofcost,uptosixsetsofdrawingsatdifferent

stages.

9.06TheArchitectshallnotmakeanydeviations,alterationsoromissionsfromtheapproved

drawings,involvingfinancialimplicationswithoutpriorconsentoftheClient.

9.07AnyprofessionalservicestoberenderedbytheArchitectattheinstanceoftheClientafter

theagreedprojectcompletionperiodshallbecompensatedforonmutuallyagreedterms.

9.08TheArchitectshallexerciseallreasonableskill,careanddiligenceinthedischargeofhis

dutiesandshallexercisesuchgeneralsuperintendenceandinspectionasmaybenecessaryto

ensurethatworksarebeingexecutedinaccordancewiththeConditionsofContract.

9.09Anyrevisioninthedrawings,tendersanddocuments,onceapproved,requiredtobemade

bytheClientshallbecompensatedasadditionalservicesrenderedbytheArchitectandpaidfor

@50%ofthefeeprescribedfortherelevantstage(s).

9.10Nochangeshallbemadeintheapproveddrawingsandspecificationsatsitewithoutthe

consentoftheArchitect.

9.11Anycurtailmentoftheprofessionalservices,beyondStage2,shallmakeitobligatoryforthe

clienttopayatleast20%ofthefeefortheremainingstage(s)ofthecurtailmentwork/services.

10.TIMESCHEDULE:

TheArchitectshall,inconsultationwiththeClient,prepareaTimeScheduleinrespectofvarious

servicestoberenderedanddischargeofclient'sobligations.

11.INDEMNIFICATION:

IntheeventthataclaimorsuitisbroughtagainsttheArchitectortheConsultantsbyanythird

partyfordamagesarisingfrompersonalinjuryorpropertydamagecausedwhollybytheClient,

oranyoneemployedbytheClient,oranyoneforwhoseactstheClientmaybeheldresponsible,

thentheClientshallindemnifytheArchitectandfullyreimburseanyloss,damageorexpenses,

includingtheattorney'sfees,whichtheArchitectmayincurinconnectiontherewith.

12.OWNERSHIPOFCOPYRIGHT:

ArchitecturaldesignisanintellectualpropertyoftheArchitect.Thedrawings,specifications,

documentsandmodelsasinstrumentsofservicearethepropertyoftheArchitectwhetherthe

project,forwhichtheyaremade,isexecutedornot.TheClientshallretaincopiesofthe

Architect'smodels,drawings,specificationsandotherdocumentsforhisinformationandusein

connectionwiththeproject.TheseshallnotbeusedforanyotherprojectbytheClientorthe

Architectoranyotherperson,exceptfortherepetitionasstipulatedintheScaleofCharges.

13.TERMINATIONOFAGREEMENT:

13.1AgreementbetweentheArchitectandtheClientmaybeterminatedbyeitheronegivingthe

otherawrittennoticeofnotlessthan30(thirty)days,shouldeitherfailsubstantiallytoperform

hispartofresponsibilities/duties,solongasthefailureisnotcausedbytheoneinitiatingthe

termination.

13.2WhenterminationofthisAgreementisnotrelatedorattributable,directlyorindirectlyto

anyact,omission,neglectordefaultonthepartoftheArchitect,theArchitectshallbeentitledto

professionalfeesasstipulatedunderClause4andsub­clauses9.09&9.11ofClause9.

13.3IntheeventofArchitect'sfirmclosingitsbusinessortheClienthavingterminatedthe

agreement,theClientshallhavetherighttoemployanotherArchitecttocompletethework,after

makingpaymenttothepreviousarchitect'sfirm.

14.INTERPRETATION:

IncaseofanyambiguityordifficultyintheinterpretationoftheConditionsofEngagementand

ScaleofCharges,theinterpretationoftheCouncilofArchitectureshallbefinalandbindingonthe

ArchitectandtheClient.

15.ARBITRATION:

AlldisputesordifferenceswhichmayarisebetweentheClientandtheArchitectunder"Conditions ofEngagementandScaleofCharges"withregardtothemeaningorinterpretationormatteror thingsdoneortobedoneinpursuancehereof,suchdisputesanddifferencesshallbereferredfor arbitrationtotheCouncilofArchitecture.ThearbitratorshallbeappointedbythePresident, CouncilofArchitecture.ThearbitrationshallbeconductedaspertheprovisionsoftheArbitration

andConciliationAct,1996.Thedecisionandawardofthearbitratorshallbefinalandbindingon

theArchitectandtheClient.
