DRAFT OF THE LEASE DEED

LEASE DEED made and executed this day of May 2016 at Bareilly By and between
Mr. Bimal Pasricha son of Late Mr. Dharam pal aged 52 years caste Punjabi
occupation Businessman residing at 1980. Prem Nagar, Bareilly UP-243005 and Mr.
Pathi Pal Singh son of Late Mr. Chunni Lal aged 70 years caste Punjabi occupation
Businessman residing at 155 Prem Nagar, Bareilly UP-243005.
Hereinafter referred to as the LESSOR which expression unless repgnant to the
subject matter or context shall include his Nominees. Assigns Legal Hers and
Successors __________________ of the one part and Andhra Bank. A Government of
India Undertaking mcorporated under the Banking Companies with its Head Office at
Hyderabad referred to as the LESS (which expression includes their Successors
on office) of the other part, witnesses.
WHEREAS the Lessor has agreed to let and Lessee has agreed to take on lease the
ground floor admeasuring 1282-37 shift (carpet area) Strong Room consisting of the
accommodation as shown in the plan attached hereto bearing Municipal Door No.
215 40 03. Madhoban, Thana Prem Nagar, Bareilly, UP 243001, bounded.

On the WEST

And delonging to the Lessor above named, on the following terms an conditions.
1) That the duration of the Lease Shall be for a period of 6 (3+3) Years (6 years
certam with an option for renewal and extension of the lease for futher period
of option of 6 (3+3) years) commencing from 01.04.2016 with 15 increase in
rent after every 3 years on the same terms and conditions detailed herein,
which option shall be exercised or shall be deemed to have been exercised in
the matter hereafter provided.
2) The Lessee hereby covenants with the Lessor as follows.
i)
The lessee will pay rent to the Lessor or his authosized agents at the rate
of Rs.55/- per sqt. Per month on or before 5 day of each succeedmg
month calculated according to the English Calendar.
ii)
That Lessee paid to Lessor a sum of Rs 423181% (Four Laks, Twenty
Three Thousands, Eighty Two and Pare Ten). Equivalent to 6 month rent
by way of deposit and same shall be adjusted and appropriated towards
rent payable by the Lessee for the last month of tenancy.
iii)
That the Lessee will pay the water and conservancy charge to the
Mumepality or Local Bodies concerned.
iv)
That Lessee will keep their own deposit in Electricity Department and
pay the electric consumption charges under a separate meter or submeter fusted for the premises taken on lease.
v)
That Lessee shall be entitled to sublet or part with the possession of the
premises or any part thereof without the consent of the I essor.

vi)

That the Lessee shall be at Liberty without consent from or notice to the
Lessor to make and remove during the term hereby granted any
additional or fixtures made by them in or to the demised premises of the
mature of partitions, counter/show-cases or trade or office fittings and
fixtures or electric light fitting, fans grill doors and strong room and the
Lessee Shall make good the actual damage to the premises if any, caused
at the time of fixing/removing which shall be final and binding on both
the parties.
vii) That Lessee shall be entitled to keep, maintain, exhibit paint or affix
their name board or name letters on the demised premises.
viii) That during continuance of the tenancy Lessee will keep the premises in
a clean and sanitary condition and deliver vacant possession to the
Lessor at the expiration sooner determination of the period of lease and
will permit the Lessor or his Agent and Workmen at convenient hours in
the day time to enter the premises, view and examine and condition
thereof, and in case of decays, defeats etc., to give a weeks notice to the
Lessor in writing to repair the premises when necessary unless in the
opinion of the Lessee immediate repairs are necessary for the safely of
the premises and to prevent serious damage, the Lessee being liberty to
deduct such costs from the monthly rent.
ix)
The lessee shall be entitled to use the premises its portions either for
locating the Banks branch.
x)
The lessee will pay the service tax (if applicable & subject to production
of documents proof by Landlord).
3) That Lessee hereby covenants as follows:
i)
That Lessee paying the rents hereby reserved and observing and
performing the covenants and conditions herein contained shall and may
peacefully and quitefully possess and enjoy the said premises hereby
demised during the term as aforesaid without any interruption from or
by the Lessor or any person rightfully claiming from or under him.
ii)
That Lessor will pay all taxes and demands to the Municipality Local
Authority or Governments on the due dates.
iii)
The lessor will arrange at his own expenses for water connection and
provide taps wherever found or demand necessary by the Lessee as soon
as such system is introduced in the town.
iv)
The lessor will arrange at his own expenses for electric connection and
provide electric points for lights and fans and Meters/sub Meters as may
be deemed necessary by the Lessee with the necessary switches and
holders but not bulbs, fans or shades which shall be provided by the
Lessee at their own cost.
v)
The lessor will keep premises hereby demised in a state of good and
substantial repair and carry out all the reasonable repairs on receipt of
notice in writing from the Lessee. In the event of neglect or omission on
the part of the Lessor to make such repairs inspite of such reasonable
notice, the Lessee shall be entitled to carry on such repairs and adjust
and recover the costs and expenses of the same from the rents.

vi)

The Lessor will white-wash or distemper the premises once in the


course of a year and will have the doors painted atleast once in three
year at his own cost. In the event of neglect or omission on the part of
the Lessor to white-wash or distemper the premises the lessee shall be
entitled to get such whitewashing and/or distempering done and adjust
and recover the costs and expenses of the same form the rents.
vii) That lessor has to provide space for installation of V-SAT antenna /
Solar UPS System / Sify antenna or any other device as per Banks
requirement on the terrace of the building free of cost and unrestricted
access to the same for lessee.
viii) That Lessor has to provide separate toilets for gents and ladies in the
premises.
ix)
That Lessor has to provide space to keep generator within the
premisesand unrestricted access to the same for the lessee.
x)
That the lessor will arrange for installation of rolling shutter (s) and
collapsible gate(s) at all the entrances to the Bank.
xi)
That the lessor will obtain NO OBJECTION certificate from the Local
Municipal Corporation for operationing Banking business, if any.
xii) That the lessor has to provide 25 KVA power load as per requirement of
the bank.
xiii) That the lessor has to provide a strong room of 200sft (approx)as per
RBI/Banks specification.
xiv) That the lessor has to provide free parking space for the Bank staff and
customers.
xv) No Separate rent will be paid for on-site ATM or any other automated
machine if instalied at any stage.
xvi) Bank is at Liberty to vacate the premises at any time during the currency
of option period by giving three months notice in writing without paying
any compensation for earlier termination.
4) The Lessor and Lessee hereby mutually covenants as follows:
i)
If the monthly rent is not paid within fifteen days after the due date or if
thereby any breach or non-observance of the Lessccs covenants herein
before contained it shall be lawful for the Lessor to terminate the lease
and obtain the possession of the premises in accordance with law.
ii)
That if the Lessor fails to pay the taxes due by him in respect of the
demised premises the Lesscc may, if they so choose pay the taxes and
adjust the same out of the rents falling due to the Lessor.
iii)
That in the event Lesscc desiring to vacate the premises on the expiry of
the period of lease stipulated above, the Lesscc shall give written notice
thereof to the Lessor during the subsistenance of the lease. If the lesscc
wants to extend the lease for a further period, the lesscc may give
written notice of their intention to so extend the lease for such further
period. In case further extension is agreed between the parties on
mutually agreed terms a fresh lease deed should be executed and
registered accordingly.
