1.0

GENERAL INSTRUCTIONS
1.1 THDC India Limited, Rishikesh, Uttarakhand hereinafter called THDCIL / Owner will receive

bids in respect Security Audit of


(1)Grievance Tracking System & MIS Software
(2)Commercial Billing Software
In the accompanying tender documents. All bids shall be prepared and submitted in
accordance with these instructions.
1.2 The bidder has to furnish necessary Bid Submission Forms as per the enclosed formats
(Annexure A).
1.3 No bidder should submit more than one bid. If a bidder submits more than one bid the bidder
shall be disqualified.
1.4 The bidder shall submit a written Power of Attorney authorizing the signatory of the bid (Refer:
Annexure B).

2.0

DEFINITIONS
In this contract, the following terms shall be interpreted as indicated:
a) The Contract means the Agreement entered into/between the Owner and the Contractor, as
recorded in the form of agreement signed by the parties incorporating the conditions of
Contract, Specifications, Schedule of Prices, the bid, Letter of Award / LOI and such further
documents as may be expressly incorporated in the letter of award.
b) The Contract Price means the price payable to the Consultant under the Contract/Agreement
for the full and proper performance of its contractual obligations.

c) Basic Contract Price" / Basic Contract Value" means the total price payable to the contractor
for the full scope of the works under the contract as mentioned in the Price Schedule(s) at the
time of award of work.
d) The Services means all the items of work stipulated in scope of work including any
incidentals, ancillaries, and any other item of work/services which are not specifically
mentioned in the contract but are considered necessary to complete the work/services and
other such obligations of the consultant as covered under the Contract.
e) The Owner means THDC India Limited, Rishikesh hiring the services and shall including their
successors and/or permitted assigns.
f) The Consultant means the individual or firm providing the Services under this Contract.
g) Day means calendar day.
h) Month means calendar month of the Gregorian calendar.

i) Bid means the consultants priced offer to the owner for the services to be provided by him as
laid down in the Scope of work.
j) Engineer-In-Charge means the Dy. General Manager or any Engineering Officer
appointed from time to time by THDCIL and notified in writing to the consultant to act as
Engineer-in-Charge for the operation of the Contract on behalf of THDCIL.
k) Engineer-in-Charges representative means any Officer appointed / nominated from time to
time by the Engineer-in-Charge to perform the duties set forth.
l) Letter of Acceptance/Letter of Award means the letter from THDCIL conveying acceptance of
the Bid/offer subject to such reservations as may have been stated therein.

3.0

LANGUAGE OF BID & MODE OF TENDERING


3.1 The bid prepared by the bidder and all correspondence and documents relating to the bid and

the contract exchanged between the bidder and the Owner, shall be written in the English
language provided that any printed literature furnished by the bidder may be written in any
other language so long as it is accompanied by an English translation of its relevant passages,
in which case, for purposes of interpretation of the bid, the English translation shall govern.
3.2 The tender is invited online under e-tendering process from the eligible bidders through

National Competitive bidding. The bidders can enroll themselves on the website
http://eprocure.gov.in/eprocure/app using the option Click here to Enroll. Possession of a
Valid Class II/ III Digital Signature Certificate (DSC) in the form of smart card/ e-token in the
Company's name are a prerequisite for registration and participating in the bid submission
activities through this web site. Digital Signature Certificates can be obtained from the
authorized certifying agencies, details of which are available in the web site
http://eprocure.gov.in under the link Information about DSC.
The said web site also has user manuals with detailed guidelines on enrollment and
participation in the online bidding process.
To submit their bid online, the bidders have to use their digital signature certificate key. The
bidders are requested to download the entire bidding documents from the website
http://eprocure.gov.in/eprocure/app from 10.00 AM on 28/10/2015 to 2.00 PM on 18/11/2015
after online registration in the above website while registration, the prospective bidders are
required to provide PAN, TIN etc as mentioned in the e-registration procedure. After the
required registration for e-tendering the prospective bidder can download the bid documents.
The price(s) must be quoted strictly in Price Bid format downloaded from the website
http://eprocure.gov.in/eprocure/app only.

4.0

DOCUMENTS COMPRISING THE BID


The bid submitted by the bidder shall comprise:

a. The Bid Submission Forms (Annexure A)


b. Price Schedule/ Price bid (as per Format)
c. Power of Attorney (Refer: Annexure- B), on Stamp paper or duly notarized by Notary
Public, indicating that person(s) signing the bid have the authority to sign the bid and thus
that bid is binding upon the bidder during the full period of its validity.
d. Declaration of Bidder (As per Annexure C)
e. Details Regarding Ex-Employees of THDC India Limited (As per Annexure D).
f. Details of Bank Account (As per Annexure G)
g. Letter of Undertaking of Secrecy and Confidentiality (As per Annexure- H)
h. Any other information required to be completed and submitted by the bidders in
accordance with these bid documents.

5.0

BID FORMS
The bidders shall fill and complete in all respects various bid forms, data sheets and the price
schedules attached with the bid documents.

6.0

BID PRICES
6.1 The bidder has to quote the Lump Sum price as per the price schedule.
6.2 While working out their bid price, the bidders are required to take into account entire scope of

work defined in bid documents and all expenses incidental there to including whether explicitly
stated or not and other related activities what so ever required.

7.0

PRICE BASIS
The bidders shall quote on firm price basis. Prices shall remain firm during currency of contract .

8.0

PERIOD OF VALIDITY OF BID


8.1 Bids shall remain valid for a period of 90 days after the closing date of receipt of bids

prescribed by the Owner. A bid valid for a shorter period may be rejected by the Owner.
8.2 The Owner may solicit the bidders consent to an extension for the period of validity of bid. The
request and the response thereto shall be made in writing by e-mail or fax to be followed by
post confirmation copy.

9.0

PERFORMANCE SECURITY
9.1 The successful Bidder (hereinafter called The Consultant) will be required to submit

performance security through RTGS/ NEFT Fund Transfer to THDCIL account or in the form
of a Demand Draft or an irrevocable Bank Guarantee for an amount equivalent to 10% of the
basic contract value. Performance security shall be submitted at least 15 days before signing
the contract which shall not be later than 30 (thirty) days of the issue of the Letter of Award.
The cost of complying with the requirements of this clause shall be borne by the Contractor.
9.2 Alternatively, the Performance Security shall be submitted through RTGS/ NEFT Fund

Transfer to THDCIL account. The Bank account details are furnished at Clause No. 28.0. The
RTGS / NEFT transfer details may be provided after payment of performance security.

Otherwise, The Demand Draft should be in favour of THDC INDIA LIMITED payable at
Rishikesh. The Bank Guarantee shall be in favour of the Owner issued by any Scheduled
Bank. The Performa of Bank Guarantee is given at Annexure - E.
9.3 The performance security shall remain valid for a period of 90 days beyond the contract

completion period.
9.4 It is expressly understood and agreed that the performance security is intended to secure the

performance of entire contract. The proceeds of the performance security shall be payable to
the Owner in case of the contractors failure to complete his obligations under the contract.
9.5 The performance security will be discharged by the Owner and returned to the Contractor not

later than 03 months following the completion of the bidders obligation under the contract on
certification by Engineer-in-Charge (EIC).
9.6 Should the contract period, for whatever reason be extended, the Consultant, shall at his own

cost, get the validity period of Bank Guarantee in respect of performance security furnished by
him extended and shall furnish the extended / revised Bank Guarantee to the client, 30 (thirty)
days before the expiry date of the Bank Guarantee originally furnished.
9.7 No interest will be payable by the Owner on the Performance Security.

10.0

ACCEPTANCE OF CONDITIONS
No deviation, whatsoever, is permitted by the owner to the provisions of the bidding documents.
The Bidders are advised that while making the bid proposal and quoting prices, these conditions
may appropriately be taken into consideration.

11.0

FORMAT AND SIGNING OF BID


11.1 The bid must contain the name and address of the bidder and must be signed and sealed by

the Bidder with his usual signature. The name of all persons signing should also be typed /
printed/ neatly written below the signature.
11.2 Proof of authority of the person signing on behalf of the Bidder shall be furnished on nonjudicial stamp paper of an appropriate value with the bid in the form of a Power of Attorney,
duly notarized by a Notary Public, indicating that the person(s) signing the bid has / have the
authority to sign the bid and that the bid is binding upon the Bidder during the full period of its
validity.
11.3 Any interlineations, erasures or overwriting shall only be valid if those are initialed by the
signatory(ies) to the bid.

12.0

COST OF BIDDING
The bidders shall bear all costs associated with the preparation and submission of their bids and
Owner will in no case be responsible or liable for those costs regardless of the conduct or
outcome of the bidding process.

Bidders shall not be eligible to claim any compensation / claim towards the cost incurred for
participation in bidding process.

13.0

SUBMISSION OF BIDS
13.1 The bid shall be uploaded along with all necessary supporting documents (scanned copy) on

e-tender site before the schedule date & time of the submission of bids.
13.2 The Bids are invited in Two Bid System. The bidder must submit the bid as follows:

PART-I (Pre-qualification & Techno Commercial) shall contain scanned copy of certificate
issued by Cert-In, New Delhi for empanelment as Information Security Auditing Organization
(Mandatory document for Pre-qualification) and all Annexure and Forms duly filled, signed
and stamped.
PART-II (Price Bid) shall contain only Price Bid.
Part-II (Price Bid) of the bid are required to be submitted electronically only and shall be
uploaded on the website portal http://eprocure.gov.in/eprocure/app in the prescribed format
only after downloading from the above website.
Bidders are requested to note that they should necessarily submit their financial bids (emode only) in the format provided and no other format is acceptable. If the price bid has been
given as a standard BOQ format with the tender document, then the same is to be
downloaded and to be filled by all the bidders. Bidders are required to download the BOQ
file, open it and complete the colored (unprotected) cells with their respective financial quotes
and other details (such as name of the bidder).
13.3 Submission of bids both Part-1 and Part-II in hard copy is not permitted / allowed and in case

of any such submission, the bid will be considered for rejection by the owner. However, in
case of Part-I of the bid, the originals as per clause 13.4 have to be submitted in hardcopy
also before the schedule date & time of the submission of bids.
13.4 The bidder has to submit the copy of valid certificate issued by Cert-In, New Delhi for

empanelment as Information Security Auditing Organization, Power of attorney, Notarized


documents/ certificates etc. in a sealed envelope at the address mentioned in clause 13.9 on
or before the due date and time of bid submission. This enevelop shall bear the submission
address and due date / time and clearly marked, DO NOT OPEN BEFORE 3.00 PM on
18/11/2015 (Tender No. THDC/RKSH/IT/2015-16/01). The scanned copy of all these
documents should also be uploaded in the website along with Part-I of the bid.
13.5 An authorized representative of the firm shall initial all the pages of the proposal.
13.6 The bid will be opened at the time and date set out for opening of bids in the NIT, or any

extension thereof, as intimated, in the presence of representatives (not more than two) who
may wish to be present.
13.7 Bid submitted after the time and date fixed for the receipt of bids as set out in the invitation to

bid, are liable to be rejected.

13.8 The owner further reserves the right to reject any bid, which is not submitted according to the

instructions, stipulated above.

14.0

DEADLINE FOR SUBMISSION OF BIDS


14.1 Part-I (PQ and Techno Commercial) and Part- II (Price Bid) shall be uploaded on the website

http://eprocure.gov.in/eprocure/app as per clause 13.0 latest by 2.00 PM on the due date


18/11/2015. Various documents as mentioned in clause no. 13.4 shall also be submitted in
original before the above deadline. Bids received after the Due Date of submission are liable
to be rejected.
14.2 The Owner may, if required, extend the deadline for submission of bids by amending the bid
documents; in which case all rights & obligations of the Owner and the bidder subject to the
deadline will thereafter be subject to the deadline as extended.
14.3 The bidder may withdraw or modify their bid after the bid submission as per provision
available in the web site http://eprocure.gov.in/eprocure/app. However, No bid can be
withdrawn or modified subsequent to the deadline prescribed for submission of bids.

15.0

LATE BIDS
Any bid received by the Owner after the deadline for submission of bids prescribed by the Owner;
pursuant to clause no.14.0 will not be considered.

16.0

MODIFICATION AND WITHDRAWAL OF BIDS


16.1 No bid may be modified subsequent to the deadline for submission of the bids.
16.2 The bidder may modify or withdraw his bids after the bid submission, provided that written

notice of the modification including substitution or withdrawal of the bids is received by Owner
prior to the deadline prescribed for submission of bids.
16.3 The Bidders modification or withdrawal notice shall be prepared and signed by duly
authorized person, sealed, marked and dispatched in accordance with the provisions of
clause no.13.0 above for the submission of the bids.
16.4 No bid may be withdrawn in the interval between the deadline for submission of bid and the
expiry of the period of bid validity as specified in clause no. 8.0.

17.0

BID OPENING AND EVALUATION


17.1 Bid (Part-I) will be opened at 3.00 P.M. on 18/11/2015 at IT Department, THDC India

Limited,Pragati Bhawan, Pragatipuram, By pass Road, Rishikesh.


17.2 The Owner will open bids in the presence of bidders authorized representatives, who choose

to be present at the time of opening of the bids at the office of Dy. General Manager (IT),
THDC India Limited, IT Department, Pargati Bhawan, Pragatipuram, By Pass Road,
Rishikesh - 249201 (Uttarakhand).The bidders representatives present at the time of opening
shall sign a register evidencing their attendance.
17.3 Part-I of Bid will be opened first and pre-qualification condition will be checked. After that
Price Bid (Part-II) of only those bidders, who qualify pre-qualification criteria, will be opened.
Validation of empanelment shall be checked from http://cert-in.org.in
17.4 The bidders name, deviation to bid conditions and the presence or absence requisite details
as the Owner, at his discretion, may consider appropriate will be announced at the time of
opening of bid.
17.5 No correspondence shall be entertained from the bidders after the opening of Price Bid(s).

18.0

CLARIFICATION OF BIDS
During evaluation of bids, the Owner may ask the bidder(s) for clarification of his bid. The request
for clarification and the response thereof shall be in writing and no change in the price or
substance of the bid shall be sought, offered or permitted.

19.0

PRELIMINARY EXAMINATION
Prior to the detailed evaluation of bids, THDC will determine whether each bid:(a) Complying with all the requirements of bidding document
(b) Provide all the Bid Forms duly filled in.
(c) has a copy of valid certificate of empanelment as Security Auditing Organisation issued
by Cert-In

20.0

CORRECTION OF ERRORS
20.1 Bids determined to be substantially responsive will be checked by THDC for any arithmetic

errors. Errors will be corrected by THDC as follows:


Where, there is a discrepancy between the amount in figures and in words, the amount in
words will govern; and
Where, there is a discrepancy between the unit rate and the total amount derived from the
multiplication of the unit rate and the quantity, the unit rate as quoted will govern.
20.2 The amount stated in the Price Schedule will be adjusted by the THDC in accordance with the

above procedure for the correction of errors and shall be considered as binding upon the
bidder. If the bidder does not accept the corrected amount of bid, his bid will be rejected.

21.0

EVALUATION OF BIDS
21.1 The Owner will evaluate and compare only those bids, which conform to the pre-qualification

criteria.
21.2 In evaluating the bids, the Owner will determine, for each bid, the evaluated Bid Price,
wherever applicable, by adjusting the Bid Price as follows:
I) Making any correction for errors pursuant to clause no. 20.0 hereof.
21.3 Since, the price bid is to be submitted electronically discount provision is not available. Any
discount indicated will not be considered for evaluation.

22.0

COMPARISON OF BIDS
22.1 The bids shall be compared on the basis of total price quoted including all applicable relevant

taxes by bidder in price schedule for services to be rendered for the entire scope of the
proposal as defined in the Bidding Document.
22.2 The evaluated bid prices of all the bidders shall be compared among themselves to determine
the lowest evaluated bid and, as a result of this comparison; the lowest Bid will be selected for
the award of the Contract.

23.0

CONTACTING THE OWNER


23.1 Subject to clause no. 18.0, no Bidder shall contact the Owner directly or indirectly or through

his employees or agents on any matter relating to its bid from the time of bid opening to the
time Contract is awarded.
23.2 Any effort by a bidder to influence the Owner in its decision on bid evaluation, bid comparison
or Contract award may result in the rejection of its bid.

24.0

AWARD OF CONTRACT
24.1 AWARD CRITERIA

Subject to clause no. 18.0, the Owner will award the Contract to the successful bidder whose
bid has been determined to be prequalified and has been determined as the lowest
evaluated bid.
24.2 OWNERS RIGHT TO ACCEPT ANY BID AND TO REJECT ANY OR ALL BIDS.

The Owner reserves the right to accept or reject any bid and to annul the bidding process
and reject all bids at any time prior to award of Contract without thereby incurring any liability
to the affected bidder(s) or any obligations to inform the affected bidder (s) of the grounds for
the Owners action. THDC reserves the right to accept or reject any or all the bids in the
overall interest of THDC without assigning any reason whatsoever.
24.3 NOTIFICATION OF AWARD

a) Prior to the expiry of the period of bid validity including extension(s), the letter of award will
be issued to the successful bidder. The Owner will notify the successful Bidder by fax/ email to be confirmed in writing by courier / registered letter that his bid has been accepted.

b) The notification of award will constitute the formation of the contract until the contract
agreement has been formally signed pursuant to clause no. 25.0 hereof.

25.0

SIGNING OF CONTRACT
25.1 The successful Bidder within 30 (thirty) days of the issue of the Letter of Award (or any period

extended by the employer) and after submission of the Performance Security (as per
Annexure E) will have to sign an Agreement with the Owner on a non-judicial stamp paper
of Rs. 100/-. The Performa for Agreement is given in Annexure -F.
25.2 The agreement shall be signed at THDCIL office on a date and time to be mutually agreed.
The consultant shall provide for signing of the contract, appropriate power of attorney and
other requisite documents.
25.3 The agreement shall be signed in two originals and contractor will be provided with one
signed copy. Subsequent to the signing of the contract, the consultant at his own cost shall
provide THDCIL with at least four (4) copies of the contract duly bound within seven (7) days
after the signing of the contract. Consultant has to bear the cost of stamp paper, documents
and all legal expenses etc. towards signing of the contract.

26.0

TERMINATION OF CONTRACT ON CONSULTANTs DEFAULT


The Owner may terminate this contract, by not less than thirty (30) days written notice of
termination to the Consultant, to be given after the occurrence of any of the events specified
below;
a) If the consultant does not remedy a failure in the performance of its obligations under the
Contract, within thirty (30) days after being notified or within any further period as the
owner may have subsequently approved in writing.
b) If consultant becomes insolvent or bankrupt.
c) If, as a result of force majeure, the Consultant is unable to perform a material
portion of
the services for a period of not less than thirty (30) days; or
d) If the owner, at its sole discretion, decides to terminate this contract.

27.0

PAYMENT TERMS
27.1 90% payment after completion of security audit and issuance of certificate stating that The

application(s) is safe for hosting.


27.2 Service tax will be paid as applicable after submission of documentary evidence.

FORCE MEAJEURE
29.1 Notwithstanding the provisions of bid document clause no.26.0, the consultant shall not be

liable for forfeiture of its liquidated damages or termination for default, if and to the extent that
its delay in performance or other failure to perform its obligations under the contract is the
result of an event of Force Majeure.
29.2 For purposes of this clause, force meajeure means an event beyond the reasonable control
of the consultant and not involving the Consultants fault or negligence and not foreseeable.
Such events may include, but are not restricted to, acts of the Owner in its sovereign capacity,
wars or revolutions, fires, floods, epidemics, quarantine restrictions and freight embargoes.
29.3 If a force majeure situation arises, the Consultant shall promptly notify the Owner in writing of
such condition and the cause thereof. Unless otherwise directed by the Owner in writing, the
Consultant shall continue to perform its obligations under the contract as far as is reasonably
practical, and shall seek all reasonable alternative means for performance not prevented by
the force meajeure event.

30.0

SETTLEMENT OF DISPUTE AND ARBITRATION


30.1 In the event of any dispute or difference relating to the interpretation of the provisions of these

bid conditions arising between THDC and the consultant with regard to or in connection with
this contract, it shall be settled to extent possible amicably between THDC and the consultant.
30.2 In case of non-settlement of dispute or difference, the matter will be decided under Arbitration

and Conciliation Act, 1996 and amendments thereof

31.0

SECRECY AND CONFIDENTIALITY:


31.1 THDCIL will share required information with the contractor for carrying out the work. The

Contractor shall not misuse the information as part or full and shall not pass on to any third
party. The Contractor has to maintain the secrecy and confidentiality of the information.
31.2 THDCIL may share required information with the contractor for offline work at their back

office.
31.3 The contractor shall have to submit request for seeking any information from THDCIL to carry

out the work and Contractor has to give undertaking for such information for secrecy and
confidentiality.

31.4 In any case at any point of time during or in future Contractor is found to have violated the

Secrecy and confidentiality clause, Contractor shall be liable for any legal action by THDCIL
under law.

32.0

APPLICABLE LAW
The contract shall be governed by and interpreted in accordance with the laws in force in India.
The courts of Dehradun shall have exclusive jurisdiction in all matters arising under the Contract.

33.0

NOTICES
33.1 Any notice given by one party to the other pursuant to this Contract shall be sent to the other

party in writing or by fax or Email.


33.2 A notice shall be effective when delivered or on the notices effective date, whichever is later.

34.0

TAXES AND DUTIES


34.1 Except as otherwise specifically provided in the contract, the consultant shall bear and pay

all taxes, duties, levies, fees, service tax and other impositions as may be levied under the
applicable law as on the 15 days prior to the last date of submission of bids and the amount
of which is deemed to have been included in the contract price.
(i) As regards the Indian Income Tax, Surcharge on Income Tax and other tax, such as
Corporate Tax etc., the Owner shall not bear any tax liability whatsoever. The consultant
shall be liable and responsible for payment of such tax, if attracted under the provisions of
the law present or future and deemed to have been included in the price quoted
(ii) The Service Tax including cess shall be reimbursed at actuals to the Consultant in line
with the Service Tax Act, for which, the Consultant shall have to submit a certificate about
payment of service tax in line with the provisions of Service Tax Act. Bidder will
clearly indicate the rate of Service Tax separately in the Price Schedule.
(iii) Service tax will be paid extra as applicable after submission of documentary evidence.
34.2 Owner will make deductions at source as per applicable law.
34.3 The consultant shall submit copy of its service tax registration & PAN.
34.4 Any imposition of new taxes & duties by the Govt. after the dead line stipulated in clause

no. 34.1 above, shall be to Owners account & shall be reimbursed to the consultant on
submission of its proof of payment to concerned authorities.

35.0

TIME OF COMMENCEMENT AND COMPLETION


35.1 The Consultant shall commence work from the date of Notification of Award and shall

thereafter proceed with the work in accordance with the time schedule specified in the Bid
Conditions.
35.2 The entire work shall be completed within two months days reckoned from the date of issue
of Letter of Award by THDCIL.
35.3 The Consultant shall attain performance of Services within the time stated in bid conditions
or within such extended time to which the Owner shall permit the consultant.

36.0

EXTENSION OF TIME FOR COMPLETION


The Consultant may claim an extension of the time for completion if he is or will be delayed in
completing the works by any of the following cause:
a) delay from THDCIL side or by any other Contractor/Consultant engaged by the THDCIL
b) Force Majeure.
THDC may determine and grant the consultant / contractor extension of time for completion either
prospectively or retrospectively, as may be justified. However, the consultant / contractor will not
be entitled for compensation of any kind / claim from THDCIL except for an extension of time
period only to complete the services unless otherwise specified in the contract.
Delay caused by THDCIL or any other Contractor/Consultant engaged by the Owner will be
applicable only in case such delay has affected the work of the Consultant and the Consultant has
given due notice to the Owner.

37.0

LIQUIDATED DAMAGES
Subject to clause 29.0, if the consultant, for reasons attributable to him, fails to deliver or to
perform the services within the period specified in the Contract, the Owner shall, without prejudice
to its other remedies under the Contract, deduct from the Contract price, by way of liquidated
damages, a sum equivalent to 1% (one percent) of Contract price for each week or part thereof of
delay until the date of certified completion of delivery of services as laid down under the Scope of
Work, up to a maximum deduction of 10% of Contract price.
The Owner may, without prejudice to any other method of recovery, deduct the amount of such
damages from any monies due or that may become due to the Consultant. The payment or
deduction of such damages shall not relieve the Consultant from his obligation to complete the
services as laid down under the Scope of Work or from any other of his obligations and liabilities
under the Contract.

38.0

CORRUPT OR FRAUDULENT PRACTICES


The Owner requires the Consultant to observe the highest standard of ethics during the
procurement and execution of the contract. In pursuance of this policy, the Owner.

a) defines, for the purposes of this provision, the terms set forth below as follows :
i) corrupt practice means the offering, giving, receiving or soliciting of anything of value to
influence the action of a public official in the procurement process or in contract execution;
and
ii) fraudulent practice means a misrepresentation of facts in order to influence a procurement
process or the execution of a contract to the detriment of the Owner, and includes collusive
practice among Consultants (prior to or after bid submission) designed to establish bid
prices at artificial non-competitive levels and to deprive the
Owner of the benefits of free
and open competition.
b) will reject a proposal for award if it determines that the consultant recommended
for
award has engaged in corrupt or fraudulent practices in competing for the
contract in
question;
c) will declare consultant ineligible, whether indefinitely or for a stated period of time,
to be
awarded a contract, if it at any time determines that the consultant has
engaged in corrupt or
fraudulent practices in competing for, or in executing, a
contract of the Owner.

TECHNICAL SPECIFICATIONS AND SCOPE OF WORK

1.0

INTRODUCTION:
THDC INDIA LIMITED formerly known as Tehri Hydro Development Corporation LIMITED.
(THDC) was incorporated on 12th July, 1988, as a Joint Venture of the Government of India (GOI)
and Govt. of Uttar Pradesh (GOUP) to execute the 2400 MW Tehri Hydro Power complex and
other Hydro Projects.
Tehri Hydro Power complex comprises the following:

Tehri Dam and 1000 MW Hydro Power Plant (HPP) (Stage-I of the Complex),
1000 MW Pumped Storage Plant (PSP).
Koteshwar Dam with 400 MW Hydro Power Plant, located around 22 Km downstream of
Tehri.

THDC INDIA LIMITED is presently implementing the Tehri Hydro Power Complex (2400 MW), on
the river Bhagirathi, Vishnugad Pipalkoti Project (444 MW) on River Alaknanda and Dhukwa
SHEP (24MW) on betwa River.
Tehri Dam & HPP (1000 MW) & Koteshwar HEP (400 MW) is under operation. Tehri PSP (1000
MW), Vishnugad Pipalkoti HEP (444 MW) and Dhukwa SHEP (24MW) are under construction.
The Corporation is also entrusted with 5 other Hydro Projects in Bhagirathi, Alaknanda and Sarda
Valleys in Uttarakhand, totalling to 760 MW which are under various stages of Survey &
Investigations.
Government of Maharashtra has entrusted two Pumped Storage Schemes (PSS) namely Malshej
Ghat (600MW) & Humbarli (400MW) to the Joint Venture of THDC INDIA LIMITED & NPCIL for
updation of DPR. The Projects shall be implemented subject to commercial viability.
Under India-Bhutan Co-operation in hydro Sector development, MOP has allotted two Projects
namely Sankosh Storage Project (4060 MW) and Bunakha HEP (180 MW) in Bhutan for updation
of DPR, and subsequent implementation on Intergovernmental Authority Model / JV with
Bhutanese PSUs.
With the commissioning of the Tehri Dam and HPP (1000 MW) Stage-I during 2006-07 and
Koteshwar HEP (400 MW) during 2011-12 and the Tehri PSP under implementation, THDC
INDIA LIMITED has developed the capabilities to undertake Hydro Power Projects from Concept
to Commissioning. THDC INDIA LIMITED is a multi project organization with various hydropower
projects at different stages of implementation.

2.0

SCOPE OF WORK
The scope of work includes the following:
2.1

Conducting Security Audit of Grievance Tracking System & MIS Software and
Commercial Billing Software. These applications shall be tested against Top Fifteen critical
vulnerability of OWASP (Open Web Application Security Project) standard.

2.2

Submission of web application security audit report along with vulnerability snapshots and
recommendations for fixing up the vulnerabilities. The implementation will be done by THDC
India Ltd.

Re-audit of the application until closers of all vulnerabilities.

2.4

Issue of clearance certificate(s) for audited applications.

2.5

Bidder shall submit the final report along with Security Certificate stating that Website/web
application is free from vulnerabilities as per OWASP and is safe for hosting and test cases
with snapshots showing all vulnerabilities have been closed.

The report prepared should at the minimum include the following and is not limited to:

DELEVERABLES
The successful bidder will be required to submit the following documents in printed format after
the audit of Software.
I. A detailed report with the security status and snapshots of vulnerabilities and misconfigurations with associated risk levels and recommended actions for risk mitigations.
II. Summary and detailed reports on security risk, vulnerabilities and audit with necessary
counter measures and recommended corrective actions to be undertaken by THDC.
III. Final audit report with Security audit clearance certificate stating that web application is
free from vulnerabilities as per OWASP and is safe for hosting and test cases with
snapshots showing all vulnerabilities have been closed.
IV. Hash code of audited application along with hash code generation algorithm.
V. All deliverables shall be in English language and in A4 size format

4.0

WARRANTY
Bidder shall provide one year Warranty against the audited & closed vulnerabilities of the
application from date of issue of security audit clearance certificate. In case any closed
vulnerabilities in the audited applications are exploited, the bidder shall have to re-audit the
application without charging any cost to THDCIL.

the contractor hereby covenants with Owner to execute and complete the works in conformity, in all
respect, with the provisions of the contract.
