TERM. The Board, in consideration ofthe promises, herein contained, of the Superintendent, hereby employs Michael Bracy as Superintendent of Schools fora term commencing July 1, 2008, and encing June 30, 2011, unless sooner terminated pursuant to paragraph §, 10 or 19 herein. “The Board may by specific action and withthe consent ofthe Superintendent extend the termination date of tha existing contract tothe extent permited by state law. 2. CERTIFICATION. The Superintendent shall qualify for anc furnish throughout the term of his employment as Superintendent a valid and appropriate certificate or approval from the North Carolina State Board of Education to act as Superintendent as prescribed by the laws ofthis state and by the regulations ofthe Slate Board of Education 3, DUTIES. The Superintendent agrees to discharge fethfuly all awful duties limposed upon him as Superintendent of the Jones County Public Schools administrative unit by the State Depariment of Pubic Instruction, the State Board of Education, the Board of Education of te Jones County Public Schools administrative unlt, and/or applicable state ‘andlor federal law and administrative regulations, in adaiton, the Superintendent agrees to implement al plicies adopted by the Jones County Board of Education and directives issued to him by the Jones County Board of Ecucation. The Superintendent shall ake such action a8 the Board may direct from time to time to improve the celallonship between the Superintendent ‘and the community, the Superintendent and his staff the Superintendent and the other employees of the Jones County Public Schools administrative uni, andlor the Superintendent and the Board. “Throughout the term of employment specified inthis Contract, the Superintendent shall devote his time, ski, labor, and atlenton fo performing the duties of Superintendent ofthe ‘Jones County Public Schools administrative unit provided, however, thet the Superintendent ‘withthe prior consent of the Board may undertake consulve work, speaking engagements, writing, Ieturing, or other professional duties and obligations. ‘4, MEDICAL EXAMINATION. The Superintendent hereby agrees to have an ‘annual medical examination paid for by the Board. A statement from a licensed physician of the Superintendents choice, certifying tothe physicel competency ofthe Superintendent to fulfil his duties and responsibilities, shal be fled withthe Chairman of the Board and treated as ‘Confidential information by the Board and, i the Board deams it necessary, the Superintendent ‘agrees to authorize his physician to provide the Board with 2 copy of the complete results of his ‘medical examination, In the event of illness, the Superiniondent, upon request by the Boar, Shall frnish adcitional writen medical records fo the Board and these shall be treated as confidential information. 5, __ DISABILITY. Ifthe Superintendent is unable lo perform his essential functions by reason of disabill, and efforts lo reasonably accommodate his disability do not enable him to perform his essential funclions, and ifthe disebilty exists fr 2 period of more than ninety (90) days beyond the period of ime wich the Superintendent would have been ented o take as Sick leave or vacation leave, or both, the Board may, at is option, terminate this Contract ‘whereupon the respective duties, righ, and obligations hereof shall terminate, The Board will ‘Cooperate fully with the Superintendent in his application for cisabily benefits 6. EXPENSES. The Board shall reimburse the Superintendent for reasonable Job-related expenses incurred by the Superintendent on behalf ofthe Board in the ammount ang ‘manner prescribed by Board policy or alherwise as approved by the Board. The Board recognizes that the Superintendent shall incur such expenses from time to time as the Boara's representative in the pursul of educational excellence, private funding, grants and for other feasons. The Superntendent shall le itemized expense statements withthe nance officer for Teimbursement ofthese expenses. The Chaleman ofthe Board shall have authorily to review ‘and approve such requests for reimbursement made in advance, The Chairman also shal have authont to review and approve or deny requests for reimbursement made after the fact. ‘The Chairman of the Board shall report such reimbursements as he has approves tothe Bosra 7. REFERRALS. The Board and is individual members shal refer o the Superintendent eriisms, complains, inquiies, and suggestions brought tothe attention of the Bosrd, or an individual member thereof. The action taken by the Superintendent in response to ‘each referral shall be reported as soon as precica to the Board. ‘All persons relerred by members ofthe Board of Education of Jones County for ‘employment will be referred to the Jonas County Public Schools Personnel Ofice and wil be considered with other available apalcants for employment. 8, INFORMATIONAL REPORTS; OFFICIAL STATEMENTS. The Superintendent shall keep the Board informed of eoumstances within the Jones County Public Schools ‘ministrative uni such as complaints or concerns, physical plant problems and personnel issues, except when prohibited by law or when a full report of facts might compromise the Boare’s ability to conduct formal hearing into @ matter. The Superintendent shall nol make or issue any official stalement on behalf of the Board without the Board's prior approval of the statement’ content. The Board recognizes, however, thatthe Superintendent has the ~uthorty, duty and responsiblity to make prompt public statements on important issues oF {vents in his role a6 Superintendent and that often these issues and events do not allow for formal Board approval of the Superintendents statements 9. EVALUATION OF SUPERINTENDENT AND MERIT PAY. The Board shall ‘conduct an appraisal ofthe Superintandent's performance semiannually. This appraisal shallbe ‘conducted by the Board in closed session and shall include a writen evaluation. In addition, the Superintendent ai any time may ciscuss with the Board his performance as Superintendent andior any other matter involving the relationship between the Board and the Superintendent. 'As par of the Superiniendents evaluation each yeer, the Board shal review and ‘consider merit pay andlor any increases in the Superintendents salary. Beginning July 1, 2008, the Superintendent may earn mert pay annually by satisfactorily meeting goals for {quantifiable studant ecademic outcomes and up to five goals for measurable schoo! system Sutcomes or products. These goals wil be sel annwally by the Board and the Superiniendent Jointly. The Superiniendent may earn upto $8,000.00 for satisfactory achievement of the foals. The amount of mert pay to be awarded for each fiscal year shall be determined by the Board at or prior to the second of the semiannual meetings provided for inthis paragraph, 10. TERMINATION OF EMPLOYMENT. Throughout the term of this Contract the ‘Superiniendent shall be subject to discharge for good and just causes as provided by North Carolina General Satute 1150-274, provided, however, that the Board does not arbitrarily or caprciously cal for his dismissal and thatthe Superintendent shall have the right to writen charges, a fai hearing bolore the Board, and al least ten ('0) days’ walten notice of said charges and hearing unless the Board shal find an emergency to exst requiring a shorter time ‘of notice, which time shall be fixed by the Board. At any ssid hearing before the Board, the ‘Superintendent shall have the right to be present and to be heard, to be represented by counsel and to present through witnesses testimony relevant o theissue.” Ifthe Superintendent chooses to be accompanied by legal counse! atthe hearing before the Bosrd, he will assume the cost of his legal experses. A transcript ofthe record cf the proceedings before the Board shall be made avaliable without charge to the Superintendent ithe Board elec to terminate the Superintendent 11. COMPENSATION. As compensation for his services during the course ofthis Contact, the Superintendent shall receive each ofthe folowing: 'A. The maximum state salary allocatedeach year to the Jones County Public Schools for the position of Superintendent, including any increases authorized by the ‘State and any supplement for en edvenced superintendents certicate (AS), a8 well 8, upon completion of an advanced degree, any supplement paid by the State for attainment ofthe degree. B. _Alecel supplement of Ten Thousand Six Hundred Thity-Six Dollars ($10,636.00) per year, which the Board shal review at leas every two years for possible increases, ws well as any local supplement offered fo bostd employees. . Such sick, vacation, or other leave as is provided to him according to the General Statutes of North Carolina andior rules or regulations of the State Board of Education. D. Any insurance or benefis provided to the Superintendent by the Slate of North Carolina fo which the Superintendent is entitled as an employee ofthe school system, including health insurance. Dental insurance will also be provided tothe Superintendent only. TE. Longevity pay in accordance with stale iaw or regulations. F. Tho Board shall defend, hold harmiess, and indemnify the Superintendent from any and all demands, claims, suits, actions and legal proceedings brought against the ‘Superintendent i his individual capacity, or ia is incvidua capacity as agent and employee of the Board, provided the incident giving rise to any such demand, claim, sult, action or legal proceeding arose while the Superintendent was acting within the scope of his employment; and provided further, that such iabilly coverage is within the authority of the Board to provide under Slate lav, The Board may discharge is obligations under his section by the purchase of lability insurance or participation in a risk pool that provides coverage for school officials acting within the course ang scope oftheir employment. TRANSPORTATION AND TRAVEL. The Board shall pay a monthly {rensporiation and travel stipend of $850.00 fo the Superintendent to reimburse him for ful, maintenance, and repair of fis personal vehicle used for school business. 13. STAFF ORGANIZATION. The Superintendent shall have charge ofthe ‘administration ofthe schools under the direction of the Board. He shall be the chief executive officer ofthe Board; shal serve es secretary tothe Board; shal dect ané assign teachers and ‘ther employees ofthe schools under his supervision; shal have freedom to organize, reorganize and arrange the administrative and supervisory saf, including instruction and business affairs, as best serves the Jones County Public Szhool System; shall select all [personnel subject tothe approval ofthe Board: shall have fe authori to immediately accept Fesignations of personnel for and on behalf ofthe Board; shall rom lime to time suggest regulations, rules and procedures deemed necessary for tre orderly administration ofthe schoo! istrict: and in general shal perform all duties incident othe ofice ofthe Superintendent and such olher duties as may be prescribed by law or by the Board from time to time. 14. MEMBERSHIP IN PROFESSIONAL ORGANIZATIONS. The Superintendent shall mainiain membership in professional organizations approved by the Board and mey participate in @ reasonable number of conferences, professional meetings, and seminars, Including one national leadership conference each year, and other evenis which the Superintendent and the Board feel are necessary to maintain and improve professional sks ‘and represent the interests ofthe Jones County Schools administrative unit The Board shall pay all costs incurred inthe Superintendent's membership and participation therein. The Board Shall reimburse the Superintendent for expenses incured in travel and participation in these slate and national meetngs. “Fhe Superintencent shall keep the Board informed of his attendance at meetings and conferences away from the school cistict and shall ensure that such attendance doss not Confict with his duties In supervising operation of the school district. RELOCATION EXPENSES. During the term of this Contract, the ‘Superintendent shall reside within the Jones County Public Schools administrative unt. The Board shal pay $3,000.00 to the Superintendent to detay the cost of relocation. 6 PROFESSIONAL GROWTH OF SUPERINTENDENT. The Superintendent shall continue his professional development and shell continue to work toward receipt of his ‘octorate In Educational Leadership. The Board shall reimburse the Superintendent for actual {ution expenses incurred by the Superintendent in pursuit of his doctorate at Liberty University provided tne Superintendent continves fo maka satisfactory progress in that program. ifthe Superintendent resigns from employment withthe Board, the Superintendent shall reimburse the Board for any educational expenses pald within one year preceding the date of his resignation notice 17, APPLICABLE LAW. This Contract shal be governed by applicable law of the State of North Carolina including but not limited to Aricle 18 of Chapter 115C of the General Statutes of North Caroina. The invalidity of any provsion ofthis Contract shall not afect the Validity of any other provision of this Contract. This Contact shall become effective upon execution by the pafies and upon formal approval by the Board. 4B. CONFLICT OF INTEREST PROHIBITED. The Superintendent acknowledges that he has read and understands the confict of interest statues of the Siate of North Carolina tend agrees to comply wih these slatules and any other State laws or Board policies relating to Cconfics of interest 48. UNILATERAL TERMINATION BY THE BOARD. The Board may, atits option, unilaterally terminate this Contract. In the event of such termination, the Board shal pay to the ‘Superintendent as lump sum severance pay all of the aggregate salary, as specified in sections 1A) and 11(0) above, thal he would have eamed under this Contract for the upcoming twelve (12) months of the contactor until the termination date set forth in paragraph 1. above, ‘whichever fs less. if, Fowever, the Board unilaterally terminates this Contract within the first twelve months ofthis Contract, the Superintendent shal be entitled to the annual aggregate Selary he would have eamed for the upcoming eighteen (18) months of the Contract. Inthe event the Board offers 0 terminate the Contract by paying the amount specified herein, the right {oa hearing before the Board and the right to appeal the Board's action shall be considered waived by the Superintendent. 20. RESIGNATION, The Superintendent shal provide the Board atleast ninety (20) days witen notice price to resigning from his position 21. ENTIRE AGREEMENT. The partos hereto agree that this instrument contains the entice agreement bstween them as ofthis date, and that ithas not been induced by either party by any representations, promises or undertakings not expressed herein, and that there are no collateral agreements, stipulations, promises or understandings whatsoever by the respective Parties in any way affecting the subject matter ofthis contract which are nol expressly contained in this instrument 22. AMENDMENT, The Contract may be amended during ths term by mutual “witten consent of the Board end the Euporintendont. Any 2ueh amendment chal be in wring, Spproved by effial action ofthe Board, and accepted in wring by the Chaitman ofthe Board and the Superintendent. 23, SAVINGS CLAUSE. I, during the term ofthis Contract, itis found that a specific clause of the Contract i legal under federal or state law, the remainder ofthe Contract not affected by such a ruling shall remain in force. 26, FILING.
