Non Disclosure Agreement

Between

(the Receiving Party which expression shall include its affiliates, employees and group
companies);
and
Penta Consulting Limited registered in England and Wales under number 03525651 and having its
registered offices at Crosspoint House, 28 Stafford Road, Wallington, Surrey, SM6 9AA (Penta)
The Receiving Party hereby acknowledges that it shall keep confidential any Confidential
Information (as defined below) concerning Penta or Pentas clients on the terms and conditions of
this Agreement and undertakes that it shall not divulge or communicate Confidential Information in
any manner or form, save as herein provided.
The Receiving Party hereby agrees to seek the written consent of a duly authorised representative of
Penta before divulging any Confidential Information to any third party.
For the purposes of this agreement, Confidential Information shall include but not limited to the
following:

Any requests for information or requests for quotation submitted or disclosed to the
Receiving Party by Penta;

pricing information which shall include all and any rates and premiums charged by Penta,
prices charged to and terms of business with its customers or clients or prospective clients
and any information relating to earning potentials of Penta;

information relating to Pentas clients,

contractors, and referrers of business;

Any information which the Receiving Party is advised is confidential.

Confidential Information shall also include company documents being notes, memorandum
records, lists of customers and suppliers and employees, correspondence, documents, computer and
other discs and tapes, data listings, codes, designs and drawings, the complete interview process
(including bespoke tests) and other documents and material whatsoever relating to the business of
Penta (and any copies of the same) which:Shall be and remain the property of Penta; and
Shall be handed over by the Receiving Party to Penta on demand and in any event on the
conclusion of the Receiving Partys training.
The Receiving Party agrees to be bound by the terms of this Agreement for a period of 12 months
from the date of signature by the parties.
