Avtale om konsulenttjenester

Denne avtalen er inngtt mellom ABC Ltd. (heretter kalt ABC) med beliggenhet i 27 North Street,
Freeville, og

dets agenter, tjenere, ansatte, og underleverandrer (heretter kalt Konsulenten) gjeldende fra
.. 20.. (Heretter kalt Startdatoen),

The Agreement shall continue in force until it is terminated as provided for herein.

In consideration of the mutual obligations specified in this Agreement, and any compensation paid to
CONSULTANT for its services, the parties hereby agree as follows:

1. ABC may issue Purchase Orders which will contain a statement and description of the
Services to be performed by CONSULTANT.

2. NON-DISCLOSURE AND TRADE SECRETS

The specific technologies and teaching materials which shall be disclosed or otherwise made available
to CONSULTANT, shall be identified in the Purchase Order. CONSULTANT is hereby expressly
prohibited from entering areas other than the designated areas. Any failure to adhere to this prohibition
shall constitute a breach of this Agreement.

During the term of this Agreement and in the course of CONSULTANTs Services hereunder,
CONSULTANT may receive or otherwise be exposed to ABC business practices, strategies and
technologies. CONSULTANT agrees not to divulge such information in any form to any third party
without ABCs prior written consent, either during or after the term of this Agreement.

This Section shall survive the expiry or termination of this Agreement for any reason.

3. INDEMNIFICATION
CONSULTANT shall indemnify and hold ABC and its officers, agents, directors, employees and
customers of ABC in respect of which CONSULTANT is contracted to hereunder carry out services
harmless against all claims, demands, losses and expenses (including reasonable legal fees) resulting
in any way, from any act, omission or negligence on the part of CONSULTANT in the performance or
failure to perform Services under any Purchase Order subject to this Agreement, excepting only those
losses which are due solely and directly to ABCs negligence.

4. TERMINATION
ABC may terminate this Agreement and any Purchase Order issued hereunder, without further
payment to CONSULTANT if CONSULTANT fails to perform any provision of this Agreement, and fails
to cure within 30 (thirty) days after receipt of notice.
 ABC can terminate this Agreement and any issued Purchase Order for convenience 30 (thirty) days
after giving CONSULTANT written notice of termination.

5. FORCE MAJEURE
Notwithstanding any other provision herein, no default, delay or failure to perform on the part of either
party shall be considered a breach of this Agreement if such default, delay or failure to perform is
shown to be due entirely to events beyond the reasonable control of the party charged with such
default. In the case of the happening of any such event, the time for performance required by either
party under the Agreement shall be extended for any period during which performance is prevented by
the event.

6. GENERAL
This Agreement may not be amended unless mutually agreed upon in wiring by both parties.

In the event that any provision of this Agreement is found to be legally unenforceable, such
unenforceability shall not prevent enforcement of any other provision of the Agreement.

This Agreement expresses the entire Agreement and understanding between the parties and
supersedes any previous understandings, commitments or agreements, oral or written, pertaining to
the subject matter of this Agreement.

7. CONSTRUCTION
Headings have been included for convenience only and shall not be used in the construction of any
provision of this Agreement.

7. GOVERNING LAW
This Agreement shall be governed by and construed in accordance with Norwegian law. Unless
specifically agreed otherwise, any disputes arising in connection with or as a result of this Agreement
shall be settled by arbitration in Oslo, and the arbitration proceedings shall be held in Norwegian.

IN WITNESS WHEREOF the parties hereto have caused this Agreement to be executed by their
respective duly authorized representatives.
