Mrs. Kiran Panchal W/o Mr.

Shalu Kumar R/o A-22/1, Garima Garden, Sahibabad, Gaziabad,

Uttar Pradesh 201005, hereinafter referred to as the second party.

WHEREAS the First party of this deed was running business of Bar Code Scanner, Computer
Components & Parts, Printing Ink (Ribbon), All kind of Printers etc., under the name and style of
Divert Technology with its principal place of business at House No. 2763, Ground Floor,
Block D, Lalita Block, Shastri Nagar, New Delhi 110052, under a proprietorship firm since
2014. Now Mr. Pushpender (existing proprietor) intends to run the business in partnership firm
and induct Mrs. Kiran Panchal as partner in the partnership business.

NOW THIS INDENURE WITNESSTH AND THE PARTIES HERE TO HEREBY

AGREE AS FOLLOWS:

1. That the firm name shall be M/S BLUEPRINT BAR CODE SOLUTIONS and its
principal place of business shall be at House No. 2763, Ground Floor, Block D, Lalita
Block, Shastri Nagar, New Delhi 110052 or at such other place as shall be found more
convenient and agreed upon between the partners, the branch office,if any, shall be
opened as may be decided by the partners from time to time.

2. That the partnership shall be deemed to have commenced on and from 13 th day of
January, 2017.

3. That the business of the partnership shall be to run Sale of Bar Code Scanner, Printing
Ink (Ribbon), all kind of Printers Barcode Printers, RFID, Billing printer, Barcode label&
Ribbon, Thermal roll, Cash register, Computer and computer components, Mobile
terminals, POS solutions, All type self adhesive labels etc., and other related items. The
Partners can also open branch at any other places as and when required and all the terms
and conditions of the partnership shall apply to them.

4. That the partnership shall be at will and will continue so long as the partner may desire to
retire from the said partnership. They shall give at least two calendar month notice in
writing to this effect to other partners.

5. That net profit / loss of the partnership firm as per account maintained by the firm after
deduction of all expenses relating to business of partnership firm including interest and
remuneration payable to partners in accordance with the clause of deed of partnership
shall be divided and distributed between the partners on the close of accounting year in
the following proportion:

a. First Party Mr. Pushpender 50%

b. Second party Mrs. Kiran Panchal 50%
6. That the parties here to shall contribute such sums of the money towards the capital of the
partnership as may be mutually agreed upon by and between the partners from time to
time.
