1.0 SERVICES LABOR AND MATERIALS:

The Contractor shall fully and faithfully furnish all labors,


materials, and equipment toand complete the route and survey
works, i.e., transmission line route survey and paparrcellary survey and
geological and geotechnical investigation forof lots to be affected by the
proposed transmission line project per attached Technical Provisions
under Annex A and Annex B, respectively..

2.0 Project Description:

The project is part of the Southern Panay Backbone Transmission Project which
involves the installation/construction of a total of 107 kilometers of 138 kV
overhead transmission line utilizing steel tower structures.proposed Kirahon
Maramag 230 kV Transmission Line is one of the components of the Mindanao
230 kV Backbone Transmission Projects. It aims to increase the power transfer
capability and system reliability in the island assuring continuous supply of
power to the consumers.

The route passes the provinces of Misamis Oriental and Bukidnon with a total
stretch of 108 kilometers starting from the proposed Kirahon Substation in
Villanueva, Misamis Oriental. The line terminates at Maramag Substation. The
line will start from the Expansion Area of the existing Sta. Barbara Substation in
Iloilo Province and to end at the proposed Sibalom Substation in Antique
Province.

Generally, the route passes through a terrain characterized as rolling to
mountainous. The rolling terrain covers the vicinities of Ala-e towards
Manolo Fortich proceeding towards Malaybalay City further south to
Valencia City and finally to Pulangi IV Substation. Mountainous terrain with
high relief and crested hills starts after crossing Tagoloan River
towards Ala-e through Maluko to Impasugong and part of
Malaybalay City. Several high relief river channels occasionally
cross the proposed transmission line route.

3.0 Objective:

- The end product of the Route Survey shall be utilized in the detailed
design and preparation of technical specification and tower structure list.

The parcellary survey aims to establish the list of lots and respective landowners
and area of lots to be affected as reference in the right-of-way negotiation for
easement or acquisition.

The parcellary surveyThis activity also aims to establish permanent records for
property management and future reference.

validationreview of the submitted drawings/end-products.

34.0 Work Quantities:

The The Associated Transmission Line route shall originate from the
proposed substationcut-in tower of the Kalayaan San Jose 500 kV
Transmission Line in Castillejos, ZambalesBaras, Antipolo Mahaplag in
Ormoc City, Leyte and shall and shall terminate at the proposed expansion
site of HermosaTaguig EHV Substation proposed Cable Terminal Station at
Hinundayan with a total length of approximately 3565 kilometers. The
work quantities are as follows:The proposed transmission line route shall
originate from the existing Dasmarias Substation in Cavite and shall pass

total length of approximately 60 kilometers. The work
quantities are as follows:

The Contractor shall perform the required field


investigations and laboratory tests/analyses including other
works specified in Annex B, Section 2.0,; boreholes of which
are detailed as follows:

10 meters borehole depth

Offshore Substation Portion (Calaca S/S) approx. 30
boreholes at 10 meters borehole depth
c. The Contractor shall perform the required field investigations and
laboratory tests/analyses including other works specified in Section
2.0 above on the estimated total of 135215 boreholes based on
one borehole per per to towersite plus 30 boreholes as and 65
kilometer route length that comprise the project.t the proposed

The route will originates from the existing Santiago Substation in


Santiago, Isabela Sta. Barbara (expansion area) in Sta. Barbara,
Iloiloproposed Kirahon Substation in Barangay Kirahon, Municipality
of Tagoloan, and Misamis Oriental and will terminateterminates at
the existing Tugegarao Substationproposed Sibalom Maramag
Substation in Tuguegarao City Sibalom, Antique with a tCampo Uno,
Maramag, Bukidnon. Total lengthdistance of the line is
approximately 1181078 kilometers. The work quantities to be done
are as follows:

Establishment of Ground Controls by GPS (120 points)


Plan/Profile Survey (118 km)
Staking and Topo Survey of towersites (393 towersites)
Establishment of centerline and ROW corridor (118 km)
Parcellary Survey of affected lots (118 km)

Payment shall be on actual quantities that have been done per Section
710, Payment for Increase or Reduction in Work Quantities. The above
workabove quantities are variable in nature and may increase or decrease

vary particularly in the total length of the line, which will depend on the
final results of the route survey as indicated in the plan/profile drawings
and in the total number of towersitess, which will depend on the results of
the tower spotting of the plan/profile drawings to be done by the Electrical
Engineering Design Division (EEDD) of NGCP.depending on the final
outcome of route surve depending on the outcome of the final
transmission line route and the resulting number of tower sites.

NGCP company may enter into a Jjoint Vventure Aagreeement
(JVA) and to bid as one (1) contractor. Under athe JVA, either one of
the parties can be designated as the Lead/ JV Administrator.

Manning Survey Team for deployment:

Project Engineer must be a licensed Geodetic Engineer with a minimum five (5)
experience in route and parcellary survey.

AUTOCAD operator must be a graduate of a computer-related coursebe college


level, computer literate, with at least two (2) years experience in plotting of
survey parcellary plans/drawings.

Researcher must be college level with at least 2-years experience in research


and gathering of lot data. .

5.2.5 Company Profile

Organizational Structure of the Company.

Manpower and Curriculum Vitae of company staff and officials.

Authorized staff or official of the firm who shall affixed his


signatures in the plans , maps and related survey data.

Duly notarized list of equipment/instruments including certificate of


ownership and/or purchase receipts as maybe applicable.

Duly notarized list of completed and on-going projects of the same


or similar scope.

4.3 Instrument/Equipment Requirement/Instruments:

Management Bureau (LMB).

type, RTK, with at least three (3) receivers.
The instrument shall be supported by a valid
calibration certificate from CGSD-NAMRIA.

Qualifications and Experience of Survey Team:

Project Engineer for Survey must be a licensed Geodetic Engineer with a


minimum five (5) year-experience in TL route and parcellary survey.

Instrumentman must have at least reached 2nd year college and with
minimum threefive (35) year-experience in the execution of field survey.

CAD operator must be a graduate of a computer-related course and with at least


two (2) year-experience in plotting of survey plans/drawings.

Researcher must have at least reached 2nd year college and with at least two
(2) year-experience in research and gathering of lot data.

ROW validator must havebe at least reached 2nd year college a GE graduate
and preferably hails from the locality who, is familiar with the place and could
speak the local dialect. and familiar with the in the history and whereabouts of
lot records and information therein.

Qualifications and Experience of Geology Team:

Project Engineer for Geology shall be a full time employee and a licensed
geologist, civil, mining or geotechnical engineer with at least five (5) years
proven experience in engineering geology or soil investigation work;

The Contractors Consultant/Evaluator must have at least earned masters units


(i.e. more than half of total required units) in geological engineering,
geotechnical engineering or foundation engineering with a minimum of eight (8)
years work-related experience. A masters degree holder of same fields of
specialization only requires a minimum of five (5) years work-related
experience;

4.5 The contractor shall provide at least two (2) all terrain service vehicles.

4.5 The contractor shall hire a ROW validator whose primary duty are:

4.5.1 To conduct actual field verification of the resulting lot sketch


plans on a lot to lot on a per lot basis.

4.6 The Contractor shall conduct a ROW Mapping and Risk Assessment

Proceed. The idea of
having a RMRA report is to anticipate potential parcellary survey and
ROW problems along the proposed line. The report shall include but
not limited to the following:

4.6.1 Actual number of barangays, municipalities and estimated


lots to be affected.

4.6.2
4.6.3 Transmission Line Route Map indicating Land-U use
classification of the lots to be affected indicating portions
such as public land, forest/timberland, reservations,
watershed, ancestral domain, friar lands, etc.
4.6.4 Action plans to possible problems to be encountered with
regards to the non-availability of lot records such as
cadastral map, tax maps, TCT, tax declarations, technical
descriptions among others.

4.7 During contract implementation, the contractor shall submit weekly


progress report to the Technical Services Section ofSite Management
on a weekly basis copy furnished the Engineering Technical Services
Division.

4.8 The contractor shall not assign, transfer or subcontract the benefits
and obligation of this agreement or any part hereof.

4.6 The contractor shall not, without prior written consent of TransCO,
assign, transfer or subcontract the benefits and obligation of this
agreement or any part hereof. Even if the contractor subcontract any
portion to any party after obtaining consent from TransCO, the
Contractor shall still be liable for the acts and omissions of his
subcontractors and of its person and shall not be relieved or released
any of its obligation and responsibilities under this agreement.

4.7 During field instrumentation, downloading of data by the contractor


from data logger and or memory card of the total station and GPS to
the computer shall be made in the presence of TransCO
representative(s).

5.5 During contract implementation, the contractor shall submit progress
report to Site Management on a bi-monthly basis or as maybe
periodically required.

5.6 Billing and Certificate of Afinal acceptance shall be subject to field


verification/inspection and approval by the Technical Services
DepartmentSD (TSD) Manager and Cluster Head of the specific
project.

5.0
Technical Provisions (Survey):

Route Survey

Ground Control Points (GCP)s

The entire transmission line route to be surveyed shall be tied to the existing
NAMRIA PRS-92 control network. Hence, base and intermediate check controls
shall be of the same reference.

Intervisible pair of main ground eodetic control pointss shall be established along
the line at an interval of twoone (21) kilometer. Distance between the pair of
controls shall not be less than 100 meters but not more the 400 meters. The
controls shall be properly marked by a brass on top of a 20 cm. x 20 cm. x 60

cm. rectangular monument. Designation shall be inscribed on top of the
monument with smooth surface finish, e.g., GCP-CDSTSBSWC--01, 5/02/1103,
GCP-CD3, STSBSWC-02 5/02/13103, etc.

Only survey grade GPS equipment shall be utilized in the field instrumentation
for the establishment of ground controls.

Elevation of ground controls shall be tied to the benchmark established by


NAMRIA.

Ground controls shall be properly placed in a stable ground and permanent in


nature, where it will not be easily disturbed and can be used for a long time for
use as ground reference during construction stage of the project.

Plan & Profile Survey

The Point of Intersections (PIs) shall be established on the ground by the


contractor based on the coordinates to be provided by ETSD before the conduct
of the Plan and Profile survey.

The ground elevationsprofile from one PI to the next PI along theof the
centerline of the proposed transmission line route and within the ROW corridor
width shall be accurately determined.

For flat terrain, ground elevations shall be taken at every 10 meter interval while
for rolling to hilly terrain, at every 5 meter or less interval depending ground
configuration.

PlanGround details shall include, among others, points and directions and
elevations of crossing power transmission and communication lines, pipe lines,
railways, highways, streets or access roads, barangay name, fences, forest
areas, crops, watercourses, rock outcrops, and other features significant to tower
location.

Where the line is running parallel to existing lines, the offset position of each
tower site in the adjacent line shall be surveyed and clearly indicated in the plan
and profile drawing..

Location of rivers within the 200 meter distance from the centerline shall be
surveyed and indicated in the plan and profile drawing.

Where the line passes an existing transmission or distribution line, the height of
the highest and the lowest conductor from the ground shall be surveyed and its
elevation shall be clearly indicated in the plan and profile.

Where the line passes near a side slopes, low lying hills, knob, ridge and vertical
cliffs, it should be clearly indicated in the plan and profile drawings so that the
designer can avoid locating the towersite in the such unsuitable area for tower.

Location of the polygons such as houses, buildings and related structures falling
within or even partly affected by the Right-of-Way limits of the transmission line
route shall be determined and indicated in the plan and profile.

Along the proposed route, survey stations shall be set out with 50 mm wood
pegs to indicate center line position, so as to provide free sight between stations
and sufficient site for survey profile and terrain mapping.

The maximum distance between station pegs shall not exceed 500 meters.

In general, elevations shall be taken along the route centerline every 25 meters
and wherever there is noticeable change in the ground profile and these shall be
carried forward from the reference datum.

Two (2) tie lines shall be established at the start, end point and deflection points.
Each tie line shall be composed of at least two (2) reference points not less than
twenty (20) meters apart and the furthest tie point shall not be more than fifty
(50) meters. All tie/reference points shall consist of 3 mm x 50 mm brass
embedded on top of a 20 cm x 50 cm cylindrical concrete monument.

Preparation of Plan and Profile drawings and TL Route Map

Plan and Profile drawings shall be prepared in the standard format adopted by
NGCP through the Engineering Survey Section, Engineering Technical Services
Division.

The scale to be used shall be as follows;

Stationing in both the Plan and Profile shall be in multiple of 100 meters. This
should be indicated in full dark lines of the drawing paper.

The Right-of-Way Limit, 20 meters left and 20 meters right from the center line,
shall be reflected on the Plan by a heavy broken long dash line.

In the Plan and Profile drawings, details shall include, among others, the type of
vegetative cover it traverses, the points elevation and directions of crossing
power and communication lines, pipelines, railways, highways, barangay roads,
barangay, fences, forest areas, crops, watercourses, rock outcrops, and other
features significant to the design of tower location.

As may be necessary, areas not suitable for tower locations shall be clearly
marked Not suitable for tower locations on the Plan and Profile drawings as
directed by NGCP representatives.stating the casual relation.

Match Line Number shall be indicated at the end portion of one sheet and at the
beginning portion of the following sheet of the Plan and Profile drawings.
Elevations indicated at match lines should correspond with each others,
meaning. Elevation indicated at the end portion of the profile should corresponds
to the elevation indicated at the beginning portion of the next sheet.

Where applicable, such as power line crossings, the existing earth-wire and all
conductor heights shall be shown. Details such as the angle of crossings,
distances of supports from the point of intersection with and on either side of the
line and all other relevant details shall be indicated on the plan.

In cases where side profiles have been taken for line that passes through low
lying hills, knob, ridge and side slopes , Profiles shall be indicated as follows:

Center line profile : solid line


Left side profile : dotted line.
Right side profile : dashed line.

Indicate in the Plan and Profile the description and location of tie lines, reference
points and benchmarks in a tabular form.

Indicate in the Plan and Profile the name of the rivers and creeks traversed by
the route, its highest and normal water and the stationing of both riverbanks and
the maximum flood level that occurred in the area.

Numerical figures representing elevations shall be clearly indicated at the match


lines at every profile portion of each sheet.

The plan should indicate among others the azimuth, deflection angles, distances
between PIs and stationing and coordinates of PIs.

To be used as inputs for the PLS-CADD software for tower design/spotting,


tabulation of the x,y,z points (geographical coordinates in UTM and elevations)
representing points along route centerline and within the ROW corridor width to
include among others the details such as points at edge of the road, river, gully,
hills, wire crossing, existing structures, etc., shall be prepared in excel format.
Special code assignment to identify features such as road, rivers, crossing wires,
etc, shall be provided by NGCP.

Transmission Line Route Map shall be prepared in scanned NAMRIA topo maps at
1:50,000 scale indicating the entire line route including all the ground control
network and Point of Inflections (PIs), municipal and barangay boundaries and
other relevant information. Additional data to be indicated in the index map are
the coordinates and location of ground control points and PIs in WGS 84PRS-92
in a tabular form on a space that will not obstruct the details of the drawing.

A separate Plan/Profile Index Map shall be prepared almost the same as that of
the TL Route Map but purposely to indicate area covered by each page/sheet of
the Plan/Profile drawings along the transmission line route.

Draft or manuscripts of the Plan/Profile and TL Route Map shall be submitted to


NGCP, for review/ comments, prior to its finalization.

Only survey grade GPS equipment shall be utilized in the field


instrumentation for the establishment of main geodetic controls.

Elevation of ground controls shall be tied to the benchmark established by


NAMRIA.

Plan & Profile Survey

The ground profile of the centerline of the proposed transmission line route shall
be accurately determined.The line shall traverse along the proposed route
indicated in a map (NAMRIA map at scale 1:50,000) to be provided or as
pinpointed by TRANSCO.

Ground details shall include, among others, points and directions of crossing
power and communication lines, pipe lines, railways, roads, barangay name,
fences, forest areas, crops, watercourses, rock outcrops, and other
features significant to tower location.

Where the line is running parallel to existing lines, the offset position of each
tower site in the adjacent line shall be surveyed and clearly indicated in the
plan and profile.

Location of the polygons such as houses, buildings and related structures falling
within or even partly affected by the Right-of-Way limits of the
transmission line route shall be determined and indicated in the plan
and profile.

Along the proposed route, survey stations shall be set out with 50 mm wood
pegs to indicate center line position, so as to provide free sight between stations
and sufficient site for survey profile and terrain mapping.

The maximum distance between station pegs shall not exceed 500 meters.

In general, elevations levels shall be taken along the route centerline every 25
meters and wherever there is noticeable change in the ground profile and these
shall be carried forward from the reference datum.

Two (2) tie lines shall be established at the start, end point and deflection points.
Each tie line shall be composed of at least two (2) reference points not less than
twenty (20) meters apart and the furthest tie point shall not be more than fifty
(50) meters. All tie/reference points shall consist of 3 mm x 50 mm brass
embedded on top of a 20 cm x 50 cm cylindrical concrete monument.

5.3 Stationing in both the Plan and Profile shall be in multiple of 100

The Right-of-Way Limit, 1520 meters left and 1520 meters right from
the center line, shall be reflected on the Plan by a heavy broken long
dash line.

In the Plan and Profile, details shall include, among others, the type of
vegetative cover it traverses, the points and directions of crossing
power and communication lines, pipelines, railways, roads, barangay,
fences, forest areas, crops, watercourses, rock outcrops, and other
features significant to tower location.

As may be necessary, areas not suitable for tower locations shall be


clearly marked Not suitable for tower locations on the Plan and
Profile stating the casual relation.

Match Line Number shall be indicated at the beginning and end portion
of each sheet of the Plan and Profile. In between the match lines,
station pegs with designation and computed stationing shall be plotted
on the Profile Plan.

Where applicable, such as power line crossings, the existing earth-wire


and all conductor heights shall be shown. Details such as the angle of
crossings, distances of supports from the point of intersection with and
on either side of the line and all other relevant details shall be
indicated on the plan.

In cases where side profiles have been taken for line that passes
through low lying hills, knob, ridge and side slopes , Profiles shall be

Sites

All tower sites as reflected in the spotted Plan and Profile drawings shall be
staked/monumentedpegged on the ground. The stakespegs shall consist of 3
mm x 50 mm brass nail/tack embedded on top of a 20 cm x 50 cm
cylindrical concrete monument with the tower number inscribed on its top.

Before installation of the concrete monuments as the final tower site, the
contractor shall seek the approval of concernedNGCP Technical Services Section
of Engineering Technical Services Division of NGCPproject site management, who
shall lead a composite team that will conduct final inspection and adjustment of
the towersites, if necessary, inspect and decide if the based on actual site
condition with considerations on the foundation and slope stability and ROW
concerns. is the most suitable location with regards to ROW concerns, foundation
stability, accessibility during construction and maintenance, among other
considerations.

All If the site of any tower as plotted is obviously not suitable by reason of
topographical, geological or any other affecting conditions, the contractor shall
call the attention of Transco for the proper re-location/re-alignment. of towers for
consideration.

Coordinates of each sstaked/monumented tower sites shall be observed


determined using GPS instrumentsusing a survey grade GPS to determine the
final coordinates. in PRS 92 system.

Topographic survey shall be conducted in each of the proposed towersites at


least within the 20-meter radius.

Photographs of each monumented towersites shall be taken and if possible, in at


least two (2) panoramic views showing the tower number and view of the
surrounding topographic features topography for submission to NGCP per Section
6.1.1.1.3.within the surrounding 20-meter radius.

Topographic survey shall be conducted in each of the proposed towersites at


least within the 2520-meter radius.

Two reference concrete pegs shall be provided at an interval of every two (2)
continuous non-deflection towers. The two (2) reference pegs shall be located on
the center line of the transmission line, 20 meters ahead and 20 meters behind
the center peg.

56.42 Right-of-Way LimitParcellary Lot Survey and ROW Corridor


Staking

5.46.2.1 Actual Parcellary, relocation and segregation survey of affected lots


shall be undertaken.

Tie points shall be the NAMRIA PRS 92 control points.

The line route shall be limited to Fortyfortythirtyforty meters (44340.0 m) right-


of-way corridor; 2201520.000.0 m. left and 20.0201520.00 m. right measured
from the centerline.

5.4.6.2.2 Centerline and ROW corridor shall be marked with wooden guide
sticks painted with distinct color and properly embedded and visible at least 0.50
m above the ground on both sides. Natural features such as trees, boulders and
the like are ideal markers in lieu of guide sticks where stakes exactly fall therein
provided these are painted distinctly.

Markings of the ROW corridor limit shall be done in the presence of TransCO
representative/s

5.4.36.2.3 Spacing of the guide sticks shall be every 50 m. on the highly


vegetated area and 200 m. on the open field. Plain areas classified as rice or
corn fields need not be pegged with guide sticks.

5.4.4 Established markings of the centerline and ROW corridor limit shall be

5.5 Parcellary Survey

5.56.3.1 Ground Controls and Lot Survey

Coordinates of Eeach tower site shall be determined using GPS


instruments and ensure that it is properly marked by a concrete
monument (to replace TransCO installed or lost monuments with a 12 cm-
diameter x 35 cm-long cylindrical concrete), with designation (acronym of
project - tower number) inscribed on top of it.

5.5.1.16.3.1.2 Geodetic controls and traverse closure shall be


limited to the third order accuracy as referred to the standards of
CGSD-NAMRIA while survey procedures shall be referred to the
standard practice set by the Land Management Bureau (LMB) and
the Manual of Land Survey in the Philippines.

6.3.1.3 Location of the polygons such as houses and related


buildings falling under or even partly affected by the right-of-way
corridor of the transmission line shall be accurately determined.

5.5.1.26.3.1.4 Land or lots which are not duly registered with the
Land Management Bureau (LMB), Land Registration Authority
(LRA) and other government authorities where appropriate
technical descriptions documents/data are not available, as-built/actual lot
survey to determine the area relocate and segregate the lot/s affected
shall be performed in the presence of the lot/landowners and adjacent
lot/landowners or their lawfully designated representatives.

5.5.1.3 Lot sketch plans for lots with dual land-use classification as
indicated in the tax declarations shall be prepared in such a way that the
residential and agricultural portions of the lot shall be properly indicated
complete with technical descriptions and confirmed by the municipal
assessors office concerned.

5.5.1.46.3.1.5 Where inconsistencies in the theoretical and actual


location of the lot/s affected are uncovered during the execution
of the field survey, a situationaire report duly signed by the
Geodetic Engineer shall be submitted to ESD-TSD for further
verification/confirmation. If proven to be so, comparative presentation of
the relatively right and wrong positions of the lots affected shall be
incorporated to the survey results together with recommended corrective
measures..

signed/approved and sealed by the Geodetic Engineer of the

Tie line for each lot shall be reckoned from BLLM or location monuments
established by the Lands Management Bureau as indicated in the TCT or
NTD used as reference.

PRS 92/PPCS Coordinate shall be visibly indicated at the border line of the
plan reckoned from the center point.

Every lot sketch plan prepared shall be supported by a separate Narrative


Technical Description (NTD) duly signed approved by a Geodetic
Engineer. The NTD shall provide a space for acceptance and/or
notation of a duly authorized discipline of NGCPTransCo.

A Parcellary Index Map in one coordinate system using PRS-92 at


convenient and readable scale in original Mylar film shall be prepared
indicating the transmission line route and ROW corridor with all the lots
affected, all NAMRIA and LMB ground control points, and municipal
boundaries and existing road network indicating whether provincial,
municipal or barangay road.

For lots representing wider areas more than the normal condition such as
public timberland, watershed reservations and pastureland and without lot
data, contractor shall inform TransCO for appropriate guidance.

Draft copy of the lot sketch plans and parcellary index maps shall be
submitted to NGCPTransCO for review/comments and correction, if any,
prior to its finalization.

survey, geology, ROW and social concerns to ensure the timely completion
of each activities based on the approved project implementation schedule.
The Certificate of Acceptance shall be approved by both the Heads of
Projects Division Cluster Head and ETSD with the concurrence of the
Project ROW section with regards to parcellary survey results.
Manager.TSD shall be responsible for the validation and acceptance of the
end-products submitted. During the site inspection, CONTRACTOR shall
assist/cooperate and makes available their office/field and transport
facilities to NGCPTRANSCO i Inspector/s.

330.0 Changes in Terms of References and Specifications

Subject to review, Terms of Reference may be changed to suit


actual field condition upon the recommendation of the authorized
representative of the NGCPCorporation. Such changes shall be
ordered by the Contracting Officer in writing, and no change or
omission from the Terms of Reference shall be considered to have
been authorized without written instruction signed by the
Contracting Officer.

If changes are of such character that the unit price to the Contractor will
not necessitate any increase, the contracted unit price shall be adopted.
However, if circumstances warrant an increase in the unit price, then such
an increase shall be effected subject to the approval of the authorized
NGCPTransCo official.in the opinion of the Contracting Officer, such
changes are of such character that the unit price to the Contractor for
doing the work is not increased, then no increase in unit price over the
contract rate will be paid to the Contractor on account thereof.
If, in the opinion of the Contracting Officer, such changes caused an
increase or decrease in the unit price of the Works, or in the time required
for its performance, an equitable adjustment shall be made and the

Contract shall be modified in writing accordingly, subject to the approval
of the Corporation. The express consent of the sureties in writing
for any extension of the time of the Contract shall be obtained. In
the event that the amount due under this contract is increased by
such changes, the Contractor shall furnish proportionate
additional performance security, if required by the Contracting
Officer

13.0 Variation Orders Change Order / Extra Work Order /


Supplemental Agreement

16.1 Variation Orders may be issued by the Corporation to cover any


increase/decrease in quantities, including the introduction of new work
items that are not included in the original contract or reclassification of
work items that are either due to change of plans to suit actual field
condition after a joint survey made by the Contractor and the Corporation
after issuance and receipt of Purchase Order. The addition/deletion of
works should be within the general scope of the Work/Undertaking as bid
and awarded. A variation order may either, extra work order or a
supplemental agreement.

16.2 A Change Order may be issued by the implementing official to cover


any increase/decrease in quantities of original work items in the contract
after the same has been found to strictly comply with item 18, Variations
Orders.

16.3 An Extra Work Order may be issued by the implementing official to


cover the introduction of new work items after the same has been found to
strictly comply with this provision and approved by the concerned
TRANSCO approving authority.

16.4 All requests for claims of extra works shall be submitted to the
Contracting Officer within seven (7) calendar days which shall consist of
the additional works to be done, the corresponding detailed cost
estimates, and other necessary documents for the effective execution of
the work.

16.5 Change Orders or Extra Works Orders may be issued on a Contract


upon the Approval of competent authorities provided that the cumulative
amount of such Change Orders or Extra Works Orders does not exceed the
limits of the formers authority to approved original contracts.

16.6 A separate Supplement Agreement may be entered into for all Change
Orders and Extra Works Orders if the Aggregate amount exceeds ten
percent (10%) of the escalated original Contract Price.

331.0 Right of Corporation to Take Over Work

Should the Contractor fail to complete the Works herein within the
specified and agreed upon, or if the Works is abandoned, or the
Contract is assigned otherwise than specified herein, or if at any
time the Corporation is of the opinion, after verifying the facts,
that the Works is unnecessarily or unreasonably delayed, by as
much as 20% of the Agreed Implementation Scheduletotal contract
duration, or that the Contractor is violating any of the conditions,
covenants and agreements of this Contract, or he is not executing
the same in good faith or it is not making such progress in the
work as to insure its completion within the required time, then in
any of these cases Corporation shall have the power to take over
the work by giving notice in writing to that effect to Contractor
and his sureties of the intention of Corporation to take over the
work. Such notice shall contain the reasons for such intention to
take over.

If, within the ten (10) calendar days after serving such notice, the
Contractor fails to remove the cause or causes of the delay or the
violation or if the Contractor fails to make satisfactory
arrangement for its correction, upon expiration of said ten (10)
calendar days, the right of Contractor to execute the Works
himself ceases.
Upon expiration of the said ten (10) calendar days after serving
such notice the Corporation shall proceed to take over and
perform the Works either by administration or otherwise.

The determination by the Corporation of the existence of facts


justifying the take-over shall be binding upon the Contractor
unless such determination, in the opinion of the Contractor is
unreasonable, arbitrary or unfair, in which case the Contractor
may raise his appeal in accordance with appropriate authorities,
however, that pending such appeal as above outlined, the
implementation of the immediate take-over may, at the option of
the Corporation, proceed along.

Should the Corporation take over this Works and complete it by


administration or otherwise, it shall ascertain and fix the value of
the Works already completed by the Contractor but not paid for
and all usable materials on the Site of the Works taken over by
the Corporation. The price of completing the Works shall be
charged against the Contract Price of the remaining work
including retained percentage and in case of insufficiency thereof,
the excess shall be charged to the Contractor and/or his
Securities.

It is expressly agreed that in the event the Corporation takes over


the Works from the Contractor, the latter and his sureties shall
continue to be liable under this Contract for any expense in the
completion of the Works in excess of the Contract Price and the
Performance Securities filed by the Contractor shall be
answerable for such expenses and for such expenses and for any
and all damages that the Corporation may suffer as a result of and
in connection with the take overtake over.

Neither an extension of time nor the acceptance of any part of the
Works called for in the Contract shall be deemed a waiver by the
Corporation of the right to take over for any of the causes
expressly provided in this provision.

10.0 Termination of Contract

The Owner (NGCP) reserves the right to terminate contract for default
when any of the following conditions attendant its implementation is
present:

a). The Contractor abandons the contract works, refuses or fails to comply
with a valid instruction of the Owner or fails to proceed expeditiously
and without delay despite a written notice from the Owner.

b). The Contractor does not execute the works in accordance with the
contract or persistently or flagrantly neglects to carry out its
obligations under the contract.

d). The Contractor is unreasonably delayed, by as much as 20% of


contract duration, or that the contractor is not executing the same in
good faith, or is not making such progress in the work as to insure its
completion within the required time.

The determination by NGCP of the existence of facts justifying the


termination shall be binding upon the Contractor unless such
determination, in the opinion of the Contractor is unreasonable,
arbitrary or unfair, in which case the Contractor may raise his appeal
in accordance with appropriate authorities, however, that pending
such appeal as above outlined, the implementation of the immediate
termination, at the option of NGCP, proceed along.

11.0 Commercial Provisions under the Purchase Order (PO)

All other provisions in the Purchase Order will apply. In case of conflict with
any of the terms and conditions in this TOR with those provided for in the
PO, the latter shall prevail.

12.0 Liquidated12.0 Liquidated Damages:

Should Contractor fail to submit the end-products under the pay items
within the specified time under Section 12 plus any time extension duly
granted by TRANSCO, Contractor shall pay TRANSCO, for each day of delay
equivalent to one tenth (1/10 th) of one per cent (1%) of the remaining
contract value for each pay item. To be entitled to such liquidated
damages, TRANSCO does not have to prove that it has incurred
damages, such amount shall be deducted from any money due or
which may become due to contractor under the contract and/or

collect such liquidated damages from the securities posted by the
Contractor.

In no case, however, shall the total sum of liquidated damages exceeds


fifteen percent (15%) of the total contract price, in which event the
contract shall automatically be taken over by TRANSCO with provisions
stipulated in Section 19.
This shall be imposed on per component pay item basis in accordance with
Section 9 - Contract Period and mmencement
DeliverableSubmission of End-Products Schedule and Section 10-
Mode of Payment and Pay Item which shall be equivalent to one-tenth
(1/10) of one percent (1%) but not exceeding twenty fivefifteen percent
(215%) of component pay item each contract bid price. Completion

Other specifications shall be referred to the Liquidated Damages


provisions under Section IV of the Bid Documents (General Conditions
of the Contract).

18.0 Suspension and Resumption of Works

20.0 The Corporation shall have the authority to suspend the
Works wholly or partly by written order for such period as may be
deemed necessary, due to FORCE MAJEURE OR ANY FORTUITOUS
EVENTS or for failure on the part of the Contractor to correct the
bad conditions which are unsafe for workers or for the general
public or for failure to carry out valid orders given by the
Corporation or to perform any provisions of the Contract, or due
to adjustment of plans to suit field conditions as found necessary
during the route mapping. The Contractor shall immediately
comply with such order to suspend the Works wholly or partly.

24.0 The Corporation shall have the right to suspend work
operations on any or all activities along the critical path of the
Critical Path Network or Program of Works after fifteen (15)

calendar days from date to receipt of written notice from the
Contractor to the Manager Technical Services Department, due to
any of the following:

26.0 Deteriorating peace and order conditions that make it extremely
dangerous, if not impossible, to work. However, this condition must be
certified in writing by the Philippine National Police (PNP) station which has
responsibility over the affected area and confirmed by the department of
Interior and Local Government (DILG) Regional Director.

28.0 There is failure on the part of the Corporation to deliver and
furnished plans and maps and other related documents as
stipulated in Technical Provisions.

30.0 In case of total suspension, or suspension of activities along the
critical path, which is not due to any fault of the Contractor, the elapsed
time between the effective order of suspending operation and the order to
resume work shall be allowed to the contractor by adjusting the contract
time accordingly.

32.0 Under no circumstances shall the contractor be entitled to standby
fee or claim for extended overhead arising from suspension of Work
whether partial or total and for reasons whatsoever.

34.0 The Corporation shall have the authority to approve the
Resumption of Work regardless of the duration.

37.0 Force Majeure

39.0 Force Majeure shall be calamitous events affecting the execution of
the works beyond the Contractors reasonable control, such as but not
limited to earthquakes, abnormal floods, typhoons, war, hostilities
(whether war be declared or not), invasion, or act by foreign enemies,
rebellion, revolution, riot and commotion or disorder other than those
committed by the Contractors own employees.

41.0 During the continuance of such Force Majeure, the Contractor is
obliged to take all suitable measures for the protection and maintenance
of the Works, with a view to minimize damage resulting there from. Also,
he shall make every reasonable effort to eliminate without delay the result
of Force Majeure. The Contractor is obliged to rebuild, repair or replaced
completely the parts of the Works destroyed or damaged by Force
Majeure.

43.0 It is specifically agreed that cases of Force Majeure affecting the
Works are only acceptable as reasons for granting time extension,
provided that delays caused by Force Majeure directly affect the
completion time of the Works.

45.0 If the Contractor, as a result of an event constituting a case of Force
Majeure is rendered unable to execute the performance of the Works,
whether financially or otherwise, in total or in part, he shall forthwith give
notice in writing to the Contracting Officer of such event giving at the

same time as many data and particulars as possible thereof (i.e. the
circumstances under which the damages have occurred, the nature and
the extent thereof, the expense required for their remedy, the extension of
time required if any, etc.). Such written notice shall be given to the
Contracting Officer by the Contractor within a period of five (5) calendar
days from the day on which the damages and/or the delay began.

47.0 An additional notice including full data and full particulars of the
said event shall be given to the Contracting Officer within a period of ten
(10) calendar days from the cessation of the event of Force Majeure
involved.

49.0 Contractors notice shall be jointly examined by him and the
Contracting Officer and the conclusions the Contracting Officer will reach
from such examination shall be set forth in protocol(s), which the
Contractor shall be requested to sign.

51.0 In case of the Contractors failure to participate in the said joint
examination or to sign the Protocol(s) prepared by the Contracting Officer,
the Contracting Officer shall send the Protocol(s) to the Contractor and the
Contractor shall be entitled, within a period of five (5) calendar days from
receipt of such notification, to set forth in writing to the Contracting Officer
his objections to the Protocol(s).

53.0 Contractors failure, for any reason or cause whatsoever, to effect
the notification stipulated in this provision and to submit the required data
and particulars within the time limits set forth herein shall render
unacceptable, null and void, any claim by Contractor for extension of
time.This shall be in accordance with the Force Majeure provisions under
Section IV of the Bid Documents (General Conditions of the Contract).

56.0 Termination of Contract due to Force Majeure

58.0 If, for reason of Force Majeure, it is necessary to stop completely the
Works and if it is not possible to recommence such Works within ninety
(90) calendar days due to such cases, the Contracting Officer and the

termination of the Contract.

60.0 At the termination of the Contract due to Force Majeure, the
Contractor may withdraw from the Site temporary installations and
equipment that are his property and have not been incorporated in the
Works, provided that such removal shall not cause damage to the Works or
other property of the Contracting Officer. The Contracting Officer will take
charge of the Works as it exists and will prepare an inventory of the status
of the Works, equipment, temporary facilities and materials not removed
by the Contractor. The Contractor shall then prepare an estimate

Final Acceptance, the Contractor shall undertake immediately the
