BYLAWS

CALIFORNIA LEAGUE OF LATINOS AND CHICANOS

Article IOrganizational Name

The name of this corporation is the California League of Latinos And Chicanos
which is hereinafter abbreviated as CALLAC.

Article IIEntity Status

A. This organization is an unincorporated association organized for public and


charitable purposes.

B. The specific purposes of this organization are to promote:

Ending legal and social discrimination based upon any arbitrary criteria in the
United States and throughout the world
Equality of opportunity for all people
Better standards of living and social progress for all
Promoting better understanding and unity among people of different cultures,
ethnicities, and social strata
Desegregation and integration of the civil rights movement itself; for a unified
and international movement for human rights
Fighting to achieve our goals by any means necessary
Opposing economic corruption within the civil rights movement, government, and
corporate society; opposition to opportunism and poverty pimping
Recognition of the need to redress grievances of the special status of Mexicans
and people of Mexican origin in the context of the conquest of Mexican territory
in an unjust war, the unlawful ethnic cleansing of 2 million people including 1.2
million United States citizens in the 1930s, and continual US interference in the
internal affairs of Mexico
Recognition and respect for the rights of indigenous Native Americans in the
context of their conquest, de facto attempted genocide and negotiated peace
treaties.

C. This oganization is organized and operated exclusively for charitable purposes


within the meaning of Internal Revenue Code section 501(c)(4).

D. Any and all efforts by CALLAC to influence legislation, administrative, and


regulatory actions of government shall be consistent with Rev. Rul. 61-177, 1961-1 C.B.
117, Rev. Rul. 67-293, 1967-1 C.B. 185, and Rev. Rul. 71-530, 1971-2 C.B. 237.
E. CALLAC is not affiliated with any political party and in assessing the merits of
any candidates for any office for purposes consistent with and not proscribed by IRS
Reg. 1.501(c)(4)-1(a)(2)(ii) and Rev. Rul. 81-95, 1981-1 C.B. 332 shall treat candidates
of all political parties which are ballot qualified in California equally. This provision
shall not be interpreted to preclude consideration and support or opposition consistent
with the lawful status of CALLAC as to any non-partisan candidate, independent
candidate, and/or candidates of unqualified parties.

F. The property of this corporation is irrevocably dedicated to public and charitable


purposes and no part of the net income or assets of this corporation shall ever inure to
the benefit of any director, officer or member thereof or to the benefit of any private
person. Upon the dissolution or winding up of the corporation, its assets remaining after
payment, or provision for payment, of all debts and liabilities of this corporation shall be
distributed to a nonprofit fund, foundation or corporation which is organized and
operated exclusively for public and charitable purposes and which has established its tax
exempt status under Internal Revenue Code section 501(c)(4).

Article IIIHistory

CALLAC is the successor organization to the California League of Latin


American Citizens, which was affiliated with the National League of Latin American
Citizens (NLLAC), a Nevada Domestic Non-Profit Corporation, Nevada Entity Number
E0437562011-0 and Nevada Business ID Number NV20111509184 (hereinafter
NLLAC), until NLLAC's dissolution.

Article IVGovernance

A. The duties of officers and directors of CALLAC and any of its councils, districts,
committees, commissions, and/or task forces include but are not limited to:

i. The duty of reasonable inquiry;


ii. The duty of loyalty;
iii. The duty of care;
iv. Fiduciary duty.

B. CALLAC shall provide for a minimum standard of training for all officers and
directors and members of any commissions, committees, and/or task forces in the duties
enumerated in Section A of this Article.

C. No disciplinary action may be taken against any member of CALLAC that is


inconsistent with Section 5341 of the California Corporations Code.
D. The parliamentary authority for CALLAC and all of its councils, districts,
committees, commissions, and task forces shall be the Standard Code of Parliamentary
Procedure of the American Institute of Parliamentarians (otherwise known as Sturgis).
In the absence of any provision within the Standard Code of Parliamentary Procedure to
deal with any specific factual situation, the most recent edition of Roberts Rules of
Order may be relied upon for guidance.

E. CALLAC's governing board may specify categories of membership in this


corporation consistent with the Constitution and laws of the United States and the State
of California, including but not limited to the Unruh Civil Rights Act. There shall be no
discrimination as to any member or prospective member who meets the minimum
qualifications for membership as determined by the governing board on the basis of
race, creed, color, national origin, sex, sexual orientation, political party affiliation,
gender orientation, age, disability, and/or any other arbitrary criteria, with the proviso
that affiliation with any organization substantially opposed to the goals of CALLAC
may be deemed as a disqualification for membership and membership in a competing
organization may be deemed to be a disqualifying factor by reason of conflict of interest
to hold office within CALLAC.

F. The initial governing board of CALLAC shall consist of its founding members.
The governing board may establish by resolution councils, districts, committees,
commissions, and/or task forces as necessary to structure the organization as its
membership grows and necessitates such structures.

Article VLogo

The Logo of CALLAC as represented herein reflects the (a) non-recognition of the
legitimacy of the border between Alta California and Baja California and the goal of
harmony and unity of all Californians (b) the idea of Consafos [C/S]. As defined in
Wikipedia, The name of the band derives from 'con safos,' a Chicano term meaning
'with safety,' used to mark graffiti. If such a piece was marked with 'con safos,' it was off
limits, a sort of trademark, and a way of indicating that a graffito was complete and
unarguable. In Chicano usage, a derogatory term placed after Consafos or C/S has
been applied goes on the writer of the derogatory comment, not on the original creator.
Article VIAmendments

These Bylaws may be amended by a majority vote of the full voting membership. The
governing board may establish a quorum for any vote.

Article VIFounding Members

The Founding Members of CALLAC are:
