SPECIAL CALLED MEETING OF THE BOARD OF COMMISSIONERS, MEMPHIS- SHELBY COUNTY AIRPORT AUTHORITY, March 29, 2017 CALL TO ORDER Resolution for Approval 1. Discussion on Potential Trademark Infringement for Memphis-Shelby County Airport Authority CLOSED EXECUTIVE SESSION INFORMATION ITEMS NEXT BOARD MEETING: April 20, 2017RESOLUTION WHEREAS, it has come to the attention of the Memphis-Shelby County Airport Authority that the Millington Regional Jetport has recently started to use the name of Memphis-Milington Airport, or something similar, in various public printed media, including but not limited to intemet use, Facebook and on its homepage; and, WHEREAS, the Millington Regional Jetport has reportedly obtained a Resolution adopted by its governing body approving and authorizing said name change; and, WHEREAS, the Millington Regional Jetport has reportedly applied to the Federal Aviation Administration (FAA) for an official name change to the Memphis-Millington Airport, or something similar, and, WHEREAS, the Memphis-Shelby County Airport Authority has spent considerable time and money in obtaining an incontestable federal trademark of Memphis International Airport; and, WHEREAS, this trademark is used in all marketing and promotional matters to establish it in the minds of the consumers in the Memphis area; and, WHEREAS, the name of Memphis-Millington Airport, or anything similar, would be a dilution and infringement upon the incontestable federal trademark used by the Memphis-Shelby County Airport Authority for the Memphis International Airport; and, WHEREAS, the name change appears to be an attempt to divert consumers from Memphis International Airport to Millington by trading on the goodwill of Memphis International Airport's name, its brand, and reputation; and, WHEREAS, the President of the Memphis-Shelby County Airport Authority has sent a letter to the Executive Director of the Millington Regional Jetport asking him tocease and desist continuing to pursue the use of and name change to the Memphis- Millington Airport, or anything simitar; and, WHEREAS, the Board of Commissioners of the Memphis-Shelby County Airport Authority must approve and authorize the filing of any litigation on behalf of the Authority: NOW, THEREFORE, BE IT RESOLVED, by the Board of Commissioners of the Memphis-Shelby County Airport Authority, that the President and CEO or his designees are hereby authorized to take any and all steps necessary, concerning the Millington Regional Jetport's attempt to change its name to the Memphis-Millington Airport, or anything similar, including but not limited to litigation, in order to protect and defend the incontestable federal trademark of the Memphis Intemational Airport from any infringement, dilution, Federal unfair competition, andlor state common law unfair ‘competition.
