DEED OF ASSIGNMENT AND TRANSFER RIGHTS

KNOW ALL MEN BY THESE PRESENTS: That

This DEED is made, executed and entered into by:

, of legal age, married, Filipino citizen, residing at, hereinafter referred to

as the ASSIGNOR;

and

, of legal age, married, Filipino citizen, residing, Philippines, hereinafter

referred to as the ASSIGNEE;

WITNESSETH; That

WHEREAS, the ASSIGNOR being a lawful and legitimate heir of the late
ISIDRO CASTILLO has acquired rights over a fishpond containing an area of
16,964 square meters;

WHEREAS, the ASSIGNOR is willing to renounce / assign / transfer his

rights over said fishpond for a valuable consideration, to which the ASSIGNEE
has agreed to pay;

NOW, THEREFORE, for and in consideration of the sum of

FORTY THOUSAND PESOS, Philippine Currency (Php 40,000.00), the receipt
hereof is hereby acknowledged to have received by the ASSIGNOR from the
ASSIGNEE, the ASSIGNOR does by these presents RENOUNCE, ASSIGN,
TRANSFER in a manner absolute and irrevocable in favor of the ASSIGNEE,
her heirs and assigns, the abovementioned fishpond, together with all the
improvements existing therein.

The ASSIGNOR does hereby warrant that the conveyed property is free
from all liens and encumbrances and further warrant the legal possession of and
title to the same against the claims of any persons whomsoever.
