La realidad est cambiando en forma acelerada debido al avance
de la ciencia, en especial, en los mbitos de la tecnologa y la comunicacin.
Conforme a lo anterior, los seres humanos tienden, cada vez ms, a
establecer relaciones en un mundo globalizado. El comercio mundial se
ha beneficiado de esta situacin y se ha desarrollado considerablemente.

3 El tema se propona bajo el ttulo: "Medidas a tomar para la unificacin del derecho internacional" y fue recibida
clidamente por los restantes Estados. Surgi, sin embargo, el interrogante acerca de la competencia de
Naciones Unidas para intervenir en la unificacin del derecho privado. La cuestin fue sin embargo
rpidamente resuelta: dado que Naciones Unidas tiene por objeto el mantenimiento de la paz y seguridad
internacionales, eliminar las dificultades que surgen de los distintos sistemas jurdicos en el desarrollo del

por quien encarg las mercaderas, o bastar con que el valor de stos se
aproxime a dicha mitad? Como vemos, la cuestin no deja de ser balad y
existe cierta inseguridad frente al empleo de la palabra "principal". Cabe
tener en cuenta que el precepto -al referirse a "parte sustancial" se est
refiriendo a los materiales, y no compara (como lo hace el segundo prrafo
del artculo 3) el valor de los materiales con el de la mano de obra, \folvamos
al ejemplo anterior, con una variante:

los fines de, v.g., establecer si la promesa constituye una verdadera oferta o
si dicha oferta ha sido aceptada. En cuanto al objeto, la CCVIM slo
requiere que se trate de mercaderas, subordinando al derecho interno la
calificacin sobre su licitud. Razones de orden pblico internacional,
econmico, poltico, ecolgico, histrico o anlogas tornan imposible la
unificacin en este campo, que, como dijimos, queda reservado para los
derechos estatales. Si bien es importante destacar que la ratificacin de los
tratados internacionales ha disminuido la sensibilidad del orden pblico,65
stos se refieren fundamentalmente a cuestiones relativas a derechos
humanos sin mayor incidencia en el mbito mercantil.

dirige al rgano aplicador de la Convencin (juez o arbitro) la obligacin
de su aplicacin. Las dems posibilidades de aplicacin (establecimientos
sitos en Estados ratificantes -art. 1.1.a) o por aplicacin del Derecho de un
Estado ratificante en funcin de las normas de Derecho Internacional
Privado -art. l.l.b), conjugan un mbito espacial de aplicacin activo que
depende, mayormente, del pasivo (esto es, de "dnde" debe haberse
desarrollado el caso para que sea gobernado por la CCVIM).

Convencin que permita que la celebracin, la modificacin o la extincin por mutuo acuerdo del contrato

una conexin ms prxima con el contrato (art. 10.a). Este aspecto fue
innovacin de la Convencin con relacin a los Convenios de La Haya y
su finalidad es la de circunscribir el rol que el establecimiento de la parte
contractual juega en el especfico contrato de venta, enfocando el supuesto
en que una (o ambas) partes contratantes tienen establecimientos en Estados
diferentes.108 No se trata, por ende, del "principal" establecimiento de la
parte contratante.
Por otro lado, es obvio que la tcnica utilizada slo permitir una
aplicacin uniforme de la Convencin en tanto las reglas de conflicto
sean homogneas, razn por la cual la existencia de una Convencin
sobre Derecho Uniforme requiere de otra Convencin sobre Derecho
Aplicable, en nuestro caso, la -an no vigente- Convencin de La Haya
de 1985.

Por otro lado, si el caso pende ante un Estado con jurisdiccin inter-
nacional que no haya ratificado la Convencin, no se encontrar vinculado
por la norma del art. 1.1.a) ni 1.1.b) de sta y por ende, la aplicacin de
aqulla deviene incierta. Paralelamente se podran presentar dificultades en
torno al depegage, que, expresamente faculta el art. 6 de la CCVIM.

Cundo deben haber ocurrido los casos para que se les aplique la
Convencin? La Convencin distingue entre su aplicacin a la formacin
del contrato y a los contratos ya celebrados. Con respecto a la primera, la
Convencin se aplicar cuando la propuesta de celebracin se haga en la
fecha en vigor de la Convencin respecto de los Estados contratantes (en
caso de aplicacin de la CCVIM por el art. 1.1.a) o por haber entrado la
CCVTM en vigencia en el Estado cuyo Derecho ha sido declarado aplicable
(aplicacin en virtud del art. l.l.b). En ambos casos, la aplicacin de la
Convencin carece de efecto retroactivo.128

Germany
The Government of the Federal Republic of Germany holds the view that
Parties to the Convention that have made a declaration under article 95 of
the Convention are not considered Contracting States within the
mean-ing of subparagraph (a) (b) of article 1 of the Convention.
Accordingly, there is no obligation to apply - and the Federal Republic
of Germany assumes no obligation to apply - this provisin when the
rules of private international law lead to the application of the law of a
Party that has made a declaration to the effect that it will not be bound by
subparagraph (1) (b) of article 1 of the Convention. Subject to this
observation the Government of the Federal Republic of Germany
makes no declaration under article 95 of the Convention.

10. On 31 July 1992, the Government of Canad notified the Secretary-General of its
decisin to withdraw the following declaration made, upon accession, in accordance
with article 95: "The Government of Canad also declares, in accordance with arricie
95 of the Convention, that, with respect to British Columbia, it will not be bound by
article 1.1 b) ofthe Convention."
