PROPOSED
CONSTITUTION AND BY-LAWS
MARCH 31, 2017
I. Constitution

Preamble

We, the members of St. Peters Chorale Keys, in order to praise and glorify God and serve the
community, share our passion for music through singing, do hereby pledge to faithfully abide
by the policies set forth by the Parish Music Ministry and this Constitution.

Article I
Name of the Organization

The name of the organization shall be St. Peters Chorale Keys, a major parish-based youth
choir of Parokya ni San Pedro Apostol in Tungkong Mangga City of San Jose del Monte
Bulacan.

Article II
Purpose

a. To serve God and the community through singing and various related activities
b. To engage the congregation/assembly in active participation of all liturgical celebrations
c. To promote the development of the members singing talent and skills
d. To contribute in the promotion of arts in the Parish and the community

Article III
Management of Funds

Funds or any profit which St. Peters Chorale Keys (hereinafter referred to as the choir) may
obtain shall only be used for the purposes enumerated in Article II. No part of the funds or
income may be distributed to its members or officers in case of dissolution.

a. Collection of funds

1. The Treasurer will be the one in charge of collecting the contribution


2. Each member will contribute three pesos (P 3.00) every meeting
3. The Auditor will work with the Treasurer while collecting
4. Funds collected will be utilized for purposes of technical and behavioral training,
continuous growth and development sessions
b. Disbursement of Funds

1. In the event of activities for the purposes mentioned above, disbursement of


funds of at least one week prior to the actual activity with due approval from the
elected officers
2. When there is an activity where the group is involved, the members may
reimburse their expenses from the fund.

c. Liquidation of Expenses

1. After each activity, the Auditor and the Treasurer will provide a written report
reflecting all expenses incurred.
2. This report shall be cascaded regularly during the officers meeting.
3. A record of financial report shall be kept in confidence by the Treasurer and the
Auditor.
II. By-laws

Article I
Meetings

Section 1: General Assembly A General Assembly should be conducted once per


quarter and the President is expected to provide a status report on the activities and
accomplishments of the organization. This shall be scheduled once every Saturday of every
quarter.

Section 2: Regular Meetings Regular Meetings shall be conducted on the second


Saturday of every month.

Section 3: Notices Notice of the time and place of the general assembly and special
meetings should be announced not later than three (3) days before the scheduled meeting.

Section 4: Quorum A quorum for any meeting shall consist of fifty-one percent (51%) of
the total membership.

Section 5: Order of Business The order of business at the General Assembly and of
every meeting shall be as follows:

a. Call to Order
b. Opening Prayer
c. Reading and Approval of the Minutes of the Previous Meeting
d. Business Arising
e. Presentation and Approval of Agenda
f. Other Matters
g. Closing Prayer
h. Adjournment
Article II
Elders

Section 1: Definition of Elders The Elders are composed of the people, primus inter
pares, who were part of the foundation and institutionalization of the choir. The term Elder is
an honorary title given to these people, and is for life.

Section 2: The Roles and Functions of the Elders


1. The Elders shall serve as a consultative body, i.e. they may be consulted with the
matters and state of affairs of the choir
2. The Elders will not have administrative functions in the choir. Administration, policy-
making and implementation shall be the role of the Officers.
3. The Elders, though without direct administrative function over the choir, shall exercise
its guidance over the decisions of the officers, putting in primary consideration the
general welfare of the choir in terms of
a. musical training and development
b. spiritual formation
c. group process and dynamics
d. conflict resolution
e. other matters relevant to the foregoing
4. The Elders shall convene the election of officers of the choir, thereby serving as its
Electoral Committee.

Section 3: Attendance to Meetings, Rehearsals, and other Group Activities


1. Being a consultative body by nature, the Elders are not expected to be in regular and
full attendance to all activities of the choir.
2. However, in recognition of their status as Elders, they shall be invited to come to all
special occasions (birthday celebrations, choir anniversary, Christmas parties, etc.)
and General Assemblies.

Section 4: Revocation of Status and Removal from Eldership


1. An Elder may be removed of the title, given any of the following conditions:
a. Nuisance or obnoxious behavior that is deemed non-contributory to the
general welfare of the choir
b. Vote of no-confidence among the Elders
c. Voluntary withdrawal of membership from the group of Elders and from the
choir
d. Other reasons relevant to the foregoing
2. A written declaration shall be furnished by the Elders regarding the revocation of an
Elders status seven (7) days after the said revocation is done
Article III
Choirmaster

Section 1: The Choirmaster, as de facto leader, shall be the overall in-charge of the musical
training of the choir, from vocal production to stage performance.

Section 2: Duties of the Choirmaster - The following are the duties of the choirmaster:
1. Provide basic music theory and vocal training to the choir members
2. Choose the repertoire to be performed by the choir
3. Schedule regular rehearsals
4. Motivate members to regularly attend rehearsals, liturgical and non-liturgical functions
of the choir
5. Address issues and gaps in the choir not limited to musicality
6. Duly approve the plans and projects proposed by the officers
7. All duties to be agreed upon by the Elders, officers, and members, relevant to the
foregoing

Section 3: Qualifications - Any member of the choir may be appointed as Choirmaster,


provided that he/she has the following qualifications:
1. Have a solid background in teaching, music theory, conducting, harmony and vocal
production
a. This may be acquired through formal (education, relevant training, etc.) or non-
formal (experience, apprenticeship, etc) training
2. Must be knowledgeable of various musical styles that can be performed by the group

Section 4: If no member is qualified for the position of Choirmaster, the President shall look
for a qualified person outside of the choir. He/she may inform the Parish Music Ministry for
assistance.

Article IV
Officers

Section 1: Officers - The officers of the organization shall serve as the administrative body
of the choir. They shall be composed of the President, Vice-President, Secretary, Treasurer,
Auditor, Public Relations Officer (PRO), Property Custodian, and the Section Leaders for
Sopranos, Altos, Tenors, and Basses. Except for the Section Leaders, which are appointed by
the Choirmaster, all officers shall be elected by the members.

Section 2: Qualifications Any member of the choir may be elected provided that they have
the following qualifications:
1. A bona fide member of the choir
2. Is currently an active member of the choir for a period of two (2) years
Section 3: Functions and Powers of the Officers

1 President
o Oversees functioning and progress of the whole organization
o Leads the meetings
o Assigns a representative for the organization in any conferences or conventions
o Approves all financial transactions
o Prepares annual report at the end of the year
o Handles the turn-over of responsibilities to the next set of Officers

2 Vice-President
o Coordinates with all officers in all activities
o In the absence of the President, shall lead the meetings and assume the tasks of
the President
o Assists the President in preparing the Annual Report
o Reviews and validates financial transaction reported by the Treasurer in the
absence of the Auditor

3 Secretary
o Records and keeps custody of minutes of the meetings
o Conducts all official correspondence
o Maintains official records and files
o Disseminates information to all members
o Prepares and reviews the Calendar of Activities
o Checks financial transactions in the absence of the Treasurer

4 Treasurer
o Keeps and updates financial records
o Checks all financial transactions
o Prepares the monthly financial report and annual budget proposal
o Updates the members of the organization as regards finances

5 Auditor
o Reviews and validates financial transactions reported by the Treasurer
o Checks all financial transactions in the absence of the Treasurer
o Reviews the monthly financial report and annual budget submitted by the
Treasurer
o Makes appropriate corrections whenever necessary

6 Public Relations Officer (P.R.O)


o Informs all members as regards current activities involving the group such as but
not limited to regular rehearsals and monthly activities
o Promotes the group by providing avenues for exposure
o Leads in the recruitment of new members through announcements and other
promotional strategies

7 Property Custodian
o Takes charge of all property and equipment used by the group
o Makes an inventory of all equipment on a regular basis
o Reports to the Choirmaster the necessary purchases and replacement and/or
repair of equipment

8 Section Leaders (SATB)


o Leads assigned section in learning the given music
o Administers correction and if necessary, discipline to members

Section 4: Election Process - Election of officers shall be held every end of term of Officers
of the Music Ministry for a period of at least two (2) to three (3) years in service

The procedures for voting shall be as follows:

a. There will be three nominees for each position


b. Elders, being the Electoral Committee, shall take the lead in the nomination
process
c. Members are to raise their hands in voting for the candidate of their choice
e. A member may be elected for a certain position with a maximum of three (3)
consecutive terms

Section 5: Term of Office All officers of the organization shall hold office for three (3) years
and until their successors are duly elected and qualified. An officer can be elected to the same
office for a period of three consecutive terms only.

Section 6: Disqualifications and Successions

a. Disqualification
o Inactivity
o Erratic attendance
o Inefficiency
o Consistent absence when asked to report

b. Succession
o When an officer resigns or is disqualified/removed from his/her position, the
officers of the lower positions shall all be promoted.
o Emergency election for the vacated position shall take effect immediately
i. The Electoral Committee may not be needed in this situation
ii. There must be a quorum of the total number of members should an
emergency election happens
Article V
Members

Section 1: Qualifications for Membership Any male and female volunteer aged fourteen
(14) to forty (40) years, who is willing to serve God and the Parish, and has undergone
auditions. Has special skills in singing and/or playing an instrument is an advantage.

Procedures for the audition are as follows:

1. Volunteer will be given a specific date and time to undergo the auditions
2. Volunteer shall perform one English and one Filipino song to be sung without musical
accompaniment
3. Volunteer will be subjected to voice classification to determine which section he/she
belongs

Section 2: Rights of Members A member shall have the following rights:

a. Transparency of documents, disclosing and keeping track of financial status


b. Make recommendations and suggestions to the plans and projects
c. Opportunities to learn the proper execution of the voice
d. Opportunities for training and growth such as but not limited to seminars, spiritual
formations and out-of-parish activities

Section 3: Duties and Responsibilities of Members A member shall have the following
duties and responsibilities:

a. Attend rehearsals, meetings, General Assemblies, and activities


b. Be updated with the activities of the organization
c. Inform other members as regards activities
d. Take care of things and instruments used inside the designated rehearsal venue.
e. Support and promote other Parish activities particularly those that have to do with
arts and music.

Section 4: Suspension, Expulsion and Termination of Membership

Suspension, expulsion and termination of membership shall be in accordance


with the rules and regulation of the organization. They are as follows:

a. Nuisance or obnoxious behavior that is deemed non-contributory to the general


welfare of the choir
b. All offenses specified in this Constitution and By-laws
c. Offenses prescribed by the Parish Music Ministry
d. Inactivity
e. Erratic attendance
f. Inefficiency
g. Consistent absence when asked to report
Any member of the choir may file charges against a member by seeking
audience from the President and the Choirmaster. As much as possible, any conflict should be
addressed in an amicable and Christian manner between the parties involved. If not resolved
immediately, a special meeting shall be convened composed of the officers, and depending on
the gravity of the conflict, with the Elders.

Article VI
Seal/Logo

The logo bears a dominant G-clef with a stylized staff in the background. The name of the choir
is superimposed in it. A key is also on the logo, which symbolizes the keys of heaven entrusted
to St. Peter (to whom the choir is named after) in Matthew chapter 16 verse 19:

I will give you the keys of the kingdom of heaven.


Whatever you bind on earth will be bound in heaven,
and whatever you loose on earth will be loosed in heaven.
Article VII
Amendments of the By-laws

Section 1: Amendments These by-laws, or any provision thereof may be amended or


repealed at any regular or special meeting duly held for this purpose.

The organization may make changes to its Constitution and By-Laws when necessary
to improve the effectiveness of its operation. Amendments to the organizations constitution
can only be adopted by a seventy percent (70%) vote.

Adopted this ____ day of _______, 2017 in ______________________, by the


affirmative vote of the undersigned members representing a majority of the members of the
organization in a special meeting duly held for the purpose.
