Job title : Supply, install, testing and

 Introduction
- Whereas first party (Owner / main contractor) wishes to complete the
works mentioned in above subject, the second party (sub-contractor)
agrees to perform these works and acknowledges this contract as an
obligation to fulfil his duties for all works agreed upon.

- All works performed by second party must comply with all

specifications, drawings and schedule of works as provided by first
party.

- Second party must submit complete set of documents, drawings and

all related items to the first party.

- Subcontractor represents to the best of its knowledge after careful

review that the plans are currently complete and sufficient to provide
the project with substantially complete and functional systems.

- Subcontractor represents and affirms that it is fully licensed in

accordance with all local, state and federal requirements to do the
work set forth in the agreement.

This contract consist of the following chapters:

Chapter 1: Scope of works

A) Supply, installation, testing and commissioning of intercom
system.

1- Supply of all the equipment related to intercom system by the second

as per the agreement with the first party.
2- Installation of the intercom system according to Project Engineer
request and approval.
3- Second party must provide 10 workers each day.
4- All necessary equipment tools required for completing the job to be
provided by second party.
5- Supervise complete works of intercom system installation.
6- In case overtime was required to complete the works, second party
must provide enough workers for the same with no extra.

A) Testing and Commissioning

1- Testing and commissioning of complete intercom system, in case of

defects, second party should coordinate with the Project Engineer to
solve the issue.
2- The second party is responsible for delivering a fully functional
intercom system.

Chapter 2: Execution

1- The second party must not waste or possess any leftovers of the
materials throughout the process of cutting/termination and must be
submitted to the first party.

2- The second party must provide all necessary tools and equipment to
handle the required work.

3- Cutting/disconnection of products to be done by the second party only

under the supervision of the engineer.

4- Second party shall obligate with the quality standards & good industry
practice and submit of shop drawing for works before commence the
work and approve it as determined.

5- Second party shall appoint a specialized engineer to supervise the

work completely.

6- Second party shall bear fully all legal obligation and responsibilities
towards any penalties or/and financial compensation deserved due any
damaged as result of second partys work. Also, the second party shall
be responsible for any damage on site caused by him. Consequently,
he shall be liable to pay for all penalties or compensations resulted to
the competent authorities (if any).
7- Second party is obligated with all immigration laws for his employees
and workers inside country & the emirate of according project. Also,
second party must be committed according to the applicable order in
the country & emirates of Sharjah. The second party shall bear any
legal responsibility in this respect.

8- Second party shall take all safety precautions for all his employees and
workers without any legality or criminal responsibility from first party.

9- Second Party shall be fully responsible for his workers against any
injury and must secure all required safety materials for them in which it
includes (costume, helmet, safety shoes, and safety belt).

10- Second Party shall be fully responsible for cleaning inside the site
of work, and must be responsible in case of breach.

11- Second Party shall be working according to the plans and to the
Principal's Supervisor Engineer, Consultant Engineer.

Chapter 3: Handing over

1- Delivery shall be according to time plan which is determined by the
project manager.

2- Works shall be delivered to the assigned consultant, municipality,

project manager, and owner.
 Chapter 4: Remuneration

Contract type: Lump Sum:

- These unit prices are firm and non-revisable, and there is no any right
for second party to demand for any increase of the price for any
reason whatsoever.
- No adjustment will be made to the rates in respect of any fluctuation in
the cost of plant, labour or fuel or any other matters affecting the
supply or supervising of the works till the end of agreed duration of the
project.
- Total Price is to be understood for the works of supply, install,
testing and commissioning of the intercom system is agreed not
to exceed:

70,000.00 UAE DHS.

 Seventy thousand UAE dirhams only.

Chapter 5: Payment terms

1- Payments are issued according to progress report and after getting

Project Engineer Approval.

 Chapter 6: Delay penalties
Second party shall bear a delay penalty a sum of (1000 AED) per
every day of delaying according to the memo of delay penalties which
issues by project manager. (Whereas penalties do not exceed a
maximum of 10% of the contract value).

Chapter 7: Breach of contract and power

to cancel
If first party have an evidence during progress of work that second
party is carry out his work by defective phase or opposite to which
including herein, then first party may be given (72 hour) written notice
to second party to modify his execution method immediately, or the
first party shall be entitled to terminated this contract without any
notice or court order and with giving the work to other contractor on
cost of second party.
And second party alone shall be bear all costs of defective works
whether which made before notice or after it, and whether second
party remedy it or give it to other contractor, and second party shall be
liable for the required remedy costs, and if first party become clear
that repairing of defect is impossible, then first party shall be entitled
to terminated this contract without any notice or court order and with
claiming for compensation.

Chapter 8: Applicable law and dispute

This contract shall be governed by the laws of U.A.E, and any dispute
arising between the parties with respect to the interpretation,
application or execution of this contract, shall be referred to the
jurisdiction of the appropriate U.A.E Courts.
 Chapter 10: Signatures
This Agreement constitutes the entire agreement between the parties
relating to the subject matter hereof and supersede all proposals,
understandings, or discussions, whether written or oral, relating to the
subject matter of this Agreement and all past dealing or industry custom. No
modification of this Agreement shall be effected by the Customers use of
any order form, purchase order, acknowledgement or other form containing
additional or different terms
