Supply of 20 lac nos. 12 Watt LED Bulbs and 20 Lac 20 watt LED Tube Lights (with
fittings) under PVVNL, Meerut against DSM based efficient lightning programme
(DELP). Date of tender receiving and opening is 20.01.2017.

SCOPE OF WORK:
1. Eligible firm/firms shall supply the LED Bulbs at the specified stores under PVVNL.
2. Eligible firm/firms shall supply the LED Bulbs with MRP. Printed rates which includes
supply rates and distribution rates.
3. Firm/firms are required to supply 10% of total quantity in Ist lot and Rest. quantity will be
supplied as and when required.
4. Dispatch Instruction of each next lot of tendered supply shall be made after 75% of sale of
previous lot.
5. The supplier will have to supply 2% extra quantity of each supplied lot, free of cost, in
store for breakage and replacement in warranty period and he will maintain this extra
quantity till the warranty period of last lot supplied.
SPECIAL CONDITONS FOR THIS TENDER:
1. TERMS OF PAYMENT: Payment of respective lot of LED bulbs supplied, will be made as per
General Requirement of Specifications:-
The Payment shall be made as per Clause No. 21 of General Condition of Supply Form B and
Clause No. 2.13 of General Requirement of Specifications. However for the material dispatched by
road transport the payment of contractors bill will be made only after receipt of material in good
condition & check at stores as per Para 5 clause No. 2.7 of general requirements of specifications.
2. Form-38 shall be issued.
3. GUARANTEE PERIOD:
The guarantee period of LED bulbs shall be two years from the date of supply and bidder shall
replace the failed LED bulbs within two years period, free of cost.
4. PENALTY CLAUSE:- As per Condition of Form-B.
5. SPLIT OF ORDER:- PVVNL has the right to split the quantities between two or more firms.
6. The manufacturer must have the testing facility for the product at their premises.
7. PVVNL will have the right to terminate the order/agreement with prior one month notice to the
supplier firms.

5. Tender cost as specified in NIT will be submitted in the form of Demand Draft issued in favour
of Superintending Engineer(HQ), PVVNL, Meerut payable at Meerut. Cash, Cheque and Postal
Order shall not be acceptable.
6. Submission of Techno-Commercial bid: The techno-commercial bid shall be submitted at
PVVNL Head Quarter Manually along with Tender Fee and EMD. Tenders/bids of firms who
do not submit the techno-commercial bid along with tender fee and EMD shall not be
considered for Price Bid opening.
7. Submission of Financial Bid on E-tender:
(A) The tender submission module of e-procurement website:http//etender.up.nic.in enables the
bidder to submit the e-tender online against this tender. Price bid may be submitted only
during the period and time stipulated in tenders in time. The tenderers are advised to start
the tender submission process well in advance so that they can submit their tenders in time.
The tenderers shall submit their tenders taking into account the server time displayed in the
e-procurement website. This server time is the time by which the tender submission activity
will be allowed till the permissible time on the last date of submission stipulated period.
For delay in submission of tenders due to any reasons shall be responsibility of tenderers.
(B) Financial bid on e-tender web portal must be submitted by the tenderers at e-procurement
website http://e-tender.up.nic.in not later than specified /notified date of opening of tender.
8. Price bid(Part-II, financial bid) shall compulsorily be filled on e-tender
website:(www.etender.up.nic.in) failing which the bid shall be treated as cancelled.
9. The price bid uploaded on E-tender website shall only be considered for selection of the lowest
bidder.
10. The price bid template must not be modified/replaced by the bidder and the same should be
uploaded after filling the relevant columns and validating the sheet, else the bidder is liable to
be rejected.
11. In case the bidder quoted for less than 100% of the tendered quantity as per the clause no. 1.2
of schedule of quantities, desired delivery & earnest money, then he may deposit EMD

"INSTRUCTIONS TO TENDERERS FOR E-TENDERI NG"
1.1 Prep aration of e-tend er :

1.1.1 Before submission of the e-tender, the tenderers are required to make
themselves full y conversant with the technical specification, drawing,
special instructions to tenderers, instructions to tenderers, general
requirement of specification including S chedules and General conditions of
Contract of form "B" as ma y be applicable so that no ambiguit y at a later
date in this respect.
1.1.2 An y incons istenc y or ambiguity in the offers made b y the Tenderer shall be
interpreted to the maximum advantage of P VVNL and dis-advantage to t he
Tenderer. The tenderer shall have no right to question the interpretation of
the purchas er in all such cases and the same shall be binding on the tenderer.
1.1.3 The tenderer should be prepared and submitted strictl y in accordance with
the instructions contained in these specifications. The tender shall be
completed in all respect. Tender must be submitted in the manner specifi ed
on the attached prescribed schedule and/or copies thereof. To complete the
p r o p o s a l , t h e t e n d e r m u s t fi l l i n t h e T e n d er f o rm . D e cl a r a t i o n , a l l s c h ed u l es

1.4.2 In addition to the normal registration, the tenderer has to register with their

activities. Registering the Digital Signature Certi ficate (DSC) is a one-

1.4.3 The tenderers can search for active tenders through S earch Acti ve
Tenders link, select this tender and then move it to M y Tenders Folder
using the option available in t he Bid submission menu. After selecting and
viewing this tender from M y Tender folder, the tenderer can place their
tender b y clicking P a y offli ne option available at the end of the view
tender form. Before this, the bidder should download the tender documents

prompted to enter the digital signature Certificate. They ma y be prompted

uploading, the bidder should click Browse button against each

1.4.6 T h e B i d d e r s h a l l c l i c k E n c r yp t n e x t f o r s u c c e s s f u l l y e n c r yp t i n g a n d

1.4.7 After successful submission of bid documents, a page giving the summary

1.5.2 The tenderers can resubmit their tenders as and when required till the dead
line for submission of tenders. The tender submitted earlier will be

tenderer earlier will be used for the revised tender and the new bid
summar y generated after the successful submission of the revised tender
will be considered for evaluation purpose. For resubmission, the tenders

In such cases, earnest mone y submitted in part-I shall also be forfeited.
1.5.5 Tenderer shall ensure to put i nitials on each and ever y page of the tender
Last page of each document forming part of the tender shall bear full

r e l a t i o n s h i p w i t h t h e f i r m o f t h e s i g n a t o r y. In c a s e o f p a r t n e r s h i p c o n c e r n ,
the tender ma y be signed by all the partners of the firm or b y one of them
h o l d i n g p o w e r o f a t t o r n e ys ( c o p y t o b e f u r n i s h e d a l o n g w i t h t h e o f f e r ) . In
case of corporate/compan y tender ma y be signed either b y the president or
secretar y or an y other person authoriz ed to sign the tender in the legal
name of corporation/compan y (cop y of such aut horit y to be furnished
along with the offer).
Besides t his the tenderer shall ensure to furnish the following information.
(i) Name, designation, profession with postal addresses of all t he
partners/directors and other persons authoriz ed to conduct business in
respect of this tender.

1.4 Validity:

1.5 Price & Price S tru ctu re:

The tenderers are required to quote firm or variabl e prices without ceili ng
limit on either sides as per schedule-Prices.

Meerut. Hence the Tender must quote unit F.O.R . destination prices of all
the items (alongwith ex -work price) for despatch to an y R ailwa y S tation
c o m e s u n d e r D a k s h i n a n c h a l V i d yu t V i t r a n N i g a m Li m i t e d . T h e u n i t F . O . R .
destination price shall comprise of the following components.
(a) Ex -works price,
(b) P acking, forwarding, freight and insurance charges against all ri sk
i n c l u d i n g In s u r a n c e c h a r g e s f o r 3 0 d a ys s t o r a g e a f t e r r e c e i p t o f
equipm ent at destination stores/substation against all risks. The
tenderers must clearly specif y these components individuall y beside the
F.O.R ., destination prices.
1.5.2 T axes and Du ties:
The prices quoted be ex clusive of all taxes duties octroi charges etc. on
finished products which will be paid at actuals on production of relevant
o r i g i n a l v o u c h e r s . E x c i s e d u t y w i l l b e l e v i a b l e o n e x - w o r k s p r i c e s o n l y.
However, the Tenderer must indicate the rate of various tax es/duti es
leviable as on the date of tender opening in S chedule P1 : Form C/D for
those having their establishm ent outsides U.P . and form III 'D ' for those
h av i n g th ei r es t ab li s hm en t i n U .P . wi ll b e o b t ai n ed b y t h e co n t ract o r from
t h e c o n c e rn e d c o ns i gn e e . In n o c a s e f o r m C / D o r fo r m II I' D ' s h a l l be
demanded through Bank. W henever C entral Ex cis e/S ales Tax and other
statutor y levies are not applicable, or the bidder is ex empted at the time of
t e n d e r i n g f r o m p a ym e n t o f s u c h d u t i e s / l e v i e s , h e s h o u l d c l e a r l y i n d i c a t e
w h e t h e r h e w o u l d c h a r g e t h e s a m e o r n o t a t t h e t i m e o f s u p p l y. In t h e
event of applicabilit y at the time of supply (where there is possibilit y of
changing) he should specify the maximum rates which ma y becom e
applicabl e based on the present tax structure at the t ime of tendering.
W here fi rm(s) has/have quoted ambiguous or contradictor y terms or have
not categoricall y co mmitted regarding changing of the amount of Excise
d u t y a t t h e t i m e o f s u p p l y, t h e i r o f f e r s h a l l b e l o a d e d b y t h e m a x i m u m r a t e
of Ex cise dut y applicable to tendered item among all bidders.
1.5.3 Price Variation:
1.5.3.1 The tenderers are required to quote variable prices onl y without ceiling
l i m i t on e i t h e r s i d e as p e r IE E M A / J P C / MM T C / S A IL/ H Z L e t c . o r r e l e v an t
formula and base indices as given in Annexure 'A' unless specifi ed
o t h e r wi s e u n d e r " S p ec i a l In s t r u c t i on s t o Te n d e r e r s " , a s t h e p ri ce v a r i at i on
admissibl e as per the latest relevant price variation formulas, applicable
for the equipment (of the tendered capacity and rati ng). The ruling date of
b a s i c p r i c es o f r a w m a t e ri a l s, pu bl i s h e d i n IE E M A / J P C / M MTC / S A IL/ H Z L
etc. circulars as applicable shall be the date as on first working da y of t he
calendar month, one/two months prior to the date of tendering as the case
ma y be. The date of tendering shall be taken as the notified date of openi ng
of the tender. The tenderer shall furnish the photocop y of the relevant

variables prices, his offer shal l not be considered.
The ruling date of basic prices of raw materials for the prices variati on
p u r p os e s sh a l l b e s am e fo r al l t h e o f f e r s. In c a s e i t i s pr i o r t o t h e n ot i fi e d
date, he quoted ex-works price shall be brought at par per relevant formula.
H o w e v e r , n o l o a d i n g s h a l l b e c o n s i d e r e d f o r t h e d a t e s m e n t i o n e d b e yo n d
the notifi ed date.
1.5.3.2 The price variation shall be allowed on ex -works prices onl y for the
contract deliver y period.
1.5.3.3 The component of packing and forwarding, freight and insurance charges
shall rem ain firm in all respect s throughout the currenc y of the contract.
1.5.3.4 T e n d e r e r s s h a l l q u o t e F IR M p r i c e s o n l y f o r t h e s p a r e p a r t s , t yp e t e s t ,
service charges for erection and commissioning of equipment.
1.5.3.5 Quoted prices should be based after accounting for benefit available, if an y
to manufacture/supplier under MODVAT SC HEME.
1.5.3.6 B a n k c h a r g e s i f a n y, f o r d o c u m e n t s t o b e n e g o t i a t e d t h r o u g h B a n k , s h a l l b e
borne b y the Tenderer.
1.6 E valu ation of T end er:

In comparing tenders and in making awards, the purchaser may consider
such factors as compliance with specifications, relative quality and
adaptabilit y of suppliers or services, experience record of integrity in
dealing abilit y to furnish repairs and maintenance services, the time of
d e l i v e r y, c a p a b i l i t y t o p e r f o r m a n d a v a i l a b l e f a c i l i t i e s s u c h a s a d e q u a t e
shops, pl ant equipment, techni cal organisation etc.
1.6.2 In case prices of some items are given in lump sum where unit prices are
required, purchaser reserves the right to evaluate unit prices on the basis of
the quoted lump sum prices.
1.6.3 In case, where a tenderer does not quote F.O.R . des tination price asked for,
their, quoted unit prices shall be loaded by appropriate additional factors
on ex -works prices as below :
(a) Packing charges @ 0.75%
(b) Forwarding charges @ 0.25%
(c) Freight for 1st 500 kms. @2%
(d) Freight for ever y next 250 kms. @ 0.5 % or part thereof
(For this purpose, distance shall be taken from suppliers work to Agra and
in case the distance is less than 500 km. loading shall be done for a
minimum distance of 500 km.)
( e ) T r a n si t In s u r a n c e @ 0.5%
( f ) I n s u r a n c e f o r 3 0 d a ys s t o r a g e @ 0.5%
However, while placing order on such firms (who have not quoted various
element of freight, insurance etc.), the order shall be awarded to them b y
taking minimum of the charges as quoted by other tenderers.
W here a tenderer quotes onl y F.O.R . destination prices without breakup as
p er S ch ed u l e "P1 ", t h e req ui red ex -w o rk p ri ces s h al l b e co m pu t ed b y
deducting the minimum of the packing, forwarding, freight and insurance
rates quoted by other tenderers. However, while pl acing the order on such
firms, the maximum of the packing and forwarding, freight and insurance

(combined) quoted b y other tenderers in the tender shall be provided in t he

purchase order and the ex -works prices for order shall be worked out from
quoted F.O.R. destination price.
1.6.4 I f a n y b i d d e r q u o t e s p a ym e n t t e r m s , w h i c h a m o u n t t o a d v a n c e a n d / o r
p a ym e n t w h i c h i s i n d e v i a t i o n f r o m p a ym e n t t e r m s g i v e n i n F o r m ' B ' a n d
general requirement of specifi cation of this Bid document, the Bid shall be
loaded @ 20% interest per annum on the amount and for annex ed wi th
p e r i od o f a d v a n c e p aym e n t i n vo l v ed .
I n t h e c a s e o f t e n d e r e r ( s ) d e m a n d i n g p a ym e n t i n e x c e s s o f 9 0 % a g a i n s t R / R
through Bank, admission as per the tender specification, loading at the rate
of 20% (twent y percent) per annum on the amount demanded in ex cess of
90% for a period of one mont h shall be done irres pective of the fact that
the tenderer has offered to submit a Bank Guarantee and irrespective of the
quantum of the Bank Guarantee.
1.6.5 A n y r e b a t e / d i s c o u n t Li n k e d w i t h q u a n t i t y, t e r m s o f p a ym e n t , a n y o t h e r
conditions shall not be considered for the purpose of evaluation and
comparis on of such offer vis-a-vis others; However, the same may be
availed while placing orders with such successful Tenderers where sl ab
rates are quoted each slab will be treated as separate offer.
1.6.6 If the tenderer fails to quote for an y of the item(s) component(s) as asked
for or confirms its supply free of cost, the highest prices as quoted b y other
tenderer(s) for the same, shall be added to arrive at F.O.R. destination
c o m p u t e d p r i c e s o f s u c h t e n d e r e r f o r c o m p a r i s o n p u r p o s e s o n l y.
1.6.7 The price shall be compared i nclusive of ex cise duty and S ales Tax /Trade
Tax and ex clusive of Octroi.
1.6.8 Lo a d i n g o n a n y o t h e r a c c o u nt a s m a y b e d e e m e d n e c es s a r y i n th e o pi ni o n
of the purchaser to bring the various offers at par to each other for
comparis on purposes, ma y be done at the discretion of the purchaser.
1.7 Splitting of Order
The purchaser reserves the right to split the order among various
successful tenderers in an y manner he chooses, without assigning an y
reasons whatsoever.
1.8 Award of Con tract
1.8.1 The purchaser is not bound t o accept the lowest or an y tender and m a y
reject an y or all the tenders, without assigning an y reason.
1.8.2 The successful Tenderer, if required to do so, may have to enter into a
contract agreement with the P urchaser as per General Conditions of form
'B ' and other conditions attached with the tender specification.
1.8.3 For signi ng the contract, a dul y authorised representative of the successful
Tenderer shall be required to sign and accept the contract at Agra within
the time specified in the l etter of intent, faili ng which it shall be
considered that he is not interested in accepting the offer and action as
deemed fit shall be taken b y purchaser without making an y further
correspondence with successful tenderer.
1.9 In come Tax and S ales Tax Certif icates:
The tenderer shall furnish with the Tender, Income tax and S ales tax / Trade
t ax c l e a r an c e c e r ti f i ca t e o f c u r r en t, a s w ell a s o f th e p r e c e di n g ye a r , f o r m
t h e c o m p e t e n t a u t h o r i t y.
Alternati vely the tenderer shall give valid reasons for his inability to
furnish such a certificate. The purchaser reserves the right to reject an y
tender, if income tax/sales tax clearance certificat es are not furnished or
the reasons for the tenderer's inability to furnish such certificates, are not
given in t he tender.

1.10 Deviation s:
The offer should be strictl y in line with the conditions, specifications and
other requirements mentioned in this tender speci fication document. No
deviations are permitted ex cept under special circumstances. S hould t he
tenderers wish to depart from the general requirements of technical
s p e c i fi c a ti o n. G e n e r al co n di ti on s o f c on t r ac t fo r m 'B' i n a n y w a y, h e m us t
draw specific attention to such departure (s). All such deviations
s p e c i fi c a l l y b e f i l l e d u p i n r e l ev a nt d ev i at i on s c h e du l e . If d e v i a t i on s a r e
not speci ficall y recorded in these schedules and submitted along with t he
tender documents, it will be presumed that there are no deviations and this
interpretation will be binding upon the tenderer. Purchaser is, however,
not bound to accept all or any deviations as mentioned in such schedules.
Tenders are also advised not to enclose their own st andard or printed terms
and conditions for sale etc. as the same shall not be considered.
1.11 Convassing:
No tenderer shall convass any Nigam 's official or the engineer, with
respect to his own or other tender. Contravention of this condition will
result in rejection of the tender, this clause shall not be deemed to prevent
t h e T e n d e r e r , f r o m s u p p l yi n g t o t h e E n g i n e e r a n y f u r t h e r i n f o r m a t i o n
clarification asked for b y the Engineer.
1.12 S p ecial Note:
It m a y v e r y c l e a r l y b e n o t e d b y a l l t h a t n o m o di f i c at i on i n p r i ce r e d u c t i on
clause No. 27 of contract form 'B' shall be accepted i.e. broadl y a pri ce
reduction of 1/2% per week subject to a max imum of 10% shall be
applicabl e.
1.13 Standards:
1.13.1 Ex cept as modified b y thi s tender specification, all materials and
equipment shall conform to the requirement of lat est editions of relevant
IS S / IE C .

In the event of the tenderer's specification, drawing forms and tables et c.,
being found to disagree with the requirement of this specifications at an y
stage, these specifications shall be binding unless t he departure have been
duly approved in writing b y the Purchaser.
1.14 Deviation f rom S p ecif ication :

This specification is mainl y for the guidance of the Tenderer/
Manufacturers. These requirements of necessar y include some speci fic
elements of construction and materials but are not intended to preclude
ingenuit y or design or improvement.

Tenderer offering equipment without involving an y foreign exchange and
commitm ent on the part of purchaser will be considered.

II . GENERAL REQUI REMENTS OF SPECI FI CATION
2.1 SCOPE:
2.1.1 This specification covers design, manufacture, performance testing
i n sp e c ti o n, p a c ki n g , d e li v e r y o f LE D b u lb s wi th a c c e ss o ri e s an d a ux il i a r y
e q u i p m e n t r eq u i r e d fo r v a ri o u s d e s t i n a t i o n s i n U . P . Th e i t em an d q u a n t i t i es
required are as detailed in Technical S chedule P & Q.
2.1.2 The equipments shall be suppl ied complete with all fittings/ accessories,
apparatus and parts that are necessar y of usual for their efficient operation.
S uch parts shall be deemed to be within Contractor's scope whether
specificall y mentioned or not. Equipment in all res pects shall incorporate
the highest qualit y of modern engineering design and workmanship.
2.1.3 The "General C onditions of Contract" Form 'B' cop y of which are attached
hereto, form an integral part of this specification. The contractor shall
s u p pl y a l l m a t e ri a l an d p e r f o rm a l l w o rk i n s t ri c t a c co r d a n c e t he r e w i t h. In
the event of conflict between the "General C onditions of Contract" Form 'B'
and General requirement of specification as given here, the latter shall
prevail.

2.4 DRAWING AND MANUALS :

2.4.1 The contractor shall furnish four prints of each of the following to the
Engineer of the contract within four weeks of the date of order.
a. General arrangement drawi ng of the equipment offered.
b. Detail ed dimensional drawing and descriptive literature of all t he
component supplied.
c. Basic Electrical diagram.
In addition, the contractor shall also submit four prints to the Engineer
w i t h i n 3 0 d a ys o f t h e d a t e o f t h e c o m p l e t e b i l l o f m a t e r i a l w i t h e a c h i t e m
unidentifiable in the detailed drawing with reference. This will also include
detailed packing list of the equipment.
2.4.2 The Engineer shall return to the Contractor one pri nt of each drawing (a)
stamped "Approved" or (b) marked up with comments .
In c a s e o f ( a ) n o fu r th e r r e s u bmi s si on o f d r a w i n g is r e q ui r e d fo r E n gi n e e r 's
a p p r o v al . In c a s e o f ( b ) , th e Co n t r a ct o r s ha l l c o r r e ct hi s o r i gi na l d r a w in g to
confirm to the comments made by the Engineer and resubmit in the sam e
manner as stated above, within two weeks after the receipt of marked up
print by him.
2.4.3 The Contractor on receipt of print stamped "Approved" shall furnish to
Engineer of the contract, one direct reading reproducible of each drawi ng
and bill of material within two weeks of receipt of approved set.
2.5 MANUALS:
The contractor shall furnish three sets of bound copies of erecti on
commissioning and operation, maintenance manual giving detail ed
instruction, procedures, and precautions for all the equipment supplied b y
him to the Engineer. The manuals shall be specific to the equipment suppli ed
and not of general nature. One set of this manual shall also be packed with
each set of equipment.
2.6 RAW MAT ERIAL:
The contractor shall be responsible for timel y arrangement/ procurement of
all the raw materials required for the manufacture of all tendered items and
shall furnish their test certificate to the purchaser. However depending on
t h e p ol i c y o f t h e G o v t . o f In d i a , P u r ch a s e r m a y i s s u e e s s e nt i al i t y c e r t i f i c a t es
for arrangement of such raw materials through CEN, DOE, DGTD or other,
who ma y allot the same of the C ontractor at their discretion directl y from
an y of the producers of such raw material or other source but without an y
financial li abilit y to the affecting/linking the delivery of the equipment with
the availabilit y of raw material against such certificat e or recommendation.
2.7 INSPECTION & TESTING:

As per clause 14 of General C onditions of C ontract Form 'B', the contract or

S uch additional test will be carried out at the P urchas er's ex penses.

Officer(s) in making random, sampling wherever considered necessar y t he
material shall be marked embossed or sealed by the inspection office after

The purchaser shall reserves the right to draw required number of
samples of other Major item s of raw materials. These samples shall,
however, be drawn and sealed in the presence of C ontractor or his authorised

tested from an y G overnment recognised Test House/ Laboratory or

The contractor shall record either of the following certificates on t he

in case of an y dispute regardi ng quality and/or quantity of the material

In cas e, the material offered for inspection is not found read y when the

2.8 PRODUCT ION SCHEDULE & PROGRESS REPORT:

The contractor shall furnish detailed production schedule for all maj or
component s to be supplied. The schedule shall include dates of completion
of :
(a) The Engineering work
(b) Different phases of material procurement manufacturer & fabrication
(c) Delivery
A report on actual progress in percentage and date of completion of
each of the above items shall be sent to the purchaser ever y mount, starti ng
two months from the date of lett er of intent or date of purchase order.
2.9 PACKING & DESPATCH OF EQUIPMENT:

2.9.1 All equipm ent/material shall be suitably packed for t ransport carriage at site
and outdoor storage during transit. The contractor s hall be responsible for
an y damage to the equipment during transit due to improper and inadequate
packing. The case containing fragile or material easil y prone to damage shall
b e v e r y c a r e f u l l y p a c k e d a n d m a r k e d w i t h a p p r o p r i a t e c a u t i o n s ym b o l s i . e .

each package shall bear/packing list. Packing shall provide complete
protector from moisture. Term ites and mechanical shock etc. W herever

provided. All packages shall be clearly marked with gross weight, si gn
showing UP & DOWN" side of box es, contents of each package, order no.
and date, name of plant/ equipm ent of which the material in package form s
p a r t s a n d a n y h a n d l i n g a n d u p - p a c k i n g i n s t r u c t i o n s c o n s i d e r e d n e c e s s a r y.
An y material found short inside the packing cases s hall be supplied b y t he
contractor without an y cost. C ontractor shall ascertain, prior to shipment
from concerned authorities, t he transport limitations, like weight and

max imum allowable package siz e for transportation. All packing cases and
packing material shall become the propert y of the P UR C HAS ER .
2.9.2 The equipment/ material shall be dispatched as per dispatch instructi on
i s su e d b y S u p e r i nt e nd i n g E n gin e e r ( M M- I) , P VV N L, M e e r u t . A t e l e gr a p hi c
intimation shall also be given to the consignee(s) immediatel y after t he
dispatch of equipment mentioning the specification number, name of
equipment, R /R No., date of di spatch, No. of packages, wagon number and
approximate weight of each package to enable him to take deliver y & unload
material in case dispatch docum ents are not received b y him in time.
2.9.3 P acking list containing details of equipment for verification at site shall al so
be placed i nside each package and shall correspond with the advice note and
ap p r o v ed bi ll o f m at er i al . On e s et o f m anu al as r equ i r ed i n 2 . 5. 5 s h all al so
be placed i nside the package.
2.9.4 "Bill(s) dull y pre-receipted in t riplicate in accordance with approved term s
o f p a ym e n t a n d t o g e t h e r w i l l a l l n e c e s s a r y d i s p a t c h d o c u m e n t s , s h a l l b e s e t
to consignee(s) under registered cover with additional cop y of Engineer of
t h e C o nt r a c t as al s o t o M . D ., P V V N L, M e e r u t. S u pp li e r 's c o d e a n d it e m
code as prescribed shall be marked on every bill/invoice/challan.
2.9.5 A n y d e m u r r a g e a n d w h a r f a g e o r o t h e r c h a r g e s p a ya b l e d u e t o n o n -
i m pl e m en t at io n o f an y o f t h e ab o v e in st r u c ti on s s h al l b e t o C on t r a ct o r 's
account.
2.10 REJECTION:
2.10.1 P urchaser reserves the right to reject any equipment if during the tests at
works or at site, the test values achieved, do not com pl y with the respecti ve
standards, specifications and exceed the tolerable limits.
2 . 1 0 . 2 C o n t r a c t s h a l l r e p l a c e r e j e c t e d e q u i p m e n t w i t h n e w e q u i p m e n t c o m p l yi n g
with the guaranteed values as promptl y a s possible and at no extra cost to
the P urchaser, P urchaser reserves the right to retain an y rejected equipment
and take it into service until the contractor supplies the new equipment.
2.10.3 R ejection of an y equipment will not held as a valid reason for delay in
timel y com pletion of the work.
2.11 DESPATCH INSTRUCTIONS:

2.11.1 Detailed di spatch instruction shall be issued by the S uperintending Engineer
( M M - I) , P V V N L, M e e r u t f o r t h e q u a nt i t i e s a ut h o ri s ed f o r di s p at c h wh o
however reserves the right to amend the dispatch i nstructions at an y tim e
b e f o r e t h e a c t u al di sp a t c h of t h e m a t e ri al . It m a y b e n o t e d t h at n o m a t e ri a l
is to be di spatched without satisfactory t esting-inspection and clearance b y
t h e r e p r es e nt a ti v e o f M . D ., P V V N L, M e e r u t .
2.11.2 Telegraphi c intimation shall be sent to consignee immediatel y after t he
goods are booked and following documents shall be s ent by the contractor to
the bankers and additional copy of each shall also be sent directl y to t he
p u r c h a s e r a n d t o t h e C o n s i g n e e b y r e g i s t e r e d m a i l o n t h e s a m e d a y:
(a) Evidence of dispatch i.e. R ailway receipt.
(b) Packing list (3 copies)
(c) Invoice (3 copies)
(d) Test certificates (3 copies)
2.11.3 In case of transport b y R oad, the controll er shall deliver t he
material/equipment to the consignee at the specific pl ace of deliver y with the
following documents and one additional cop y of each sent directl y to t he
P urchaser:

2.12 INSURANCE:
2.12.1 The contractor shall arrange, secure & maintain insurance as ma y be
necessar y to protect his own interest and the interests of the P urchaser,
against all risks that are to be covered under the insurance shall include, but
not be lim ited to the loss or damage in transit, theft, pilferage/riot, civil
commotion, weather conditions, accidents of all kinds, fire, war risks duri ng
ocean trans portation only etc.
2.12.2 Insurance i s to be taken for the F.O.R . destination value of the equipment for
transit from the manufacturer's warehouse to the P urchaser's warehouse plus
3 0 d a ys s t o r a g e t h e r e a f t e r .
2.12.3 All damages and shortage of the equipment after its delivery to destination
railwa y st ation and transportation to stores and storage there shall be
notified b y the C onsignee b y registered post to cont ractor or his authorised
r e p r e s e n t a t i v e , w i t h i n 3 0 d a ys f o r m a k i n g g o o d s t h e d a m a g e o r l o s s b y w a y
of replacem ent or the equipment damage or lost.
2.12.4 The contractor shall take up the matter with insurance company for
finalisation of claims, and P urchaser shall provide required information. All
f u r t h e r a c t i o n i n c o n n e c t i o n w i t h m a k i n g a n d s e t t i n g o f c l a i m s , i f a n y, w i ll
b e c a r r i e d o u t b y t h e c o n t r a c t o r f o r w h i c h n o e x t r a p a ym e n t w i l l b e m a d e .
The contractor shall be responsible to make goods the damage or loss b y wa y
of repairs and/or replacement of equipment free of cost irrespective of t he
f a c t w h et h e r cl a i m s i s a c c e p t ed b y t h e In s u r a n c e C o m p a n y o r n o t , w i t ho ut
waiting for claims settlement.
2.12.5 The scope of such insurance shall cover the entire value of the contract from
time to time.
2.13 DELIVERY:
2.13.1 The comm encement of delivery period shall be counted from the date of
issue of letter of intent or date of signing of detailed order, as the case m ay
be.
2.13.2 Date of R/ R shall be deemed to be the date of deliver y of dispatch by rail,
the date of receipt of material in P urchaser's store shall be deemed to be t he
date of delivery for dispatch b y road, in the case of supply of S teel Tubular
P ol e s b y M . D . , P V VN L, M e e r u t s h al l b e d e e m e d to b e th e d a te o f d e l iv e r y
p r o v i d e d t h e p a ym e n t o f E x c i s e d u t y f o r t h e p o l e s a u t h o r i s e d f o r d i s p a t c h
s h a l l b e d e p o s i t e d b y t h e s u p p l i e r , w i t h i n 1 5 d a ys f r o m t h e d a t e o f i s s u e o f
dispatch authorisation, failing which actual date of depositing of ex cise duty

when last component part of the equipment of servi ceable lot/set has been

2.14 SECURIT Y:
The contractor shall deposit securit y as required under C lause '3' of the
"General C onditions of the C ontract Form 'B' @ 1% (one percent) of t he
F.O.R . des tination price of m aterial in the form of FDR/CDR or Govt.
interest bearing securit y dul y pledged in favour of the Managing Director,
P V V N L, M e e r ut o r gu a r a n t e e bo n d f r om a s c h e du l e d b a n k of In d i a d u l y
ex ecuted on non-judicial stamp paper of requisite val ue (at present Rs. 100/-
) in the enclosed proforma.
T h e a b o v e s e c u r i t y s h a l l b e s e n t w i t h i n 3 0 d a ys o f t h e a w a r d o f
contract. The validity of the securit y deposit in an y of the above form shall
be for a period of 18 months from the date of receipt of last lot of material
w i t h a c l ai m p e ri od o f si x m o nt h s t h e re a f t e r . In c a s e t h e s up pl i es a r e
d e l a ye d b e yo n d t h e d e l i v e r y s c h e d u l e m e n t i o n e d i n t h e o r d e r , t h e c o n t r a c t o r
shall extend the validit y of the securit y de posit so as to cover a period of 18
months from the day b y which the anticipates to complete the supplies,
failing which the purchaser shall have the right to encash the Bank
Guarantee without making any reference to him. This order is liable to be
c a n c e l l e d i f s e cu r i t y i s n o t d ep o s i t e d wi t h i n t h e t i m e s p e c i fi e d a n d i n t h at
event earnest mone y shall be forfeited. The contractor shall not commence
the suppl y of material till such time he deposits securit y a s above and
intimation regarding receipt and correctness of the s ame is received by him
in writing from the Engineer of C ontract.
The s ecurity will be released to the C ontractor after expir y of the
maintenance period and settlement of all the claims of the consignees against
the contract.
2.15 TRAINING OF ENGINEERS:

2.15.1 The Purchaser ma y depute his engineer for a period as mutually a greed, at
the manufacturer's works for the purpose of familiariz ation with equipment
and techniques covered under the specification, including training in
commissioning, operation, maintenance and trouble s hooting aspect etc. The
contractor shall provide the necessar y training facil ities free of cost to t he
purchaser and also indicate/suggest training programme etc. In case, this
training course is being run regularl y b y t he manufacturer or his principles,
this ma y be indicated in the tender along with details or training, duration,
scheduled date, course content etc. The traveling ex penses from U.P . to their
place of training and back, and maintenance of the deputed trainees shall be
borne b y the purchaser.
2.15.2 The contractor shall depute his S enior Engineer/Specialists to the Training
Institute/St aff C olleges of the purchaser for training familiarization course
when requested b y the purchaser.
2.16 JUDICIAL JURISDICTION:

All the dis putes arising out of and touching or relati ng to subject matter of
agreement/ contract shall be subject to jurisdiction of local courts of Meerut
a n d H i g h C o u r t o f J u d i c a t u r e a t A l l a h a b a d o n l y.
2.17 ARBITRATION CLAUSE 31 OF FORM 'B'

The following is deemed to be added at the end of the part-1 in the
Arbitration Clause 31 of Form B.

Notification of delivery or dispatch in regard to each and every
c on si gn me nt s hall be ma d e t o t he Pu rc has er i mme d ia tel y aft er dis pat ch
or delivery. The supplier shall further supply to the consignee a priced
i n voic e an d p ac kin g ac co unt s of all st ore s del i ve re d or dis patc he d b y
hi m. All pac ka ges , cont ainers , bundles and l oos e mat erial s fo r ming
part of eac h a nd e ver y consi gnme nt sha ll be des cribed in full y i n the

16. The ma nuf act ure and s uppl y of pl ant shall c arr y out under the Engineer's

17. In r es pec t of all matte rs whi ch ar e l eft to t he d eci sio n of Engineer's
E n gin eer , in clu di n g t he gra nti n g or with ho lin g of cert ific ates , t he decisions
Engineer shall, if required so to do by the contractor, give in writing
t he dec isi on t her eo n, an d his rea so ns f or suc h dec isi on . If th e d eci sion
is not a cce pte d by t he Contr act or, the matt er s hall , at the r equest of t he
Contractor, be referred to arbitration under provision of arbitration
here ina fter c ont ain ed, but subj ect t o the ri ght or r efer en ce to
arbitration. Such decisions shall be final and binding on the contr actor.
18. The Contr act or shall be r es ponsi ble f or loss , da ma ge of Liability for
depreciation to goods upto the delivery at site. accidents and
damage

by suit or ot her wi se from t he Contr act or.
Any sum of money due and payabl e to t he contract or (i ncl udi ng
