FIRST AMENDMENT. HEAD FOOTBALL COACH EMPLOYMENT CONTRACT ‘This first amendment (First Amendment) of the Head Football Coach Employment Contract, effective as of April 1, 2017, is made by and between UCF Athletics Association, inc. (the “Association”) Scott Frost (the “Coach”) WITNESSETH WHEREAS, the parties entered into that certain Head Football Coach Employment Contract effective as of November 29, 2015 (Agreement), whereby Coach agreed, inter alia, to perform such duties as are reasonable and customary for a coach in administration of a football program, and the Association agreed, inter alia, to compensate Coach for his services; WHEREAS, the parties subsequently discussed revisions to the Agreement and desire to amend certain terms and conditions in the Agreement; and WHEREAS, except as amended herein the terms and conditions of the Agreement shall remain in fll force and effec. NOW, THEREFORE, in consideration of the promises herein contained and for other 00d and valuable consideration, the parties intending tobe legally bound hereto agree as follows: 1, Section 2 ofthe Agreement is amended as follows: ‘The termination date set forth in the Agreement of January 15, 2021 shall be changed to January 15, 2022 2. Section 5.1 ofthe Agreement is amended as follows: The guaranteed compensation amount of Six Hundred Fifty Thousand Dollars ($650,000.00) shall be changed to Fight Hundred Thousand Dollars $200,000.00) 3. Section 6.1 of the Agreement is amended as follows: ‘The guaranteed compensation amount of Six Hundred Fifty Thousand Dollars ($650,000.00) shall be changed to Fight Hundred Thousand Dollars ($800,000.00), 4. Section 9.3 of the Agreement shall be amended by adding the followinglanguage to the end of the Section 9.3, ‘Notwithstanding anything contained in this Section to the contrary, Coach's Buyout obligation under the Agreement shall be limited to the lesser of one half (4) of the guaranteed salary for the remaining term of the Agreement or Three Million Dollars ($3,000,000.00). Section 10 ofthe Agreements amended as follows: ‘The annual budget for the salaries of assistant coaches of Two Million Three Hinded Thousand Dollars ($2 300,000.00) shall be changed to Two Millon Three Hundred Fifty Thousand Dollars ($2,350,000.0) IN WITNESS WHEREOFF, the parties have executed this First Amendment, as of the respective dates written below, Witness Witness Coach
