DearAnthony:
ThisletternotifiesyouthatyouremploymentwithUberTechnologies,Inc.and
OttomottoLLC(collectively,Uber)isherebyterminatedforCause,subjecttoyourcontractual
righttocurethedeficienciesaddressedinthisletterwithinthenext20days.
First,youhavenotcompliedwiththerequestssetforthinUberslettertoyoudatedMay
15,2017(theLetter).ThatletterrequestedyourfullcooperationincomplyingwiththeOrder
issuedonMay11,2017,bytheUnitedStatesDistrictCourtJudgeintheabovereferencedcase
(theOrder).Asoftoday,youhavenotcompliedwiththeserequirements.
TheLetterexpresslystatesthatyourfailuretocomplywiththeLettersrequirements
wouldresultinadverseemploymentaction,includingthepossibleterminationofyour
employmentatUber.TheLetteralsoconstitutedawrittendirectivefromUber.YourNoticeof
RestrictedStockAwardwithUber(StockAward)expresslystatesthatyourfailuretocomply
withwrittendirectivesfromUberconstitutesoneofseveralgroundsforaforCause
terminationofyouremployment.Thus,yourfailuretocomplywiththeLettersrequirementsis
agroundforterminationforCause.
Second,youdidnotcomplywiththepriorwrittendirectivetocooperatewithUbers
investigationsenttoyouonApril20,2017,byAngelaPadilla(thecontentsofwhichare
privileged).YourfailureimpededUbersinternalinvestigationanddefenseofthelawsuit
referencedaboveandconstitutesagroundforterminationforCause.
Further,inyourEmploymentAgreement,yourepresentedandwarrantedthatyouhave
returnedordestroyedallpropertyandconfidentialinformationbelongingtoanyprioremployer.
YourfailuretocomplywiththeLettergivesUbergroundstoallegeabreachofthe
representationandwarrantyinyouremploymentagreement,andconstitutesanadditionalground
forterminationwithCause.

UndertheStockAwardandotheragreements,youareentitledto20daystocurethe
eventsthatgiverisetothisterminationforCause.Thisletterconstitutesthepriorwritten
noticetriggeringthecommencementofthat20dayperiod.
Accordingly,consistentwithouragreementswithyou,youremploymentishereby
terminatedforCause,andthatterminationshallbecomeeffective20daysfromtoday(i.e.,June
15,2017),unlesspriortothatdateyou(a)cureyourfailuretocomplywiththerequirementsset
forthintheLetter,(b)cureyourfailuretocomplywiththerequirementssetforthinMs.Padillas
April20,2017email,(c)confirmthatyouwillfullycomplywithallaspectsofUbers
investigationintothefactsallegedintheabovereferencedlawsuit,and(d)cureyourbreachof
therepresentationandwarrantyin1(c)ofyourEmploymentAgreement.
Fortheavoidanceofdoubt,Uberretainsthesolerighttodeterminewhetheryouarein
compliancewiththerequirementssetforthintheLetterandinyouragreementswithUber.
