Disclosure harmful to business interests of a third party
21(1) The head of a public body must refuse to disclose to an applicant information
(a) that would reveal
(i) trade secrets of a third party, or
(ii) commercial, financial, labour relations, scientific or technical information of or
about a third party,
(b) that is supplied, implicitly or explicitly, in confidence, and
(c) the disclosure of which could reasonably be expected to
(i) harm significantly the competitive position or interfere significantly with the
negotiating position of the third party,
(ii) result in similar information no longer being supplied to the public body when it
is in the public interest that similar information continue to be supplied,
(iii) result in undue financial loss or gain to any person or organization, or
(iv) reveal information supplied to, or the report of, an arbitrator, mediator, labour
relations officer or other person or body appointed to resolve or inquire into a labour
relations dispute.
(2) The head of a public body must refuse to disclose to an applicant information that was
obtained on a tax return or gathered for the purpose of determining tax liability or collecting a
tax.
(3) Subsections (1) and (2) do not apply if
(a) the third party consents to the disclosure, or
(b) the information is in a record that is in the custody or control of the archives of the
government of British Columbia or the archives of a public body and that has been in
existence for 50 or more years.
CONTRACT AMENDMENT
BACKGROUND
A. The parties entered into an agreement 2006S081 dated the 15th day of August, 2005 a copy of which
is attached as Exhibit 1 (the "Agreement").
B. The parties have agreed to modify this Agreement, dated the 26th day of March, 2006,
C. The parties have agreed to modify this Agreement, dated the 30th day of March, 2007,
D. The parties have agreed to modify this Agreement, dated the 24th day of August, 2007,
E. The parties have agreed to modify this Agreement, dated the 31st day of March, 2008, and
F. The parties have agreed to modify this Agreement, dated the 1st day of May, 2009
AGREEMENT
2) Hourly rates for the contract year August 1,2009 to July 31,2010 will be the same as those rates
used for the contract year ended July 31,2009. The attached Schedule B "Remuneration" lists the
hourly rates and has been revised to reflect the new Agency roles and reallocation of total fees for
each of the next two contract years (August 1,2009 to July 31,2010 and August 1,2010 to July 31,
2011);

REMUNERATION
Fees will be based on the following applicable hourly rates (within the following respective

Tourism BC agrees to pay the Agency for advertising booked by the Agency and run in all media

For media plans developed but not purchased, Tourism BC agrees to pay such fees as shall be
agreed between Tourism BC and the Agency, in advance, in accordance with the following
applicable hourly rates set out below,
Effective from April 1,2006, for optimization, direct response and online media tactics,
Tourism BC agrees to pay the Agency fees based on the applicable hourly rates set out below
(and in a proportioned amount of the hourly rate for partial hours).

OUT-OF-POCKET EXPENSES
All out-of-pocket expenses related to long distance, fax, photocopying, regular courier charges
and other incidental expenses will be billed at net. For Optimum Publio Relations, out-of-pocket
expenses related to long distance, fax, photocopying, regular courier charges and other incidental
expenses will be billed *?!21
APPROVALS
The Agency will provide for Tourism BC's approval a Media Authorization Form (MAF) or an
estimate of the expenses for each project (including fee for services) prior to project
implementation.
TRAVEL EXPENSES
In no event will total fees and expenses exceed the total amounts for each contract year as
follows unless otherwise authorized by Tourism BC:
August 1,2009 - July 31,2010 $9,000,000; and
August 1,2010 - July 31,2011 $6,000,000
Subject to this Agreement, Tourism BC and the Agency, each acting in good faith, will
negotiate/determine fees and expenses for the contract year August 1,2010 to July 31,2011
contract years prior to July 31,2010.
Contractors with Tourism British Columbia should use the following information in support of Schedule "B" of the
contract to guide them when requesting reimbursements for various allowable expense items. Travel Status"
requires the approval of the contract administrator. Contractors are encouraged to practice economy and efficiency
while traveling. Travel expenses must not be billed directly to Tourism British Columbia. Invoiced travel expenses
must be supported by a statement with original receipts attached, showing the accumulation of expenses
under the various categories. Tourism British Columbia is Goods and Services Tax (GST) exempt, therefore, with
the exception of meals, GST is not payable on contractors' expenses. Contractors must deduct GSTfrom all
expense claims prior to submitting.
Travel Expenses
Public Transportation - Air, ferry, bus ** and taxi ** fares, and transportation toll charges are claimable. Receipts
are required, except for air travel which must be substantiated with the passenger copy of the airfare ticket For air
travel, the most economic air fare must be purchased unless prior approval has been given. ** Where the daily
charges for bus or taxi are less than $20.00, receipts are not required.
Car Rental - When traveling over 100 km. per day, renting a car is more economical. Cost of rented vehicles may
be claimed, If required in order to perform the Services and if approved by Tourism British Columbia.
Private Vehicle - Distance allowance for use of a private vehicle on Tourism British Columbia business Is at the rate
of
$0.50 per kilometer. Private insurance must be adequate to cover business use.
Parking - Parking costs are an allowable expense where use of a private or government vehicle is directly related to
the contract. Parking machine tickets marked with the total paid and signed by the claimant are acceptable (deduct
GST on statement).
Overnight Accommodation - The maximum amount claimable for overnight (hotel/moteO accommodation for
single occupancy can be found using the following website link (hotel accommodations guide) for cities within the
Province:

The contractor must obtain pre-approval from the contract manager to exceed the above accommodation rates.

Meals provided free to contractors acting on Tourism British Columbia business may not be claimed.
Contractors are encouraged to use the GovernmentofB.C. Corporate Supply Arrangements (CSAs) with major rental
agencies throughout the province. These CSAs entitle Government employees, Crown Corporation employees and
authorized contractors to preferred vehicle rental rates. Upon request and in advance of any rental, Tourism British
Columbia will provide an authorization letter for access to the CSAs and Information on applicable rental agencies.
Collision Damage Waivers (CDW) and Personal Accident Liability (PAL) will not be reimbursed where the rental Is
obtained outside the CSAs.

WHEREAS:
A. Tourism BC wishes to appoint the Agency as the Agency of Record following completion
ofREP#MSKA-0501.
B. The Agency agrees to act as the Agency of Record for Tourism BC on the terms and
conditions hereinafter set forth.
DEFINITIONS
In this Agreement:
(a) "Goods" means any and all equipment, machinery or other property whatsoever
provided by or on behalf of Tourism BC to the Agency as a result of this
Agreement.
(b) "Material" means any and all findings, data, financial information, accounting
records, database information, specifications, digital files, layouts, copy, artwork,
designs, graphics, non-media promotional items, software, applications, systems,
programs, work prints, electrotypes, engravings, typography, original negatives,

outtakes, films, photographs, prints, tapes, sound tracks, special effects, drawings,
proofs, working papers, press releases, reports, documents and material, whether
complete or otherwise, that have been produced, received or acquired by the
Agency, or provided by or on behalf of Tourism BC to the Agency, as a result of
this Agreement and, without limiting the generality of this definition, "Material"
also includes all Plans.
(c) "Plans" means all plans prepared by or in conjunction with the Agency to meet the
objectives of the Tourism BC Corporate, Operational and Project Plans (as
defined in RFP #MSKA-0501) and, without limitation, includes plans developed
by the Agency for Tourism BC relating to strategic development, brand
stewardship, image/brand and direct response advertising and promotion,
direct/relationship marketing, e-marketing, media, public relations, research and
analysis, competitive analysis, interactive, web design and development, video,
promotions, collateral material, special events, partnership and sponsorship
development, and contest administration.
1.01 Tourism BC appoints the Agency as the Agency of Record to provide the services as
described, and according to the specifications, in Schedule "A" attached to this
Agreement (collectively the "Services").
1.02 The Agency will provide the Services during the term of this Agreement that will,
notwithstanding the actual date of execution and delivery of this Agreement, commence
on August 1,2005 and will end on July 31,2011 (the "Term").
1.03 Tourism BC may at its option extend the Term of this Agreement on or before July 31,
2011 to a date no later than July 31,2012,
PAYMENT
2.01 The Agency will be entitled to retain the fees, expenses and media commissions described
in Schedule "B" attached to this Agreement and the Agency will accept the same as full
payment for providing the Services and full reimbursement for expenses incurred in
connection therewith.
2.02 The Agency will bill Tourism BC in accordance with agreed Billing and Payment
Practices as described in Schedule "C".

RECORDS
3.01 The Agency will, in accordance with generally accepted accounting principles, keep
records and books of account of all gross receipts, receivables and expenses and Tourism
BC will have access at all reasonable times to those records and books of account for the
purposes of reviewing or copying them,
INDEPENDENT CONTRACTOR
4.01 The Agency is an independent contractor and not the servant, employee or agent of
Tourism BC,
4.02 The Agency will not commit Tourism BC to pay money to any person, firm or
corporation.
4.03 Tourism BC may, from time to time, give reasonable instructions to the Agency necessary
for the provision of Services, and the Agency will comply with those instructions but will
not be subject to the control of Tourism BC regarding the manner in which those
instructions are carried out.
REPORTS
(a) fully inform Tourism BC of work done and to be done by the Agency in
connection with provision of the Services; and
(b) permit Tourism BC at all reasonable times to examine and copy any and all of the
Material.
REVIEW
6.01 Tourism BC and the Agency will conduct a formal relationship review-each year of the
Term at the beginning of July. The purpose of this annual review will be to set and
measure mutually agreed upon goals with respect to the Plans and the results of the Plans,
the working relationship between Tourism BC and the Agency and the Agency's financial
compensation.

6.02 Tourism BC may also carry out a periodic review to assess the financial performance of
the Agency with respect to its status as Agency of Record for Tourism BC and the
Agency will cooperate fully with Tourism BC in connection with any such review.
7.01 All proprietary rights in all Material and all Goods will vest exclusively in Tourism BC.
All Material and Goods will be delivered by the Agency to Tourism BC forthwith
following the expiration of the Term of this Agreement or the earlier termination of this
Agreement or following notice given by Tourism BC to the Agency requesting delivery of
any of the Material or Goods.
7.02 The Agency hereby assigns to Tourism BC all rights, title and interest, and waives all
. moral rights, in all Material and Goods whether complete or not, If any Material is
produced or created at the Agency's instruction by any person other than the Agency or
its employee, the Agency agrees to obtain from that person or persons an assignment of
the copyright and waiver of moral rights in such Material in favour of Tourism BC. Upon
request of Tourism BC, the Agency agrees to deliver to Tourism BC documents
satisfactory to Tourism BC confirming the waiver of any moral rights which the Agency
or its employees or subcontractors may have in any Material and confirming the vesting ,
of the copyright therein in Tourism BC.
7.03 Tourism BC acknowledges that the Agency cannot transfer, assign or convey to Tourism
BC any greater or other proprietary rights in the Material that has been produced, received
or acquired by the Agency as a result of this Agreement than the Agency has therein or
has acquired therein pursuant to section 7.02.
7.04 Notwithstanding any other provision of this Agreement, Tourism BC will retain and
exercise final creative control of the Material.
CONFIDENTIALITY
8.01 The Agency will treat as confidential and will not, without the prior written consent of
Tourism BC, disclose or permit to be disclosed in any way, the Material or any
information which comes to the knowledge of the Agency as a result of this Agreement
except if:
(a) such disclosure is necessary to enable the Agency to fulfill its obligations under
this Agreement;

9.01 The Agency will not, without the prior written consent of Tourism BC, assign directly or
indirectly this Agreement or any right under this Agreement.
9.02 The Agency is permitted to subcontract any obligation under this Agreement.
9.03 No subcontract entered into by the Agency will relieve the Agency from any obligation
under this Agreement or impose any obligation or liability upon Tourism BC to any such
subcontractor. The Agency must ensure that any subcontractor fully complies with this
Agreement in its performance of the subcontracted Services.
CONFLICT
10.01 The Agency will not, during the Term, perform a service for, or provide advice to, any
entity where such action might create a conflict of interest between the obligations of the
Agency to Tourism BC under this Agreement and the obligations of the Agency to such
other entity.
(b) the Agency is a corporation duly organized and validly existing under the laws of
British Columbia;
(c) the Agency has the power and capacity to accept, execute and deliver this
Agreement; and
(d) this Agreement is binding upon and enforceable against the Agency in accordance
with its terms.

(i) the Agency permits any sum which is not disputed to be due to any party by it in
any way relating to this Agreement to remain unpaid after legal proceedings have
been commenced to enforce payment thereof; or
13.02 In an Event of Default pursuant to paragraph 13.01 (e), (f), (g), (h) or (j). Tourism BC.
may, at its option, give written notice of termination to the Agency terminating this
Agreement forthwith and if this Agreement is so terminated then Tourism BC will be
under no further obligation to the Agency, except to pay to the Agency such amount as
the Agency may be entitled to receive for Services provided pursuant to this Agreement
prior to the date of such termination,
13.03 m an Event of Default pursuant to 13.01 (a), (b), (c), (d) or (i), Tourism BC may, at its
option, give written notice specifying the Event of Default to the Agency. If Tourism BC
gives written notice of such an Event of Default then the Agency will have 30 days after
receipt of the notice to remedy the specified Event of Default.
13.04 Notwithstanding Section 13.03, Tourism BC may, at its option, extend the time period to
remedy the Event of Default specified in the written notice under paragraph 13.03 if the
Event of Default reasonably requires more than 30 days to remedy and the Agency has
within the 30 day period delivered to Tourism BC a plan to remedy the'Event of Default
and thereafter proceeds diligently to remedy the Event of Default.
13.05 If the Agency fails to remedy such Event of Default within the time required under
paragraph 13.03 or 13.04, as the case may be, then Tourism BC may at its option give
written notice of termination to the Agency terminating this Agreement on the date
specified in such notice and if this Agreement is so terminated then Tourism BC will be
under no further obligation to the Agency, except to pay to the Agency such amount as
the Agency may be entitled to receive for services provided pursuant to this Agreement to
the date of termination.
13.06 Notwithstanding any other provision of this Agreement, Tourism BC may, at its option
and for any reason, terminate this Agreement giving 180 days prior written notice of
termination to the Agency and if such option is exercised then this Agreement will
terminate 180 days following the date such written notice is received or deemed received
by the Agency pursuant to the provisions of paragraph 17.01, and Tourism BC will be
under no further obligation to the Agency except to pay to the Agency such amount as the
Agency may be entitled to receive, for services provided pursuant to this Agreement to
the date of termination.
13.07 The remuneration paid to the Agency under section 13.02,13.05 or 13.06 hereof will
discharge Tourism BC from any liability to the Agency under this Agreement.

13.08 Notwithstanding any of the foregoing, Tourism BC may, at any time, pursue any remedy
available to it in law or in equity.
TOURISMBC SERVICES
(a) assist the Agency by placing at its disposal all available information considered
pertinent by Tourism BC in regard to the Services;
(b) " give the Agency reasonable notice of changes in priorities or programs that may,
in Tourism BC's opinion, materially affect the Services;
(c) examine all studies, reports, proposals and other documents presented by the
Agency and render decisions pertaining to them within a reasonable time so as not
to delay the performance of the Services;
(d) purchase the Services under this Agreement for Tourism BC's own use and with
Crown Funds and therefore the Services will not be subject to the Goods and
Services Tax.
NON-WAIVER
15.01 No provision of this Agreement and no breach by either party of any such provision will
be considered to have been waived unless such waiver is in writing by the other party.
15.02 The written waiver by either party of any breach by the other party of any provision of
this Agreement will not be deemed a waiver of such provision or of any subsequent
breach by the waiving party of the same or any other provision of this Agreement.
NOTICES
16.01 Any notice, consent, waiver, statement, other document or payment and any or all of the
Material or the Goods that either party may desire or be required to give or deliver to the
other will be conclusively deemed validly given or delivered to and received by the
addressee, if delivered personally, on the date of delivery or, if mailed, on the third
business day after the mailing of the same in British Columbia by prepaid post addressed,

16.02 In addition to the provision of paragraph 16.01, any notice, consent, waiver, statement or
other document transmitted by facsimile transmission from either party to the other will
be conclusively deemed validly given to and received by the intended recipient when so
transmitted if transmitted to the numbers that the parties so advise.
16.03 Either party may, from time to time, advise the other by notice in writing of any change of
address or facsimile number of the party giving such notice and from and after the giving
of such notice the address or facsimile number therein specified will, for purposes of this
Agreement, be deemed to be the address or facsimile number of the party giving such
notice.
SPECIAL PROJECTS
17.01. Tourism BC acknowledges that the Agency may, from time to time, be required by
Tourism BC to carry out certain special projects and, that any such special projects will
be subject matter of further agreements between the parties hereto.
DISPUTES
18,01 Where a dispute arises out of or in connection with this Agreement, or in respect of any
defined legal relationship associated with it, the parties agree to seek an amicable
settlement of that dispute in accordance with discussions and negotiations between the
authorized representative of each party, acting reasonably. Failing resolution thereof, all
disputes arising out of or in connection with this Agreement, or in respect of any defined

legal relationship associated with it, must be referced to and finally resolved by arbitration
under the rules of the British Columbia International Arbitration Centre.
SURVIVAL OF PROVISIONS
19.01 Paragraphs 3,5,7,8,12.01 and 18 will remain in effect, no matter how this Agreement is
terminated. Notwithstanding the foregoing, all obligations that are of a continuing nature,
and all the rights and remedies of Tourism BC, either at law or in equity, will survive the
expiration or sooner termination of this Agreement and will continue in force until they
are satisfied or by their nature expire.
PRIVACY PROTECTION
20.01 The Agency agrees to comply with the terms of the Privacy Protection Schedule attached
hereto as Schedule "D'\
GENERAL
21.01 In this Agreement wherever the singular or masculine is used it will he construed as if the
plural or feminine or neuter, as the case may be, had been used where the context or the
parties so require.
21.03 The Schedules attached to this Agreement are an integral part of the Agreement as if set
out at length in the body of the Agreement.
21.04 The headings or captions appearing in this Agreement are inserted for ease of reference
only and have no effect on the construction or interpretation of this Agreement.
21.05 This Agreement supersedes and replaces any agreements or undertakings regarding the
subject matter of this Agreement entered into, made or given by the parties prior to the

21.06 A reference to a statute in this Agreement, whether or not that statute has been defined,

(b) the invoice amount has been necessarily and properly earned or incurred,
as the case may be, by the Agency in connection with the Services;
(c) the invoice includes details regarding persons providing services including
hourly rate, hours worked and total fees by position;
2. It is also certified that the property and/or services ordered/purchased hereby are
for the use of, and are being purchased by Tourism BC and are not subject to the
Goods and Services Tax,
3. It is agreed that if there is an invoice amount under question, Tourism BC will pay
the remaining invoices within the agreed payment terms and only withhold the
invoice in question until it has been resolved.
1. As set out in Schedule "A", the Agency agrees to provide administrative and
financial management for multi-partnered projects as may be designated by
Tourism BC from time to time. Without limiting the generality of the foregoing,
the Agency will:
(a) complete,

a) "Act" means the Freedom of Information and Protection of Privacy Act (British

business to be contacted and includes the name, position name or title, business
telephone number, business address, business email or business fax number of the
individual;
c) "persona! mformation" means recorded information about an identifiable
individual, other than contact information, collected or created by the Agency as a
result of the Agreement or any previous agreement between Tourism BC and the
Agency dealing with the same subject matter as the Agreement.
2. Purpose - The purpose of this Schedule is to:
a) enable Tourism BC to comply with its statutory obligations under the Act with
respect to personal information; and
b) ensure that, as a service provider, the Agency is aware of and complies with its
statutory obligations under the Act with respect to personal information.
3. Collection of personal information - Unless the Agreement otherwise specifies or
Tourism BC otherwise directs in writing, the Agency may only collect or create
personal information that is necessary for the performance of the Agency's
obligations, or the exercise of the Agency's rights, under the Agreement.
4. Unless the Agreement otherwise specifies or Tourism BC otherwise directs in writing,
the Agency must collect personal information directly from the individual the
information is about.
5. Unless the Agreement otherwise specifies orTourism BC otherwise directs in writing,
the Agency must tell an Individual from whom the Agency collects personal
information:
7. Requests for access to personal information - If the Agency receives a request for
access to personal information from a person other than Tourism BC, the Agency
must promptly advise the person to make the request to Tourism BC unless the
Agreement expressly requires the Agency to provide such access and, if Tourism BC
has advised the Agency of the name or title and contact information of an official of
Tourism BC to whom such requests are to be made, the Agency must also promptly
provide that official's name or title and contact information to the person making the
request.
11. If the Agency receives a request for correction of personal information from a person
other than Tourism BC, the Agency must promptly advise the person to make the
request to Tourism BC and, if Tourism BC has advised the Agency of the name or
title and contact information of an official of Tourism BC to whom such requests are
to be made, the Agency must Tourism BC to whom such requests are to be made, the
Agency must also promptly provide that official's name or title and contact
information to the person making the request.
12. Protection of personal information - The Agency must protect personal information
by making reasonable security arrangements against such risks as unauthorized access,
collection, use, disclosure or disposal, including any expressly set out in the
Agreement.
13. Storage and access to personal information - Unless TourismBC otherwise directs
in writing, the Agency must not store personal information outside Canada or permit
access to personal information from outside Canada.

14. Retention of personal information - Unless the Agreement otherwise specifies, the
Agency must retain personal information until directed by Tourism BC in writing to
dispose of it or deliver it as specified in the direction.
15. Use of personal information - Unless Tourism BC otherwise directs in writing, the
Agency may only use personal information if that use is:
a) for the performance of the Agency's obligations, or the exercise of the Agency's
rights, under the Agreement; and
b} in accordance with section 13.
17. Unless the Agreement otherwise specifies or Tourism BC otherwise directs in writing,
the Agency must not disclose personal information outside Canada.
19. Compliance with the Act and directions - The Agency must in relation to personal
information comply with:

governing personal information that are applicable to it as a service provider.
21. Notice of non-compliance - If for any reason the Agency does not comply, or
anticipates that it will be unable to comply, with a provision in this Schedule in any
respect, the Agency must promptly notify Tourism BC of the particulars of the non
compliance or anticipated non-compliance and what steps it proposes to take to
address, or prevent recmience of, the non-compliance or anticipated non-compliance.
