SPECIAL POWER OF ATTORNEY

(COUPLED WITH INTEREST)

KNOW ALL MEN BY THESE PRESENTS:

WE, FELY M. LEOBRERA, of legal age, widow, Filipino and a resident of No.
2220 E. Rodriguez Avenue, Moonwalk, Paranaque City, Metro Manila, and MARY
LAUREEN VELASCO, of legal age, single, Filipino and with postal address at Blk 19
Lot 42 Phase 1 Lotus St., City Homes Resortville Subdivision Dasmarias Cavite,
hereinafter collectively referred to as the Principal, do hereby name, designate and
appoint in manner absolute and irrevocable ALBERT E. MORENO, of legal age,
married and a resident of No. 2220 E. Rodriguez Avenue, Moonwalk, Paranaque
City, Metro Manila, to be our true and lawful attorney-in-fact, for us and in our
names, places and stead, to do and perform the following acts and deeds:

1. To sell, dispose and transfer unto a prospective buyer for a gross purchase
price of no less than Php50,000,000.00, that property covered by TCT No. 010-
2014002172 registered in the name of Mary Laureen L. Velasco under the Registry of
Deeds for Paranaque City, copy of which is hereto attached and made integral part
hereof as Annex 1-Special Power of Attorney Coupled with Interest.

2. To pay or reimburse himself out of the proceeds of the sale any


and all amounts advanced by the said Agent for the settlement of Real Property
Taxes due the local government of Paranaque City and such other obligations
attached to the afore described property and such other obligations in accordance
with the provisions of the Memorandum of Agreement executed by the Principal
and the Agent forming part of the Notarial Record of ____________ as Doc. No.
____; Page No. ____; Book No. ____; Series of 2015;

3. To apportion unto the parties the proceeds of the sale in accordance


with the provisions of par. 5 of the said Memorandum of Agreement, net of all
necessary expenses incurred to implement the sale, including but not limited to
the settlement of the loan accommodation, brokers commission, taxes and local
government fees relative to the sale, and such other incidental and legal
expenses;

4. To do any and all such acts and deeds as may be necessary and
essential to exercise and implement the powers and authority mentioned in par.
1, 2 and 3 hereof, as well as those embodied in other pertinent provisions of the
aforesaid Memorandum of Agreement; and
5. In general, to make, sign, execute and deliver all papers,
documents, writings necessary and do and perform such acts or deeds which
may be necessary in furtherance of all the foregoing.

HEREBY GIVING AND GRANTING unto our said attorney-in-fact full


powers and authority to do and perform all and every act requisite or necessary
to carry into effect the foregoing authority, as fully to all intents and purposes as
we might or could lawfully do if personally present, with full power of
substitution and revocation, and hereby ratifying and confirming all that our said
attorney or his substitute shall lawfully do or cause to be done by virtue hereof.

We hereby declare that the foregoing grant of powers and authority is


absolute and irrevocable in consideration of the loan accommodations extended by
the said attorney in fact in our favor, and that this grant of powers and authority is
primarily intended to ensure the payment of said advances.
