4/ Terms of Quality
Engine, Axles and chassis shall be guaranteed for 2 years or 200000Km, and transmission
shall be guaranteed for 1 year or 100000Km, whichever comes first.

5. Other Terms /
5.1 Arbitration /
All disputes arising from this Sales Contract shall be negotiated and resolved amicably. If any
disputes cannot be resolved by negotiation the dispute shall be submitted to the China

International Economic and Trade Arbitration Commission (South-western Sub-commission) and

the arbitration rules and procedures of the China International Economic and Trade Arbitration
Commission shall apply. The arbitration awards of the China International Economic and Trade
Arbitration Commission shall be final and binding on three Parties.



5.2Amendment /
Any waiver of this Sales Contract shall be effective from the signing of the waiver documents by
he three Parties. Any amendment or modification of this Sales Contract shall be by mutual
agreement of the Parties and be in written form bearing the signatures of the Parties.


5.3. Force Majeure /
Either party shall not be held responsible for failure or delay to perform all or any part of this
agreement due to flood, fire, earthquake, draught, war or any other events which could not be
predicted, controlled, avoided or overcome by the relative party. However, the party affected by
the event of Force Majeure shall inform the other party of its occurrence in writing as soon as
possible.



4.4. This Agreement is written in English and Chinesewhich is made out in 2 counterparts, 1 copies
for each Party, and each copy has the same legal effect.

4.5. In witness whereof the Parties have caused this Sales Contract to be executed by their duly
authorised representatives and attached by their corporate seals. This Sales Contract comes into
effect after the date set forth below.
