PROJECT AGREEMENT

KNOW ALL MEN BY THESE PRESENTS:

This Agreement made and executed by and between:

M.M.M IRON WORKS, a single proprietorship duly organized and existing

under the laws of the Philippines, with office address at the

as FIRST PARTY

5. In the event of any force majeure, including but not limited to fire, storm,
earthquake, volcanic eruption, and other acts of God, acts of public
enemy, war, rebellion, insurrection, orders, or directives of a government
or political subdivision, agency or instrumentality thereof, or the order of
any court or regulatory or arbitral body of competent jurisdiction, which
 makes it impossible or extremely difficult for the FIRST PARTY to continue
the project, the SECOND PARTY shall have the option whether or not to
suspend or continue the Project.

Miscellaneous Provisions

A. Implementing Rules and Regulations. It is understood that this Agreement

shall automatically conform with all the provisions of relevant laws applicable to
the project, including implementing rules and regulations.

B. Notices and Communications. All notices and communications shall be in

writing delivered either in person or registered mail, and addressed to the parties
in the address specified above unless change of address is given in writing.

C. Binding Effect. This Agreement shall be valid and binding upon the
heirs, successors, executors, administrators and assigns of all contracting parties
hereto.

D. Assignment. Neither the FIRST PARTY nor the SECOND PARTY shall
assign, sublet or transfer any interest in this Project without the written consent of
the other.

E. Termination of the Agreement. This Agreement may be terminated by

either party, should the other fail to perform or observe any of his obligations
under this Agreement, and the non-performing party not remedy his failure in
thirty (30) days after written notification of either party. If the Agreement is
terminated through no fault of the FIRST PARTY, the FIRST PARTY shall be
compensated by the SECOND PARTY for all the services performed subsequent
to the date of the written notification of termination.
