DEED OF SALE OF MOTOR VEHICLE

KNOW ALL MEN BY THESE PRESENTS:

I, ________________, Filipino, of legal age, and with residence

at____________________, authorized representative of _____________,
hereinafter referred to as the SELLER, for and in consideration of the sum of
Five Hundred Fifty Thousand Pesos (Php 550,000.00), to me in hand paid to
my full satisfaction by JOSE LUIS K. MATTI, Filipino, of legal age, and with
residence at Kyoto Street, BF Homes Subdivision, Paraaque City, hereinafter
referred to as the BUYER, do hereby sell, cede, transfer, and convey unto
said buyer, her heirs and assigns, that motor vehicle described as follows, to
wit:

That I hereby warrant unto the said buyer full title and ownership over
the vehicle above-described, free from all liens and encumbrances, in favor
of any person or entity.

The BUYER hereby agrees and binds himself that the aforementioned
vehicle is sold and transferred to him in an AS IS WHERE IS BASIS.

The BUYER further undertakes to shoulder all necessary transfer fees,

taxes, and other charges in order to transfer ownership of the said vehicle in
his name, which he commits to be accomplished within a period of two (2)
months. Finally, the BUYER assumes any and all liabilities attributable to him
for any damage that the vehicle may cause to any person or property while
the transfer of ownership above mentioned has not been fully accomplished.
