INDEPENDENT CONTRACTOR AGREEMENT FOR TUTOR

This Independent Contractor Agreement ("Agreement") is made between

(Referred to as "the Tutor") and Encore Education Group PLT (referred to as "Encore").
Encore Education Group PLT desires to retain the teaching
of_______________________ lessons for the period starting
on this date ________________ and ending on_________________. Either Encore Education
Group PLT or the Tutor may terminate this Agreement at any time for any reason.

1. Responsibilities of Encore Education Group PLT.

Encore Education Group PLT will provide the location for the teaching of lessons. Encore
Education Group PLT will be responsible for attracting and scheduling student lessons as well as
setting and collecting fees from the students.

2. Duties of Tutor

The Tutor will provide 90/120 minutes lessons to students at the centre located at #02-04 Wisma
SP Setia, Jalan Indah 15, Taman Bukit Indah, Nusajaya Johor 79100. The Tutor agrees to provide
Encore Education Group PLT with a list of days and specific hours the Tutor is available to
teach.

3. Worksheets and Books for Lessons

The Tutor shall furnish his/her own worksheets and books as well as other equipment necessary
to teach students. Encore Education Group PLT shall not be obligated to reimburse Teacher for
any expenses incurred. .

4. Other Engagements

Tutors shall be entitled to make tuition services available to the general public and to have other
tutoring engagements or employment during the term of this Agreement so long as such other
services, employment, or engagement do not interfere or conflict with Tutor's Performance,
Punctuality, or Scheduling of Tutor's duties under this Agreement.

5. Compensation

The Teacher agrees to a payment of RM_____ per sixty (60) minutes lesson to_______ student(s)
per class. Additional payment of RM________ per sixty(60) minutes lesson will be paid for
__________ student(s) per class. Encore Education Group PLT cannot guarantee a minimum
income, hours, or number of students scheduled for lessons with the Tutor. The Tutorr shall not
receive any payment for time gaps in his/her schedule. Pay increases / Resigning of contract
depends on Performance and Student Retention.
6. Independent Contractor

Encore Education Group PLT and the Tutor mutually understand and agree that Tutor shall be
and at all times shall act and perform as an independent contractor with authority and right to
direct and control all details of the work, with Encore Education Group PLT being interested
only in the results obtained. It is the understanding and intention of the parties hereto that no
relationship of master and servant, principle, or agent shall exist between Encore Education
Group PLT and the Tutor, whether by "borrowed servant" or any other legal theory.

7. Enrolled Students at Encore Education Group PLT

It is understood between the parties hear to that Students acquired and provided to said Tutor
by Encore Education Group PLT marketing efforts are Valuable Assets. It is agreed by the
parties that the Tutor will not solicit service of private instruction to enrolled students while
under contract, nor will compete with Encore Education Group PLTfor a period of one year as
to their students. Doing so would cause financial hardship and said Tutor would indemnify
Encore Education Group PLT for loss.

8. Tax Responsibility As a result, the Encore Education Group PLT shall issue to the Tutor a
voucher for amounts paid to Teacher by Encore Education Group PLT.No joint
venture, partnership, employment, agency, or other such relationship is
intended, accomplished, or embodied by this Agreement. This
Agreement does not entitle Tutor to any medical coverage, life
insurance, or retirement savings plans, and/or any other benefits
provided. As an independent contractor, Tutor shall be responsible for,
and shall indemnify Encore Education Group PLT and hold Encore Education Group
PLT harmless with respect to, the payment or withholdings of all
applicable federal, state, and local taxes, and any payments or
withholdings related to unemployment compensation, wage and hour
requirements, EPF, SOCSO or other amounts arising in connection with
commissions or other amounts paid to Tutor by, Encore Education Group PLT
pursuant to this Agreement, if any, or otherwise in connection with the
working relationship between Tutor and Encore Education Group PLT.
