Consultancy Agreement

This consultancy agreement is made on this 14th day of August 2017 at Dehradun.

BETWEEN:

The Big Band Theory Pvt Ltd. represented through its Managing Director having
powers to execute" this Agreement vide board resolution dated .., hereinafter
referred to as the Company

AND

Vivek Badoni

The Company and The Artist/Band shall be referred as Parties collectively.

The Parties hereto agrees to following mutual promises:

1. The Band shall perform the activity mutually decided between the parties at the
agreed venue within the agreed cost of amount.

2. The Company undertakes that in any way and manner this agreement does not
provide a right to the Company to manage the affairs of The Artist/Band as an agent
or manager of The Band.

3. The Artist/Band by virtue of this agreement undertakes that the Artist/ Band
shall not communicate directly with the venues where the Artist/Band has already
performed through a deal brought by the Company. They further undertake that if
the venues try or contact directly to The Artist/ Band, The Band shall communicate
with the venue only and exclusively through the Company.

4. The Artist/Band undertakes that any member of The Band shall also not have
right to perform at the venue, whether being the part of any other band or
individually.

5. The Company undertakes that all the details of the performance shall be emailed
to The Band within appropriate time for The Band to make respective arrangements
of its promise and Company shall only finalize The Band upon receiving an email
confirmation from The Band.

6. The Company further undertakes to make specific promises exchanged with The
Artist/Band during the course of the deal. The Band however can have no claims
against anything adverse, occurred, apart from mutually agreed promises.

7. The Artitst/Band shall have no say on the Company for not procuring any deal for
The Band nor the Company shall have the right to demand a professional percentage
of the amount from The Band from the shows, performances procured by The Band
directly or indirectly without the help of the Company.

8. The Artist/Band hereby undertakes that failure to comply with the condition
mentioned in clause 3 and clause 4 shall provide a right to the Company to demand a
penal amount equivalent to 1/3rd of the total amount received from The Band only.

9. That in the event of any dispute or difference between the parties hereto,
regarding the interpretation or meaning of any provision of this agreement or
regarding any claim of one party against the other or regarding any other matter
arising out of this agreement, the same will be referred to arbitration of a common
arbitrator and the arbitration will be governed by The Indian Arbitration &
Conciliation Act 1996 or any statutory amendment or re-enactment there of in
force in India shall govern the reference and the seat of Arbitration shall be at
Dehradun.
