NOW THIS LEAVE AND LICENSE AGREEMENT WITNESSETH AS

UNDER:-

1. That in consideration of the monthly license fee hereby reserved and


other terms and conditions and covenants to be performed by the Second
party the First party hereby grants a Leave and License to the Second
Party in respect of the Shop no. 117 at third floor, a part of the
commercial premises bearing nos. 1170/1241 at Kaccha Baag, Chandni
Chownk, Delhi 110 006 (hereinafter the Licensed Premises).
2. That the License Fee hereby reserved is Rs. 5789 ( Rupees Five
Thousand Seven Hundred and Eighty nine per month)
3. That the period of Leave and License under this agreement shall
commence w.e.f. 1st January 2016 and will continue for a period of 11
months. The License period may be extended with the mutual consent of
both the parties by enhancing the License fee by 5% over the fee last due.
4. That the License fee shall include all taxes and charges but shall not
include service tax or any other tax of the same nature payable
by/recoverable from tenants in general.
5. That the License shall pay and discharge electricity dues as per
consumption.
6. That the Licensor and the Licensee shall not challenge the reasonable of
the amount of License Fee in any court of law.
7. That the licensee shall not make any additions or alterations in the
licensed premises and shall keep the premises neat and clean and in a
presentable business condition.
8. That the Licensee shall be solely responsible for the safety and security of
its wares, furniture and records in the Licensed Premises.
9. That the License is granted to the Licensee only for the stated business
purpose. The Licensee shall use the Licensed Premises only for the stated
business purpose and not for the other businesses or other activities or
any prohibited or illegal activity.
10. That the Licensee alone shall be responsible for all legal, municipal or
regulatory compliances and outgoings in respect of its business from the
Licensed premises.
11. That the license granted hereby is personal to the Licensee. The
Licensee declares that it has no interest or right in the ownership of the
Licensed premises and it is only a bare licensee.
12. That the Licensee shall not transfer the license or any of the rights
granted to it under this agreement to any third party.
13. That the first party Licensor shall be fully entitled to inspect licensed
premises at any reasonable hours and second party Licensee shall not
raise any objection against the same.
14. That the Licensee Fee shall be payable in advance by the 10th day of
every calendar month. The licensee shall ensure regular payment to the
Licensor by the due date every month though check or other banking
channel.
15. That if TDS is at any time required to be made under the applicable
income tax law, the licensee shall make TDS and provide requisite
certificate/proof of payment of the same.
16. That the either party may terminate the agreement by one month prior
notice in writing to the other.
17. That the License shall stand terminated on :
a) If the tenant withholds the License fee for the consecutive two
months.
b) If the Licensee claims any right or interest in the licensed
premises other than as a bare licensee.
c) If the Licensee discontinues the business for which the leave and
licensee has been granted in the licensed premises.
d) If the Licensee applies for or suffers any proceedings for winding
up or liquidation or applies for compromise of its lawful debts and
obligations as and when they become due.
18.That all the expenses of stamp paper, and other documents, papers,
charges shall be borne by the licensee.
19.That any dispute or difference between the parties relating to this
agreement, its interpretation, performance or breach or otherwise
relatable to this agreement shall be resolved by the mutual discussion
falling which by award of a single arbitrator appointed by both the parties
by mutual consent. The arbitration shall take place in Delhi under the
Arbitration and Conciliation Act, 1996 and the language shall be English.
20.That this agreement is subject to the jurisdiction of courts in Delhi.
