I represent Sogeti USA a wholly owned subsidiary of Cap Gemini (www.sogeti.com,

www.capgemini.com). Sogeti is a part of the Sogeti Group, a wholly owned subsidiary of the
international Capgemini SA organization, one of the world's leading providers of consulting,
technology and outsourcing services with over 115,000 people worldwide and global annual
revenues in excess of $12 b.

Below are a few of the clauses we would need for you to review and agree on if we were to
accept your candidates from your organization:-

Since your company is not a preferred vendor to Sogeti, and we have limited availability
on our preferred vendor list, we will pass you through a preferred vendor initially till you
build up consulting numbers with us and then moving forward we would recommend your
name to the vendor management team for your inclusion in the preferred list (this
company has been specially appointed by Sogeti to contract with all non-vendors and
independent contractors that we cannot bring on board as a vendor directly)

Sogeti reserves the right to offer employment to the Subcontractor's employee after one
hundred twenty days (120) days from the start date. (We don't intend to exercise this
clause but it's for protection of Sogeti and it's clients interest we keep this clause in our
contract)

Subcontractor must provide two (2) weeks notice to Sogeti prior to removal of a
Subcontractor employee from an engagement. Removal of a Subcontractor employee prior
to the two (2) weeks notice will result in forfeiture of two (2) weeks payment by Sogeti to
Subcontractor

Sogeti may upon one (1) day written notice to Subcontractor, terminate all portion of the
contract/statement of work for Sogeti's convenience

Subcontractor must sign a two week performance guarantee clause

Subcontractor should provide any necessary hardware and software (laptops and necessary
software) required by its employees to provide the services at our clients.
