GM aims to

GENERAL MOTORS hopes to secure
an investment grade credit rating by
using cash from its impending flota-
tion to make payments on its $27.4bn
(£17.6bn) pensions black hole, accord-
ing to its prospectus.
The US government-owned carmak-
er revealed a shortfall of $17.1bn in its
US pension fund and $10.3bn in its
non-US fund as of the end of last year.
The schemes have significant expo-
sure to equities and fixed income
securities, which suffered amid mar-
ket turbulence.
GM said it would use spare capital
from its imminent initial public offer-
ing (IPO), which analysts believe could
value the company at $20bn, to close
some of the gap in its US scheme.
“We plan to use excess cash to
repay debt and to make discretionary
contributions to our US pension
plan,” GM stated. “Based on this
planned reduction in leverage… we
will aim to attain an investment
grade rating over the long term.”
The car manufacturer also dis-
closed the US Treasury would keep a
large stake after the IPO and would be
able to influence decisions on execu-
tive appointments and pay deals, as
well as debt and equity raisings. But
the US and Canadian states will no
longer be able to designate nominees
for the GM board of directors.
Investment bankers, who have
been referring to the flotation as
“Project Dawn”, think it could be the
largest IPO since Visa tapped the mar-
ket for $19.7bn in 2008.

EU objects to Unilever purchase
The EU could scupper Unilever’s pur-

business, after its anti-trust agency filed
a formal objection to the €1.3bn
(£1.07bn) acquisition yesterday. The
company said yesterday it hopes to
come to a “positive agreement” by the
end of the year, allowing the takeover of
Sara Lee’s shower-gel and detergent
businesses. The EU contends that the
move would create significant overlaps
with Unilever’s existing operations.
