CONTRACT OF LEASE

KNOW ALL MEN BY THESE PRESENTS:

This CONTRACT OF LEASE is made, executed and entered into at Tuguegarao City,
Cagayan, Philippines, by and between-

OLIVER A. CAGURANGAN, Filipino, of legal age and a resident of Tuguegarao City,


Cagayan, hereinafter referred to as LESSOR,

and

NINJA EXPRESS TECH PHILIPPINES INC. as represented by its signatories, MARTIN


ANGELO VILLANUEVA CU, with business address at Warehouse 16-B, La Fuerza
Compound, Chino Roces, Makati City and ROMMEL BARIG BERDAN with business address
at Tuguegarao City, Cagayan hereinafter called the LESSEE.

WITNESSETH

WHEREAS, the LESSOR is the owner of a residential house located at Annafunan Hi-Way,
Tuguegarao City, Cagayan.

WHEREAS, the LESSOR has offered to the LESSEE the said residential house and the
LESSEE has agreed to lease the same from the LESSOR.

NOW, THEREFORE, for and in consideration of the premises, and of the mutual covenants and
stipulations hereinafter set forth, the parties hereto agreed as follows:

1. PERIOD OF LEASE: The lease of the property shall be for a period of six (6) months to
commence on October 23, 2017 and to expire on April 23, 2018;

2. RENTAL: The LESSEE shall pay the LESSOR a total monthly rental of Nine Thousand
Pesos (Php 9, 000) excluding electricity and water bills.

The LESSEE shall pay one (1) month security deposit and (1) month advance rental
amounting to Eighteen Thousand Pesos (Php 18,000). The security deposit shall be reimbursed
upon the termination of the contact of lease.

3. IMPROVEMENTS: The LESSEE may introduce improvements that may necessary in


is business operations which shall remain its property provided, that if the removal thereof shall
cause defacement, damage or injury to the leased premises or any art thereof, then the LESSEE
has the obligation to restore the leased premises to its original condition within reasonable time
but not later than before the expiration or pre-termination of the lease; and provided further that
if the LESSEE failed to undertake and/or complete the said restoration as required hereof, the
LESSOR, upon notice to the LESSEE, has the option to perform the work itself at the expense of
the LESSEE;
4. REPAIRS: All ordinary repairs necessary to maintain the same in good habitable
condition, including the water and electrical connections as well as the drainage system shall be
for the account of the LESSEE;

5. SANITATION: The LESSEE shall maintain cleanliness and sanitation in the leased
premises.

6. LOSS, DAMAGE OR INJURY: The LESSEE hereby assumes full responsibility for
any damage, loss or injury caused on the person and/or property of its officers, employees, its
agents and/or third persons in the leased premises or any part thereof due to the negligence or
willful conduct of the LESSEE and binds itself to hold the LESSOR free and harmless from any
claim arising from such damage, loss or injury. The LESSOR shall not be liable nor responsible
for any injury, loss or damage which the LESSEE, its employees and/or agents may sustain in
the leased premises due to any cause whatsoever;

7. RENEWAL OR EXTENSION OF LEASE: Not later than thirty (30) days prior to the
expiration of the lease, the LESSEE shall signify in writing its intent to renew the lease. Both
parties have the option to renew or extend the lease under new terms and conditions;

14. VISITORIAL/INSPECTION RIGHT: The LESSOR or his authorized representative


shall have the right to enter and view the condition of the leased premises at reasonable hours
and in convenient manner, provided previous arrangement is made with the LESSEE;

ANGELO VILLANUVA CU, ROMMEL BARIG BERDAN and OLIVER A. CAGURANGAN
known to me and to me known to be the same persons who executed the foregoing instrument
and acknowledged that the same is their free and voluntary act and deed and that of the principal
represented.

The instrument, consisting of three (3) pages including the page where this
acknowledgement is written, has been signed by the parties and witnesses on each and every
page thereof and relates to a Contract of Lease over a commercial building.
