ATTY.JOEYV.HERRERA,withofficeaddressat3rdFloor
AZPHIBldg.,No.2840Ma.Auroracor.E.ZobelSts.,Poblacion,
Makati City, Metro Manila, and hereinafter referred to as
COUNSEL.

WHEREAS,theCOUNSELisengagedinthepracticeoflawandrendering
oflegalservicessuchasbutnotlimitedtolitigationincourt,appearancebefore
legislative, quasijudicial or administrative bodies, preparations of pleadings,
renderinglegalopinion,preparingcontractsandothersimilarlegalactivities;

WHEREAS, the CLIENT intends to engage the services of COUNSEL to

renderservicesascorporatelegalcounsels.

WHEREAS,COUNSELexpressesitswillingnesstorenderservicestothe
CLIENTsubjecttothesametermsandconditionsspecifiedherein;

NOW THEREFORE, for and in consideration of the foregoing, more

particularlyofthefollowing

EffectiveDate:UponexecutionofthisAgreement

RetainerFee: PHP5,000.00 permonthwhichmustbepaidevery

15thdayofthemonthtogetherwiththecorresponding
separatebillingsasprovidedhereunder.COUNSEL
mayberequiredreporttotheCLIENTonceamonth
orasneeded. TheCOUNSELsvisitationastothe
timeanddayshallbeagreeduponbytheparties.
 Term: One (1) year, renewable annually unless either party serves other
partywithawrittennoticeofitsdesireofnonextensionatleastthirty(30)days
priortotheexpirationofthecurrentyear.Eitherofthepartiesmayterminatethis
agreement forwhatever reason without prejudicetoboth parties witha written
noticetoterminateatleastthirty(30)daysuponreceipt.Thisiswithoutprejudice
toattorneyslienwithregardtopendingcases.

ScopeofEngagement:Allservicesinthenatureofconsultation,rendering
oflegalopinions,reviewofcontracts,reviewandsigningofdemandlettersprepared
andprintedbyCLIENTandotherdocuments,whicharerequiredintheordinary
courseofCLIENTsbusiness.

Other Services: All services required of the law office other than those
described above, such as litigation in court, appearance or conference before
legislative,quasijudicialoradministrativebodiesorofficialsorPrivateCorporation
shallbebilledseparately.

Awardsofattorneysfeespursuanttocontractsand/orjudgmentshallpertain
andshallbepayabletothelawoffice.

Appearance fees per trial, whether postponed or not, or such incidental

conferenceiscoveredbytheabovementionedretaineragreementsubjecttoseparate
billing. Likewise, the preparation of pleadings, contracts, documents and
instrumentsinrelationtoapendingcaseandsuchotherlegalservicesnotcovered
aboveshallbebilledseparatelyatthefollowingrates:

PleadingsFee:PHP300.00/perpage

AcceptanceFee: PHP20,000.00

AppearanceFee: PHP3,000.00perappearance/conference
withinMetroManila.

PHP5,000.00perappearance/conferenceperday.Travel
andaccommodationfeesiswiththeaccountoftheclient
foroutsideofMetroManila.

SuccessFee: 10%ofthecollectedamountwhetherasjudgmentaward
orsettlementbycompromiseagreement.

CLIENTreservestherighttomakeitsownassessmentofcasesand/orother
matters referred by the COUNSEL for purposes of determining the proper
disposition of the referral. At all times, however, we will take the retainer
relationshipsintoaccountandwheneverwefeelthattheservicescoveredbythe
retainer agreement arenot being fully availedof, wewill makethe appropriate
adjustmentstobillings.
 Provisionformiscellaneousexpenses.Provisionsforoutofpocketfees,
suchasbutnotlimitedtotravel,lodgingfees,expertfees,filingfees,photocopies,
servicecosts,subpoenas,court reporterandtranscriptcosts,shallbeexclusively
bornebytheCLIENT.Henceforth,COUNSELshallbilltheclientofsuchexpenses
asincurred.

Sundry Expenses: Ordinary sundry expenses such as telex charges, per

diems, andtransportation andaccommodationexpenses incurred in undertaking
the CLIENTs case outside Metro Manila area shall be at the expense of the
CLIENTandmustbedepositedtotheCOUNSELsaccountinadvance.

Communication. The COUNSEL will keep the CLIENT reasonably

informedofthestatusofrepresentationandothermattersbeinghandledbythe
COUNSELandwillpromptlyrespondtoreasonablerequestsforinformation.The
CLIENTshallbetruthfulinalldiscussionswiththeCOUNSELandprovideall
information or documentation required to enable the COUNSEL to provide
competent representation. During representations, the CLIENT is entitled to
receiveallpleadingsandsubstantivedocumentspreparedforandonbehalfofthe
CLIENTandeverydocumentreceivedfromanyothercounselofrecord.

CollectionofReceivable. The CLIENT mayendorsetotheCOUNSEL

any of its receivables for collection including interest and penalties wherein the
COUNSEL shallimpose CollectionCharge ontopoftheoutstandingreceivable
fromthe CLIENTS customers. Endorsementofreceivablesforcollectionbythe
CLIENT tothe COUNSEL shallbeinwritingtobeaccompaniedbyadetailed
scheduleoftheaccountsbeingendorsedforcollection.Allcollectionscoveredbythe
collectionsservicesunderthisagreement,shallbemadepayabletoCLIENT.The
CLIENT shall remit to the COUNSEL all Collection Charges collected as
payment of collection services rendered by the COUNSEL relative to the all
accountsreceivablescollected.

Miscellaneous. This Agreement representstheentireagreementbetween

theparties.IfanypartofthisAgreementisheldtobeillegal,voidorunenforceable
foranyreason,suchholdingshallnotaffectthevalidityandenforceabilityofany
otherpart.AwaiverofanybreachofanyoftheprovisionsofthisAgreementshall
notbeconstruedasacontinuingwaiverofotherbreachesofthesameprovisionor
other provisions hereof. This Agreement shall not be assigned without the prior
writtenconsentoftheCLIENTorCOUNSELasthecasemaybe.

Enforceability.Thisagreementshallbebindingandenforceableasagainst
theCLIENTandallherassigns,successorsininterestand/orheirs.

Confidentiality. TheCOUNSELshallensurestrictconfidentialitywithall
thematerialmatterspertainingtothebusinessaffairs/internaltransactionsofthe
CLIENTobtainedduringandaftertheeffectivityofthisAgreementandshallafford
fulldisclosureintheeventthatthereexistsanyconflictofinterest.

EffectiveDate.TheAgreementiseffectiveasofthedateallpartieshereto
haveexecutedthisAgreement.
